1 Sanoma s General Terms and Conditions of Sales GENERAL TERMS AND CONDITIONS OF SALES 1 (10) These Terms and Conditions of Sales shall apply when an advertiser, a media agency, an advertising agency or other advertising service company (hereafter Advertiser ) purchases advertising from Sanoma Media Finland Oy or its subsidiary (hereafter Sanoma ) in their publications, TV and radio channels, online and mobile sites, applications or newsletters. When purchasing advertising space, the Advertiser agrees to comply with these Terms and Conditions of Sales and the specific terms and conditions agreed by the parties at the time. 1. Advertising Sales and Campaign Specification When booking advertising space and airtime, the Advertiser shall provide the details specified in the advertising instructions of Sanoma and submit the campaign material in accordance with the schedules and technical instructions provided in Sanoma s material instructions. In terms of campaigns purchased in online packages, Sanoma shall not guarantee coverage in all of the media mentioned in the package. Sanoma s advertising instructions and advertising forms valid at the time are available at media.sanoma.fi. A TV or radio campaign means an entity that is booked on the same occasion and that advertises the same product or service. Separate campaigns by the same Advertiser are regarded as one campaign entity if the break between the campaigns is seven (7) days or less and if the same advertisement(s) and/or target audience is used. A campaign must be confirmed electronically by the last date of validity given on the quotation. 2. Impressions Guarantee TV An impressions guarantee brings performance reliability to campaigns: the channel guarantees the predicted number of impressions for a campaign. All campaigns have only one guarantee, which is the overall impressions guarantee of the campaign. Multichannel campaigns have a channel-specific impressions guarantee. TV Total campaigns have an overall impressions guarantee, no channel-specific guarantee. An impressions guarantee is granted in the target audience for campaigns that are at least 35 GRPs/TRPs on Nelonen, at least 20 TRPs on Jim and Liv and at least 10 TRPs on Hero. The entire campaign has one common impressions guarantee in the TV Total package, no channelspecific guarantees. In the Total package of 4 channels with pre-determined shares of channels, the minimum purchase volume for a guarantee is 85 TRPs in total. In a customised package of 2 4 channels, the guarantee is determined according to the channel-specific guarantees of the selected channels. If it appears that the predicted number of impressions will not be reached, the advertiser will receive free extra transmissions on the channel. Campaigns lasting for seven days or less are not granted a guarantee during the campaign, but any shortfall in impressions will be compensated in the next campaign or, with the customer s consent, by extending the campaign. No shortfalls will be compensated for campaigns that remain below 0.5 GRPs/TRPs. Shortfalls concerning the impressions guarantee are not compensated in cash. Online and Mobile Media Sanoma grants an impressions guarantee for campaigns sold on an impression-basis apart from the exceptions given below. If a campaign does not reach the number of impressions purchased, the campaign is extended until the impressions are reached. Sanoma shall have the right to extend a campaign until the impressions are reached. Upon separate agreement, shortfalls in impressions may be compensated during the next campaign. If, at the end of a campaign, impressions fall short of the goal by

Accumulation of campaign impressions and clicks is monitored through the advertising management tool used by Sanoma. 3. Liability for Advertisement Content and Advertisement Copy The Advertiser shall be liable for ensuring that that an advertisement that has been ordered by the Advertiser or a media agency used by the Advertiser and that has been submitted to Sanoma for transmission does not violate existing laws, instructions imposed by the authorities or a self-regulation body or the written instructions provided by Sanoma (such as the publication rules of Helsingin Sanomat). Sanoma shall have the right to refuse, without liability for damage, the airing of advertisements that violate the above requirements according to Sanoma s interpretation. The Advertiser shall also be responsible for obtaining ownership and/or user rights to the material and for ensuring that the advertisement can be transmitted without violating any copyright, patent or other intellectual property right or any other right. The Advertiser shall cover all costs arising from obtaining or exercising the above rights. The Advertiser shall be liable for any damage resulting to a third party from a violation or non-existence of copyright, patent or other intellectual property right or any other right, or any other related claim. Sanoma shall not be liable to the Advertiser or a third party for any costs or damages incurred by the Advertiser or a third party due to a violation of the above terms and conditions. Advertisements must be produced with discretion and good taste. No advertisement should be such as to evoke negative public attitudes towards advertising. Advertisements should not contain statements or visual presentations which seek to denigrate or might denigrate a competitor, competing product or other business, profession or entity. The content of advertisements addressed to children must be carefully considered, taking into consideration that they appeal to children as product users or influence children with their example. Advertisements for medicinal products must always be submitted for preliminary inspection to the Inspection Board of Pharma Industry Finland. Special Considerations in TV and Radio Advertising Products and services which may not be advertised: Hard liqueurs (more than 22%) Tobacco products Medicinal products and medical treatments available only on prescription Products and services with restricted advertising on TV or radio: Products classified as unsuitable for children under 16 may only be advertised after 9.00 pm Mild alcoholic beverages may only be advertised after pm Products classified as unsuitable for children under 18 may only be advertised after pm Advertisements must be clearly distinguishable from actual programmes both technically and in terms of content and form. The advertisement copy must meet the technical requirements set by Sanoma/Spotgate. Sanoma shall have the right to refuse, without liability for damage, the airing of advertisements that do not meet the above requirements. Sanoma shall not broadcast advertisements on radio channels that use or imitate the voices of its hosts. Advertisement copies are sent to Sanoma at the Advertiser s own risk. 4. Data Protection and Targeting of Online Campaigns The Advertiser shall ensure that it complies with the Personal Data Act, Information Society Code and other applicable legislation valid at the time in terms of the advertisement, the advertisement s landing page and when utilising advertising targeting techniques. In particular, the Advertiser shall agree to comply with the requirements listed below:

3 GENERAL TERMS AND CONDITIONS OF SALES 3 (10) Cookies: The Advertiser may use cookies or other similar identification techniques in Sanoma s online and mobile services solely to measure the impressions, reach and conversion rate of its campaign. Targeting: Information concerning Sanoma s online and mobile services and their users may be used only for targeting or re-targeting within Sanoma s network. Using information: Information concerning Sanoma s online and mobile services or their users or the offered ad impressions may be used solely a) to give a quotation for the said impressions or b) to build campaign net rating point and global frequency based on the Advertiser s data. Retargeting on the basis of information concerning Sanoma s online or mobile services or their users or impressions is prohibited. Disclosing and/or combining information: Information concerning Sanoma s online and mobile services or their users may not be disclosed to third parties for their own purposes or combined with any other information. Sanoma s consent: Any exceptions to the above-mentioned terms and conditions require written consent from Sanoma. User s consent: Processing the personal data of a user of Sanoma s online or mobile service or combining personal data with information collected using cookies or other identification techniques or targeting based on location information requires explicit consent from the service user or other legal grounds for processing in addition to written consent from Sanoma. Self-regulation: The Advertiser shall agree to comply with the European Framework for Online Behavioural Advertising of the Interactive Advertising Bureau (IAB) or other corresponding selfregulation principles valid at the time and to perform the necessary technical and other measures to fulfil the principles. Use of subcontractors: The Advertiser shall be responsible for its systems and subcontractors as if they were part of its own operations. The Advertiser shall make sure that the Advertiser s subcontractor is aware of the restrictions of these terms and conditions of sales and adheres to them. The Advertiser shall agree to notify Sanoma immediately of any misconduct that it observes. 5. Competitors Advertising The target media may simultaneously display the Advertiser s and the Advertiser s competitor s campaigns. Due to the confidentiality of customer relations and the limited number of advertising spots, Sanoma cannot provide advance information about competitors campaigns. In the event that campaigns overlap, no compensation will be provided. 6. Discounts Direct Customer Discount In the event that an Advertiser purchasing directly from Sanoma fulfils the operational and qualitative criteria given below, Sanoma shall grant a direct customer discount in proportion to the total invoicing amount in accordance with the table below: Customer s total invoicing amount ( ) Customer s net compensation (%) 3 months 6 months 12 months

4 GENERAL TERMS AND CONDITIONS OF SALES 4 (10) The basic level of the Advertiser s total invoicing entitling to a discount is calculated from the net prices of advertisements. The net price means the price after all possible discounts have been subtracted. A direct customer discount is not granted for performance (CPC) or programmatic advertising. Advertising and Media Agency Credit Advertising and media agencies approved by Sanoma shall be granted an advertising agency credit on campaign rates in accordance with the table below. Sanoma requires that an agency receiving the advertising agency credit observes these Terms and Conditions of Sales, meets the booking and payment deadlines, provides transmission instructions, assumes full credit loss liability (acts as a del credere agency) for advertisements for which it acts as an agent and monitors and ensures that the content or such advertisements complies with the legislation, public decency, advertising self-regulation bodies and other requirements. In terms of TV campaigns, a media agency receiving advertising agency credit shall manage the planning, booking and monitoring of its client s campaigns via the X4 system while utilising research services produced for professional media buying. Operational and Qualitative Criteria Entitling to a Direct Customer Discount and an Advertising and Media Agency Credit 1. Bookings and responsibility for process management Bookings are made digitally in accordance with the specified interface / EDI or online According to the specifications given for information content Within the set schedule 2. Material delivery and responsibility for process management and monitoring Materials are delivered according to the specified technical instructions and the set schedule Unique identification data is provided with the material so that the material can be automatically linked to the advertisement booking 3. Media planning cooperation Maintenance of Sanoma s media data within the organisation and notification of changes and quotations

5 GENERAL TERMS AND CONDITIONS OF SALES 5 (10) The Advertiser uses studies that promote the reliability and professionalism of media planning (MediaAuditFinland) including their after-use software or the Advertiser can otherwise demonstrate its professional competence and adequate resources for operations Self-Service Credit for TV Advertising Self-service credit shall be granted for TV advertising campaigns that are designed according to these Terms and Conditions of Sales and good commercial practice and that are booked and confirmed with transmission instructions and spots provided by the Advertiser in accordance with the agreed policies and schedules. Transmission instructions may be sent with an EDI message or via X4 Extranet. Spots shall be submitted via Spotgate. Campaigns must be confirmed with an EDI message or via X4 Extranet. The credit shall be calculated on the basis of the net volume of the buyer s campaigns meeting the criteria for the credit. The amount of self-service credit is 0.8% of the above-mentioned net volume. Reporting shall take place every month, and the credit shall be paid twice a year in July and in January. Campaign Confirmation TV A national campaign entity must be confirmed electronically (EDI, X4 Extranet) no later than by 11 pm on the last valid date specified in the quotation. Regional campaigns must be confirmed by 10 am. Early booker s benefit: If a TV campaign is confirmed to the channel no later than 50 days prior to the premiere transmission of the campaign, the Advertiser will receive 5% more impressions in the campaign s impressions guarantee. You can make amendments to the campaign normally, as specified in these Terms and Conditions of Sales, keeping in mind however that if there are less than 50 days to the start of the campaign, the extra 5% of impressions will no longer be granted. The period of validity of a campaign quotation is determined according to the table below: Days from original booking day to campaign start Quotation valid from original booking date 28 days or more 2 weeks days 1 week 7 13 days 3 days 3 6 days 1 day 1 2 days 1 day In the case of public holidays or when there is a high demand for advertising airtime, Sanoma reserves the right to shorten the standard confirmation times. A quotation shall be valid until 11 pm on the confirmation day in the case of national campaigns and until 10 am on the confirmation day in the case of regional campaigns. Periods of validity shall be calculated according to the original booking time; even if changes are made to a quotation, the confirmation date will not change. If changes are made to a quotation, campaign prices and estimates will be updated and an airtime availability check will be performed with regards to the programme links. When making additional bookings to a campaign that has already been confirmed, the confirmation time is half of the original quotation s period of validity. Online and Mobile Media

6 GENERAL TERMS AND CONDITIONS OF SALES 6 (10) A preliminary booking shall be valid for 14 days or until there are 5 days until the start of the campaign, after which the inventory will be automatically released if the booking has not been confirmed. If a booking is made less than 5 days before the start of the campaign, it must be a confirmed booking. 8. Transmission Instructions of TV and Radio Advertisements and Liability for Transmission Errors TV Advertisements shall be submitted online by uploading the advertisement as a video file to the website, which also provides detailed technical specifications for advertisements. The Advertiser or media agency shall submit sufficiently clear transmission instructions concerning the advertisement electronically (EDI or X4 Extranet) to Sanoma according to the TV schedule below. Delayed Advertisement Copies and Preliminary Inspection Print Publications The publication of an advertisement submitted after the deadline cannot be guaranteed. Copies sent after the submission deadline shall be subject to a charge of 200/copy. If copies are not sent, the net price of the advertisement shall be charged. Online and Mobile Media If campaign material is sent late, the number of campaign impressions shall be reduced in proportion to the delay (100% are still invoiced). TV and Radio

7 GENERAL TERMS AND CONDITIONS OF SALES 7 (10) Advertisements or transmission instructions submitted after the deadline shall be subject to a late copy surcharge of VAT for each delayed day per delayed advertisement. The exceptional schedules around public holidays will be announced separately and may be seen on e.g. X4 Extranet. The Advertiser may submit the advertisement to Sanoma for preliminary inspection. During the preliminary inspection, the advertisement is approved as appropriate at the time of inspection. The transmission of an advertisement may be discontinued or forbidden later if the advertisement no longer complies with general principles or if the authorities so require. A preliminary inspection shall not limit the Advertiser s liability for advertisement content. If the advertisement copy or a part thereof is not approved for transmission, the Advertiser shall be notified immediately. The Advertiser must submit a new or revised copy to Sanoma within two (2) days of such a notification. Should this not occur or should the copy not meet the requirements set for advertisement content, Sanoma shall have the right to refrain from transmitting the advertisement entirely. However, the Advertiser shall be obliged to pay for the booked transmission time in full and shall not have the right to claim compensation for any shortening or cancellation of a transmission, if such shortening or cancellation is due to a reason specified above. 10. Terms of Cancellation and Amendments to Campaigns Sanoma reserves the right to, without liability for damage, reschedule or cancel a campaign, impression, advertising airtime or airtime booking when compelled to do so given the particular circumstances. Sanoma shall immediately inform the Advertiser of such changes and shall endeavour to provide a new, corresponding time or impressions to replace the rescheduled or cancelled booking or impressions. Unless otherwise agreed upon or unless the selected form of advertisement causes otherwise, the Advertiser may not amend booked campaigns or influence the editorial context in which the advertisement is displayed. The following terms of cancellation shall apply to the Advertiser: Newspapers HS front page and HS multichannel front page (print + digital channels): Cancellations shall be made at least 31 days prior to publication. Cancellations made after this shall be subject to a charge of 50% of the net price of the advertisement. The full net price of the advertisement shall be charged for an advertisement cancelled after the booking deadline. Other specific positions, IS extra issue and special issues: Cancellations shall be made 14 days prior to publication. Cancellations made after this shall be subject to a charge of 50% of the net price of the advertisement. The full net price of the advertisement shall be charged for an advertisement cancelled after the booking deadline. Campaign packages: Cancellations shall be made 7 days prior to publication. Cancellations made after this shall be subject to a charge of 100% of the campaign rate. Other bookings: Cancellations shall be made prior to the booking deadline. The full net price of the advertisement shall be charged for cancellations made after this. Magazines Specific positions: Cancellations shall be made 31 days prior to publication. Cancellations made after this shall be subject to a charge of 50% of the net price of the advertisement. The full net price of the advertisement shall be charged for an advertisement cancelled after the booking deadline. Other bookings: Cancellations shall be made prior to the booking deadline. The net price of the advertisement shall be charged for cancellations made after this. Inserts:

8 GENERAL TERMS AND CONDITIONS OF SALES 8 (10) Cancellations shall be made 31 days prior to publication. However, cancellation of inserts to Kuukausiliite (Helsingin Sanomat Monthly Supplement) must be made four (4) months prior to publication. After this, 50% of the net price of the distribution shall be charged. The full net price of the distribution shall be charged for inserts cancelled after the material deadline. Online and mobile media: Should the campaign be cancelled more than 10 days before its intended commencement date, no cancellation charge will be collected. Should the campaign be cancelled 6 10 days before its intended commencement date, 25% of its net price will be charged. Should the campaign be cancelled 4 5 days before its intended commencement date, 50% of its net price will be charged. Should the campaign be cancelled 3 days or less before its intended commencement date, 100% of its net price will be charged. Television Radio 31 days or more prior to the campaign commencement date: 25% days prior to the campaign commencement date: 50% 14 days or less prior to the campaign commencement date: 100% 8 days or more prior to the campaign commencement date: 25% 7 days or less prior to the campaign commencement date: 100% Sponsorship Campaigns or Promotions If a campaign/sponsorship is cancelled at least 31 days in advance, Sanoma shall invoice 50% of the price of the sponsorship. If cancellation is done 30 days or less prior to the campaign commencement date, Sanoma shall invoice 100% of the price of the sponsorship. The cancellation charges of TV, radio and sponsorship campaigns shall be calculated on the basis of the premiere transmission of the campaign/sponsorship, and only one cancellation percentage rate shall apply to each campaign. Amendments to TV and Radio Campaigns Amendments to an Offered Campaign If changes are made to the spot length of a campaign which is still an offer (unconfirmed), an airtime availability check will not be performed for the campaign if the spot length is decreased, but the prices will be updated according to the time-length factors. The quotation s original period of validity, the possible early booker s benefit and the self-service credit will remain. If spot length is increased, the campaign will be updated (estimates, prices and airtime availability check). If additional transmissions are purchased and the existing campaign is not otherwise amended, the campaign will not be updated and the quotation s original period of validity, possible early booker s benefit and self-service credit will remain. Amendments to a Confirmed Campaign If you wish to make changes to the spot length of a confirmed campaign, the original, confirmed budget must not be affected. If spot length is decreased, an airtime availability check will not be performed for the campaign, but the prices will be updated according to the time-length factors. If spot length is increased, the campaign will be updated (estimates, prices and airtime availability check) and more transmissions may be purchased with the difference between the original and the new budget. However,

9 GENERAL TERMS AND CONDITIONS OF SALES 9 (10) additional transmissions may not be purchased during sold out times, in which case the original campaign budget shall be invoiced from the customer. If additional transmissions are purchased for a confirmed campaign, but no other amendments are made, the campaign will not be updated and the possible early booker s benefit and self-service credit will remain. 11. Invoicing and Terms of Payment Online media campaigns shall be invoiced after the start of the campaign. Print, TV and radio campaigns shall be invoiced afterwards. TV and radio campaigns shall be invoiced in weekly periods (Mon Sun) on the basis of the actual transmission time-length of the advertisement, however so that the minimum charge is the rate payable for the confirmed airtime booking. The invoicing fee in accordance with the prices applicable at the time and the value-added tax applicable at the time shall be added to the invoice. Amounts overdue shall be subject to an annual penalty interest of 10 percent during the penalty period. Any complaints concerning incorrect invoices must be submitted within eight days of the date of the invoice. The terms of payment for different media are shown in the table below: Media Helsingin Sanomat, Ilta-Sanomat, HS Metro, Sanoma Lifestyle, Kids Media, Blue Wings, Online media Companies 10 days net Advertising and media agencies 14 days -1%, 30 days net Consumers 14 days net TV, radio 14 days net 14 days -1%, 30 days net If a TV or radio campaign is invoiced in advance, the term of payment is 7 days net. Advertising and media agencies that have signed an operational and quality cooperation agreement and that fulfil the credit rating criteria (Ilmoittelun Yhteisneuvosto IYN or pledge to Sanoma) shall have a term of payment of 14 days -1%, 30 days net. 12. Right to Use an Advertisement Unless otherwise stated in writing by the Advertiser no later than at the time of submitting the advertisement copy to Sanoma, Sanoma shall, after its premiere, have the right to transfer the advertisement onto a hard drive or other storage platform and use it in presentation, training and research compilations and on its own internet and extranet sites. Sanoma shall not have the right to use the advertisement for commercial purposes in other media. 13. Force Majeure Advertisements are displayed under force majeure reservations, i.e. all unforeseeable circumstances, such as a strike, technical failure, subcontractors delays and other such circumstances beyond Sanoma s reasonable control and irrespective of Sanoma, shall not fall under Sanoma s liability for damage. 14. Damages and Limitation of Liability The parties shall not be liable for any consequential damages incurred by the other party. Sanoma s liability for direct damage shall be limited to the price of the purchased campaign. The aforesaid limitations of liability shall not apply in cases of wilful misconduct or gross negligence or a liability arising from the infringement of Section 3 or 4 of these Terms and Conditions of Sales.

Term and Termination of Agreement The agreement shall enter into force when the Advertiser has accepted in writing (e.g. by ) the quotation provided by Sanoma or when Sanoma has confirmed in writing (e.g. by ) its acceptance of the booking made by the Advertiser. The agreement shall be valid until the end of the campaign period agreed by the parties, unless otherwise provided in Section 1 of these Terms and Conditions of Sales or the specific terms and conditions agreed by the parties. A party may terminate this agreement with immediate effect should the other party s conduct not comply with the agreement and should the fault not be corrected despite a written complaint within 14 days of receiving such a complaint; or, should the other party be declared bankrupt or placed in liquidation or otherwise encounter severe financial or commercial difficulties and, due to this, not be able to fulfil its contractual obligations nor lodge an adequate pledge to fulfil its obligations. If the Advertiser infringes the terms of Section 4 of these Terms and Conditions of Sales, Sanoma shall be entitled to terminate the Advertiser s campaign with immediate effect and conclude all agreements between the Advertiser and Sanoma without liability to compensate. Terms and conditions that are intended to remain valid despite the expiration of the agreement in accordance with their significance and context shall remain valid after the expiration or termination of the agreement. 16. Rates Sanoma reserves the right to amend the rates published. Rate increases shall also apply to advertisement bookings that have already been made, unless Sanoma has given the Advertiser a different binding quotation. In such cases, the Advertiser shall have the right to cancel or shorten its advertisement booking fully or in part free of charge within six (6) days of the date on which the Advertiser is informed of the rate increase in writing. Rate increases due to legislation or measures taken by the authorities shall also apply to airtime bookings that have already been made and quotations that have already been given. Where it has been necessary to reschedule the transmission time of a TV advertisement to something other than the booked time for reasons beyond the control of Sanoma and the Advertiser has approved of rescheduling, the Advertiser shall be invoiced in accordance with the rate of the new transmission time. 17. Confidentiality The parties shall agree to maintain secrecy with regards to material and information concerning the other party and the operations thereof that they have received from each other and that have been marked confidential or should be understood as such, and to refrain from disclosing these to third parties or using these for any other purpose besides those in accordance with the agreement. The obligation to maintain secrecy shall also remain after the expiration of this agreement for as long as the information is confidential and does not become public due to publication measures undertaken by a relevant party thereof. 18. Pledge Sanoma shall agree on the pledge and terms of payment arrangements with the Advertiser while utilising Sanoma s ledger and credit information registers maintained by credit information agencies. In the event that the Advertiser s credit rating does meet the standard required by Sanoma, Sanoma may demand that a pledge be lodged. If the Advertiser defaults on its payment obligation, Sanoma shall have the right to undertake the necessary measures to secure its position as a pledgee without further hearing the Advertiser and without a court decision and to liquidate the pledge as it sees fit in order to pay for its overdue receivables. 19. Subcontractors

11 GENERAL TERMS AND CONDITIONS OF SALES 11 (10) The Advertiser shall be responsible for the systems that it uses and the actions of its subcontractors as if they were its own. The Advertise shall make sure that the subcontractor is aware of the terms and conditions of this agreement and adheres to them. 20. Assignment of the Agreement and Advertising Space Sanoma shall have right to assign the agreement including the rights and liabilities thereunder to another company belonging to the Sanoma Group and, in the case of an asset deal or other business restructuring, to the company to whom the business under Sanoma s agreement is transferred. The Advertiser shall not have the right to assign the agreement or booked advertising space to a third party without advance written consent from Sanoma. 21. Disputes Any dispute arising between Sanoma and the Advertiser that cannot be resolved shall be settled in the Helsinki District Court. Sanoma reserves the right to make amendments to these Terms and Conditions of Sales.
