4 THE VISION & MISSION Was to introduce modern, short maturing genetics to Ukraine to bring about the meaningful replication of the US Midwest, corn soybean, economic miracle. The goal was to bring protein self-sufficiency to Ukraine within 20 years of the first introduction of modern short maturing soybeans. The first phase was to include construction of a world class processing center to provide a competitive market for soybeans, corn and other feed grains in central Ukraine and to process these raw materials into world class, high quality branded concentrates and compound feeds. To develop a national distribution for small bagged feeds for cottage producers further efficient conversion to milk, meat and eggs. The first phase has occurred. It now time to move forward with phase II.

5 THE COMPANY S HISTORY July David & Daniel Sweere visited Ukraine at the invitation of the Ukrainian Academy of Agrarian Sciences. June Tamara and David Sweere formed JV # 87 and completed their first business transaction by importing its first shipment of diesel fuel from Russia and bartering it with collective farms for feeding peas and shipping the peas to Germany by truck. This business grew to $ 1 million per month with 40 traders on staff within six months. January, The Sweeres founded Kyiv-Atlantic Ukraine and in May 1995 Kyiv-Atlantic Ukraine partnered with the EBRD to become the first Ukrainian EBRD agribusiness project. The ground breaking of the KAU agribusiness center occurred in May, Kyiv-Atlantic suffered three $ multi-million political events. In August 1998, three months after commissioning its agribusiness center the regional economic collapse occurred. The company was technically bankrupt; it downsized to near nothing as there was no commercial business. This was the time KAU introduced Multigain feeds and earned its way back from the brink; one bag, and one dollar, at a time. October, The Sweeres were asked to take over three large bankrupt farms in the District where Kyiv-Atlantic is located. Atlantic Farms was created and Multigain grew. January, The Letter of Intent for a comprehensive restructuring of the business was entered between the company, the EBRD and three strong Danish agribusiness families.

8 Kyiv-Atlantic Agribusiness Center The KAU agribusiness center is located 65 miles south of Kyiv, the Capital of Ukraine in the District City of Myronivka (pop. 20,000). The Center consists of a 40 acre fenced site with hard surface roads and 3.5 miles of new dedicated rails that link the company to the Odessa-Kyiv mainline railroad. The Center has its own well, underground utilities, high pressure fire protection, 8-ton modern Dutch gas fired steam boiler and 14 KV 3 phase power transformer station. The Center includes the KAU 100,000 mt per annum (33,000 MT storage) grain elevator; a 36,000 mt per year soybean expeller plant and a 96,000 mt ton per year modern feed mill. The Center has its own security, safety and control systems. The KAU center is unique in that it operates on a day basis.

Have imported to date approximately $ 5.0 mil. of late model used US farm equipment. Providing a profitable example of intensive production of the Midwest USA corn soy economic miracle, mixed with production of European style production of winter rape and winter wheat. Highest average 3-year yields of wheat, corn and soybeans in Central Ukraine; Corn 9 metric tons; Soybeans 2.5 metric tons; 5 metric tons winter wheat; 3.5 tons winter canola. Provide a world class example of efficient conversion of it Multigain feeds into prime corn fed beef by fattening 4,000 heads of 550 kg prime semimetals per year.

51 Farm Equipment Supply & Service As A Business In Ukraine Ukraine consists of approximately 30 million hectares of arable land. Ukraine is approximately the size of France; It has some of the finest soils in the world with a European type climate: higher rain falls (approximately 24 inches in central Ukraine) and longer mild seasons (180 frost free days in central Ukraine) than the US Midwest. Kyiv is located within 2,000 miles of 1 Billion people. 750 million of which do not produce sufficient food to feed themselves. Virtually NO properly sized, modern and efficient farm equipment is manufactured within the country. Virtually NO western style distribution and service system has been established. The late model used equipment that fits Ukraine provides a unique market advantage.
