1 TERMS OF REFERENCE CHIEF EXECUTIVE OFFICER FOR FARMER PRODUCER COMPANIES About the Organization: The ATMS has been established as an agricultural advisory company operative in Assam and North-East India. The Genesis of ATMS (Associated Tea & Agro Management Services Pvt. Ltd.) lies in SIANG ADVISORY Guild Pvt. Ltd. which was incorporated in 2010 to cater services in agriculture sector including small tea growers. Today ATMS is working towards economic growth by enriching the agricultural scenario of the region and organising the post harvest activity. We are catering our advisory services in the field of agriculture, horticulture, dairy, fishery, agricultural marketing, post harvest, processing and value addition. One of our prime objectives is to promote FPOs (Framer Producer Organisations) that enable farmers to enhance productivity through efficient, cost effective and sustainable resource use and acquire higher returns for their produce through collective action supported by State Govt, Central organizations such as the SFAC (Small Farmers Agribusiness Consortium), Professionals, Banks, Financial Institutions like NABARD (National Bank for Agriculture and Rural Development) and Research Agencies. In addition to advisory services, the company has also plunged into Trainings in agricultural activities and agri-marketing both for farmers and upcoming entrepreneurs including NGOs all over Assam. The ATMS has affiliations with SFAC as a leading RI (Resource Institution) of Assam as well as with NABARD as a prime RSA (Resource Support Agency) organizing trainings and awareness Programmes all over Assam to promote FPOs in agriculture and allied services. Producer Companies are corporate bodies registered under the Companies Act, 2013; and having specified objectives and activities (given below). Ownership and membership of such companies is held only by Primary Producers (defined below) or Producer Institution and member equity cannot be publicly traded. However it may be transferred, only with the approval of the board of directors of the Producer Company. A producer company is treated as a private limited company with the significant difference that a minimum of two persons cannot

2 get them registered. It can only be registered by: (i) Any ten or more persons engaged in any activity connected with primary produce, or (ii) Any two or more producer institutions or companies, or (iii) A combination of ten or more individuals and producer institutions. These companies are with limited liabilities and limited only by share capital. The liability of the members is limited to the unpaid amount of the shares held by them. A Primary producer is identified as any person engaged in any activity connected with or relatable to any primary produce, which includes: Produce of farmers from agriculture and allied activities or produce of persons engaged in handloom, handicraft and other cottage industries, including any by-product and product resulting from ancillary activities thereof. A Primary producer can also be anyone engaged in an activity intended to increase the production or quality of aforementioned products or activities. A Producer company is set up with the purpose of the following objects and activities: Production, harvesting, procurement, grading, pooling, handling, marketing, selling, export of primary produce of the members or import of goods or services for their benefit, processing the produce of members, manufacture, sale or supply of machinery, consumables, etc. to members, providing education and other welfare activities for members, generation, transmission and distribution of power, revitalization of land and water resources, their use, conservation and communications relatable to primary produce, insurance of produce and other allied or ancillary activities including financing thereof. Vacancy for the post of CEO We are looking for CEOs to manage and develop the businesses of Farmer Producer Companies (FPCs) in the following locations Location: 1) Kamrup 3(Hajo, Boko, Dimoria) 2) Morigaon 1 (Amlighat) 3) Nagaon 2 (Nagaon & Samaguri) 4) Jorhat 1(Titabor) 5) Sonitpur 1 (Gingia) 6) Karbi Anglong 1 (Diphu) 7) Golaghat 1 (Merapani) Number of Positions- 10

3 The selected CEOs will be accountable for the performance of the Producer Company and to the Board of Directors. Please note that the contract of employment will be drawn between the CEO and the FPC. ATMS is only acting as a facilitator in this regard. The CEO will also be the ex-officio Director of the Board and shall not retire by rotation. The CEO will be entrusted with substantial powers of management as may be determined by the Board. The following will be the key objectives of the CEO all of equal importance: Providing support for the functioning of the FPC as per the guidelines With the help of Local Resource Person community Mobilization and lead farmers are selected Development of Business for the FPCs Initiate to build up share capital of the company Conducting market research and building profitable market linkages Integrating with technology and exploring alternatives for value addition of primary produce Helping provide timely inputs at affordable rates to member farmers Integrating with technology for improving production, land, water and soil quality parameters Working with the Board of Directors for mobilization of more farmers to join the FPC. Apart from these broad objectives, following are the routine tasks that will be required to be performed by the CEO, as per the guidelines of the Companies Act, 2013: Perform administrative acts of a routine nature including managing the day-today affairs of the company; Operate bank accounts or authorize any person, subject to the general or special approval Of the Board Make arrangements for safe custody of cash and other assets of the Company

4 Sign MOU s for business related activities as may be authorized by the Board for and on behalf of the Producer Company; Maintain proper books of accounts, prepare annual accounts, place the audited accounts before the Board and in the annual general meeting of the Members Furnish the members with periodic information to appraise them of the operation and functions of the Company Make appointments to posts in accordance with the powers delegated to him or her by the Board Assist the Board in the formation of goals, objectives, strategies, plans and policies Advise the Board with respect to legal and regulatory matters concerning the proposed and on-going activities and take necessary action in respect thereof Exercise the powers as may be necessary in the ordinary course of business Discharge such other functions, and exercise such other powers, as may be delegated by the Board To provide timely information to the Members and Board of Directors for scheduled company meetings or emergency or short notice meetings. Apart from these commitments towards the FPC, the CEO will have the following commitments towards ATMS: Provide all necessary data and information Participate in internal and external monitoring visits and audits Compliance with monitoring systems and processes Compliance with guidelines laid down by ATMSand/or promoting agencies like SFAC, NABARD, World Bank, etc. Participate in review meetings and provide regular updates and presentations Participate in workshops/summits/conferences/training sessions as may be deemed necessary

5 Preparation of weekly/monthly/ yearly project reports of the FPO Despite these commitments, it is to be noted that the CEO will be under the employment of the FPC and ATMS acts only as a resource institution for the promotion of the FPC. Qualities to be a CEO CEO must be passionate, energetic, pro-active and committed to the concept of Rural Development through market integration and professional management Willing to engage with a large variety of stakeholders like processors, Retailers, Corporate, traders, input suppliers, government officials, administrative officials, field staff and farmers to create value for farmers Willing to stay in cluster level at rural locations Interested to work with rural communities, people from varying backgrounds, demographic characteristics and educational levels Willing to travel long distance by bus/two-wheelers He/she should have two wheeler compulsory Interested to hold regular meetings with farmers and actively spread awareness on a variety of issues Someone who pays a lot of attention to small details and can provide assistance for administrative work Willing to learn and adapt Desired qualifications: Master s Degree or Post-Graduation Diploma or an equivalent degree in the field of Rural Management, Development Management, Forest

6 Management, Social Entrepreneurship, Agribusiness Management and other related fields Graduation from any discipline, however, graduation in Agriculture, Horticulture, Agricultural Sciences, Veterinarian Sciences, Biotechnology and Sociology will be given preference 1-3 Years of work experience. Experience in Agribusiness sector will be given preference. Desired soft skills: Working knowledge of computer, MS office, internet, etc, Language: The candidates should be able to speak and write in English and Assamese Type of Engagement: Project employment for 2 years with 6 months probation period.
