2 National Conference of Executives (NCE) member, The NCE Nominating Committee would like to thank you for your interest and commitment to the future success of NCE. The Nominating Committee is charged to assure that the composition of the NCE Steering Committee meets the current and future leadership needs of NCE. The committee s responsibilities include: establishing nominating priorities, conducting outreach to identify potential candidates to apply for nomination to the Steering Committee, screening and evaluating applicants in relation to the nominating priorities, and recommending a single slate of candidates for election. As part of the outreach process a prospectus has been created outlining the Nominating Priorities that have been established and the roles and responsibilities of Steering Committee members. It also includes an overview of The National Conference of Executives purpose and activities. After reading through this prospectus you should have a good understanding about what is involved in serving on the NCE Steering Committee as well as a good idea of whether you or someone you know might satisfy the 2018 Nominating Priorities. The Nominating Committee will be accepting self-nominations and third party nominations (nominating someone other than yourself) for all electable positions. If you know someone, who has the leadership qualities, personal characteristics, knowledge, and experience in the areas identified in the 2018 Nominating Priorities, we encourage you to nominate them. By accepting both self-nominations and third party nominations we will collect a large, diverse pool of candidates for the Steering Committee member positions. If you believe you or someone you know is a good fit please complete the online application. For full consideration you should complete the form by July 31 st, However, the application process will remain open until the full recommended slate is assembled. 3 The National Conference of Executives (NCE) of The Arc has a long and rich history of camaraderie and service as an organization committed to the professional development of the executive leadership of chapters of The Arc. In 2012, The Arc membership passed new bylaws that officially included NCE as a committee of the Corporation. NCE is committed to providing opportunities for personal and professional support and development of executives and professional staff within The Arc s network to enable them to carry out the mission of The Arc. Relevant Bylaws Provisions of The Arc of the United States (The Arc) related to NCE Section 6.7 National Conference of Executives Composition. The National Conference of Executives (NCE) shall be composed of the executive directors/chief executive officers of Chapters of The Arc without requirement of any additional payment of dues. NCE shall have a Steering Committee, including a chairperson, the members of which are elected by NCE members. Additional categories of personnel of Chapters of The Arc as are determined by the Steering Committee may also be members of NCE upon payment of dues Roles and Responsibilities. The National Conference of Executives shall provide leadership, guidance and oversight of The Arc s efforts to cultivate, support and sustain strong, effective and sustainable chapters at the state and local level. NCE s focus shall include, but not necessarily be limited to: professional development, leadership development, fostering strong relationships, knowledge sharing and mutual support The Steering Committee is responsible to develop, and support and assist staff in implementing, a high quality program of professional development, including training, technical assistance and other supports and services, for executives, management staff and volunteer leaders of The Arc. The Steering Committee is further responsible to provide to the Board Development Committee the names of members of NCE whom the Committee believes meet the nominating priorities and are recommended for election to The Arc s Board of Directors in the manner described in Article 7 of the Bylaws A Chapter Excellence Subcommittee is responsible for promoting best practices in the governance and management of chapters, including board governance, financial management, human resources management and fundraising, utilizing the Standards for Excellence program platform A Program Excellence Subcommittee is responsible to identify and promote the replication and proliferation of innovative and best practices in services and supports for people with intellectual disabilities Additional subcommittees may be established as the Steering Committee determines are necessary and appropriate to achieve the objectives of NCE. Other Relevant Provisions Regarding NCE Steering Committee membership participation on The Arc s Board provides that up to three (3) members of the Board of Directors may be chief executive officers, executive directors or second tier management staff of a Chapter of The Arc provides that two of these three members are designated by the NCE Steering Committee. Specifically, the bylaws provide: The Chair of the Steering Committee of NCE, and one Page 3 of 8

4 additional chief executive officer or second tier management staff of a state or local Chapter of The Arc designated by the Steering Committee of NCE, shall be members of the Board of Directors, ex officio, for the applicable term provides for the NCE Steering Committee to provide to the Board Development Committee the names of members of NCE whom the Committee believes meet the nominating priorities and are recommended for election. Committee Participation 6.2 provides that all committees of The Arc will include at least one member who is a chief executive officer or other senior-level staff, of a state or local Chapter of The Arc provides that Chair of the NCE Steering Committee is a member of the Executive Committee provides that the Immediate Past-Chair of the NCE Steering Committee is a member of the Board Development Committee NCE Steering Committee The NCE Steering Committee will consist of up to twenty (20) people, selected as follows: The Nominating Committee is responsible to select candidates for the following positions: Chair ** 1 st Vice Chair ** 2 nd Vice Chair ** Regional Representatives (six positions) At Large Representatives (three positions) The current Chair of the Steering Committee is responsible to select up to three candidates whose names will be included on the ballot. The current Chair is automatically included on the ballot and recommended for election in the position of Past Chair of NCE**. The Arc s CEO is invited to name one volunteer member of The Arc s Board of Directors to be included on the ballot and recommended for election to the Steering Committee. The Arc s CEO is automatically included on the ballot and recommended for election to the Steering Committee. The Arc s Board President, or another board member s/he designates, is automatically included on the ballot and recommended for election to the Steering Committee. ** Executive Committee members Subcommittees of NCE The NCE Steering Committee is loosely organized into, and Steering Committee members are asked to select one of two focus areas, as follows: Chapter Excellence: promoting best practices in the governance and management of chapters, including board governance, financial management, human resources management and fundraising: and Page 4 of 8

5 Program Excellence: identifying and promoting the replication and proliferation of innovative and best practices in services and supports for people with intellectual disabilities. Steering Committee members in each focus area are asked to bring the perspective of their chosen focus area to the work of the full committee, subcommittees or work groups. At a retreat to be held early in the term, Steering Committee members will determine the structure of subcommittees or work groups to use to accomplish the work of NCE. Currently, the Steering Committee is organized into 6 work groups, as follows: Program Planning responsible for planning the program content of the NCE Summer Leadership Institute and the NCE Fall Professional Development Seminar; Silent Auction responsible for planning and implementing the silent auction which takes place at the National Convention; Scholarships responsible for developing the scholarship program, recruiting applicants, and determining awardees who receive scholarships to support attendance at NCE events; Awards responsible for developing and implementing the awards program, including recruiting nominations and selecting awardees, culminating in the annual awards luncheon at the National Convention; Recruitment and Engagement responsible for recruiting chapters of The Arc to enroll additional staff as members of NCE and to deepen the engagement of NCE members in use of all NCE programs and services. Chapter Resources responsible to review existing chapter resources (e.g. The Arc Connection, Special Interest Groups, Standards for Excellence, Reliance Learning Management System, DSP Toolkit), refine existing or develop new tools as needed, and promote their utilization. In addition to serving on subcommittees or work groups, Steering Committee members have the opportunity to facilitate Special Interest Groups, create educational videos and webinars, broker introductions to donors and sponsors, recruit additional NCE members, promote member participation in NCE programs and services, and other volunteer activities. Steering Committee Member Roles and Responsibilities Chair: Oversight of the NCE Steering Committee -Executive Committee, selection of Subcommittee Chairs, Ex Officio member of The Arc s Board of Directors 1st Vice Chair: Responsible to assure that chapter excellence is advanced through NCE s major events and other activities. Serves as co-chair of the Program Planning Work Group, and leads planning for the Professional Development Seminar. 2 nd Vice Chair: Responsible to assure that program excellence is advanced through NCE s major events and other activities. Serves as co-chair of the Program Planning Work Group, and leads planning for the Summer Leadership Institute. Regional Representatives: Responsible for serving as a conduit of communication between the NCE Steering Committee and chapters within the 6 designated regions. Page 5 of 8

6 At-Large Representatives: Represent NCE membership within the Steering Committee and provide leadership within the subcommittee structure. All Steering Committee members: Actively recruit NCE members, participate in work group activities of NCE, provide connections to possible sponsors and donors, attend NCE training events (Summer Leadership Institute, NCE Fall Professional Development Seminar, etc), regularly attend and participate in the NCE Steering Committee meetings. The Steering Committee meets monthly, with most meetings held by telephone conference call. The beginning of the term will include a face-to-face orientation and retreat in the first quarter of In 2017, additional face-to-face meeting likely will be held at the NCE Summer Leadership Institute and the National Convention. In 2018, face to face meetings will likely be held at the Disability Policy Seminar, the NCE Summer Leadership Institute and the National Convention. Steering Committee members are expected to attend at least two of the three face to face meetings annually. Missing three consecutive calls/meetings, or an overall attendance rate that falls below 70%, provides grounds for a Steering Committee member to be removed from service. Steering Committee members are responsible for the costs of their own attendance at meetings and training events. For individuals who are unable to attend in person, attendance by teleconferencing is possible. Terms of Office Appointments to the Steering Committee are for a term of two years beginning January 1, Terms will be based on a calendar year; partial terms will end on Dec 31 st of the original term ending date. Terms of office all coincide with the same two year period with no alternating terms. Except for members occupying the position of Chair, 1 st Vice Chair, 2 nd Vice Chair, Immediate Past Chair, or Regional Representative, no member of the Steering Committee may serve more than a total of four consecutive years. Nominating Priorities The NCE Nominating Committee is charged to review the composition of the Steering Committee, consider future needs and sets priorities for the current nominating cycle. Outreach will be conducted to identify candidates, and preference will be given to candidates that fit the Nominating Priorities. All applicants who are not selected will be kept on a list for future consideration as vacancies arise. An applicant who is not selected for the slate will be advised that they still may have their name included on the ballot in competition with the individuals who were slated. The following are the Nominating Priorities for individuals to be elected to the Steering Committee in to serve in The Nominating Committee seeks candidates who meet one or more of these priorities. The candidate will add diversity to the Steering Committee based on personal characteristics including, but not limited to, race, ethnicity, LGBTQ status, gender identity, religion, or immigrant status; Page 6 of 8

7 The candidate is located in one of the following geographic regions: o Region 2: CT, MA, ME, NY, RI o Region 3: IA, IL, IN, MI, MN, WI o Region 4: AR, KS, KY, LA, MO, ND, NE, OK, SD, TN, TX, WY o Region 6: AK, AZ, CA, CO, HI, ID, NM, OR, UT, WA The candidate will add diversity of age to the Steering Committee. o Under age 40 o Age 60 or above The candidate is a parent or sibling of a person with I/DD. The candidate has worked for The Arc for either: o 3 years or less o 20 years or more. The candidate characterizes his/her chapter as advocacy only. The annual budget of the candidate s chapter is either: o Under $10 million o More than $40 million The candidate has knowledge, skills or expertise in one or more of the following program and service areas: o Guardianship and Supported Decision-making o Special Needs Trusts Minimum Requirements for Steering Committee Nomination Eligibility to serve on the NCE Steering Committee is limited to persons who are NCE members. 8 Nominating and Election Procedures / Timeline July 1: Call for nominations. Online nomination applications are ed to all NCE members. Notification to members includes: NCE newsletter, Fusion e-news, NCE Google Group communication, targeted s to members. July 31: Recommended date for submission of nominations for full consideration. August 1 September 30: The NCE Nominating Committee shall prepare its slate of nominees. October 1: Those NCE members who were not selected for the slate will be contacted and offered the opportunity to run for any office in a contested election. October 15: Deadline for declined candidates to state intent to run against the slate. October 15 31: Final ballot prepared o Additional candidates will be added to the ballot and presented to the NCE membership for a vote. o If there are no contested positions, slate will be voted up or down. Nov 1 15: Online voting Nov 28: Candidates notified, and results of election announced.
