The Document Management module is required if Document Management Desktop is to be implemented. SPM REMOTE Per user 900 TOOLKIT The Toolkit is classed as a full module for both licence and AMC purposes. Notes New modules: When adding a new module to a system that has added individual users, the module should be charged at the lower of the two traditional user break prices. Using traditional user breaks (1, 5, 10, 15, 20, 30, 40, 50): Where a customer wishes to increase the number of users to the next traditional user break, eg 6 users to 10 users, the difference between the two traditional user price breaks will be charged for their System Manager and each module. No credit will be given for additional individual users previously purchased. AMC: Where a customer has added additional individual users to their system, the price that is charged for their AMC will be the lower of the two traditional user break prices for the relevant number of modules. Example: If a customer with 5 users wishes to upgrade their system to 6 users, the cost would be If the same customer then wishes to purchase an additional module, it will be charged at the lower of the two traditional user break prices, in this case 5 users ( 950). The AMC for this system will be charged at a 5- user break price for the number of modules purchased. If this customer then wishes to upgrade to 10 users, they will be charged the difference between the 5 and 10-user break price for their System Manager ( 2000) and each of their modules ( 200). The difference in price between the 5-user AMC and 10-user AMC for the relevant number of modules will be charged on a pro-rata basis. 3

Invoicing and SOP are charged as separate modules. 3. When increasing users the difference in the two New Customer prices will be charged for the System Manager and each module. The AMC will be subject to an increase on a pro rata basis. 4. When increasing the number of companies or Payroll employee breaks, the difference in the two New Customer prices will be charged. 5. Additional modules will be charged at the standard New User price. The AMC will be subject to an increase on a pro rata basis if applicable. 6. The Payroll Only system includes System Manager, Payroll, Personnel and Reporter and is available for a maximum of 10 users. n System Manager and Personnel are free of charge with a Payroll Only system. n System Manager becomes chargeable when additional modules are added. 7. Personnel is available free of charge to all Payroll customers but will count as a module for AMC purposes for non-payroll Only systems. 8. Document Management Desktop is counted as a module for AMC purposes. 9. The Desktop Edition of Pegasus Instant Messenger will be supplied free of charge. 10. Only the Enterprise Edition of Pegasus Instant Messenger is counted as a module for AMC purposes. The exception is Payroll Only systems, where it will not be counted as a module for AMC purposes. 11. Document Management requires MS SQL Server. Please refer to the System Requirements Guide for information. 12. Document Management can be added to a Payroll Only system for the cost of the module. The System Manager will still be FOC. For details on AMC charges for such as system please refer to the Payroll Only Plus Document Management AMC section of this price list. 13. NEST Integration is counted as a module for AMC purposes. 14. SEPA is available free of charge to all Purchase Ledger customers but will count as a module for AMC purposes. DISCOUNTS Multiple sites No additional Opera II sites are allowed. If additional sites are required, Opera 3 must be purchased. A multiple site discount of 15% is available on the Opera 3 licence cost. AMC will be charged at full price. This is not available in addition to any other discount. 4

8 RE-INSTATING LAPSED LICENCES Where a customer s Annual Maintenance Contract has lapsed, a latest version upgrade charge will be made at 200 (RSP) for the System Manager and for each of the modules, plus an Annual Maintenance Contract. Where the AMC has lapsed within the previous 6 months, the customer has the option of backdating the renewal of their AMC to the date at which it lapsed. RE-LICENSING Insolvency Under clause 6.2 of our licence terms and conditions, if a company goes into liquidation/administration or ceases trading, their Pegasus licence is automatically terminated; therefore, even if the customer resumes trading they must NOT continue to use their existing licence. If a customer whose licence has been terminated in accordance with clause 6.2 wishes to continue to use their Pegasus software, it must be re-licensed to Opera 3. A re-licensing charge of 35% of the current licence RSP will be applicable plus an AMC at full RSP. Please note that the relicensing fee is NOT subject to your Partner margin, but you may add your own fee at your discretion (Partner margins will apply to the AMC fee as normal). Relicensing must be calculated on a like-for-like basis (users, companies, employees and modules). The relicensing process will result in a new licence number and activation details for the customer. Please note that customers who wish to take advantage of the re-licensing pricing must re-license the software within 90 days of Pegasus informing the Partner of the need to re-license. For orders placed after 90 days, full list pricing will apply. Takeovers Under clause 2.2 of our licence terms and conditions, licences are non-transferable. Therefore, if a company is taken over, their Pegasus licences cannot be transferred to the new company. Likewise, if two or more companies merge to form a new company, any existing Pegasus licences cannot be transferred to the new company. If a company takes on both the assets and liabilities of an existing solvent licensee and they wish to continue to utilise the existing Pegasus software, they will need to re-license the software to Opera 3. A re-licensing charge of 25% of the current licence RSP will be applicable, together with a new AMC at full RSP. Re-licensing must be calculated on a like-for-like basis (users, companies, employees and modules). Your Partner margin will apply to both the licence and AMC charges as normal. In addition, if the original licence has an AMC that has been renewed within the last 3 months, you can obtain a pro-rata credit for that AMC. The re-licensing process will result in a new licence number and activation details for the new customer and the original licence will be terminated. No further activation details for the original licence will be issued. In order to ensure that only eligible companies can take advantage of this pricing, before an order can be processed we will require proof (such as a letter from a solicitor) stating that the existing licensee is still solvent and the new company has purchased the entirety of the licensee, including all assets and liabilities, and that the licensee will no longer be trading. Please note that customers who wish to take advantage of the re-licensing pricing must re-license the software within 90 days of Pegasus informing the Partner. For orders placed after 90 days, full list pricing will apply. MERGING LICENCES If a customer wishes to merge one or more licences together, an administration fee of 250 will be charged. In addition, if merging a licence with a lower user count with a licence with a higher user count then the customer will also need to pay the difference between the user breaks for the modules being moved from the lower user count to the higher one. Likewise, if the customer wishes the merged licence to have the combined user count of the combined licences, the customer will have to pay the difference between the user breaks for all modules. Please note that the administration fee is NOT subject to your Partner margin, but you may add your own fee at your discretion (Partner margins will apply to the module costings as normal). Please note that only licences with current AMCs can be merged. 8

9 SPLITTING LICENCES If a customer wishes to split an existing licence with a current AMC into two or more licences, an administration fee of 250 will be charged. The AMC renewal date for the new licence(s) will remain the same as the original licence but a pro-rata AMC charge will be applied to each of the new licences. In order to calculate the pro-rata AMC, the AMC fee already charged will be deducted from the combined total of the new AMCs for all licences; this total will then be divided by 12 and this figure multiplied by the number of months remaining until the AMC renewal date. Please note that the administration fee is NOT subject to your Partner margin but you may add your own fee at your discretion (Partner margins will apply to the AMC fee as normal). TRANSFER CHARGE Where a customer moves from one Pegasus Partner to another and wishes to transfer their Annual Maintenance Contract to the new Partner, an administration charge of 300 applies. This is payable by you but you may pass it on to the customer at your discretion; if doing so, your Partner margin must NOT be applied. The customer should be using the latest version of software. Please note that once you have accepted a customer transfer from another Partner, three months must pass before you can accept another customer of that same Partner. CARRIAGE The standard carriage charge is 10 (Partner price) per delivery. Courier and overseas (including Northern Ireland, Scottish Islands and the Channel Islands) carriage is available. Contact the Sales Support Desk for prices. CONDITIONS OF SALE All prices are subject to change without prior notification. All prices are exclusive of VAT. CANCELLED ORDERS AND RETURNS Returns will only be accepted in exceptional circumstances with the prior approval of Pegasus within 30 days of receipt of goods. A handling charge of 20% may be charged on goods returned. Contact the Sales Support Desk for more information.
