The rebates are offered for one of the qualifying transactions: Eligible Systems sold to First In Enterprise Accounts for Power Systems. Eligible Systems sold to replace an eligible non-ibm server. An end user customer is regarded as a First In Enterprise Account for IBM Power Systems if he/she: has no IBM purchase record of a Power System, AS/400, iseries, pseries, System i, System p and RS/6000 product (system or MES). This will be validated against the information stored in SOF database or has purchased no new Power Systems, AS/400, iseries, pseries, System i, System p and RS/6000 product (system or MES) with shipment date after 1 st January This will be validated against the information stored in SOF database (content of SHIPPED field). 2 A server is regarded as a non-ibm server if it: is listed in Appendix 5: IBM Power Systems Growth Program List of installed non-ibm systems or is an x86 System that has the possibility to have four (4) processors, where all four (4) processors are installed and active. Examples of x86 Systems which can qualify as replaceable machines are listed (but not limited to) in Appendix 6: IBM Power Systems Growth Program Example of 4 processor non-ibm x86 systems. Note that the end user name and end user address submitted to IBM must match that included in the order (and in the claim). Eligible products The table below shows the list of eligible IBM Power Systems Models. The rebate amounts are in US Dollars; see Appendix A: Local Currency Conversion for currency conversion. (**) The IBM Power Systems Business Partner may earn an additional rebate on sales of eligible IBM Linux on Power systems after investing in an eligible demonstration system purchased under the IBM Demonstration, Development and Evaluation (DDE) program terms. The IBM Power Systems Business Partner will receive an additional rebate of Page 2 of 19

3 500$ (See Appendix A: Local Currency Conversion) if he purchased an eligible demonstration IBM Power System model L S812L, L S822L, L S824L, C S812LC, 8335-GTA S822LC or 8335-GCA S822LC and he is currently using the system for demonstration purposes (not already resold to End User customers). For each IBM Power Systems Business Partner, the additional rebate will be paid against a maximum quantity of 10 eligible Power Systems units sold by December 31 th Distributor stock at start of the promotion is eligible. Products purchased under special bid terms (including frame agreement and IVO offerings) are not eligible. Products purchased under demonstration or development terms are not eligible. Products purchased for Business Partners internal use are not eligible. All used equipment is not eligible. Notes: This offer can be combined with other programs or promotions unless specifically indicated. There is a limit of one rebate per eligible IBM Power Systems Server. For claims involving more than 3 (three) eligible units in a single transaction, IBM Business Partners must obtain prior approval from their respective IBM Power Channel Manager IBM 2016 Power Trade in program is not combinable Start and/or end dates This program is valid between January 01, 2016 and December 31, 2016 (inclusive). Marketing channels IBM Business Partner Solution Providers for Power Systems. Ordering/fulfillment information Follow normal ordering procedures. Additional information/condition First In Enterprise qualification check For Italy: The Power Systems Channel leader will communicate to Distributors the name of the IBM person in charge of the check. To request the check, Distributors have to send him/her NAME, ADDRESS and VAT of the customer to check. If approved as a First in Enterprise customer, a qualification approval will be returned to Distributors. This qualification approval has to be attached to the claim. Qualification approval will expire one year after date of issue to the Distributor by IBM. For all other countries except Italy: Business Partner must complete the Appendix 4: IBM Power Systems Growth Program FIE Self Certification Form and attach it to the claim. Page 4 of 19

5 How to claim Note: To qualify for the rebate, the Business Partner nominated Distributor must submit a claim as described below per region by August 31, 2016 for eligible Power Systems ordered between January 01, 2016 and June 30, 2016 (inclusive) by February 28, 2017 for eligible Power Systems ordered between July 01, 2016 and December 31, 2016 (inclusive) Business Partner Payment Terms and Claim Process in: - Belgium, Denmark, Finland, France, Greece, Iceland, Italy, Luxembourg, Netherlands, Norway, Sweden, United Kingdom. - Albania, Bosnia and Herzegovina, Bulgaria, Croatia, Czech Republic, Estonia, Hungary, Latvia, Lithuania, Kosovo, Macedonia, Moldova, Montenegro, Poland, Romania, Serbia, Slovakia, Slovenia. - RCIS countries: Armenia, Belarus, Georgia, Kazakhstan, Kyrgyzstan, Russia, Ukraine, Azerbaijan, Tajikistan, Turkmenistan, Uzbekistan. Payment terms: IBM issues a credit note or corrective invoice to IBM Distributor IBM Distributor agrees with Business Partner the terms upon which the rebate is made. IBM Distributor is responsible for billing documentation and payment to Business Partner IBM Distributor is expected to pass the incentive amount in full to the Business Partner. IBM Distributors have sole discretion in determining the amount of rebate that they will provide to the Business Partner. IBM is not responsible if any payment made to a Distributor that is not passed to a Business Partner. To ensure compliance with local tax requirements in each of the promotion countries, different billing and payment processes apply to the Financial Rewards, depending on the promotion country. The payment and billing guidelines are set out below. Business Partner Solution Providers that do not purchase product direct from IBM in Belgium, Denmark, Finland, France, Greece, Iceland, Italy, Luxembourg, Monaco, Netherlands, Norway, San Marino, Sweden, United Kingdom and Vatican State. Payment of the Incentive for the above countries will be made by credit note to your preferred Distributor. Your IBM Business Partner Distributor is responsible for paying and issuing any billing documentation, to the Business Partner Solution Provider for the rebate in these countries. IBM is not responsible if any Page 5 of 19

6 payment made to a nominated Distributor is not passed on to the IBM T2 Solution Provider. Please note that payments to Business Partners in Greece may be delayed due to local tax notification requirements. Business Partner Solution Providers do not purchase product direct from IBM in Cyprus, Ireland, Israel, Liechtenstein, Malta, Portugal, Spain or Switzerland The Business Partner T2 Solution Providers must issue an invoice to IBM to receive the payments applicable to the above countries and financial rewards. IBM reserves the right to validate that the charging of VAT or similar transaction taxes is legally correct and that any invoice or equivalent document issued to IBM complies with applicable tax laws. IBM will not make payment if either VAT or similar transaction taxes has been incorrectly charged, or if the billing document you issue does not comply with applicable tax laws. Business Partner Solution Providers that do not purchase product direct from IBM in Austria and Germany IBM will issue a credit note including VAT to its Austrian and German Tier 2 Business Partners after the end of the quarter following the period of measurement/achievement. Tier 2 Business Partners are responsible for making any input VAT adjustments linked to this sales promotion rebate in connection with IBM product purchased from their suppliers. For France: IBM issues credit note to the Distributor without VAT. Note for Armenia, Azerbaijan, Belarus, Georgia, Kazakhstan, Kyrgyzstan, Russia, Tajikistan, Turkmenistan, Ukraine, Uzbekistan: Distributors in these countries are required under local tax regulations to sign an additional rebate agreement. This will be provided to them on registration. The rebate payments in these countries qualify as bonus payments. Business Partner Payment Terms and Claim Process in: - Austria, Germany, Liechtenstein, Switzerland, Spain, Portugal, Israel, Malta, Ireland, Cyprus. Payment terms: For Austria, Germany: IBM issues credit note to Business Partner. Direct Payment with VAT (as applicable). Business Partner is responsible for making any input VAT adjustments on their original purchase linked to this promotional rebate. For Switzerland, Liechtenstein, Spain, Portugal, Israel, Malta, Ireland and Cyprus: Business Partner issues invoice to IBM. IBM reserves the right to validate that the charging of VAT or similar transaction taxes is legally correct and that any invoice or equivalent document issued to IBM complies with applicable tax laws. Your IBM BPSO representative will advise you on any additional details you may be required to provide. FILE=pw/dispute_process.pdf The following Standard Terms and Conditions apply to all Countries: If this sales incentive is subject to any indirect taxes in countries where IBM is either not established or not registered for local indirect taxes, the business partner agrees to collect and remit all such taxes to the extent required by local laws, and to indemnify and hold harmless IBM and its affiliates, and their respective officers, directors, employees and agents, against all liabilities, damages, losses, costs and expenses if you fail to do so in accordance with such laws.
