4 Custmer Learning Clud Supprt Select The Custmer Learning Clud Supprt Select includes quarterly hurs that can be used fr attendance in public training curses r fr custm Educatin Services which are detailed belw. Usage Limits Includes twenty (20) hurs each quarter that may be used fr any f the fllwing: Public curses-eligible curses can be fund in the Curse Catalg at If hurs are used fr NetSuite Public Training Curses, ne (1) day f public training fr ne (1) registrant will cnsume tw (2) hurs frm the quarterly alltment Custm Educatin Services- Custm training plans will be scped and executed in cllabratin with the custmer via an Oracle LCS Educatin Success Manager ( ESM ) meeting with yu t assess yur enablement needs, scping the effrt t address these, and preparing a plan that describes tpics (functinal r technical) and methds (live r elearning), mutually agreed upn by Oracle and Yu, which will serve as the basis fr the delivery f the Services. Oracle will prepare standard, tailred r custm Services t meet the plan identified abve and prduce any necessary supprting dcumentatin. Oracle will deliver standard, tailred r custm Services as identified in the plan abve. Hurs devted t assessing needs, scping slutins, prject management and preparatin fr delivery f custm Educatin Services will cnsume equivalent hurs f prvisined Service hurs frm the quarterly alltment. Custm Educatin Services are delivered in Yur accunt and participants are limited t twelve (12) attendees per sessin. All Services are perfrmed remtely unless therwise mutually agreed in writing. All Services perfrmed utside nrmal business hurs r perfrmed in excess f ten (10) hurs per day (r fifty (50) hurs per week) by any Oracle resurce shall require Oracle s prir written cnsent. Filming r recrding f Oracle s delivery f Services, Oracle resurces, r any Oracle materials, printed r recrded is strictly prhibited. All Services cmmunicatin and curses are in English. Yur Obligatins: Yu acknwledge that Yur timely prvisin f and access t cperatin, cmplete and accurate infrmatin and data frm Yur fficers, agents, and emplyees, as well as ffice accmmdatins, facilities, equipment, and nsite assistance if required (cllectively, cperatin ) are essential t the perfrmance f any Services as set frth in Yur rder. Oracle will nt be respnsible fr any deficiency in perfrming Services if such deficiency results frm Yur failure t prvide full cperatin. Yu acknwledge that Oracle s ability t perfrm the Services depends upn Yur fulfillment f the fllwing bligatins: Additinal Obligatins Prvide Oracle with full access t relevant functinal, technical and business resurces with adequate skills and knwledge t supprt the perfrmance f Services. Prvide, fr all Oracle resurces perfrming Services at yur site, a safe and healthful wrkspace (e.g., a wrkspace that is free frm recgnized hazards that are causing, r likely t cause, death r serius physical harm, a wrkspace that has prper ventilatin, sund levels acceptable fr resurces perfrming Services in the wrkspace, and ergnmically crrect wrk statins, etc.). Prvide any ntices, and btain any cnsents, required fr Oracle t perfrm Services. 4

5 Expenses Limit Oracle s access t any prductin envirnments r shared develpment envirnments t the extent necessary fr Oracle t perfrm Services. As required by U.S. Department f Labr regulatins (20 CFR ), allw Oracle t pst a Ntice regarding Oracle H-1B emplyee(s) at the wrk site prir t the emplyee's arrival n site. Be respnsible fr any sandbx instances required by Oracle. If using a sandbx, make sandbx available fr training activities. If n sandbx is available, make prductin envirnment available fr training activities and be respnsible fr all training data cleanup at the cnclusin f the training activity. Be respnsible fr executin f Yur rganizatinal change enablement and cmmunicatin activities. Use cmmercially reasnable effrts t attend all scheduled meetings. The repeated cancellatin f meetings may result in delay and inefficient use f the maximum number f Service hurs per mnth allwed fr the perfrmance f Services. Prvide Oracle with dedicated user access t Yur systems necessary fr the perfrmance f Services. Be respnsible fr editing, printing, shipping and cpying charges fr all training materials. In additin t the fees set frth in Yur rder, Yu agree t reimburse Oracle fr travel and ut f pcket expenses related t prviding any n-site Services. All expenses inviced mnthly hereunder are due and payable in accrdance with the payment terms f Yur rder. Unused Services *A quarter is equal t every three mnths f the cntracted service. If the last quarter f the Term is less than three (3) mnths, then the quarterly Service hurs will be pr-rated accrdingly. Yu will nt be entitled t a refund, r any credit tward additinal r ther services, fr any unused prtin f the fees paid fr any unused prtin f the Services. Access will expire n the date specified in the rdering dcument. Yu are respnsible fr prcessing renewals befre the expiratin date, as needed. Extended Services During the Term f Yur rder, the parties may mutually agree in writing t increase the quantity f Service hurs per quarter indicated in Yur rder fr any given quarter ( Extended Hurs ). Oracle will invice Yu fr any such Extended Hurs at the Extended Hurly Rate as defined in Yur rder. 5
