8 CALL CENTER SERVICES AGREEMENT THIS CALL CENTER SERVICE AGREEMENT ( Agreement ) is entered into as of, by and between ( Client ) and Coastal CallNet Corporation with its principal place of business located at 1908 Eastwood Road Suite 330, Wilmington, North Carolina ( CallNet ). PRELIMINARY STATEMENTS A. CallNet operates a call center services business. B. The Client desires to engage CallNet to perform certain services on the terms and conditions set forth below. NOW, THEREFORE, in consideration of the mutual promises contained in this Agreement, CallNet and Client agree as follows: 1. Services: During the term of this Agreement, CallNet will perform call center services (the Services ) for the Client. For CallNet to perform these Services, Client must use a telephone number provided by CallNet or transfer Client s telephone to CallNet through either Client s local or long distance telephone service provider. 2. Term: The term of this Agreement will be a minimum of one (1) month (the Initial Term ). Either CallNet or Client may terminate this Agreement thereafter with written notice to the other party; provided however, CallNet may terminate this Agreement if Client breaches any of its obligations under this Agreement, including, without limitation, Client s obligations to pay fees it owes within five days after notice to the Client. 3. Documentation: Client will provide CallNet with information regarding the administration of Client s accounts as may be reasonably requested by CallNet from time to time. 4. Charges for Call Center Services with the following terms, pricing: a. Base Rate: Includes operator time, incoming calls, outgoing calls, all staffing, and administrative fees. b. Minutes Included: The number of minutes included in the Base Rate Plan selected. (This also includes all account maintenance and staffing requirements.) c. Additional Minutes: Cost for minutes accrued over and above those included in the selected Base Rate. 5. Deposit: Is required and will be on first bill. Deposit amount is equivalent to the chosen base rate plan and is refundable with receipt of 30 days written notice of intent to cancel.

9 6. Invoices: CallNet invoices accounts every four weeks. Any account that has not been paid 15 days after the invoice bill date will be charged interest at the rate 1.5% per month. We accept payment by check, Visa, or MasterCard. 7. Rates Subject to Change: CallNet reserves the rights to change all rates under this plan on written notice to Client. 8. Set-up/Programming Fee: One time charge of $ No Warranties: CALLNET MAKES NO EXPRESSED OR IMPLIED WARRANTIES, INCLUDIDNG IMPLIED WARRANTIES OF MERCHANTABILITY AND/OR FITNESS FOR A PARTICULAR PURPOSE, NOT SPECIFIED IN THIS AGREEMENT, CALLNET SERVICES OR THE PROGRAMS DEVELOPED BY CALLNET UNDER THIS AGREEMENT. CALLNET ONLY UNDERTAKES TO PROVIDE SERVICES ON A BEST- EFFORTS BASIS. CALLNET S PERFORMANCE OF ITS OBLIGATIONS ARE TO BE MESURED BY ITS BEST-EFFORTS RENDITION OF SERVICES. 10. Indemnification: The Client shall indemnify and hold CallNet and its officer, employees, and stockholders harmless from and pay, perform defend and discharge them against any and all claims or liabilities including attorney fees and costs in connection with the services provided to the Client pursuant to this agreement. 11. Force Majeure: If CallNet s performance of its obligations under this Agreement is prevented in whole or in party by causes beyond its reasonable control, CallNet will be excused from such prevention. Examples of causes beyond a party s reasonable control include, without limitation, acts of God, fire, explosion, terrorist, vandalism, cable cut, storm or other similar occurrence, any national emergency, insurrection, riot, war, strike, lock-out, work stoppage or other labor difficulty, or any supplier failure, shortage, breach or delay, or the institution of any law, order, regulation, direction, action or request of any governmental authority (whether at the federal, state or local level), including, without limitation, any civil or military authority. 12. Venue and Governing Law: UNLESS THE PARTIES OF THIS AGREEMENT AGREE OTHERWISE, THE EXCLUSIVE VENUE FOR ANY LITIGATION THAT MAY ARISE OUT OF THIS AGREEMENT WILL BE IN THE COURTS OF WILMINGTON, NC. THIS AGREEMENT WILL BE GOVERNED BY THE LAWS OF NORTH CAROLINA EFFECT TO PRINCIPLES OF CONFLICTS OF LAWS. 13. Entire Agreement: This Agreement contains the entire understanding of the parties with respect to the matters it purports to cover, and no party will be liable or bound to any party in any manner by any warranties, representations or

10 covenants other than those set forth in this Agreement. 14. Successors and Assigns: This agreement may not be assigned by the Client without the written consent of CallNet. 15. Severability: If any provision of this Agreement will be held invalid, illegal, or unenforceable, in whole or in part, neither the validity of the remaining part of such provision nor the validity of any other provision of the Agreement will be affected.
