1 Terms of Reference Consultants/Consultancy Team for Revising the Business Plan, E-bike project Project Title: Time: Promotion of Electric Two-Wheelers and Solar Energy in Vietnamese Cities: An Explorative Project Initiated and Tested in Hanoi Duration of the assignment: 22 January 20 February 2014; Number of working-days: 7 days Background Caritas has started up a new project in April 2013 titled Promotion of Electric Two-Wheelers and Solar Energy in Vietnamese Cities: an Explorative Project Initiated and Tested in Hanoi. Overall goal of the project is to contribute to sustainable development in Vietnam by providing CO2-reducing technology solutions, while at the same time supporting viable pro-poor business options for the poor and disabled. Specifically, the project aims to: 1. Increase knowledge and awareness among relevant actors by communicating innovative and feasible solution of renewable energy (through the ebike and solar energy promotion); and to 2. Put forward an innovative and viable business approach/ model that enables a combination of ebike technology promotion and pro-poor business. The project is being implemented between April 2013 and September The Project s implementation is planned in four steps: (1) Baseline Survey; (2) Feasibility Study; (3) Pilot Project Implementation; and (4) Documentation, Learning and Sharing. By the end of November, the 1 st and 2 nd steps were completed. The 3 rd step has been started since November 2013 until September 2014 while step four will be implemented from August to September The Baseline Survey was carried out from April to May 2013 and provided relevant data on the existing policy framework surrounding climate change mitigation in Vietnam, on the situation of university students as the prospective clients and on the situation of poor and disabled as the prospective service providers. The Feasibility Study was conducted from July to August It studied the feasibility of an integrated social business model and explored the acceptance, usage, technology and costs of e-bikes resulting in the design of a business model integrating poor and disabled people with the rental and repair/maintenance of e-bikes. The Feasibility Study also explored the potential of CO2-reductions through the use of e-bikes and investigated the potential of solar energy and Solar Recharge Stations (SRSs) in Hanoi, Vietnam. The Pilot Project Implementation will be carried out by a qualified and competitively selected business partner which Caritas requested by posting a Call for the Business Partner from 10 to 30 September BK CONTECH Co., Ltd, (BKCONTECH), a registered business and the consultancy arm of the Hanoi University of Science and Technology, will be the Project Holder and the Implementing Business Partner of the Project. BKCONTECH has developed a BUSINESS MODEL in which a Draft BUSINESS PLAN for the social enterprise has been developed based on the results of the feasibility study. BKCONTECH will promote E-bike services for green life by piloting a model of social enterprise that offers four services at four Solar Recharge Stations (SRSs): e-bike rentals, e-bike recharge service, e-bike maintenance and repair, and superfast battery replacement service. The primary target market for these services will be the students of the schools and universities where the SRSs will be located. The secondary target market for these services will be Vietnamese and foreign tourists in Hanoi. BKCONTECH has a 1

2 thorough understanding of the needs of its primary target market and has adapted the model of social enterprise accordingly. However, as the Business Plan (BP) has been developed in a short time, it needs improvement that makes the BP more realistic and viable. As such, Caritas will recruit a consultant to support BKCONTECH to improve and finalize the E-bike Business Plan. Assignment Objective To support BKCONTECH and Caritas Project Teams in finalizing the existing E-bike Business Plan. Outputs/Deliverables A completed 5 Years Business Plan of the E-bike services for green life that based on the exciting Business Plan of the BKCONTECH and is in line with the E-bike Project proposal. The Business Plan will be written in English and contain at least the elements listed in the Annex. Deadline: - A report with the comments on the gaps of the BP, capacity of BKCONTECH, and needs for improvement: 27 January For the First draft of the Revised BP: 10 February For the Final draft of the Revised BP: 20 February 2014 Tasks Under the direct supervision and guidance of Caritas Project Manager for E-bike Project, the Consultant will work closely with the BKCONTECH Project Team in order to finalize the existing 5-year Business Plan. On this assignment, the consultant will undertake the following tasks: 1. Read the related project documents, including the E-bike Project Proposal, Baseline Survey Report, Feasibility Report, and other documents as needed; 2. Review and assess the existing BKCONTECH Business Plan, as well as review and assess the current BKCONTECH capacities with a focus on the human resource and financial capacity 3. Finalize the existing BKCONTECH Business Plan to ensure it s reality and viability 4. Provide the recommendation for Caritas and BKCONTECH for the project implementation. Methodologies Suggested methodologies include, but are not limited to, desk study, group discussions, interviews, etc. Consultants are requested to send his/her technical proposal including methodologies, techniques and tools. Contract Duration The contract duration will be in two weeks, the tentative starting date is 22 Jan 2014, and the finished date 28 Feb The maximum number of working days is 7. To revise/complete the existing BP, in collaboration with the BKCONTECH team and the Caritas PM, include meetings with BKCONTECH and Caritas, and the comments from the Caritas Head Quarter, as needed 10 Feb Feb 2014 No of working days: 3 Send Caritas the draft BP on 10 Feb Complete the BP Deadline: 20 Feb 2014; Number of working days: 1.5 The final BP is approved by Caritas HQ Total number of working days 7 days Required qualifications and experience for assignment - Advance University degree in Business Administration, Marketing, organizational development and management or relevant fields; - Minimum 10 years of proven knowledge and professional experience in business planning and management, organizational management; - Strong experiences in social business modelling and management; - Proven track record in providing premium consulting & capacity development services; - Excellent analytical and report-writing skills. Management The Caritas Project Manager for E-bike project will be responsible for the consultant management. Payment and Reimbursement The interest consultant is requested to send his budget proposal. Consultant fee will be paid in a full payment for her/his consultant fees when the assignment is completed and approved by Caritas Management Team. The total budget for the assignment will not exceed 1,300 USD.
