1 RE-ADVERTISEMENT The management of Energy Utility Corporation Limited (EUCL) informs the public that it is recruiting competent, qualified and experienced staff to fill the following positions: S/N POSITION NUMBER KEY ROLES & REQUIREMENTS REQUIRED 1 Chief Financial Officer 01 Key Responsibilities: Strategy Formulation and Leadership 1. Lead the delivery of EUCL s corporate financial strategy, within the overall corporate strategy, to ensure sustained growth of asset base, adequate funding for capital investments and operations, and guiding the investment strategy to ensure optimized shareholder returns within EUCL s designated mandates and contractual framework. 2. Be the lead financial advisor to the Senior Management Team, Directors and the entire Company, to ensure prudent management and utilization of the EUCL s resources Financial and Operations Management 3. Prepare and maintain timely and accurate financial statements and reports that are appropriate for the users and in accordance with generally accepted accounting principles (GAAP) 4. Oversee the general accounting function which includes intercompany transactions, cash management/reconciliation for multiple accounts, financial reporting and balance sheet management Risk Management and Compliance 5. Institute adequate organisational arrangements to Manage the risk and exposure to the Company 6. Ensure the company complies with all applicable legal and regulatory framework, financing covenants and the international financial reporting framework (IFRS) Investment 7. Develop a comprehensive Investment and Treasury Management Policy for the EUCL and ensure its effective performance. 8. Monitor the performance of investments and prepare periodic investment performance reports. Leadership & Capacity Building

2 9. Manage the finance team in order to meet both business objectives and individual professional development that leads to enhanced competencies and team performance. 10. Lead the Finance team; supervise and manage their performance and development in line with the organization s goals, objectives, policies and regulations. Education and Experience requirements Master s degree in finance, accounting or relevant field A relevant professional qualification, such as ACCA, CPA or CFA; and; At least Four (4) years of experience in a finance or accounting, 2 of which should be at senior management level in a utility or large electric energy operation company with vast financial and investment operations OR Bachelor s degree (A0) in a relevant field and. A relevant professional qualification, such as ACCA, CPA or CFA; At least 6 years working experience in a related field, 4 of which should be at a Senior Management level in a utility or large electric energy operation or company with vast financial and investment operations 2 Head Administration and Logistics 01 Key responsibilities: 1. Develop and oversee the implementation of the asset management system, including: the establishment of the Asset Management Unit, departmental policies and procedures 2. Manage planning and implementation of logistics, including coordination with Project Managers and Project Developers 3. Supervise the building s operations and maintenance, real estate, project planning and management, communication, finance, facility function, technology integration, and environmental Education and Experience Bachelor s Degree (A0) in Business Administration or procurement or a full professional qualification in Procurement and; At least 8 years of experience in an Administration or procurement related role, 3 of which should be at manager level

4 TERMS OF REFERENCE FOR CHIEF FINANCIAL OFFICER Strategy Formulation and Leadership 11. Lead the delivery of EUCL s corporate financial strategy, within the overall corporate strategy, to ensure sustained growth of asset base, adequate funding for capital investments and operations, and guiding the investment strategy to ensure optimized shareholder returns within EUCL s designated mandates and contractual framework. 12. Be the lead financial advisor to the Senior Management Team, Directors and the entire Company, to ensure prudent management and utilization of the EUCL s resources 13. Custodian of the Business Financial Model and ensure adequate recovery of EUCL s costs and revenue realization through the tariff mechanism 14. Manage the financial interface with key stakeholders including the Senior Management, Board, Tax Authority, Financiers, Banks, sector players, shareholder etc. To ensure well defined requirements are met and controlled 15. Participate in strategic, financial and Investment planning as an integral member of the Leadership Team. 16. Develop long-term budgetary planning and cost management in alignment with REG s strategic plan and business objectives. 17. Lead the continual improvement of accounting and administrative operational systems, processes and policies. Financial and Operations Management 18. Prepare and maintain timely and accurate financial statements and reports that are appropriate for the users and in accordance with generally accepted accounting principles (GAAP) 19. Oversee the general accounting function which includes inter-company transactions, cash management/reconciliation for multiple accounts, financial reporting and balance sheet management 20. Monitor the maintenance of EUCL s financial records in compliance with regulatory requirements, REG accounting policies and GAAP 21. Ensure that there is adequate technology in place to meet the organization's financial data processing, control, and reporting requirements. 22. Review accounting activities to ensure that a standard level of internal controls and audit procedures and techniques are consistently applied. 23. Improve work policies, procedures, and work-flow processes to effect the necessary controls on the organisation s assets 24. Provide oversight and review of organization payroll, monthly/quarterly account reconciliations to ensure accuracy and other statutory filings to ensure compliance 25. Ensure a timely and effective preparation of Management and Financial Reports to meet both internal and external reporting requirements of the Company.

5 26. Coordinate the annual financial audits with external auditors and ensure smooth liaison with the internal auditors. 27. Lead in the preparation of and monitoring of the organisation s budget in coordination with the Managing Director. Provide timely management reports to the Managing Director and department heads to allow for management against budget targets 28. Monitor prospective financial and cost information, calculate average tariff adjustment proposals to ensure compliance with legal regulations and guidelines set by the Board. Risk Management and Compliance 29. Institute adequate organisational arrangements to Manage the risk and exposure to the Company 30. Ensure the company complies with all applicable legal and regulatory framework, financing covenants and the international financial reporting framework (IFRS) 31. Establish sound system of internal controls to ensure adequacy of policies, systems and processes to safeguard company assets and enhance operational efficiency. 32. Monitor risk management policies and procedures to ensure that EUCL financial risks are minimized Investment 33. Develop a comprehensive Investment and Treasury Management Policy for the EUCL and ensure its effective performance. 34. Monitor the performance of investments and prepare periodic investment performance reports. 35. Ensure effective treasury management that leads to an optimised liquidity position for the company to meet short and long-term obligations 36. Work in liaison with strategic planning and pricing unit to ensure effective cost of service recovery proposals to the Regulator for tariff determination 37. Liaise with REG Holding and external stakeholders (Ministry of Infrastructure and or Finance) on service subsidy requirements Leadership & Capacity Building 38. Manage the finance team in order to meet both business objectives and individual professional development that leads to enhanced competencies and team performance. 39. Lead the Finance team; supervise and manage their performance and development in line with the organization s goals, objectives, policies and regulations. 40. 7 TERMS OF REFERENCE FOR HEAD ADMINISTRATION AND LOGISTICS Job Summary: This role will be responsible for leading the Administration unit and managing the warehouses, determining the feasibility of asset acquisition and participate in the development of logistics policies and procedures in line with the procurement policies and strategic objectives of the organization. Asset Management 1 Develop and oversee the implementation of the asset management system, including: the establishment of the Asset Management Unit, departmental policies and procedures 2 Develop and maintain the strategic and annual asset management plans aligned with the departmental strategy and budget, and in consultation with Public Works where applicable 3 Develop and maintain asset registers, including; acquisitions, maintenance management, transfers and valuations 4 Execute and monitor the implementation of the asset acquisition, maintenance and disposal plans 5 Prepare a business plan for the life cycle of assets, including; an analysis of pricing options utilising life cycle cost, and recommendations on the most appropriate asset solution 6 Prepare a monthly reconciliation with supporting schedules of the asset registers to the relevant accounting records, and resolve uncleared items Logistics Management 7 Manage planning and implementation of logistics, including coordination with Project Managers and Project Developers 8 Plan or implement material flow management systems to meet production requirements. 9 Participate in the development of logistics policies and procedures in line with the procurement policies and strategic objectives of the organization. 10 Coordinate the logistics of material and equipment for rig and production operations. 11 Maintain metrics, reports, process documentation, customer service logs, or training or safety records. 12 Resolve problems concerning transportation, logistics systems, imports or exports, or customer issues. 13 Monitor product import processes to ensure compliance with regulatory or legal requirements. 14 Direct distribution centre operation to ensure achievement of cost, productivity, accuracy, or timeliness objectives

8 15 Recommend purchase of new or improved technology, such as switches, conductors and protection services. 16 Prepare a detailed report on stock received and status of expected shipments. 17 Monitor compliance with quality assurance guidelines in the procurement process and monitor the implementation process. 18 Manage and process orders of equipment and materials like transformers, switches, conductors, insulators, poles and protection devices from the various units. 19 Overseeing the management of the warehouses and ensuring goods are stored safely. Administration Management 20 Supervise the building s operations and maintenance, real estate, project planning and management, communication, finance, facility function, technology integration, and environmental factors. 21 Handle the acquisition, distribution, and storage of equipment and supplies. 22 Oversee the preparation, analysis, negotiation, and review of contracts related to the purchase or sale of equipment, materials, supplies, products, or services. Leadership 23 Supervise and manage the performance and development of staff in the department in line with the Organisation s goals, objectives, policies and regulations. 24 Development of annual work plans and the annual budget plans and implementation. Education and Experience Bachelor s Degree (A0) in Business Administration or procurement or a full professional qualification in Procurement and; At least 8 years of experience in an Administration or procurement related role, 3 of which should be at manager level.
