1 2013 CRM Annual Subscription Info Sheet 1. INCENTIVE TIMING & OFFER The 2013 CRM Annual Subscription Program will be offered continuously throughout the year. During the time a promotion is running, Shell will reimburse Shellbranded Wholesalers or Direct-delivered Retailers 100% of the promotional fueling discounts generated from participating locations in their network. Locations must be enrolled in the 2013 CRM Annual Subscription Program and meet eligibility and incentive requirements to qualify and to receive incentives. Promotion is available in all States except NJ due to state legislation. (potential opportunity for a NJ only initiative) MSI, Radiant, and TDL locations are not eligible to participate. Promotions are by quarter and locations do have the option to opt out by quarter should they choose to do so Note: Shell reserves the right to cancel or modify the incentive promotion at any time prior to or during the promotion period. 2. CONSUMER OFFER: A Promotional FAQ will be sent out prior to the start of each promotion, providing detailed information about the upcoming initiative. This will include the offer the consumer will see.

2 The following are the Quarterly Promotional Offers: 1. Shell Saver Card Reactivation targeted customers will receive various cpg discounts determined by their purchase behavior. These cpg discounts will be delivered via Shell Rewards instant rollback at the dispenser. Direct mail and/or support. Retention targeted customers will receive a 10cpg statement credit during a specific promotional period. Direct mail and/or support. Acquisition introductory offer that gives a 10cpg statement credit for a specified promotional period. Direct mail and/or support. 2. MasterCard Targeted promotion on inactives and transients that get 5cpg off any grade of gasoline NEXT TIME they use their card during a specified promotional period. 3. FRN Cross Sell In Promotion Existing FRN customers will receive a basket discount (points added to account to receive additional cpg off) The additional cpg is funded by Shell. support. Non Existing FRN customers will receive the CRM promotion offer via Shell Rewards instant rollback at the dispenser. These will be funded by Shell and reimbursed through the CC Loyalty Mailbox Report on a daily basis. support.

3 ANY FRN Gallons that are pumped through the nozzle will be subject to the 3.5cpg redemption fee. This will continue as is today and be the site s responsibility and will follow the same settlement process through Excentus. ** Non participating FRN Locations will be running a Branded Card Promotion (TBD) 4. Shell Nitrogen Enriched Gasolines Targeting Brand Switchers and Transients for SNEG NEXT TIME discounts. Targeting Brand Switchers and Transients and Product V Power Core, Switcher, Transient and up to 120 days inactives for SVP discounts. Shell will fund any discounts, incentives, and supporting customer communications initiated by Shell as part of this program. Branded card customers will still receive any eligible off statement credits along with their eligible Shell Rewards discounts at the dispenser. Kroger, Stop & Shop and Giant customers that are targeted and accept the offer will receive both the Shell Rewards discount and their Grocer discount (if applicable). Shell Rewards and Grocer Rewards discounts cannot be combined with any FRN discounts. Any FRN gallons that are pumped through the nozzle are subject to the 3.5cpg redemption fee. This will continue as is today. The site will follow the same settlement process through Excentus.

4 There are transactional limits associated with the offers. If a customer accepts the offer, the transaction is subject to any fraud prevention limits that may be applicable on the amount of purchase. 3. ELIGIBILITY: Promotion is available in all States except NJ due to state legislation. MSI, Radiant, and TDL locations are not eligible to participate. Promotions are by quarter and locations do have the option to opt out by quarter should they choose to do so 4. INCENTIVE & SITE-LEVEL REQUIREMENTS: 2013 CRM Annual Subscription discount incentives will be paid through the auto reimbursement process that is outlined in this document. Participating locations must meet the four requirements outlined in this section to receive incentives: 1. Successfully download and run Shell Rewards by the active date of each promotion month. 2. Run Shell Rewards software on a supported POS operating platform: Gilbarco Passport: versions F and higher Shell and Grocer Rewards VeriFone SHOPAK: versions Shell Rewards Only; inside transactions versions and higher Shell Rewards and Grocer Rewards VeriFone SHOPAK: versions are not eligible VeriFone Topaz are not eligible Older Gilbarco G Sites are not PCI compliant nor eligible

Run Shell Rewards software alongside FRN on a supported POS operating platform: Gilbarco Passport: version C VeriFone SHOPAK : version Correctly configure Shell Fuel Product Codes on their POS system. Please refer to Section 6 below for more information. Shell will not be responsible for reimbursing 2013 CRM Annual Subscription discounts that are made on the wrong fuel type. If you have further questions about any of these requirements during enrollment or the promotional period, please contact the Shell Loyalty Programs Helpdesk at shellrewards@resultsdm.com. 5. HOW THE INCENTIVE REIMBURSEMENT PROCESS WORKS: Shell Rewards will automatically track the number of daily promotional 2013 CRM Annual Subscription discounts that are accepted by customers for each participating location. Reimbursements will be administered daily throughout each promotional month during the incentive period. The total amount of daily promotional 2013 CRM Annual Subscription discounts accepted at each participating location will be automatically reimbursed as one single daily credit on the Wholesaler s or Directdelivered Retailer s credit card settlement statement for that day. The daily amount reimbursed can be seen on the Loyalty Mailbox report located on Shell Source along with the other mailbox reporting for the account. The credit will be broken out by the site level detail.

6 Example: You can validate your reimbursements by matching transactions on your Network Journal Report to your Loyalty Mailbox Report. To enable your Network Journal Report, please contact your POS supplier help desk. Please contact the Settlement help desk should you have questions on Settlement at HI SHELL. Options 4,7,1. 6. SHELL PRODUCT CODE CONFIGURATION: To ensure that the proper rollbacks and 2013 CRM Annual Subscription promotional fuel discounts are given to the customer for purchasing the correct grade of fuel, please ensure the Shell Product codes are configured correctly. The chart below shows the correct product codes. Each location should go through their normal channel for POS support such as POS Supplier help desk or it s Authorized Service Contractor. 7 ** Sites running the Q patch on Passports will use the above product codes for Diesel Regular and Diesel Premium.
