I would NOT be subcontracting this work. Thanks. No, This is a Small Business Set-Aside contract for NJ Small businesses which are properly registered with the New Jersey Commerce, Economic Growth and Tourism Commission. 3 What month do you expect to want the first printing done? Notice of Intent to Subcontract Form I'm interested in bidding as a category I small business. I would like to use Moore Wallace as the manufacturer. Do they qualify to manufacture this product? Orders can be placed anytime between the first day of the contract issuance and the expiration of the 24 month term contract and any extension periods. After awards are made contract vendors may contact the contract manager to inquire about anticipated orders and dates. Subcontracting out of State is not permitted. The source supplier must be a service provider located in the State of New Jersey. If Moore Wallace has the print production facility for manufacturing this manual in New Jersey they would qualify. 2 of 2 pages

The changes are a direct result of discussions at the mandatory pre-bid conference held on September 12, 2006 at the Purchase Bureau in Trenton. The new Price Schedules will be provided as a separate attachment to the RFP. These new schedules must be filled out, printed out and submitted with the bid proposal. Bidder s should also supply these schedules electronically on a CD. The schedules were created in Microsoft Excel. There are two worksheets: Category A and Category B. 7 DIGITAL COLOR COPIERS AND COLOR COPIER/PRINTERS - COST PER COPY Bid Number 07-X (T437C) s to s Note: Some of the questions have been paraphrased in the interest of readability and clarity. Each question is referenced by the appropriate RFP page number(s) and section where applicable On the bid proposal price sheet. I am not clear on line 1&2 are for walk color Cat A. Where are the other box for the different speed bands on that sheet. Line 3 & 4 are copy/print for Cat B. Does B need to be on a different sheet, which will then reflect Cat B. only and the different speed bands? The bidder does not have to fill out any Price Sheet. They are for Agency Use only. Bidder must submit Price Schedules for each piece of equipment Background: Can the state provide a copy of the number of in place units and respective monthly volumes for the previous contract T-437C? No. There was never a Data Base maintained for this contract Summary of Highlights To This Procurement This section states that this is a bid for color copier equipment. It also states that the bid is to allow for several levels of color quality such as creative color, business color, and production color. Since the intent of this bid is to provide state agencies with color copier equipment, we ask that the state have vendors price their maintenance minimum copies on a monthly minimum of color copies only. Black and white copies would be billed on a CPC basis only. Vendors will be able to provide aggressive color copy pricing when guaranteed a! pure minimum of color Submit base price for color copies and number of copies included. Submit Cost Per Copy Prices for black and white copies. Bidders may include all maintenance costs in the CPC and provide a cost per copy for EACH copy without including copies in the base charge. (Black & white copies 2 of 10 pages

8 copies, not a mix. The State of New Jersey already has an aggressively priced monochrome copier contract, so the color contract should be for customers who have a need to run color copies on a regular basis, with occasional black and white usage. included could be ZERO on the Price Schedule.) This section also states that the awards will be made by low bid by brand/make, model and configuration on a cost per copy. Section states that two awards per Speed Band will be made by lowest CPC. Will this be a multiple award bid, or limited to only a primary source and secondary source vendor? There are no Primary and Secondary awards. Competing brands and models will be awarded to the lowest bidder for that model. Two machines only per brand This sections says that the cost per copy should include all supplies except the drum, staples or paper, yet section 3.27 (supplies) states that the contractor shall provide al necessary supplies (except paper and staples). It goes on to say that replacement drums are excluded as a supply item and will be billed to the using agency. Please explain what we are to include in our CPC price Speed bands: The band s as listed on the bid are not reflective of the industry and what is currently available in the configurations requested on the bid. Under the current contract, vendors who originally won in the 8 ppm category have had to substitute with equipment with machine speeds as high as 35 ppm in order to meet specifications. Manufacturers are providing higher ppm color copiers because of the reduced cost to operate and the needs of the customers. We suggest that the State consider widening the scope Drums are to be INCLUDED as a supply item and therefore calculated into the CPC. The new speed bands are included in Addendum No of 10 pages

Band 1: < 15 ppm Band 2: ppm Band 3: 21 to 24 ppm Band 4: 25 to 29 ppm Band 5: 30 to 34 ppm Band 6: 35 to 44 ppm Band 7: 45 to 49 ppm Band 8: Exclusive Price Schedules: There are accessories to these devices that are software related - i.e. graphic arts packages. Should we bid them in the hardware section provided, and how should we handle the specialized training that is required in order for the customer to effectively use them? In the past, the State of New Jersey did not allow vendors to offer any accessories other than those required to meet the minimum specifications. Are we to understand that vendors are allowed to offer pricing for additional accessories on this bid? Accessories included in the base price - Category A: In the copier only category (A), how is the state going to handle situations where half way through the bid, (sic.) (installation?) the user wants to add accessories or connect the device and print? 10 Since placements are through 2010, agencies will want to add accessories as their needs change. How does the State propose handling the pricing for these accessories when they are added after the base machine? We suggest that the state allow only annual accessory additions, i.e. after 12 months, or 24 months etc, with the vendor being guaranteed a minimum Software packages that are proprietary to the equipment may be listed as an available accessory. Vendors are allowed to submit pricing for optional additional accessories by listing on the Price Schedules. Those optional accessories should be submitted with the original bid. The only way accessories can be added is at the time of replacement of a discontinued model with the newer model. 4 of 10 pages

The vendor could then provide accessory pricing on the bid that will be conterminous with the machine placement Associates charges #4: Some poli-subs and cooperative buyers may interpret this clause as requiring vendors to bring the Internet or a network infrastructure into their operation. Please clarify in writing that vendors are only obligated to connect the copier/printer to the network, and that it is the responsibility of the agency to provide the proper network drops and cabling. The agency must provide the vendor with information regarding their network prior to installation. Vendors are only obligated to connect the Copier/Printer to the network. It is the responsibility of the Using Agency to provide the proper network drops and cabling Cost per copy plan requirements: This section states that additional optional accessories are to be quoted on a CPC basis. Is the vendor guaranteed a minimum monthly billing on these accessories? Some of the accessories and software that we offer on color equipment can range from $2,000 to over $12,000. We must be guaranteed a monthly minimum and a minimum placement period in order to place these accessories in a state agency. In addition, as stated before, we must be allowed to adjust the pricing for these accessories to coincide with the amount of time that they will be installed. An accessory that will be installed for a 12-month period would have a higher monthly price and CPC price than an accessory that will be installed for 24 months. Yes. In addition to Cost Per Copy pricing with the guaranteed minimum, vendors can submit monthly or annual flat rate prices. See new revised Price Sheets in Adobe Format. 5 of 10 pages

11 Please explain what is meant in the paragraph- If not included in the original price, provide additional pricing on the Price Schedule for additional optional accessories. Submit prices on a Cost Per Copy basis. The Schedule is designed to provide Cost Per Copy prices for each additional accessory up to the allowable base amount. It also allows the bidder to submit Cost Per Copy prices for possible reduced price for copies made over the base amount. Ar! e we not guaranteed monthly minimums on optional accessories?! If so, how would a vendor track the use of the accessory? Cost per copy plan requirements: Important - failure to provide all accessories information will be cause for rejection of each lacking price schedule. Please explain what this means? Does this include software options? Accessories and software available on MFP's change constantly. A vendor must have the opportunity to update and offer new accessories. Pre Bid Additional accessories can only be added when replacing obsolete equipment Change in circumstances: The change in circumstances clause applied to state agencies only last time, now it appears as though the State is extending this to the cooperative purchasing agencies. This is too risky for vendors, especially when combined with Item 3.30 Equipment Transfer & Relocation. Cooperatives can buy a new unit, move the old one to a low volume location (the closet) and wait three months to cancel. We suggest the state only allow this clause to be utilized where they can control it - the state agencies themselves. The State will become involved only if there is disagreement between the Vendor and the End User. 6 of 10 pages

12 Current Product Equipment - Will the State allow the vendor to remove a discontinued model from contract without offering a substitution (i.e. there are circumstances where there is no replacement model)? Would the state then give that category to the Secondary vendor if applicable? Method of Operation and Equipment Acceptance by the State- We would like to request that the responsibility of completing State Vouchers be put on the individual State Agencies as other states that require vouchers do. This is a manual process for the vendor and having to do all of them for the entire state is a very cumbersome process that requires a dedicated person Replacement of Unsatisfactory Equipment - We would like to request that before the Printing Unit give its final decision on whether or not they will approve the replacement of a copier that they ask the vendor for input and history of the account. Yes. No. This contract has no authority to change billing procedures under this or any other contract. Mandatory Pre bid As in the past, the Printing Unit will ask for vendor input and provide impartial and fair opinion Change in Circumstance - We would like to request that before the Printing Unit give its final decision on whether or not they will approve the cancellation that they ask the vendor for input and history of the account Change in Circumstance - Can end users cancel for convenience? Can we put a capped % on the upgrade/downgrade per agency, such as 10% of the entire fleet? 13 for convenience. Page 4 of 10, Standard Terms and Conditions-Subcontracting or Assignment-Will the State provide written consent of assignment? Can the vendor submit an assignment document with their response for your review and approval or is the written consent of the assignment done after the award is made? We have had some difficult in obtaining original Purchase Order's from the State Agencies and political subdivisions. This is a problem in that technically a faxed or scanned copy without an original signature is not a legal and binding document unless the contract says that they are. We request that the following language be included in the bid and ultimate award document: conflict with the Standard Terms & Conditions. Mandatory Pre-bid No language can be added. State Agencies will stand behind a faxed copy of an original which ordinarily is sent later through the mail. Request is denied. -Photocopies of any Purchase Order issued by the State of New Jersey and its authorized political subdivisions, and delivered to the Contractor as evidence of an awarded Contract under the RFP, shall have same legal force and effect in the possession of the Contractor or the Contractor's authorized assignee, as the sole original signed Purchase Order, which! original shall be kept in the possession of the State in accordance with the State's standard policies and procedures The State will find more cost effective pricing solutions if the requirement for 11"x17" printing/copying was removed on the lower speed bands and replaced with letter and legal requirement. No. Section 3.9 If you win speed band 1 with a manufacturer model and in the future the manufacturer offers a product that fits the requirements for a higher speed band can the winner request that model be added to their contract in the future? Section 3.34 We are an IT reseller that offers multi-function printers that copy but we are not a certified photocopier dealer. We are interested in bidding for Category B - copiers that print - and we are fully certified to sell and service those products. Are we eligible to bid this category? Mandatory Pre-Bid No. No Clarification request: RFP 3.24 (p21) Monthly cost will include mach and usage maint., serv., parts and all supplies including staples etc except paper (p22) Contractor shall provide all necessaries except staples and paper. Which statement applies? In similar RFP's all supplies except staples and paper were required. It is extremely difficult to determine on a CPC basis, the cost of staples since staple use varies by job requirement.
