IBM Business Partner Solution Provider may earn an additional discount of 10 % off list price for IBM Power System hardware and IBM Power System software in Value Seller category G at order time, if this specific order contains a product listed under eligible products and replaces an installed product listed in Appendix B. 10% discount is the maximum discount per newly ordered machine no matter how many machines are replaced. Prerequisites: The Business Partner must have an approved Deal Registration for the specific customer, visible in PSAT Eligible products have to be purchased under Value Seller terms : Purchase an eligible new IBM Power Systems Server to replace an eligible installed IBM Power Systems. In case of replacing an eligible installed IBM system, this must have been installed under the same IBM customer number as the replacement system is ordered for (unless as a result of a merger or acquisition, the trading name of the customer and customer number have Page 1 of 8

2 changed, in which case customers should refer to the old and new trading names in their Endcustomer Self-Certification see Appendix) For orders involving more than 5 (five) systems, IBM Power Systems Business Partners must notify IBM and obtain prior approval from Jonas Vallin, IBM Power Channel Manager (VALLIN@se.ibm.com). Eligible Products This table below shows the list of eligible IBM Power Systems servers when purchased as a replacement for a model listed in Appendix B: Installed base IBM Power Systems. Marketing information The purpose of this program is to help migrate old IBM POWER Systems to IBM POWER 8. Eligible products financed by IGF and reported as sold out via IBM sales out reporting qualify for this promotional incentive if the sales-out date is within the start and end date of this promotion. IBM reserves the right to modify or withdraw this program at any time. IBM makes no commitment that the above program will be available in any future program. This program is void wherever prohibited or restricted by Law. For confirmation that a new IBM Power Systems Server has been purchased according to the terms and conditions of this promotion, a copy of the Appendix A: IBM 2016 Power Move to 8 IBM Solution Provider Self-Certification Form must be completed and signed bythe senior level executive such as the Chief Executive Officer of the Business Partner Solution Provider, who sold the machine to the according End customer. IBM reserves the right to request additional information concerning the relevant transactions at any time and to reject requests which the eligibility criteria is not met. For all countries except Italy: Business Partners must agree with Enduser Customer and confirm at the time of the order that the replaced system will be removed and disposed of within 120 days from the acquisition of the new IBM Power system (based on the invoice date by IBM Business Partner Solution Provider to the Enduser customer). For customers replacing an eligible model owned by leasing companies (IBM or other), Business Partners must agree with End User Customer and confirm at the time of the order that the replaced system will be returned to IBM (or other leasing company) within 120 days from the acquisition of the new Power system (based on the invoice date by the IBM Business Partner Solution Provider to the Enduser customer). 5 Business Partners must agree with End User Customer and confirm at the time of the order that the replaced system will be take out of production and hand over the replaced machine in working condition to Sprint Computer Service (*) within 120 days from the shipping date of the new Power Systems unit. The Solution Provider must contact Sprint Computer Service ( tradeinibm@sprintcomputer.it) to request/organize the return/disposal of the replaced IBM machine. For customers replacing an eligible model owned by leasing companies (IBM or other), Business Partners must agree with End User Customer and confirm at the time of the order that the replaced system will be returned to IBM ( or other leasing company) within 120 days from the shipping date of the new Power Systems unit. (*) Sprint Computer Service is an official electronic waste disposal company selected by IBM Italy to handle picking up, transporting and scrapping the replaced machines. For all countries including Italy: The Distributor or IBM Solution Provider who receives an invoice from IBM needs to keep all proof and handover documentation.and supply this documentation to the IBM Distributor who requests and receives the promotional incentiveas evidence for potential IBM compliance requests. Payment Terms Distributors : To fulfill an order of eligible products from stock does not require an epricer quote. For eligible products sold from Distributors inventory the discount will be applied to the IBM list price as in effect at the time of the sales-out date. The Distributor must submit a retrospective claim to earn the additional promotional discount. The claim must contain Serial number of replaced machine, serial number of sold machine, completed Appendix A and reference PLetNo. ZUEP6227.
