2 TERMS AND DIFINITIONS Vendor a manufacturer of bpm online base product line (BP). Partner organization a company that has an up-to-date Vendor s partner certificate. The Partner term (capitalized) hereinafter indicates a Partner organization who was issued this certificate. Dealer a Partner organization that operates according to the Partner program and has the status of BPMonline Consulting & Implementation Partner or Enterprise Business Partner. Developer a user or organization who registers on the Marketplace with the purpose of developing new bpm online solutions and applications. Vertical solution (VS) a Partner s configuration, which is developed based on bpm online products, covers a need of a certain industry, and has its own business value. Partner application (PA) a solution that expands the functions of the Vendor s base products or vertical solutions and has additional business value. Bpm online marketplace a showcase with product pages of partner solutions. The marketplace is a point of contact between customers and developers, where partner solutions are demonstrated, selected and purchased. Developer workspace a secure Marketplace section that provides access to the bpm online platform development tools and lets the developers manage (create, publish and update) their applications. Partner solution manager a Vendor s employee, whose primary function is organization, support and control over the solution release criteria, developing relations with current and new partners regarding support of partner solution life cycle. Partner solution life cycle a set of phases related to producing, promoting, using, supporting and upgrading partner solutions. Life cycle phase a set of joint activities of the Partner and BPMonline s employees regarding a partner solution release. Initial event an event that changes the life cycle phase of a partner solution. Base BPMonline product a product or industry-specific solution designed by BPMonline. End User Price the price at which the end user acquires a solution or application. 2

BPM ONLINE BRAND TERMS OF USE If a developer uses the bpm'online brand, this must be clearly indicated in all of the developer s online resources, corporate websites, marketing materials, commercial documents, including signature templates, as well as business cards of the partner s employees. Partners are not authorized to use bpm'online and BPMonline brands without indicating the name of the partner organization and the current partnership status. Partners shall not use websites and addresses with a domain name which can be confused with the domain name of the Vendor s resources. During negotiations with customers, the Developer s employees shall not be presented as Vendor s employees, or use the Vendor s phone numbers. The Vendor in writing shall approve any form of using the bpm online brand. Partner solution/application naming scheme Vertical solution [Your brand] or [Solution name] powered by bpm online Example: Lexia Classic powered by bpm online Application [Your brand] or [Solution name] connector for bpm online Example: Qlikview connector for bpm online Information about the Vendor and Vendor s products as well as a link to Vendor s website can be found on the Developer s corporate website or solution product website. 2. PARTNER SOLUTION RELEASING AND PRICING TERMS To develop solutions, a partner can select any bpm online product or product bundle as a base product. The final cost of a vertical solution includes the base bpm online price and the price of the partner solution. When allocating sales revenues, BPMonline shall receive no less than $100 a year per 1 user. All solutions placed on the marketplace are licensed by generating and issuing licenses to use the application. Licensing is done using standard instruments provided by the Vendor. The Partner shall provide 2nd-line and higher support for their solution. The support of a solution is divided into the Developer and BPMonline responsibility zones (more information is available in section 6 of the Partner Solution Release Rules and Regulations). Along with the solution licenses, a technical support package shall be sold that corresponds to existing bpm online support packages. TERMS OF PARTNER SOLUTION RENEWAL The terms of revenue distribution for sold vertical solutions renewals are as follows: Income BPMonline 90% BP + 40% PS 75% BP + 20% PS 75% BP + 20% PS Dealer - 15% BP + 20% PS - Developer 10% BP + 60% PS 10% BP + 60% PS 25% BP + 80% PS 4. TERMS OF TRANSITION TO PARTNER SOLUTION FROM BASE BPMONLINE PRODUCT The price of transitioning from a base BPMonline product to a vertical solution is 50% of the price of the solution that the customer transitions to. The terms of revenue distribution during the transition to a partner solution is proportional to terms of revenue distribution when selling partner solutions. 5. TERMS OF ISSUE AND PRICING OF PARTNER APPLICATIONS In the course of application development, a developer can create a function package, process package, mobile application or a product integration with a different Vendor. This application is always installed and sold with the Vendor s existing product or with a compatible partner solution from the marketplace. The Partner shall provide 2nd-line and higher support for their application. Applications placed on the marketplace are licensed by the standard Vendor tools. SUBSCRIPTION RENEWAL TERMS FOR PARTNER APPLICATIONS The terms of revenue distribution for sold partner application renewals are as follows: BPMonline 40% PA 20% PA 20% BP Dealer - 20% PA - Developer 60% PA 60% PA 80% PA 4

PARTNER SOLUTION DEPLOYMENT TERMS Partner solutions can be deployed in three ways: bpm online cloud (BPMonline cloud platform) on-site (on customer s servers) The pricing and terms of solution revenue distribution when the solution is placed on the developer s site/server remain unchanged in comparison with the placement on the BPMonline site. In addition, the terms of deployment of partner solutions and applications must always match those of the base BPMonline products. Example: If the base product, on which the solution was developed, has an on-site version, then the same version must be available for the solution. If no such version is available for base products, it shall not be available for partner solutions. When placing a solution or application in the BPMonline marketplace, a developer must indicate the available options for placement of such solutions or applications. Additionally, this combination must be tested prior to placement in the BPMonline marketplace, and the BPMonline team must be provided with the test results and access to the testing environment. 5
