1 Global Workplace Safety Performance Standard SAFETY CONTRACT MANAGEMENT Authorized By: Rick O Donell UAW Assistant Director & Ken Glass GM Assistant Director Revision 3.0 Effective Date: July 1 st 2017 Section 1 PS General Information 1.0 Purpose The purpose of this standard is to establish the minimum requirements for Contractor oversight based upon the principle that a Contractor must provide its Contractor Workers with safety and health protection at least equivalent to that provided by GM to employees of GM. GM has the right, but not the obligation to provide the oversight defined within this performance standard. Where GM performs this oversight it is not approving such items as Contractor's Safety Plan, Pre-Task Plan or any safety measures proposed or implemented by Contractor. GM s oversight is simply intended to audit that contractual obligations are being met. If GM exercises its right to oversight this activity will not impose upon GM any responsibility for Contractor's safety management means, methods or programs and does not relieve Contractor from its obligations under the Contract Documents or those which may otherwise be imposed by law. 2.0 Scope All Safety Contract Management performance standard requirements apply to the following categories of Contractors with agreements that include the GM Safety Terms and Conditions, also known as Key Contracts: Construction/Installation/Demolition Global Facilities Service Agreements Global Facilities Project Delivery Management Program (PDPM) Chemical and Resource Management Production Contractors When required within Contractual Agreements with GM, all other Contractors that are not described by the paragraph above, also known as Service Provider Contractors, must conduct a documented Safety FMEA to determine the level of risk for the work to be performed. The GM Contract/Project Manager must review the results. All Safety Contract Management performance standard requirements only apply to Service Provider Contractors with agreements that include the GM Safety Terms and Conditions. (Service Providers include ME (Manufacturing Engineering) /MO (Manufacturing Operations) /IT (Information Technology) /GF (Global Facilities). The contractor must at a minimum execute section (Worker Safety Engagement Process) of the Special Safety Conditions and section (Requirements for Service Providers) of this standard. As it stands, this performance standard excludes, but not limited to, Logistics, GBS and Marketing, safety requirements for these contracts will be specified individually during the contract award process.

2 Global Workplace Safety Performance Standard Page 2 of 13 Minimally, the following requirements ( principles or policies ) apply to all sites and are committed to by Contractors by means of the contractual agreements concluded through the GM Global Purchasing & Supply Chain (GPSC) function: I. Contractor is solely responsible for supervising and directing the activities of its Contractor Workers and Subcontractors so that they perform their work and otherwise conduct themselves in a manner consistent with all applicable legal requirements. II. III. GM has the right to stop Contractor activities that a GM representative(s) reasonably believes are being performed in a manner that is unsafe. GM's review or acceptance of Contractor's Pre-Task Plan or any safety measures proposed or implemented by Contractor, will not impose upon GM any responsibility for Contractor's safety management methods or programs and does not relieve Contractor from its obligations under the Contract Documents or which may otherwise be imposed by law. This Standard does not change, alter, modify, or nullify any existing Health and Safety requirements described in UAW-GM Collective Bargaining Agreement Language, UAW-GM Joint Health and Safety Department program requirements, Training and Implementation guidelines and any UAW-GM Health and Safety Department standard. All UAW-GM Health and Safety agreements remain in full force and adherence is required unless authorized by the National Joint Parties. 3.0 Definitions 360 Risk Assessment- The concept and awareness of a dynamic buffer zone between the Contractor Worker, various hazards and others to control the hazard(s). Capital Projects Any capital expenditure or allocated resources to construct or install new or modified buildings, structures, systems, subsystems, equipment, devices, or components. Contract/Project Manager A GM employee, Buyer (GM) Representative or contracted resource who receives direct supervision from GM, who is responsible for administering a contract under which the Contractor is performing work. They can be internal or external to the site. For projects managed at the site level, the Project Manager will likely be internal. For projects managed by global or regional teams, the Project Manager will likely be external to the site operations. For Construction/Installation/Demolition Contractors, this role will be performed by the Project Manager (internal or external). For Spot buy/blanket Providers, this role is typically performed by a Manufacturing or Non-Manufacturing Engineer. For Service Providers, this role is typically a Facility Management Representative (FMR) responsibility. Contractor Worker: Person who performs services for GM pursuant to an agreement between GM and the person's employer. A Contractor Worker is not a GM employee and remains subject to the control and employment terms of the Contractor Worker's own employer.

3 Global Workplace Safety Performance Standard Page 3 of 13 Contractor- A provider of works or services under a contract with GM to perform specific business activities on behalf of GM at GM sites, this definition includes Key Contracts and Service Providers. Contractor Leader Leader for a provider of services under a contract with GM to perform specific business activities on behalf of GM at GM sites. Field Safety Resource (FSR) A third-party contractor or assigned GM employee, with a degree or formal education in Occupational Safety or related field or experience in the field, who meets GM s Global Safety and Industrial Hygiene proficiency requirements for the position. This position represents GM on capital projects (construction, installation, and demolition), and supports GM Contract Managers in providing oversight to contractors. Global Purchasing & Supply Chain (GPSC) A General Motors procurement group that functions at a site level, a regional level, and a global corporate level, and directly purchases service from all companies whether spot-buy, blanket, frame Contractor or Service Provider. Global Purchasing Sourcing Process (Also known as Bid and Award Process.) A process used by Global Facilities and Global Purchasing & Supply Chain (GPSC) to select the most effective supplier based upon quality, service, price, technology, and safety GM Review and/or Acceptance GM or GM Representative's review and/or acceptance of any Contractor material such as Contractor's Safety Plan, the Contractor's Pre-Task Plans or any safety measure proposed or implemented by the Contractor is intended for the sole and exclusive benefit of GM. Contractor will not rely upon GM's review or acceptance as constituting validation of the means, methods, techniques, procedures, or equipment. The purpose of any review and/or acceptance is to affirm that the contractor is meeting its contractual obligations to perform certain activities and is not to make a determination of the effectiveness or accuracy of the material reviewed and/or accepted. GM Safety Terms and Conditions: This term applies to Article Nine of the GM General Construction Terms and to GM Safety Conditions for Service Provider Firms to Service Providers. Hazard - A source, situation or act with a potential for harm in terms of injury or illness, damage to property and/or processes. Job Line Up meeting- A meeting held by the Contractor with the Contractor Workers to receive their daily job assignment and review the Pre-Task Plan(s) for the work or tasks they will be performing. Also known as a pre-shift meeting. Key Contracts - A third party Contractor that provides services to General Motors that is one of the following: a) Construction, Installation, Demolition projects, b) Global Facilities Service Agreements, c) Chemical and Resource Management agreements, or d) Production Contractor agreements

4 Global Workplace Safety Performance Standard Page 4 of 13 Pre-Task Planning- A developed set of work instructions that identifies the steps of the work, these are also referenced as: SOP, TIS, Standardized Work, Safety Plan, Risk Analysis etc. Production Contractor A service provider who is hired by GM do perform work involving GM s production of products. (e.g. 3 rd party fork lift company, who moves product through a GM site, an supplier who puts their part(s) on a GM vehicle at a GM site, or a 3 rd party who is hired to perform quality checks, inspections on a GM site). Productive Mode The area in a system s life cycle where all installations, modifications, retrofits, rebuilds etc., have been completed and the site is operating with standardized processes and under planned and unplanned maintenance operations. Project Management Process (PMP) A standardized approach to provide and install facilities, equipment, and tools to support the production process and other operations. Regional Safety Contract Management Workplace Safety Leader- A GM Subject Matter Expert employee with skills and knowledge in construction and Safety Contract Management. Risk A combination of the likelihood of an occurrence of hazardous event or exposure(s) and the severity of injury/illness that can be caused by the event or exposure(s). Request for Quote (RFQ) A request for the contractor to submit a quotation, which also list the description and specific details of the work to be performed. Safety Design Assessment (SDA) A set of safety design requirements based on possible identified risks early in the Concept and Preliminary design stages of a project or program. Safety FMEA (Failure Mode and Effects Analysis) A matrix to evaluate risk of an activity or task using the following formula: Risk = Severity Potential Score x Probability of Occurrence Score x Frequency of Exposure Score x Number of People Exposed Score. The result will determine the level of detail in the Pre-Task Planning process. Safety Plan A detailed written plan encompassing all aspects of the Work, including those performed by subcontractors at any tier that will do work at the job-site. Safety Plans must include a detailed review of all aspects of the Project, identification of all tasks that may present a health or safety hazard and contain a strategy for coordinated implementation with Subcontractors. Also known as a Job Site Safety Plan or a GM Specific Safety Plan. Scope of Work (SOW) - Description of the Project and of the tasks required for completion of the Project, the preparation of the Drawings and Specifications, and other tasks to be performed by the Contractor and identified as the Scope of Work in the Contract Documents. Sentinel Event Any work related injury, property damage, near miss or unsafe act/condition that may result in death. Service Provider- A third party Contractor that provides services to General Motors that is not one of the following: a) Construction, Installation, Demolition projects, b) Global Facilities

5 Global Workplace Safety Performance Standard Page 5 of 13 Service Agreements, c) Chemical and Resource Management agreements, or d) Production Contractor agreements. Examples include: ISO Auditors, Original Equipment Manufacturers (OEMs), Part Suppliers, Robot Warranty or Repair, Inspection or repair services, vending machine companies and spot buy services, etc.) Site Safety Contract Management Performance Standard Champion A GM employee, who has site engineering or technical responsibilities, designated by GM Site Senior Leader, to require the Safety Contract Management Performance Standard (S&H PS ) is followed at the site. Site Safety & Industrial Hygiene Leader Global Workplace Safety Resources at the site. Site Senior Leader - The most senior manager on site (e.g. Plant Manager for Manufacturing) Special Safety Conditions Safety requirements issued by GM, applicable to the Contractors and its subcontractors, in addition to legal requirements. Statement of Requirements (SOR) A document that defines the project's requirements and expectations. Subcontractor A secondary provider of services to GM under the direct control and contract of a prime or general Contractor. 6 Global Workplace Safety Performance Standard Page 6 of Written Program The site must have a written program that includes how the site will meet or verify the requirements outlined in this standard. 2.0 Site Key Contract and Service Provider Inventory The site must develop and maintain a Site Key Contract and Service Provider Inventory. This inventory must include a Safety FMEA score based on Section of this standard to set risk priority order for each Contractor. A sample Site Contractor Inventory Template is available. 3.0 Prequalification of Contractors During the RFQ (Request for Quote), SOW (Scope of Work) or SOR (Statement of Requirements) the Contract Manager must provide contractors or service provider contractors the following documents in the bid package as applicable: GM General Terms and Conditions and applicable local appendices for Construction/Installation/Demolition Contractors. GM General Safety Conditions for Service Provider Firms to Service Providers. Refer to the Special Safety Conditions Section 4.1 on the prequalification process of contractors. 4.0 Use of General Motors Equipment It is expected that the Contractor will use its own tools and equipment to perform Contractor s obligations under the Contract. It is generally prohibited for Seller to use Buyer tools and equipment at any site within the United States. Additionally Buyer will generally deny variance requests to use Buyer tools and equipment when granting such variance is prohibited by local site rules, local labor contract, or local regulation. In extraordinary circumstance a variance may be granted. Any request for variance must be reviewed by the Contract/Project Manager with site labor department prior to granting variance. If the use will be long term, Contract/Project Manager should give serious consideration to selling the tools/equipment to the Contractor instead of loaning the tools/equipment. A sample variance template is available and specific details are outlined in the Special Safety Conditions Section The site must have a process in place to review variances request with site labor and inspect tools/equipment that has been loaned to contractors prior to being accepted for GM use.

7 Global Workplace Safety Performance Standard Page 7 of Contractor Requirements Refer to the Special Safety Conditions. 5.1 Requirements for Key Contracts This section applies to Key Contract contractors identified as outlined in section Scope of this standard. GM Project/Contract Manager must implement all of the SCM requirements, the minimum process requirements: - Prequalification (ISN) refer to the ISN STS/TIS - GM Safety Terms and Conditions - FSR Deployment Section SCM Orientation Training refer to SCM Orientation Training Template and Special Safety Conditions Section Safety Plan (refer to in Special Safety Conditions Section 4.2), Emergency & Medical Response (Special Safety Conditions Section 4.2.5) - Worker Safety Engagement (Special Safety Condition 4.2.4) - Training, Pre Task Planning, and Management of Change - Contractor Safety & GM Safety Evaluations (Section and 9.0 of the standard) The Contractor must determine appropriate methods to communicate the identified site hazards and acceptable controls to GM and Contractor workers before work begins. The communication method(s) must be reviewed and accepted by the Contract Manager. The Contract Manager's role is to validate that the Contractor is planning for communication but is not responsible for approving the communication. The purpose of the validation is to affirm that the contractor has a method for communicating the hazards and is not to make a determination of the effectiveness or accuracy of the communication plan, however, the Contract Manager may request that Contractor to improve the communications plan. When Industrial Hygiene related Hazards have been identified by the contractor, the Contract Manager must review concerns with the Site Safety & Industrial Hygiene Leader to determine if GM employees may be exposed, and if so, must determine a control measure required. 5.2 Requirements for Service Providers This section applies to service providers contractors identified as outlined in Section Scope of this standard. GM Project/Contract Manager must implement the following minimum process requirements as detailed in Section 5.0 of the Special Safety Conditions: During the prequalification process for Service Providers, the Safety Criteria found in the Manual Service Provider Pre-Qualification Questionnaire must be used to conduct the service provider contractor pre-qualification Include the GM Special Safety Conditions clause in the contract, scope of requirements or scope of work. The GM Special Safety Conditions clause must include: Seller must comply with all GM Special Safety Conditions as outlined in

8 Global Workplace Safety Performance Standard Page 8 of 13 the contract, scope of work, or scope of requirements. A copy of GM Special Safety Conditions is incorporated into the contract documents as if fully restated. GM Special Safety Conditions are subject to change and will be communicated to the seller. Based on the risk assessment/sfmea Score the GM Project/Contract Manager must refer to the SCM Service Provider Matrix for required actions. 6.0 GM Project Field Safety Resource(s) Deployment This section applies to Construction/Installation/Demolition contracts only, unless smaller or other project work requests the use of a Field Safety Resource (FSR) based on the risk level of the work. The Regional Safety Contract Management Leader must work with the Contract Manager and the local site manager to determine if a project requires deployment of an FSR. The following criteria must be used to assess the need for a site FSR: Size and scope of the project Total contractor manpower required on site Anticipated complexity of work Local Legal requirements 7.0 Additional Duties and Obligations Detailed roles and responsibilities are listed in Section 3 3.1, duties listed below are in addition to those in the previously mentioned section. Field Safety Resource Where a contractor activity has the potential of exposing GM employees to hazards, the FSR will attend critical job meetings and field walks to determine if appropriate controls are planned and implemented. Verify that Contractors have posted the required information on the project safety board (white board). Provide notification of a Contractor incident(s) to GM Leadership. Verify that Special Safety Conditions Section is being followed by the contractor. Site Responsible Global Work Place Safety Leader: Serve as a resource for the Site SCM Champion and provide guidance when needed. Participate in GM Leadership oversight regarding SOT/SCTs of construction/ contractor areas to validate SCM Process is effective: (Review of PTP, WSE, JSA, risk assessment/sfmea, etc.)

9 Global Workplace Safety Performance Standard Page 9 of 13 Collaborate with Site Senior Leader to assign new SCM Champion in the event current Champion changes position. In the event there is a gap in responsibility transfer from current SCM Champion to new Champion, assist in aligning new SCM Champion with proper Regional SCM support for any training needs Site Senior Leader: Assign Contract Managers for Contractors managed on site (service providers/spot buys/blankets/framing contracts). Site Safety Contract Management Performance Standard Champion: Require conformance of this Performance Standard to all GM personnel that bring contractors to the site (e.g. Contract Managers, Global Purchasing & Supply Chain (GPSC), etc.). Regional Safety Contract Management Leader: Establish Safety Selection Criteria for the pre-selection bid list. Global Safety Contract Management SME: Lead resolution of any issues found during the pre-qualification process with the stakeholder/requestor of the SOR. 8.0 Contractor Safety Evaluations The Contract/Project Manager must establish a Safety Contract/Project Evaluation with support from the FSR and support of the Site Safety Contract Management Performance Standard Champion, and others as required. The evaluation consists of the following: Regulatory and Legal compliance. Conformance to the GM Special Safety Conditions. Evaluation of the quality of Job Site Safety Plans and Pre-Task Plans, and WSEP documents Contractor related incidents and sentinel events Planned Inspection Records Training effectiveness The overall cooperation and responsiveness during project. Evaluations must be integrated into the prequalification process. 9.0 GM Safety Evaluations

10 Global Workplace Safety Performance Standard Page 10 of 13 The site must have a process in place to conduct GM Evaluations for each Project and Contract at the site (both site managed and headquarters managed projects). This evaluation must be conducted at least annually or at the Project conclusion, and include the following minimum requirements: At a minimum, the following roles must be involved in the evaluation: - Site Safety Contract Management Performance Standard Champion - Lead GM functional manager responsible for the contract or project The GM Project/Contract Management Evaluation form must be used to document evaluations and include the following items: - Adherence to the Safety Contract Management Performance Standard requirements - Quality check of a random sample of Pre Task Plans and WSEP documents to determine effectiveness - Review lessons learned from incidents A corrective action plan must be developed for any gaps identified and communicated to all stakeholders involved in the project or contract. Corrective actions must be tracked to closure End of Section 2 Section 3 WSS Elements Safety Contract Management 2.1 Regulatory Compliance Each site much have a process to identify and apply applicable regulatory requirements related to contractor safety management. If there are conflicts we should default to the more stringent standard. The Project or Contract Manager will review Contractors compliance process with regulatory requirements applicable to Contractor activities as part of Section Hazard identification and Risk Assessment The contract manager will review the contractor s risk assessment/sfmea and risk control method(s) and make the determination whether or not the measures that the Contractor will use to control the hazard(s) satisfy Contractors obligations under the Contract. The purpose of the review is meeting its contractual obligations and is not to make a determination of the effectiveness or accuracy of the risk control methods, however, the Contract Manager may request that Contractor to improve the risk control methods. Any GM employee including the GM Contract Manager or the Regional Safety Contract Management Leader may stop the work if for any reason it is believed that the work is being performed in a manner that is unsafe.

11 Global Workplace Safety Performance Standard Page 11 of Management of Change The contractor must follow the requirements in the Management of Change (1+3 Approach) as outlined in section of the Special Safety Conditions. 3.1 Roles and Responsibilities Refer to SCM Performance Standard RASIC for Roles and Responsibilities. Refer to SCM Service Provider Matrix for the roles and responsibilities of the Project/Contract Manager for Service Providers. This is not intended to be a part of your 3.1 Site R&R Matrix 3.2 GM Training Requirements LMS #55030 Safety Contract Management Training 3.3 Employee Engagement This section is not required for this Performance Standard 3.4 Communication Strategy This section is not required for this Performance Standard 3.5 Document Control Documents and records related to contractor safety must be included in the sites documented control program. At a minimum this must include: Safety Contract Management Documented Program Site Contractor Listing Contractor Safety Evaluation Records GM Safety Evaluation Records Annual Program Evaluation Records Safety Incident Reports 3.6 Safe Operating Practice This section is not required for this Performance Standard. 3.7 Emergency Response and Medical Treatment The site must have a specific contractor ERP (Emergency Response Plan) training plan that is conveyed/reviewed with contractor leadership prior to starting work. Sites and

12 Global Workplace Safety Performance Standard Page 12 of 13 contractors ERP must be coordinated when necessary as noted in the Special Safety Conditions Section Monitoring and Measuring This section is not required for this Performance Standard. 4.2 Annual Program Evaluation The Site Safety Contract Management Performance Standard Champion must perform an annual program evaluation to determine implementation effectiveness of the site Safety Contract Management program. At a minimum, this review must include the following: Completion of a Self-Assessment of this standard Review Contractor Evaluations for those contractors on site Review a small random sample of GM Safety Project/Contract Management Evaluations Evaluation of the quality of Job Site Safety Plans, Task Risk Evaluations, Job Safety Analysis and Worker Safety Engagement records. Contractor related incidents and sentinel events Planned Inspection Records GM Training effectiveness. 4.3 Incident Investigation Site must have a process for Go and See for significant contractor safety incidents. Injury and Sentinel Event Reports must be captured in GM s reporting database. 4.4 Safety Tours Follow requirements noted in the RASIC, Section Corrective Action Plans The site has a process in place to track corrective actions for open issues from the Safety Contract Management Performance Standard. Examples include: Failures within the system, annual program evaluation and any non-conformances from external audits, etc. External Audit Examples: regulatory agencies, regional validation, GMAS or other external audits. 4.6 Safety Inspections and Safety PMs This section is not required for this Performance Standard. 5.1 SRB Leadership Review

13 Global Workplace Safety Performance Standard Page 13 of 13 Findings from the Safety Contract Management Gap Analysis must be presented quarterly at the SRB by the SCM Performance Standard Champion. Annual SCM Program Evaluations must be presented at a minimum one time per calendar year to the SRB by the SCM Performance Standard Champion.
