If at any time during the term of this agreement, RECL identifies or information comes to RECL's attention that the successful bidders so may be in violation of any law, ordinance, regulation, or code (or if it is so decree do rad judged by any court, tribunal or other authority), RECL shall be entitled to terminate this agreement with immediate effect. In the event of non- performance of obligation or failure to meet terms of this RFP, RECL shall be entitled to invoke the performance guarantee without notice or right of demur to the bidder. Any amount pending for payment due to non-achieving of milestone/s set under the contract for any other reason solely attributable to the bidder will be included in the remaining amount of the contract value All the deployed resources at RECL/RECTPCL/RECPDCL shall be on successful bidder s/oem s payroll. However, successful bidder may sub contract only L level resources. The successful bidder shall be responsible for the end to end delivery of the services mentioned in the RFP If at any time during the term of this agreement, RECL identifies or information comes to RECL's attention that the successful bidders so may be in violation of any law, ordinance, regulation, or code (or if it is so decree do rad judged by any court, tribunal or other authority), RECL shall be entitled to terminate this agreement. However, a reasonable opportunity to remedy the non-compliance shall be provided to the successful bidder prior to exercising the option to terminate the agreement. In the event of non- performance of obligation or failure to meet terms of this RFP, even after a reasonable opportunity provided to the successful bidder for rectification, RECL shall be entitled to invoke the performance guarantee without notice or right of demur to the bidder. The obligations of the RECL and the bidder shall not be altered by reasons of conciliation/ arbitration being conducted during the progress of works. Neither party shall be entitled to suspend the work on account of conciliation/ arbitration nor shall payments to the bidder continue to be made in terms of the contract. The training course proposed by the successful bidder shall also be offered as a regular course i.e. subject to maximum limit of 0% of the implementation cost and/or forfeiture of the entire EMD and/or the Security Deposit and/or Performance Guarantee of the defaulting bidder for noncompliance/ delay of milestone The place of performance and jurisdiction is the seat of the RECL Corporate Office (New Delhi). In case of nonperformance of contract by the bidder or the bidder fails to take proper corrective action to perform the contract satisfactorily within a reasonable period as given by RECL or when termination of contract is on account of bidder s default as specified in clause 43(C), RECL in addition to levy of liquidated damages, may terminate the contract and award the same to any other party at the risk and cost of the bidder for carrying out the balance work after giving due notice to the bidder. This clause may be invoked during the period of project implementation as well as maintenance period with effect from the date of signing of the contract. The liability of bidder in case of risk purchase will be to the extent of immediate next higher financial quote (total bid value) or 25% of financial bid of bidder, whichever is higher. -Addition The bidder should be a registered company under Companies Act India Certificate of incorporation annexure 20 (Requirement from RECL) of RFP. Risk Purchase Clause In case of termination of the Agreement in terms of the NIT/Agreement, REC has the right to award the contract to any other party at the risk and cost of the Contractor for carrying out the remaining scope of work, however, the risk of the contractor shall be limited to Total Contract value +25% of Total Contract Value. Limitation of Liability The successful bidder shall not be responsible for indirect damages or remote loss of profit. The total amount of direct liability shall be limited to order value.
