Delivery, Installation and Training 8.1 The Licensor shall supply, install [and configure] a properly functioning and fully tested Software Solution, in full conformity with the terms and conditions of this Contract. 8.2 The Licensor shall deliver and install the Software Solution, in accordance with this Contract, in compliance with the delivery terms described in the 8.3 The Annexes of this Contract. The Licensor shall provide all necessary support services, including training, in accordance with the Annexes of the Contract. RFP ADM-P Annex B OPCW Agreement documents are marked as draft. They are not intended as a statement of the licenses and services required. They have been included to provide an indication of the OPCW's terms and conditions. Vendors should review the Request For Proposal document, and its Annexes A, C, D, E, F, G and H in order to understand the requirements and how to structure a proposal in response to the licenses and services required. It displays that OPCW wants an ERP solution installed, configured and delivered. When looking to the price documents every price document is focussed on the prices of the Licenses. There is no room for implementation aspects. At first you need a license but with buying only a license the ERP solution is not installed and implemented. How do we need to fill in the approach and price of the implementation part? 2 When looking to the RFP-ERP Solution.pdf document at point 8 "OPCW Intends to award a contract for provision of software licenses for a comprehensive ERP solution including support and maintenance services related to proposed software. This rfp excludes the purchase of hardware and installation of the erp solution. How does the system get implemented? And if it s done by a system integrator does OPCW need to acquire this party in a next phase? This RFP is solely for the ERP software licenses and support. The OPCW intends to at a later stage, and dependant upon the ERP solution selected, release separate RFP's for the infrastructure to support the selected ERP solution and for the implementation of selected ERP solution. Note that the OPCW will not enter into any discussions regarding the implementation of any potential ERP solution as part of this RFP.

3 Question No. 3: Is it necessary to repeat information that was provided previously in connection with a response to a Request for Expression of Interest? Yes, information will have to be provided again. Any input provided in connection with a vendor s participation in a previous Expression of Interest exercise cannot be considered as a response to this Request for Proposal. Question No. 4: What are the timelines for going live with this ERP solution? There are no specific timelines for the implementation of the ERP solution. Question No. 5: If a vendor gave product demonstrations in connection with its response to an earlier Request for Expression of Interest, will the vendor have to give demonstrations again? Yes. The OPCW will require that specific end-to-end processes be demonstrated. Details to be provided later. Question No. 6: In case of a hosting solution, is it necessary to have ISAE 3402 and ISAE 3000 certification? It is not necessary to have these specific certifications, but vendors will have to demonstrate that the hosting party conforms to standards that are equivalent to IAEA 3402 and ISAE Question No. 7: What is meant in Annex C, Attachment 1, Form 16 (Non-Functional Requirements): If the application functionality is delivered through the Software as a Service (SAAS) delivery model, the organisation should provide external assurance (e.g. SAS 70) on the implemented security of the service delivered. Vendors will have to provide proof of the level of security that is inherent to the proposed SaaS.

4 Question No. 8: Does the digital version of the proposal have to submitted on a CD or can it also be delivered on a USB stick? Submission on a USB stick is acceptable. Question No. 9: Question about the Supplier Registration Form: What is meant with export sales? Export sales is to be understood as total business volume with customers that are outside the country in which your company is located. Question No. 10: Question about the Supplier Registration Form: If some customers do not allow that the contract values are revealed, is it acceptable that no specific contract amounts are provided? In such cases the proposers should indicate the overall business volume of all such contracts during the last three years. Question No. 11: The RFP states that proposers have to provide (i) proof of two successful implementations of at least two similar comprehensive ERP solutions for international organizations or not for profit organizations and (ii) proof/references of at least three current customers who are international organizations or not for profit organizations. Could the successful implementation and customer proof be combined? Yes. The international organizations where the proposer implemented a similar comprehensive ERP solution can also be listed as reference. Question No. 12: Does the OPCW agree that if the proposer offers a hosted solution, the proposer will not have to state the price for database and OS licenses as it is included in the Saas/hosting fee? Yes. Question No. 13: Do proposers have to provide comments for each and every functional requirement?

5 No. Comments are to be provided only when a requirement is not met through the software s standard functionality, e.g. in cases of work around, etc. Question No. 14: The Excel version of Attachment 1 to Annex C appears to have some protected fields and cannot be filled out. An amended version of the Excel file will be provided to vendors who intend to submit a proposal. Question No. 15: Is it correct that proposers cannot specify the lifecycle of (i) third party applications and (ii) in the case of hosted/cloud solutions? Correct. Question No. 16: Several questions about the Model OPCW Agreement and the attached Special Terms and Conditions were raised. The Model Agreement was attached for information only. Any future contract resulting from this tender remains to be agreed with the successful vendor. Question No. 17: Are the General Terms and Conditions for the Purchase of Services also applicable to the Main Contract Document regarding the Software Solution and/or License? Yes, subject to agreement.
