2 Purpose and Content My goal is to provide an overview of the scope, deliverables and plans for the NORSOK Z- TI JIP. I will also try to clarify what we need from you towards a possible kick-off. 3 NORSOK Z-TI is important to DNV GL, and we are proud to be given the task of establishing this initiative as a Joint Industry Project More than 150 years history with standardization and assurance; we classify, certify, verify and test Long experience with solving challenges in close collaboration with industry Currently DNV GL manages more than 100 Joint Industry Projects in the global Oil and Gas industry Together with the industry, we have started our digitalization journey Projects with our customers and partners Digitalization of all core services and DNV GL standards, Assurance, Risk Management, Classification and Certification 3 3

The NORSOK owners represented by Standards Norway will have the ownership to the final deliverables from the JIP. 5

17 DNV GL s Multiparty Project Agreement is the contractual basis Customised to be aligned with the Sector Board Petroleum s intentions for the NORSOK Z-TI project The principles are approved by an Interim Steering Group appointed by the Sector Board Petroleum, and any amendments will only be entered into in exceptional cases The intention is that all parties shall sign identical Agreements The Agreement will be submitted to potential parties after the launch meetings

18 Next steps: Towards Kick-Off 1. Flag interest to participate 2. Sign contract 3. The project starts when 1. The whole value chain is represented in the project, ideally at least 3 operators, 2 EPC Contractors, 3 Equipment/System Vendors 2. Sufficient cash funding is committed to cover Phase 1 4. Kick-Off meeting Tentative dates are June 20 th or August 14 th 2018 Only for contracted JIP members, letter-of-intent organisations or authorities (observers) Only contracted members will have a vote in the Steering Committee For June 20 th : The agreement needs to be signed by all parties by June 15 th 18

19 Summary NORSOK Z-TI JIP will deliver standards, services and technology JIP results will be fed into global standard organisations and initiatives for further standardisation and alignment The JIP depends on contributions from players in the entire value chain. 22 Key stakeholders have agreed to key principles regarding deliverables and IPR The right to exploit the project results will be governed by the following general principle: 1. The NORSOK owners represented by Standards Norway have exclusive rights to exploit project results that reflect what is currently the content of the NORSOK Z-TI standards. 2. Generic final deliverables, in particular methodology and generic ontologies, shall be released for use, distribution and further development and commercialisation once the JIP/Z-TI has finished, subject to "adequate" license terms safeguarding the purpose of the project. 22

23 Regarding background IP, owners of deliverables and user rights Any input IPR remains with the originators and only materials developed as part of the JIP will be regarded as deliverables. JIP deliverables must have designated owners (one owner per deliverable) All members of the JIP will have full access to input, work-in-progress materials and deliverables during the JIP as part of the JIP execution. Upon completion of the JIP all members will be granted user rights to the deliverables at given conditions reflecting JIP participation. Business/governance models as developed in the JIP will regulate terms and conditions for the deliverables after completion of the JIP. 23
