The transaction is expected to close on or about September 30th, What products and services does Marsh ClearSight offer? Marsh ClearSight is a feature-rich RMIS solution which gives customers unprecedented insight into their risks, their relationships, and the cumulative impact on the organization so they can make better decisions faster. The Marsh ClearSight platform is modular so organizations can choose the solutions that fit their needs today and easily add more as their priorities grow and change. These solutions include: Certificates of Insurance Claims Administration Claims Management Cost Allocation Marsh ClearSight also delivers more than powerful RMIS technology. With deep industry and technical knowledge, their talented professionals deliver world-class service solutions that maximize customer value. While some product overlap does exist, the integration plan and roadmap details will be shared as they become available. Riskonnect will continue to invest in Riskonnect products that are aligned with customer needs. Plans related to the technology include the following highlights: An integrated portal & community model for global customer access to the combined technologies of Riskonnect and Marsh ClearSight Integration across RMIS, GRC and Analytics solutions to provide customers the strongest possible combined solution

4 Riskonnect ClearSight will be a key component of Riskonnect s claims administration capabilities Provide upgrades to both Marsh ClearSight and Riskonnect customers to combined solution capabilities Integrate analytics and data management offerings for best-in-class insights and data governance The currently planned Riskonnect releases will proceed, un-interrupted 7. How is the proposed transaction expected to benefit Riskonnect customers? Riskonnect customers will have access to industry-specific risk experts and practitioners worldwide, benefit from expanded global support and have an opportunity to leverage extended functionality related to improved support for self-insured captives, TPA s, brokers, and pools. In addition, there will be access to industry-pioneering RMIS technology and innovative data management and analytical benchmarking assets. Our healthcare customers will see the strongest combined healthcare offering related to RMIS, patient safety, and physician underwriting. 8. How will the transaction impact customers and partners? What differences will they see? Customers and partners should not feel any impact. They should expect the same level of service they have been receiving. Customers and partners should continue to use the same contacts for sales and support. As integration plans progress, frequent updates will be made available to ensure Riskonnect customers and partners are well informed of all changes and transitions. 9. What will the combined company be named and where will it be headquartered? Marsh ClearSight will be fully integrated under the Riskonnect brand. The combined company headquarters will be Atlanta, Georgia, and the company will continue to have large operational footprints in Chicago, London, Amarillo and Sydney along with several smaller satellite locations. 12. When will there be more information and training on new products, services, and operational changes? As integration progresses, we will communicate more information to you as quickly as possible. The integration timeline will include customer discussions as it is appropriately related to products, services, delivery, and support as examples. 13. Who will be the CEO of the combined companies? Riskonnect CEO Jim Wetekamp will lead the combined company. 14. Who will be on the management team?

5 Leaders from both Riskonnect and Marsh ClearSight will extend the integration plan over the coming weeks with the intention of successfully implementing the plan upon close of the transaction. We will employ a balanced approach to fill the new roles that will develop across the combined organization. 15. What are some key milestones and the timeline associated with this acquisition? The transaction has the following high-level milestones: The final closing of the transaction is expected to be on or about September 30th. A full transition services approach has been agreed between Marsh and Riskonnect to allow for minimal disruptions in continuity for employees and customers. This transition approach includes support in areas such as systems, facilities, and knowledge support over a six to twelve-month period, depending upon the function. 16. What is the combined Riskonnect and Marsh ClearSight product roadmap? Riskonnect plans to continue to enhance and support the Riskonnect and Marsh ClearSight products. In parallel, the combined development teams will be working on appropriate integrations and development to allow customers of either platform to utilize an integrated solution to take advantage of all of the benefits of Integrated Risk Management. Plans include: Ensure integration of Riskonnect and Marsh ClearSight products Develop a unified analytics and data management infrastructure to provide leading analytic insights Integrate all users across platforms into a common user interface and community portal Position Marsh ClearSight as the centerpiece of consolidated data management and analytics Provide upgrades to Riskonnect and Marsh ClearSight customers which will incorporate both Riskonnect and Marsh ClearSight features and functionality 17. Will Riskonnect s product releases continue as planned? Yes. The Riskonnect product lines will continue to be supported and receive ongoing investments. 18. Should customers continue with their current implementation projects? Yes. Current customers should continue with their implementations. Will the same people who support Riskonnect products today continue to deliver support? Yes.
