3 GENERAL PASTEL ACCOUNTING PARTNER AND XPRESS VERSION 11 Demonstration Products Demonstration versions of Pastel Partner and Pastel Xpress VERSION 11 allow you to access all the features and functionality the software has to offer, for 30 days or 200 transactions, whichever occurs first. If a customer owns a licensed product and wishes to trial the Pastel range of add-on modules, they may do so by opening the demo company. The demo company has been created to allow customers to assess all modules but expires once the customer has exceeded 200 transactions within the demo company. Pastel Business Intelligence Centre will be available to assess for 90 days from the first registration of Pastel. Customers wanting to Upgrade Cover is mandatory for product upgrades, so in order to upgrade an existing version of Pastel, the customer will need to purchase a Pastel Cover upgrade, which will include a product upgrade to the latest version, plus a Cover Plan for the year ahead which will entitle the customer to receive any updates & upgrades to their product while the Cover Plan remains active. Customers are encouraged to take Pastel Cover on all existing modules. If Pastel Cover is not purchased on an existing module, the module will be de-registered and should the customer require the module after this, they will need to purchase it at the full new price. Cover Upgrades will be charged in line with the cover upgrade matrix listed under each product, therefore upgrades from 1 version back will be charged at 60% of new RRP (40% upgrade portion + 20% cover for the year going forward), and upgrades from 2 versions back will be charged at 80% of new RRP (60% upgrade portion + 20% cover for the year going forward). This excludes the database component (Pervasive or SQL) which needs to be purchased at the relevant pricing. Upgrading from EOL versions will require a new product purchase. Upgrades from the latest version of one Pastel product line to another (i.e. Invoicing to My Business, My Business to Xpress, Xpress to Partner, and Partner to Evolution will be charged at the difference in price. This excludes the database component (Pervasive or SQL) which needs to be purchased at the relevant upgrade pricing. Upgrades from older versions of a Pastel product line to another Pastel product line (i.e. Partner V8 to Evolution) will be charged in line with the Cover upgrades from 1 version back will be charged at 60% of new RRP (40% upgrade portion + 20% cover for the year going forward), and upgrades from 2 versions back will be charged at 80% of new RRP (60% upgrade portion + 20% cover for the year going forward). This excludes the database component (Pervasive or SQL) which needs to be purchased at the relevant pricing. If upgrading to Xpress or Partner, then Pastel cover will also need to be purchased at 20% of new RRP to provide cover for the year ahead. If upgrading to Evolution, then the ALF will also need to be purchased at 20% of the new RRP. Upgrading from EOL versions will require a new product purchase. Product Discounts Standard BP product discounts will apply to the various products, taking into consideration those exceptions detailed below: NB: BP Discounts on BIC products will be as follows effective from 1 Nov 2009: Platinum BP = 45% Gold BP = 40% Silver BP = 35% Authorised Reseller = 25% There is no discount on Cover activation or re-activation fees. There is no discount on Promotional items or Stationery. Upgrades will be invoiced out as 2 components: Upgrade component and Cover component. Standard product discounts will apply to the Upgrade and Cover component. Page of 20

4 Pervasive Database All new products are sold with Pervasive Version V9.6, or Pervasive V10 on request. Customers upgrading from older versions of Pastel, or adding users will need to upgrade to Pervasive V9.6, or V10. Customers increasing their user count will be required to upgrade all users to Pervasive V9.6 or V10. Users with more than 5 concurrent users are strongly recommended to use Pervasive Client Server. If the customer elects not to use Pervasive Client Server in such a case, the indemnity form in our Pastel Forms document will be required at the time that the order is placed. Single user customers still on the old Btrieve database engine taking out Cover as a single user will be required to pay the new price for a single user Pervasive V9 or V10. All Pervasive Client Server registrations can only be processed once we receive the Pervasive Registration Form and the Multi-User serial number has been registered. Once a registration key has been generated, it cannot be reversed. Therefore, we recommend that the form is forwarded to us only once the installation is completed. Pervasive discounts are as per BP agreements. Should you require further information on this please contact your Channel Sales Liaison (as listed below) for clarification. Licensing Sites requiring Pastel Software to be loaded onto more than one computer without a network will be required to purchase a full single user package per computer. Sites requiring Pastel to be loaded onto more than one computer with a network will be required to purchase a full package together with the number of multi users required within the user brackets offered. This offer is restricted to the computers for the same business in the same geographical location. If there are two branches and Pastel is required to be installed on both sites, each site will be required to purchase a full package, together with the number of users each branch requires. Telephonic orders will not be accepted. When placing your order, please state your Purchase Order number that we can use as a reference. It is company policy not to accept product returns. We do however understand that there may be exceptions to the rule and on this basis requests will be considered on individual merit. SPI will not ship software via a Post Office due to reliability concern. We only use courier services. Although we strive to negotiate the best-possible courier rates locally, we do encourage our business partners to look at arranging their own courier services with their local courier agents within their respective countries, and to compare options to find their best-suited, most costeffective courier solution. Should you choose not to purchase Cover together with this initial purchase, and wish to activate Cover at a later stage, then a Cover Activation Fee of $218 on Xpress Std (S/User and M/User s) will apply. There is no discount on Cover activation fees. Pastel Cover is mandatory for product upgrades and is included in the listed price. An active Cover contract entitles you to latest releases/upgrades of the product. Should the Cover Plan lapse, these benefits will fall away and a Cover re-activation fee of $218 on Xpress Std will apply. There is no discount on Cover re-activation fees. Customers on older versions are advised to take out a cover contract for the existing suite and then order their additions. The same procedure applies for upgrades to Partner. Business Intelligence Centre Business Intelligence Centre - Advanced (requires BIC Standard plus certification). BIC Advanced works across all platforms (Partner, Payroll, Evolution & Sage 50), however please be aware that the BIC module needs to be used from within the package it is installed with (the base it is registered to) - else separate BIC modules must be purchased for each package. It is only if a client runs Partner and Evolution simultaneously that he will have access to Partner BIC and via it access the Evolution data, but the Evolution BIC Advanced module will still not be operational from within Evolution unless purchased and registered.
