1 Equal Opportunity Employer January 5, 2015 Exhibit A Exhibit A CM/CG Preconstruction Services Proposal Diane Morrison, CPPB PW Purchasing Specialist Public Works Department 150 N Capitol Blvd. Boise, Idaho RE: Proposal for Preconstruction Services CM/GC Services-TMSF Office and Maintenance Building Project Mrs. Morrison, McAlvain Construction Inc., (MCI) is pleased to submit this proposal to provide Preconstruction Services as part of the CM/GC delivery for the Twenty Mile South Farms (TMSF) Office and Maintenance Building. It is anticipated that the general scope of work associated with this project is to construct new facilities for the operation, maintenance and administration of the Twenty Mile South Farm. Work is anticipated to include, but is not necessarily limited to construction of a new office building, maintenance shop, mechanic shop and truck-wash. The new facilities are anticipated to receive LEED recognition, in addition to becoming the first commercial net-zero facility on Idaho. A general description and main features of the TMSF Office and Maintenance Building are as follows: Construction of a new administration office (approximately 2,500 S.F.), a new mechanics maintenance and parts shop building (approximately 9,000 S.F.), and a new biosolids truck wash off area (approximately 3,000 S.F.). A new septic drain field, truck scale and miscellaneous site work, road work and landscaping Office and shops are anticipated to be one large structure. The scale, truck-wash and other components will be constructed concurrently within close proximity of this facility. The City desires the office and shops to be LEED certified. The level of LEED certification is currently unknown. The facilities are anticipated to be the first commercial net-zero project in Idaho. The intent of this facility is to offset the consumed energy with energy produced on-site, most likely by photovoltaics and efficient heating and cooling systems.

2 It is anticipated that the scope of work associated with these Preconstruction Services as described within this proposal will be completed by June 1, 2015 and a Not-to-Exceed amount to complete these preconstruction services has been estimated and included herein. These services will result in a Guaranteed Maximum Price (GMP) amendment to the contract agreement between the City of Boise and MCI to cover the costs associated with the construction phase of this agreement. In addition and at your direction, we have included an estimated amount to be used as contingency to provide additional services beyond the June 1, 2015 date or for other preconstruction services at the direction of the City of Boise. It is the intention of both parties to enter into a Standard Agreement and General Conditions Contract Agreement Between Owner and Construction Manager (Where the CM is At-Risk) and this proposal includes the Not-to-Exceed amount associated with the preconstruction services only associated with that contract agreement. These activities will include comment on design, value engineering, estimating, constructability review and subcontract bid and award cycles. As a part of these preconstruction services, MCI will submit a Guaranteed Maximum Price (GMP) and a Critical Path Method (CPM) schedule for the City of Boise s review and approval. Acceptance of the GMP Amendment to the contract, mobilization and initiation of the construction phase services will constitute completion of preconstruction activities. A GMP Amendment to the contract will be issued for the construction phase of the project. It general, it is anticipated that the Preconstruction Services associated with this project will generally consist of the following: 1. Consult with, advise, assist, and provide recommendations to the City of Boise and architectural and engineering design teams on all aspects of the planning and design of the work. 2. Provide information, estimates, schemes, and participate in decisions regarding construction materials, methods, systems, phasing, logistics and costs to assist in determinations which are aimed at providing the highest quality project within the available budget and timeline associated with the overall schedule. Participate in the LEED Certification process as necessary. 3. Review in-progress design documents and provide input and advice on construction feasibility, alternative materials, and availability of materials and equipment. Review completed design documents and suggest modifications to improve completeness and clarity. 4. Provide input to the City of Boise and the design team regarding the current construction market bidding climate, status of key subcontract markets, etc. Recommend division of work to facilitate bidding and award of trade contracts, early long lead equipment or material procurement considering such factors as bidding climate, improving or accelerating construction completion, minimizing trade jurisdictional disputes, and related issues. Prepare complete bid packages and associated documents including subcontract agreements, general and special conditions, detailed scopes of work, bid item breakdowns and other documents necessary for competitive bidding and in compliance with Idaho State Statutes.

Develop and continuously monitor the project critical path method schedule and recommend adjustments to the design documents to develop construction bid packages to ensure completion of the project in the most expeditious manner possible, while addressing and meeting the City of Boise s critical schedule requirements. 6. Prepare construction cost estimates for the project at appropriate times throughout the design phases of the work. Notify the City of Boise and design team immediately if their construction cost estimates appear to be exceeding the construction budget or the anticipated GMP. It is anticipated that one of the first estimating exercises will be to provide the City of Boise with a preliminary cost estimate of the anticipated overall Scope of Work based on the best available design information developed to date. We anticipated this cost model to be utilized to help develop future design and construction phasing plans based on funds that will be available from the City of Boise to support this project. 7. Work with the City of Boise and design team to determine impacts to the design and the construction delivery process brought about by the project s location and site constraints. Consider items such as site logistics, haul routes, sequencing, lay down space, climatic or potential weather constraints, adjacent property owner s issues, irrigation cycles and other regional factor s including farming and harvest traffic constraints. Develop alternatives and options for ameliorating the impacts of such conditions and constraints. 8. Work with the City of Boise and the design team to maximize value in the project by providing estimating and value engineering support to the City of Boise for alternative systems, materials and construction means and methods. 9. Furnish a Guaranteed Maximum Price (GMP) Amendment in accordance with the contract for the City of Boise s review and approval. The exact timing and phasing of the GMP delivery will be determined mutually between both parties. 10. Coordinate as necessary with Ada County and any other Jurisdictions Having Authority (JHA) to assist in securing building permits and other authorizations as necessary to support the construction process. Proposed Timeline Based on our preliminary discussions with the City of Boise, we anticipate the following preliminary timeline associated with our services: Preconstruction Services January 28, 2015 June 1, 2015 Upon acceptance of this proposal and execution of the Standard Agreement and General Conditions Contract Agreement Between Owner and Construction Manager (Where the CM is At-Risk) a more detailed schedule of activities will be provided for these preconstruction services.

4 Exclusions to Scope of Services Unless described above and specifically included within this proposal and the Standard Agreement and General Conditions Contract Agreement Between Owner and Construction Manager(Where the CM is At-Risk), services including but not limited to the following are not included in the proposed fee and will be charged as Additional Services if requested by the Owner. This proposal is intended to achieve completion of Preconstruction Services by June 1, 2015 culminating in a GMP amendment to the contract agreement. Permit Fees and any agency review or application process fees are assumed to be paid directly by the City of Boise. No easement modifications, applications or fees. No Impact, Utility or Entitlement Fees from any Agency or Utility including but not limited to Ada County, Boise City, Design Review, Plan Review or Building Permit Fees, Idaho Power, Irrigation Fees, DEQ or any other utility connection or impact fees have been included as part of this proposal. Any preconstruction services fee beyond the date of June 1, If significant design revisions or other factors contribute to extending the completion date of these preconstruction services, the City of Boise may elect to utilize contingency or any amounts that remain up to the GMP amount provided in the Proposal Fees section below. Our team will provide a proposal to perform these extensions of our services but will not be initiated until we have received written authorization to proceed. Reimbursable costs will not be marked up and will be passed through at cost. Construction costs, permit application fees, impact fees or any other cost other than what has been identified above have not been included within this budget.
