1 SEVENTH AMENDMENT TO MASTER CONTRACT FOR PROFESSIONAL SERVICES FOR ARCHITECTURAL SERVICES DURHAM O&M BUILDING REMODEL PHASE 2 PROJECT NUMBER 6687 CLEAN WATER SERVICES AND MWA ARCHITECTS, INC. This Amendment, dated effective November 20, 2017, is between Clean Water Services (District) and MWA Architects, Inc. (Consultant) and amends the parties Master Contract for Professional Services for Architectural Engineering dated effective October 28, 2014 and any nonwork specific amendments to it (collectively, Contract). RECITALS 1. District and Consultant previously entered into the Contract. 2. The parties now wish to amend the Contract to provide architectural services related to the Durham O&M Building Remodel, Phase 2. Project No (Project). 1. Scope of Work TERMS AND CONDITIONS Consultant shall perform the services described in Exhibit A, attached hereto and incorporated herein. 2. Compensation District shall pay Consultant as set forth in the Contract. District's total payment to Consultant, including expense reimbursement, shall not exceed $373, Schedule / Duration Consultant shall complete the work no later than April 1, The Contract will be effective from November 20, 2017 and will expire June 30, 2019 unless terminated earlier pursuant to the terms of the Contract. 4. Electronic Signature This Contract may be executed in several counterparts, each of which will be an original, all of which will constitute one and the same instrument. An electronic signature will be considered an original. The individuals signing this Contract certify that they are authorized to execute this Contract on behalf of Consultant and District, respectively. Page 1

Tax Law Compliance Consultant represents, warrants and covenants that Consultant has complied with, and agrees that during the term of this Contract shall comply with Oregon Tax Laws and applicable tax laws of political subdivisions of this State including, but not limited to, ORS and ORS chapters 316, 317 and 318. Consultant s failure to comply with Oregon Tax Laws or the applicable tax laws of political subdivisions of this State for the six years prior to the date Consultant executes this Contract or the period of time Consultant has been in business, whichever is less, or during the term of the Contract is a default for which District may terminate the Contract and seek damages and other relief available under the terms of the Contract or under applicable law. 6. Effect of Amendment Except as amended herein, the Contract shall remain in full force and effect. MWA ARCHITECTS, INC. 3 EXHIBIT A SCOPE OF WORK Durham O&M Building Remodel Phase 2 PROJECT UNDERSTANDING The Operations and Maintenance Building serves the Durham AWWTP in Tigard, Oregon. This Project is comprised of two components: remodel of an existing building and constructing a new conference building. The existing building was built as part of the original treatment plant in the 1970s and was added to in the early 1990s. The remodel areas of this Project within the Operations and Maintenance Building continue to support needed activities at the plant but the finishes and layouts are beyond their useful life. Spaces that need to be remodeled include the laboratory, office spaces, operations/control space, break room, stores warehouse and locker rooms. The building envelope (roof, siding) and mechanical systems also need to be replaced. The new Conference Building will house an interpretive lobby that connects to a conference room that accommodates a plant-wide assembly and ongoing educational tours for local school programs. The support spaces are sized to accommodate the plant server systems since they are structurally designed for occupancy after a seismic event. Finally, exterior improvements include a common courtyard plus fleet, employee and cart refined parking facilities. Consultant has completed Project design and permitting activities in preparation for Guaranteed Maximum Price (GMP) negotiation and subcontractor bidding by the selected Construction Manager General Contractor (CMGC). The following scope of services is to provide services during construction and final GMP development. SCOPE OF SERVICES TASK 1 Project Management Consultant will provide design/construction schedule support to CMGC through subcontractor bid. Consultant will provide subconsultant contract management and regular invoicing to District. As part of monthly reporting, Consultant shall report on status of Requests for Information (RFIs) and submittals and risks to the budget. Quality assurance/quality Control (QA/QC) of documents will occur when Bid Documents and the Conformed Document are issued. Services are based upon a substantial completion date for construction of January 1, Meetings: Consultant will attend up to two meetings to review Bid Documents and Conformed Documents. Deliverables: Meeting minutes, as required. Monthly invoicing and progress reports per District standards. Page 3

4 TASK 2 Services During Construction Consultant will provide Services During Construction (SDC), which will consist of: OAC: Attending weekly Owner/Architect/Contractor (OAC) meetings to review the schedule, outstanding RFIs/Submittals and upcoming issues. RFI: Preparing responses to RFIs. Submittals: Reviewing and responding to submittals. Site Visits: Performing site visits during construction as required by permitting or to confirm design intent at critical stages of construction. Includes Punch and Final Punch List visits. Miscellaneous Construction Support: Providing on-call construction support services to address unforeseen issues and conditions uncovered during the building remodel. The OAC is a weekly meeting that will be attended by the Consultant and will occasionally include other discipline representatives when needed to resolve RFIs or Submittals with sitebased observations. This meeting is owned by the CMGC. Consultant will review RFIs and send them to the appropriate discipline reviewers. Three hours are allowed for review and response by the Consultant for each RFI. Responses will be collaborative with the District representatives. At District s request, Consultant will provide design assistance and include selected items in a Bid Set package. These items will require meetings with various Consultant disciplines, District representatives and the CMGC. These include: Validate Women s Locker Room Entrance Store Rack Retrofit Coordinate Light Fixture Upgrades in Phase 1a/b Areas Conference Building At-Grade AHU Screening Furniture Showroom/Options Support and Drawings OFCI/Owner Inventory List and Audio Visual Documentation Reconcile Door Hardware with CMGC Envelope Deferred Design Interpretive Design, Coordination, Construction Documentation and Bid Package Consultant will review required submittals and results of reviews. The submittals will be reviewed against project documents for conformance. Substitution requests will be evaluated only when endorsed by District and will follow procedures outlined in the General Conditions and Division 1 specifications. Consultant will perform site visits at either permit required inspections or when requested by the CMGC to resolve field-related issues. Site visits are allotted eight hours each and include field notes for use by District s Construction Manager. During site visits Consultant team shall assist in determining if non-conforming work will be rejected or accepted. When final acceptance is requested Consultant will conduct a pre-punch list inspection on site itemizing outstanding work. Consultant will return for a Final Punch upon CMGC request. Consultant will provide additional review, research support and response to Submittals and RFIs regarding the building enclosure during construction. The level of effort is based upon on an Page 4

5 eight-month construction period. The budget includes 300 hours for miscellaneous construction support services and the following number of Site Visits, RFIs and Submittals and re-submittals per discipline: Discipline RFIs Submittal s Re-Submittals Site Visits + OAC + Punch Architectural Structural Mechanical /Plumbing/Elec/Comm Landscape Architect Civil Site Geotechnical Envelope Consultant Interpretive Consultant will provide observation of footing/slab subgrades, response to geotechnical related RFI and other miscellaneous items during construction. A summary letter of compliance will be provided at the end of this task for the geotechnical related items. All RFI and Submittals correspondence is expected to be via shared software interface that will be provided to the Consultant at no cost to the Consultant. Meetings: Prepare for and attend weekly Owner/Architect/Contractor meetings (40 OAC total) Punch List; will be incorporated in Owner/Architect/Contractor meeting (Reports by the District) RFI/Design Assist meetings (per table above) Deliverables: Respond to Construction Contractor Submittals and RFIs as quickly as possible, but in no case later than seven (7) calendar days. CAD work will be performed in REVIT; final digital documents will be delivered in PDF and AutoCAD 2014 compatible file format. District Responsibilities: District will: 1. Provide Consultant with access to the following District experts or resources: Data/IT, Electrical, Mechanical, and Security. 2. Provide all emergency communication equipment for the Conference Building; cut sheets will be made available for coordination of the support infrastructure. 3. Provide a representative to coordinate with Energy Trust on incentives and grants for lighting, window replacement, mechanical upgrades, and other items of this type. Page 5

6 4. Provide irrigation design. 5. Partially perform submittal and RFI responses and maintain the submittal log in Procore. 6. Lead punch listing activities. 7. Provide the General Conditions (Division 0) for CMGC; Consultant will assist as needed. 8. Include Consultant in dialogue on any submittal the District solely reviews. 9. Provide all milestone review, construction, and permitting document printing and plotting. Page 6
