Recommendation: The Governing Board Approve the increase to the Project Assignment Agreement 59-4 for WLC Architects due to a change in the scope of work in the amount of $43, District Priority/Strategy: To ensure a clean, safe, and orderly environment that supports learning I. BACKGROUND On March 9, 2010, the Board approved the Project Assignment Agreement 59-4 for WLC Architects, for the Jackson Elementary School Modernization project. II. STAFF ANALYSIS/DISCUSSION An Amendment to the Project Assignment Agreement is being requested for the following: Kitchen Layout Revisions: Due to the re-phasing of the Central Kitchen and Advanced Culinary Arts and Hospitality Academy project, WLC Architects is required to redesign the kitchen to meet the requirements for a full service stand alone kitchen. The original Project Assignment Agreement amount is $347, The additional fee not to exceed is $43, District Facilities staff recommends that the Board approve this amendment in order to complete the plans and specifications to obtain DSA approval. Attachments: Amended Project Assignment Agreement 59-4 Fee Proposal This Facilities project was vetted by the Facilities Subcommittee on October 25, III. FISCAL IMPACT Funds in an amount not to exceed $43,050 are available in the Measure TT account. These are not to exceed fees. 2 PROJECT ASSIGNMENT AGREEMENT No To MASTER AGREEMENT FOR ARCHITECTURAL SERVICES Between THE PASADENA UNIFIED SCHOOL DISTRICT AND WLC Architects, Inc. Dated March 9, 2010 Amended November 22, 2011 WHEREAS, this Project Assignment Agreement is made and entered into as of November 22, 2011 by and between the Pasadena Unified School District ( Client ) and WLC Architects, Inc. ( Architect ), collectively, Parties ; and WHEREAS, this Project Assignment Agreement shall be considered attached to and incorporated in that certain document dated June 15, 2009, entitled Master Agreement For Architectural Services ( Agreement ) as the Parties desire to identify a particular portion of the Project that will be completed pursuant to the terms of the Agreement; and WHEREAS, this Project Assignment Agreement arises out of the Client s desire to obtain architectural services for Jackson Elementary School Modernization Revised hereinafter referred to as the Project as set forth in the Agreement; and WHEREAS, this Project Assignment Agreement is being executed between the Parties pursuant to Article I.B of the Agreement; and WHEREAS, the Agreement requires that each portion of the Project be identified and made a part of the Agreement through a written Project Assignment Agreement executed by both Parties, which identifies the project name, location, scope of work, Architect s project number and basis of compensation in addition to the Basic Services that will be performed by the Architect pursuant to the Agreement. NOW, THEREFORE, the Parties hereto agree that the aforementioned Project shall be completed pursuant to the terms and conditions of the Agreement and as set forth herein below: / v1 1

3 1. Project Description. Modernization of Auditorium, Cafeteria & Kitchen, including new hvac, electrical / sound system, kitchen equipment, flooring, wall and ceiling finishes, window blinds, platform steps, proscenium opening, and stage floor. Also, replace exterior drinking fountains with ADA fixtures (code required), replace wall/window HVAC & existing light fixtures with energy efficient equipment and fixtures, reorganize main office area, and perform upgrades to fire alarm system, exterior lighting, hvac and plumbing system as identified in the MEP needs assessment. 2. Basic Services. The Architect will provide the following Basic Services noted below for the abovedescribed Project in addition to those services required by the Agreement. 4 6. Architect Compensation: A. Fee for Basic Services. For performing the Basic Services described in the Agreement and this Project Assignment Agreement, the Client agrees to pay the Architect as follows: (Check the applicable manner of payment. If no manner of payment is selected, the Architect shall be paid in accordance with the Fee Schedule set forth in Exhibit C of the Agreement.) Pursuant to the Fee or Rates set forth in Attachment 1 to this Project Assignment Agreement. Attachment 1 is attached hereto and incorporated herein by this reference. 6 ATTACHMENT 1 (Alternative Compensation Calculation, If Any) The Architect s Compensation for performing the basic services under this Project Assignment Agreement (i.e., hourly, fixed fee/lump sum, percentage of Construction Costs, etc.) shall be as follows: 2.5 times the augmented hourly pay of architectural personnel assigned to the project, plus 1.10 times the cost of consulting engineers 5

7 AMENDMENT 1 This Amendment applies specifically to the Kitchen portion of the project only and does not release WLC Architect s obligations to fulfill other provisions or services stipulated in the original Project Assignment Agreement. Architectural /Engineering Services Assessment/Re-design Phase Assess required design changes with District s consultants b. Construction Documents Revise previously DSA-approved Construction Documents as required for Division of the State Architect approval. c. Bidding and Negotiations WLC Architect s understands that this portion of work will be bid as a stand-alone project once it is DSA approved, and thus have included additional time under this phase. d. Construction Administration WLC Architect s understands that this portion of work will be bid as a stand-alone project once it is DSA approved, and thus have included additional time under this phase. 6
