LIST OF UESTIONS ND METRO RESPONSE(S) The following questions and METRO Responses are hereby made a part of and subject to the Request for ualifications. Item 1 uestions / nswers In reference to ttachment -Scope of Work, Section 6.2. Conflict of Interest. The aforementioned section identifies that an organizational conflict of interest exists for organizations that have performed design services as a Prime Consultant to METRO and either are or will be performing Design Services during Construction for projects listed in METRO s Scope of Work. Our interpretation of the performing as a Prime Consultant to METRO for conceptual engineering in support of planning/permitting work or in developing bridging documents for a potential METRO design-build project would NOT constitute an organizational conflict of interest for RF No. LRT PMCM. Please confirm. METRO agrees as a Prime Consultant doing conceptual engineering in support of Planning Support Services DOES NOT constitute an organizational conflict of interest. 2 DDENDUM No In reference to RF, Section 18 SO Preparation Instructions, Section C2 Do you prefer a separate Table of Contents page included in our SO? If yes, is it included in 30-page limit or not included in page limit? s indicated in Section 18, SO Preparation Instructions, section C1 wherein it states; blank divider page should precede each section with an index tab extending beyond the far right side of the page. The index tab should have the appropriate section number typed thereon. Thus a separate Table of Contents page is not necessary based on the index tabs identifying the section number for your response. If Offeror chooses to add a table of contents page because it uses index tabs with numbers, then it shall NOT count as part of the 30 page limitation. In reference to RF, Section 18, SO Preparation Instructions, Section C2 May we use a font size smaller than 11-point for photo and figure captions, text in tables/matrices, project schedule, team organization chart, and other graphics including in SO? METRO will allow a 10-point font for photo with word captions, text in tables/matrices for project schedule, team organization chart and other personnel charts ONLY. Everything else must be 11-point. In reference to RF, Section 18, SO Preparation Instructions, Section C2 May we include front and back covers to the SO? re they included in the 30-page limit? Yes front and back covers identifying your firm s proposal can be included and shall NOT be counted in the 30-page limit The PM-CM Consultant will need to affirm that it does not have any financial or other interest if the outcome of any listed projects the PM-CM will be managing. The PM-CM Consultant will need to further affirm that it does not have any agreement, enforceable promise, or guarantee to provide any future services with others on any listed project the PM-CM will be managing. The PM-CM Consultant will need to further affirm it does not have any associations or professional or business relationships with anyone who has a financial interest in the outcome of any of the listed projects, nor does anyone with a financial interest in the outcome of the listed projects exercise any control over the PM-CM s management of the listed projects. 1) re all firms that have or will work on listed projects with METRO conflicted out of this contract or just those who are Prime Consultants? 2) The last statement of Section 6.1 appears to prohibit firms that are teamed together and/or contractually linked on other, non-metro projects, including those outside of rizona, from pursuing this contract. Is this your intent? 1) METRO s intent is not to limit competition but to ensure the PMCM Prime Consultant is not the same firm (Prime Consultant for final design) reviewing the final design work that their firm performed. 2) No, this is not METRO s intent. 3 DDENDUM No For those consultants that have performed design services as a Prime Consultant to METRO and either are or will be performing Design Services during Construction for projects listed in METRO s Scope of Work, METRO has determined that an organizational conflict exists. Such Prime Consultant may not participate in any capacity on the PM-CM team for that particular project. 1) The term design services is broad. Specifically, does it refer to all or some of the following: (a) Preliminary Design, (b) Environmental Clearance, (c) Final Design, and (d) Design Services during Construction? 2) Please provide a list of the firms that have done design services that would result in an organizational conflict of interest for this contract. 1) The term Design Services includes final design and/or design services during construction. 2) This was addressed in the Pre-Submittal Conference. ECOM has performed final design on the Northwest Phoenix Extension and Jacobs will perform final design upon execution of the Notice to Proceed for final design for the Central Mesa Extension Once a Prime Consultant s contract for PM-CM services with METRO has been executed, the PM-CM Consultant will no longer be eligible to compete for follow-on Design or Design Services during Construction contracts related to the specific projects that the Prime Consultant will be managing as the PM-CM for METRO. 1) Does this preclusion from all future work related to the listed projects apply to subconsultant firms performing work for the Prime PM-CM? 2) Can the Prime Consultant for PM-CM services be a subconsultant on METRO s listed projects? 3) If a contract is design-build, is the Lead Designer considered a subconsultant? 1) The answer is NO. 2) No, the PMCM Prime Consultant cannot be a Prime or SubConsultant for final design and/or design services for construction project(s). 3) PMCM Prime Consultant is NOT eligible to be the Prime Designer on a design/build project. There appears to be no reference to the requirement for any geotechnical investigations in ttachment -Scope of Work. 1) When such investigations are required are they handled through a design consultant contract? 2) If so, is such a contract awarded separately for each individual extension? 1) Geotechnical investigations will be part of a final design services contract. 2) Yes, based on answer to part 1 of this question. 4 DDENDUM No Regarding the capital project delivery schedule, will there be enough time between PMCM NTP and bid ready document milestone for the PMCM consultant to add value to the bid ready documents through addition of disputes elimination, best management practices and processes? Yes, METRO anticipates 60% design to be completed on the Central Mesa Extension in September 2011 and an early utilities construction package (Invitation to Bid) solicitation to go out on the Street toward the end of the month in September, wherein an addendum may be issued to address any concerns that may surface. Design Services have not started on other projects, except the Northwest Extension and it is 90% plus complete with a Construction Manager at Risk Contractor already selected. Will VMR want the PMCM consultant to conduct: Risk Management Workshops Maintain a Risk Registry Regular Risk Registry Updates during Design and Construction Phase? METRO is currently utilizing a risk management registry on the Central Mesa Extension project. The PMCM Prime Consultant shall be required to maintain a Risk Registry in conjunction with the Designer and METRO. Workshops will be on an if required and an as needed basis. Can a firm provide quality assurance/or control services on one phase/task order of a contract, and construction services on another? Clarification to the question received as follows: If there is a sub who submits on both the uality ssurance / Construction Services, will this be seen as a conflict of interest. Sub-consultant performs work in both areas but wants to be sure not to throw out a prime based on these two types of services. Will submit on Construction Services only if it does? No, the Sub-consultant shall perform work either uality ssurance or Construction Services, not both. ttachment Scope of Work (pg. 3 of 20) 6.1 Can a consultant who is a sub on the design phase act as a sub in the PM-CM portion of work? Clarification to the question received as follows: Sub-consultant is a currently part of the Design Team on the Central Mesa Extension performing work for utilities design; will this exclude the firm from submitting with another Prime Consultant because of current status as a Sub for Prime Design Team? Yes, a Sub-consultant on the PMCM Prime Consultant Team can be a Sub-consultant on the Prime Consultant Design Team. RF No. LRT PMCM Page 4 of 5 ddendum No. 1

5 DDENDUM No uestions regarding the clauses in Section 6. CONFLICT OF INTEREST 1. Will the inclusion by the Prime firm of any sub-consultant who was involved in the design and engineering of the projects listed in Section 7 disqualify the Prime s proposal? 2. Can the prime include on this proposal any sub-consultant who was involved in the design and engineering of the projects listed in Section 7, but specify that the Prime will preclude the sub from being engaged on any work as related to the particular project the sub was involved with for any design and engineering scope in the past? 3. Will Metro issue any addenda to clarify the questions received to-date prior to the July 8 question deadline? 1) No, a Sub-consultant on the PMCM Prime Consultant team can be a Sub-consultant on the Prime Consultant Design Team. 2) Yes, a Sub-consultant on the PMCM Prime Consultant team can be a Sub-consultant on the Prime Consultant Design Team. 3) Yes TTCHMENTS: ttachment, Scope of Work (page 4) END OF DDENDUM NO. 1 RF No. LRT PMCM Page 5 of 5 ddendum No. 1

6 PROGRM MNGEMENT CONSTRUCTION MNGEMENT SERVICES Request for ualifications RF No. LRT PMCM If METRO determines that an organizational conflict of interest exists as to any listed project, METRO may solicit proposals through competitive Request for Proposals (RFP) or Request for ualifications (RF) for Construction Management Services for that project. The consultant that METRO has deemed to have an organizational conflict of interest will not be afforded the opportunity to submit proposals on any advertised RFP or RF Once a Prime Consultant s contract for PM-CM services with METRO has been executed, the PM-CM Prime Consultant will no longer be eligible to compete for follow-on Design or Design Services during Construction contracts related to the specific projects that the Prime Consultant will be managing as the PM-CM for METRO. 7. PROJECTS INCLUDE IN SCOPE OF WORK 7.1. Major design and/or construction projects that will be initiated by METRO over the next five years through FY Major Capital Projects for which design and construction may be initiated within the next five years through FY16 include: Northwest Extension 5 mile alignment in Phoenix with 3.2 mile Phase I proceeding north and terminating in the vicinity of Dunlap and 19th venue Central Mesa 3.1 mile alignment extending eastbound to downtown Mesa Tempe Streetcar 2.6 mile alignment extending southward along Mill venue in downtown Tempe from Rio Salado to Southern Phoenix West 11.0 mile alignment from downtown Phoenix westward to the vicinity of 79th venue ny additional extensions of Projects listed herein. 8. PROJECTS OVERVIEW 8.1. The Central Mesa Light Rail Extension The Central Mesa Light Rail Extension consists of approximately 3.1 miles of double track alignment extending from the Central Phoenix/East Valley (CP/EV) LRT Project s eastern limits to an end of line station on Main Street between Lesueur and Hobson The Project will include 4 stations on Main Street including locations at lma School Road, Country Club Drive, Centennial Way, and Lesueur Street and a Park and Ride (PNR) at Lesueur with an on-street bus facility at Center Street or Centennial Way, paved trackwork, 3 traction power substation sites, signals interlocking/crossovers and signals/ communications, ticket vending machines, etc. The alignment is primarily center-street-running with the overhead catenary system poles between the tracks. The system elements will primarily be consistent with other METRO corridors. dditionally, this project will include renovation and VLLEY METRO RIL, INC.
