37 General Conditions of Sale General Conditions of Sale Order Acceptance Whenever used herein, Seller shall refer to Chicago Metallic Corporation and Purchaser shall refer to the party ordering or purchasing products ( Products ) from Seller. Seller s price list does not constitute an offer to sell Products listed therein, but is simply provided as a convenience to prospective Purchasers. Purchaser s order to Seller shall constitute an offer to Seller to purchase Products which offer Seller may accept at its sole discretion. Acceptance shall be by a writing containing these General Conditions of Sale ( Conditions ). Acceptance of Purchaser s order or any part of it by Seller is expressly made conditional on Purchaser s assent to these Conditions. Purchaser may vary these Conditions only with the written consent of Seller. Acceptance of Products by Purchaser or failure of Purchaser to object in writing to these Conditions within ten (10) days following delivery of Products to Purchaser shall constitute Purchaser s assent to these Conditions. Shipment and Delivery Seller shall deliver Product F.O.B. place of shipment. Risk of loss to Product shall pass to Purchaser upon delivery to carrier at such place of shipment. Carrier acts as Purchaser s agent. Products shall be shipped as soon as practical, or as requested by Purchaser after order acceptance by Seller. However, delivery dates shall not be of the essence, but shall be regarded as Seller s best approximation of such delivery dates. Seller may arrange freight at the request of and on behalf of Purchaser. If applicable, freight will be charged according to the Seller s freight policy in effect at time of shipment. Such policy will be provided to Purchaser via its preferred communication method and is also available in Seller s price book or upon request. All taxes, tariffs, duties or similar charges paid by Seller imposed or levied by any governmental authority in connection with the purchase, shipment, import or export of Products purchased or in connection with the procuring of materials used therein may at Seller s sole option be added to the price of Products so affected. Additional shipping charges for Products paid by Seller such as destination, storage, labor and redelivery and special or extra expenses for handling air freight, bus or other shipments may also, at Seller s sole option, be added to the price of such Products. Payment Payment for all Products shall be net cash due and payable in U.S. dollars within thirty (30) days following receipt by Purchaser of shipping documents for such Products by check or bank transfer to a bank account to be designated by Seller. If accounts are paid within ten (10) days following receipt by Purchaser of the corresponding shipping documents, Purchaser shall been entitled to a one percent (1%) discount from the price of Products only. If, in Seller s sole opinion, the financial condition of the Purchaser so warrants, Seller may require advance payments or satisfactory security. In the event that the Purchaser fails to make such advance payments or furnish such security upon Seller s request, delivery of Products may be suspended without further Seller obligation. Seller may, at Seller s sole option, require payment by means of an irrevocable letter of credit opened and confirmed by a bank or banks acceptable to Seller and upon terms and conditions acceptable to Seller. Limited Warranty Seller warrants to Purchaser that Products will substantially conform in quantity and quality to Purchaser s order, as accepted by Seller, provided, however, that (1) Products are inspected by Purchaser upon arrival at place of destination and any and all nonconformities are noted on the bill of lading and all other delivery documents and are attested to in writing by carrier s representative (2) Purchaser furnishes Seller with written notice of such non-conformities within fifteen () days following arrival of non-conforming Products at the place of destination, (3) Purchaser holds nonconforming Products for Seller s inspection (4) non-conformities occurred prior to delivery by Seller of Products F.O.B. place of shipment, and (5) Purchaser does not alter, repair, use or attempt to alter or repair any non-conforming Products. This limited warranty is Seller s only and exclusive express warranty to Purchaser. Seller disclaims any and all implied warranties including without limitation any implied warranty of merchantability or fitness for a particular purpose. Purchaser s sole and exclusive remedy against Seller shall be the replacement F.O.B. its plant or site, at Seller s option, of any Products which do not conform to Seller s limited warranty hereunder. No other remedy (including, without limitation, incidental or consequential damages for lost profits, lost sales, injury to persons or property or any other incidental or consequential loss) shall be available to Purchaser. Purchaser agrees to include in all contracts between Purchaser and subsequent owners or users of Products, and to bring to the attention of all Purchaser s customers of Products, the following warranty disclaimer: Chicago Metallic Corporation disclaims any and all warranties expressed or implied, including, without limitation, any implied warranty of merchantability or fitness for a particular purpose. Purchaser shall be excluded on behalf of Seller all remedies for damage or injury to Products persons or property. In the event that Purchaser fails to comply with the foregoing obligations, Purchaser shall indemnify Seller for any liability resulting from such non-compliance and shall otherwise hold Seller harmless. Returns In order to return any Products to Seller, Purchaser must first obtain prior authorization for products eligible for return, and receive a Return Goods Authorization number from Seller s home office. All authorized returns are subject to a 20% restocking charge. Seller will only issue credit for Service Level 0 material received at the designated company facility with the Return Goods Authorization appearing on the material, and after being inspected and determined by Seller to be in resalable condition. Purchaser is solely responsible for arranging and prepaying for all return freight. Seller will not be responsible for any damage in transit on material returned at customer s request, and will not file freight claims on such damaged material. When these terms are met, seller will issue appropriate material credit less the restocking charge. Default, Termination and Suspension of Delivery Seller reserves the right, among other remedies, either to cancel Purchaser s order or suspend further deliveries of Products thereunder in the event that (1) Purchaser fails to pay for any one shipment of Products when payment for such shipment becomes due; (2) Purchaser fails to make any advance payments or satisfactory security demanded by Seller pursuant to paragraph two of PAYMENTS section above; or (3) Purchaser fails or refuses to accept any delivery of Products ordered from Seller. Delivery of Products may be suspended in whole or in part in case of any event beyond Seller s control, including, but not limited to, explosion, fire, shortage of fuel, power or raw materials flood strike lockout, injunction, riot, insurrection, war, national emergency, government act, or act of God. Miscellaneous No failure or delay on the part of Seller in exercising any right, power or privilege hereunder shall operate as a waiver thereof or of any other right, power or privilege hereunder nor shall any single or partial exercise of any such right power or privilege preclude any other right, power or privilege. 42 Seismic Codes: Development and Adoption Purpose of Installation Requirements for Suspended Ceilings Suspension systems strong enough to resist lateral force imposed upon it without failing. Prevent border panels from falling from the ceiling plane. Federal Emergency Management Agency (FEMA) Seismic performance during recent large California earthquakes prompted FEMA to address several concerns including suspended ceiling performance during a seismic event. Research and tests demonstrated that current industry seismic standards (UBC Standard 25-2) were not adequate. FEMA determined that the key to good seismic performance was support of individual panels at walls and expansion joints and interaction with sprinkler systems. Source: FEMA 368 NEHRP Recommended Provisions for Seismic Regulations for New Buildings and Other Structures New Seismic Categories According to the International Building Code, a Seismic Design Category must be established for each construction project based on: 1. Anticipated ground motion 2. Type of soil in a specific geographic area 3. Occupancy category The Code Official is the Only Authority to Enforce Code Compliance The building code was established to set minimum requirements for life safety and preservation of property. It is important to know that while the building code establishes the requirements, it is the code official that has the power to enforce its provisions. The code official also has the latitude to allow materials and methods of construction that are not addressed in the code. In this case, an official can perform their own analysis of evidence presented or can rely on independent, qualified sources such as ICC-ES to do the analysis and provide their findings. The resulting report is specific, technical evidence on which the code official can base approval of a particular design without delaying construction. Earthquakes Are Coming! Safety Wires must be attached to the light fixtures. Light Fixtures must be positively attached to the grid system. Ceiling penetrations, like sprinklers, must provide clearance for movement. 45 Seismic Ceiling Installation: FAQ My building owner does not like the 2) wall molding that is required in IBC seismic design categories D, E and F. Is there an alternative? How can local code officials be sure that the use of the Chicago Metallic perimeter clip is compliant with the IBC? Chicago Metallic has designed a seismic perimeter clip, item # , which provides for the use of a /16) wall angle while eliminating the need for perimeter spacer bars. This clip has been recognized by ICC-ES as an alternative installation that is compliant with the IBC. Official approval of this alternative remains the purview of the Authority Having Jurisdiction (AHJ). See ICC-ES ESR-2282 at Chicago Metallic s seismic grid system, including the perimeter clip, was rigorously tested at the Structural Engineering Earthquake Simulation Laboratory (SEESL) at the State University of New York at Buffalo. The evaluation process, including room size testing on shake tables at the University were monitored by engineers from Chicago Metallic and the State University of New York at Buffalo, as well as by engineers from an independent structural engineering group, to insure accurate data was properly collected and summarized. This report was then submitted to ICC-ES, where our suspended ceiling grid and perimeter clip has been recognized by ICC-ES to perform as required by the current IBC. Where can the local code officials or I find verification of the testing, or recognition by ICC-ES? Has an alternative method for seismic separation joints been developed yet? Chicago Metallic has designed what we believe is the only seismic separation joint alternative that has been both tested at the State University of New York at Buffalo and evaluated by an independent, internationally-renowned structural engineering group. The Seismic Separation Tee (SST) from Chicago Metallic has been designed to provide movement due to seismic activity along the separation joint. Seismic activity causes the SST tees to move linearly, thus eliminating the need for a conventional separation joint. Other benefits over competitive products or standard recommended installations include: a one-step installation process Just insert the tees and install push rivets to create the expansion joint, and you are done. 46 Seismic Ceiling System Details Though suspended ceilings are considered non-structural, recommendations for seismic stabilization do exist. However, traditional seismic ceiling construction is costly. Additional joint clips, wires, stabilizer bars, and seismic separation joints increase the cost of materials, while attaching separator clips and field cutting cross tees significantly impact labor costs. In addition to its Seismic 1200 Intermediate and Heavy Duty grid, Chicago Metallic now introduces the Seismic Separation Cross Tee (SST ) and Perimeter Clip, both of which can save up to 75% in material and labor costs compared to traditional installation methods. Seismic 1200 Exposed Grid /16) Wall Angle Chicago Metallic s Exposed Tee grid includes seismic and fire-rated seismic constructions. The 1200 System is offered for Intermediate Duty and Heavy Duty performance per ASTM C 635 to satisfy the requirements of all Seismic code constructions. Chicago Metallic s Seismic Perimeter Clip meets seismic criteria set forth by the International Building Code (IBC) to stabilize main and cross tees at the ceiling s perimeter, as detailed in ICC-ES Report # This clip ties together perimeter components and has been tested and recognized as an alternate method of stabilizing tees at the perimeter. Its robust construction allows contractors to use a sleek /16) angle in lieu of the less desirable 2) angle and eliminates costly stabilizer bars. The Perimeter Clip is easy to install. Clearly visible dimension markers on the clip show the required 3/8) or 3/4) clearance of the grid to the wall. An integral back plate accommodates the additional attachment of the clip to the wall and/or wall angle if desired, and screw holes provide easy attachment to the tee when necessary. 47 Seismic Ceiling System Details SST (Seismic Separation Tee) elongated integral end tab designated seismic joint main tee staked-on stab-in end tab The Chicago Metallic SST is the only product available in the market today that has been both tested at the State University of Buffalo and reviewed by an independent, internationally renowned structural engineering group to be a viable solution for creating seismic separation joints in IBC seismic design categories D, E and F installations. Chicago Metallic s SST Seismic Separation Tee offers a ONEstep process to meeting IBC requirements. Each tee has one staked-on stab-in end tab and an opposing elongated integral end. The elongated ends of two SSTs are installed on both sides of the Main Tee that has been designated as the Seismic Joint, then locked in place with two (2) push rivets. In a seismic event, seismic forces cause the tees to move linearly, thus eliminating the need for a conventional separation joint (see photos below). In addition to the labor saved by going from the THREE-step process of returning to the assembled grid, cutting off tee clips, and installing two-piece brackets, the ONE-step SST process eliminates the need for more channels, wall angles, and additional hanger wires; does not interfere with struts, wires, push rivets lock each SST in place or ceiling panels; helps keep the grid system square, and preserves the appearance of the gridwork. The extended integral tab of the SST allows it to push towards and pull away from the designated seismic joint main tee and maintain a strong connection. The push rivets enable the joint to withstand a pullout force in excess of 180 pounds. Traditionally, contractors create their own seismic solutions by assembling the grid and then revisiting the assembly to cut the grid and build up conventional separation joints with tees, channels, and angles. The grid is then stabilized with additional hanger wires. In addition to increased material costs and time on the job, this multi-step process risks incurring delays while the construction method is inspected and approved. Competitive alternatives to this method include installing a two-piece bracket at main/cross tee intersections. This solution requires the contractor to install the grid, then return to the grid, cut off the cross tee tabs, and attach the bracket with screws. Seller s price list does not constitute an offer to sell Products listed therein, but is simply provided as a convenience to prospective Purchasers. Purchaser s order to Seller shall constitute an offer to Seller to purchase Products which offer Seller may accept at its sole discretion. Acceptance shall be by a writing containing these General Conditions of Sale ( Conditions ). Acceptance of Purchaser s order or any part of it by Seller is expressly made conditional on Purchaser s assent to these Conditions. If, in Seller s sole opinion, the financial condition of the Purchaser so warrants, Seller may require advance payments or satisfactory security. In the event that the Purchaser fails to make such advance payments or furnish such security upon Seller s request, delivery of Products may be suspended without further Seller obligation. Seller may, at Seller s sole option, require payment by means of an irrevocable letter of credit opened and confirmed by a bank or banks acceptable to Seller and upon terms and conditions acceptable to Seller. Limited Warranty Seller warrants to Purchaser that Products will substantially conform in quantity and quality to Purchaser s order, as accepted by Seller, provided, however, that (1) Products are inspected by Purchaser upon arrival at place of destination and any and all nonconformities are noted on the bill of lading and all other delivery documents and are attested to in writing by carrier s representative (2) Purchaser furnishes Seller with written notice of such non-conformities within fifteen () days following arrival of non-conforming Products at the place of destination, (3) Purchaser holds nonconforming Products for Seller s inspection (4) non-conformities occurred prior to delivery by Seller of Products F.O.B. place of shipment, and (5) Purchaser does not alter, repair, use or attempt to alter or repair any non-conforming Products. This limited warranty is Seller s only and exclusive express warranty to Purchaser. Seller disclaims any and all implied warranties including without limitation any implied warranty of merchantability or fitness for a particular purpose. Purchaser s sole and exclusive remedy against Seller shall be the replacement F.O.B. its plant or site, at Seller s option, of any Products which do not conform to Seller s limited warranty hereunder. No other remedy (including, without limitation, incidental or consequential damages for lost profits, lost sales, injury to persons or property or any other incidental or consequential loss) shall be available to Purchaser. Purchaser agrees to include in all contracts between Purchaser and subsequent owners or users of Products, and to bring to the attention of all Purchaser s customers of Products, the following warranty disclaimer: Chicago Metallic Corporation disclaims any and all warranties expressed or implied, including, without limitation, any implied warranty of merchantability or fitness for a particular purpose. Purchaser shall be excluded on behalf of Seller all remedies for damage or injury to Products persons or property. In the event that Purchaser fails to comply with the foregoing obligations, Purchaser shall indemnify Seller for any liability resulting from such non-compliance and shall otherwise hold Seller harmless. Returns In order to return any Products to Seller, Purchaser must first obtain prior authorization for products eligible for return, and receive a Return Goods Authorization number from Seller s home office. All authorized returns are subject to a 20% restocking charge. Seller will only issue credit for Service Level 0 material received at the designated company facility with the Return Goods Authorization appearing on the material, and after being inspected and determined by Seller to be in resalable condition. Purchaser is solely responsible for arranging and prepaying for all return freight. Seller will not be responsible for any damage in transit on material returned at customer s request, and will not file freight claims on such damaged material. When these terms are met, seller will issue appropriate material credit less the restocking charge. Default, Termination and Suspension of Delivery Seller reserves the right, among other remedies, either to cancel Purchaser s order or suspend further deliveries of Products thereunder in the event that (1) Purchaser fails to pay for any one shipment of Products when payment for such shipment becomes due; (2) Purchaser fails to make any advance payments or satisfactory security demanded by Seller pursuant to paragraph two of PAYMENTS section above; or (3) Purchaser fails or refuses to accept any delivery of Products ordered from Seller. Delivery of Products may be suspended in whole or in part in case of any event beyond Seller s control, including, but not limited to, explosion, fire, shortage of fuel, power or raw materials flood strike lockout, injunction, riot, insurrection, war, national emergency, government act, or act of God. Miscellaneous No failure or delay on the part of Seller in exercising any right, power or privilege hereunder shall operate as a waiver thereof or of any other right, power or privilege hereunder nor shall any single or partial exercise of any such right power or privilege preclude any other right, power or privilege. The rights or remedies of Seller hereunder are cumulative and not exclusive of any rights or remedies which it may otherwise have. The parties hereto may correct stenographic and clerical errors without liability. Purchaser may not assign the order without the express written consent of Seller. All notices to be given hereunder by either party to the other party shall be dispatched by certified or registered mail return receipt requested addressed to the last known post office address of such other party. Any such notice shall be deemed received within five (5) days following any such dispatch if mailed from within the United States of America and ten (10) days if mailed from outside the United States of America. Either party may change its address by notice to the other party. These Conditions shall be governed by and interpreted in accordance with the laws of the State of Illinois, United States of America, and all disputes hereunder that cannot be amicably resolved by the parties thereto must be settled in a court of competent jurisdiction within the State of Illinois, United States of America. The provisions of these Conditions shall be severable one from the other so that should any provision be held legally unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in effect.
