As part of this Task Order, CPH, Inc. will furnish following scope of work: The City of DeBary has requested that CPH, Inc. provide a scope of work for professional engineering/architectural services for surveying. Design, permitting, bidding & construction phase services, design services associated with potential Special Assessment District (SAD) for funding and construction of a new potable water main along Ft. Florida Rd., extending from south of Riviera Bella Drive to east of Ft. Florida Pt. Rd., intersection, and along 15 th St. and River Dr., west of Ft. Florida Rd. The Amount of this Task Order is One Hundred Twenty-Ninee Thousand Five Hundred Forty-Five Dollars ($129,545.00). The Client agrees to pay CPH for its services based on approved monthly invoices. Preliminary Design Phase Services BASIC SERVICES S OF THE CONSULTA ANT CPH, Inc. herein identified as CONSULTANT, will provide engineering services to City of DeBary, herein identified as CITY, for surveying, design, permitting, bidding & construction phase services, design services associated with potential Special Assessment District (SAD) for funding and construction of a new potable water main along Ft. Florida Rd., extending from south of Riviera Bella Drive to east of Ft. Florida Pt. Rd. intersection, and along 15 th St. and River Dr., west of Ft. Florida Rd. The CONSULTANTT agrees to perform professional engineering services in connection with project as hereinafterr stated. The CONSULTANT will serve as e CITY's professional engineering representative in those phasess of project to which this Scope of Services applies, and will give consultation and advice to CITY during performance of se services. Task 1 - Preliminary Phase Services The CONSULTANTT will prepare aerial maps of Ft. Florida Rd. vicinity and meet with CITY to review maps, potential development, and existing lots within vicinity of potential Special Assessment District (SAD) area. The CONSULTANTT will prepare maps showing up to three options for new water main and areas that can be potentially included in SAD. The CONSULTANT will meet with CITY to review three options, and will make minor revisions to options as requested by CITY. The CONSULTANTT will conduct a fire flow test att proposed connection point to existing water main at e Ft. Florida Rd. / Riviera Bella Dr. intersection. Scope of Services - SAD Preliminary Ph. Ft. Florida Rd. 15 th Street & River Drive, Water Main Extension The CONSULTANTT will size proposed water mains based on a simplified hydraulic analysis based on fire flow test and development assumptions. Detailed hydraulic modeling is not included. Based on water main sizing, CONSULTANTT will prepare a Preliminary Opinionn of Probable Construction Cost (POPCC) for up to three options of water main route that serves potential SAD The CONSULTANTT will meet POPCCs. with CITY to review three options and Based on its meeting with CITY, e CONSULTANT will options and revise POPCCs as needed. refine three The CONSULTANTT will review State Revolving Fund (SRF) loan program requirements (and current interest rate) and contact Florida Dept. of Environmental Protection (FDEP) concerning CITY's potential interest in an SRF loan. As a result of its review and discussions with FDEP concerning potential SRF funding, CONSULTANT will prepare a summary of its findings and present findings to CITY. The CONSULTANTT will finalize three options, POPCCs, and supporting maps, and will meet with CITY to review final documents. As a result of meeting, a list of various items that comprise next phase of Work will be provided to CITY Task 2 - Surveying Services The CONSULTANTT will locate apparent right-of-way monumentationn and perform a Topographic Survey using a High Definition Laser Scanner within apparent right of way limits of approximately 9,900 linear feet or roadway in accordance with Chapter 5J-17 of Florida Administrative Code of compliance with minimum technical standards of surveying and mapping of State of Florida. The CONSULTANTT will locate existing visible above ground improvements and visible utilities within apparent right-of-way.. Horizontal and Vertical control points will be placed approximate ely every Vertical control will be based on NAVD 88 and Horizontal control will be matched to NAD83 (1990). Page 2 of 8

Task 3 - Design Services The CONSULTANTT will prepare agenda, schedule and attend a project kickoff meeting with CITY, and issue meeting notes. The CONSULTANTT will field review water main route and completed survey to assess construction areas and add information to completed survey as necessary. The CONSULTANTT will prepare 60% Design Drawings (60% plans). The 60% plans will consist of a Cover Sheet, Survey, plan view drawings showing proposed water main, plus proposed valves, connection points and hydrant locations along new water main. The CONSULTANTT will submit 60% plans to CITY for review consisting of following: 60% Plans (one set full size 22 x34 and threee sets half size 11 x17 ) and one CD containing PDF files of plans. The CONSULTANT will meet with CITY to review 60% plans, make revisions as requested by CITY, and provide written responses to review comments to CITY. The CONSULTANTT will meet with Volusia County Utility Division to review proposed construction, revisee planss as needed based on Engineering Division review The CONSULTANTT will prepare Final consisting of: Construction Plans ( 90% complete) a. The CONSULTANTT will submit 90% Plans (one set full size 22 x34 and three sets half size 11 x17 ); three copies of technical specifications (8½ x11 ); Bid Schedule (threee copies); and one CD containing PDF files of plans, specifications, and Bid Schedule and equipment pricing information. The CONSULTANT will meet with CITY to review 90% plans, specifications, and bid schedule, make revisions as requested by CITY, and provide written responses to review comments to CITY. The CONSULTANTT will fill out a total of f up to two (2) Florida Department of Environmental Protection (FDEP) Permit Applications. The FDEP permit applications are for new construction consisting of: 1) The Ft. Florida portion; and 2) The River Drive and 15 th Street. The CONSULTANT will submit application, plans, and pipeline sizing information to FDEP. The application fee of $650 per application has been included in our expenses for this line item. The CONSULTANT will provide written responses to FDEP concerning requests for additional information; CONSULTANT will compile responses to FDEP into a single written response package to FDEP that includes both CONSULTANT and CITY responses. The CONSULTANT will revisee drawings and specifications in response to FDEP comments as requested by CITY. The CONSULTANTT will submit pre-final 100% plans, specifications, and bid schedule to CITY for review consisting of following: pre-final 100% Plans (one set full size 22 x34 and three sets half size 11 x17 ); three copies of technical specifications (8½ x11 ); and Bid Schedule (three copies); and one CD containing PDF filess of plans, specifications, and Bid Schedule. The CONSULTANTT will makee revisions as requested by CITY, and provide written responses to review comments to CITY. Preparation of draft addenda items as needed to address clarifications, questions, is included. Task 5 - Constructi on Engineering and Inspectionn (CEI) Services The CONSULTANT will coordinate with City for Pre-Construction Meeting. The CONSULTANTT will prepare e agenda for and conduct preconstruction meeting. The CONSULTANTT will assist CITY in issuing all instructions to Contractor and assist in preparation of routine Change Orders as may be required. The CONSULTANT may, as a designatedd project epresentative by CITY, require special inspection or testing of work (wher or not fabricated, installed or completed). The CONSULTANT will coordinate with CITY and Design CONSULTANT to respond to RFI s from Contractor. The CONSULTANT will conduct bi-weekly progresss meetings throughout duration of project. The project duration is anticipated to be 26 weeks for construction. The meetings will be attended by Resident Project Representative. The meetings are anticipated to last for approximately two hours each. The CONSULTANT will issue meeting minutes as a follow up to meeting to all attendees. Based on CONSULTANT s on-site observations as an experienced and qualified design professional and on his review of Contractor's applications for payment, review of this information with CITY Project Representative, review of supporting data, and information received from CITY, CONSULTANT will determinee amounts owing to Contractor and recommend approval in writing of payments to Contractor in such Page 5 of 8

Such recommendations to constitute representations to CITY, that are expressions of CONSULTANT s opinion, based on such observations and review, that work has substantially progressed to point indicated and that, to best of his knowledge, information and belief, quality of work is in accordance with Contract Documents (subject to an evaluation of work as a functioning project upon Substantial Completion and to results of any subsequent tests called for in Contract Documents and to any qualifications stated in his approval) For purposes of this Scope of Services, it is assumed that construction of City s facilities will occur overr a period of 26 weeks. The CONSULTANT will provide on-site ten (10) hours per week during anticipated 26 weeks of City s construction period. The on-site observation and inspection services/contractor coordination which amount to approximately inspectionn services include review of installed work and work in progress, as well as verification that Contractor s s work is in compliance with plans, specifications, change orders and field directives. The CONSULTANTT will also coordinate with City Personnel and Inspectors. The CONSULTANTT will observe work and will selectively inspect delivered materials on-site (not including materials testing to be provided by ors) as to compliance with Contract Documents. If it is determined that, due to construction progress (or lack reof) or or related matters that additional time and cost or or changes than enumerated in this scope of services are required to adequately address construction inspectionn or administrationn items; CONSULTANT is obligated to bring this situation to CITY' S attentionn and to furnish services as may be agreed upon and to negotiate a change in authorized fee. The CONSULTANT will provide a weekly progresss report to CITY as a record of Contractor's activities throughout construction, including notations on nature and cost of any extra work or changes ordered during construction; however, CONSULTANT is not responsible for performance of constructio n contract by Contractor. CONSULTANT s report will only cover activities observed by CONSULTANTT per this scope of services. In orderr to maintain a complete record of activities and changes, CONSULTANT will rely on CITY to provide information based on inspections that may be conducted by CITY. The CONSULTANT will, in conjunction with CITY representatives conduct a substantial completion inspection of in-place work to determine if work is completed substantiall ly in accordance with plans, specifications Page 6 of 8

The CONSULTANT will preparee a punch of items that are deficient or incorrect. List The CONSULTANT will assist CITY in review of Contractor provided record drawings/surveys and or as-built data for installed facilities and present any apparent discrepancies between as-built conditions and design conditions to attention of CITY. The CONSULTANTT will coordinate with Contractorr regarding provision of construction record drawings prior to final on-site inspections and punch list preparation. The CONSULTANT will prepare a final set off Record Drawings for City. The Record Drawing Package will include bothh hard copies of plans as well as electronicc files for project. The CONSULTANT will, in conjunction with CITY representatives conduct a final completion inspection of in-place work. The CONSULTANTT will assist CITY with close out document assistance to insure CITY obtains accurate records of construction including Certificates of Completion, Warranties, Permit Completions and orr documentation. Task 6 - Geotechnical Investigation The CONSULTANT will coordinate with a geotechnical investigation sub consultant to provide up to eighteen-10 deep boringss within work area to determinee underlying soil condition. The final report will also include general earthwork and back fill recommendations. The Services identified herein will be conducted under a Task Order issued by CITY to CONSULTANT and in accordance with developed Project Schedule. 11 EXHIBIT B A LISTING OF THE DUTIES, RESPONSIBILITIES AND LIMITATIONS OF AUTHORITY OF THE RESIDENT PROJECT REPRESENTATIVE

12 A LISTING OF THE DUTIES, RESPONSIBILITIES AND LIMITATIONS OF AUTHORITY OF THE RESIDENT PROJECT REPRESENTATIVE ENGINEER or Owner shall furnish a Resident Project Representative (RPR), assistants and or field staff to assist ENGINEER in observing performance of work of Contractor. Resident Project Representative and assistants may be employees of ENGINEER or y may be employees of Owner, depending on assignment based on availability, timing and scheduling. The RPR, his assistants or or field staff, may not be present at all work sites at all times while Contractor is working. Therefore, re will be Contractor work which may not be observed. However, through extensive periodic visits and on site observations of work in progress than provided through Administration of Construction Work and by field check of materials and equipment by RPR and assistants, ENGINEER shall endeavor to provide protection for Owner against defects and deficiencies in work of Contractor; but, furnishing of such services will not make ENGINEER responsible for or give ENGINEER control over construction means, methods, techniques, sequences or procedures or for safety precautions or programs, or responsibility for Contractor s failure to perform Work in accordance with Contract Documents. The duties and responsibilities of RPR are limited to those of ENGINEER or ENGINEER s agreement with Owner and in construction Contract Documents, and are furr limited and described as follows: A. General RPR is ENGINEER s representative at site, will act as directed by and under supervision of ENGINEER, and will confer with ENGINEER regarding RPR s actions. RPR s dealings in matters pertaining to on site work shall in general be with ENGINEER and Contractor keeping Owner advised as necessary. RPR s dealings with subcontractors shall only be through or with full knowledge and approval of Contractor. RPR shall generally communicate with Owner with knowledge of and under direction of ENGINEER. B. Duties and Responsibilities of RPR 1. SCHEDULES: Review progress schedule, schedule of Shop Drawing submittals and schedule of values prepared by Contractor and consult with ENGINEER concerning acceptability. 2. CONFERENCE AND MEETINGS: Attend meetings with Contractor, such as pre construction conferences, progress meetings, job conferences and or project related meetings, and notify appropriate City staff of meeting times and locations.

13 3. LIAISON: a. Serve as ENGINEER s liaison with Contractor, working principally through Contractor s superintendent and assist in understanding intent of Contract Documents; and assist ENGINEER in serving as Owner s liaison with Contractor when Contractor s operations affect Owner s on site operations. b. Assist in obtaining from Owner additional details or information, when required for proper execution of Work. 4. SHOP DRAWINGS AND SAMPLES: a. Record date of receipt of Shop Drawings and samples. b. Receive samples which are furnished at site by Contractor, and notify ENGINEER of availability of samples for examination. c. Advise ENGINEER and Contractor of commencement of any Work requiring a Shop Drawing or sample if submittal has not been approved by ENGINEER. 5. REVIEW OF WORK, REJECTION OF DEFECTIVE WORK, INSPECTIONS AND TESTS: a. Conduct on site observations of Work in progress to assist ENGINEER in determining if Work is in general proceeding in accordance with Contract Documents. b. Report to ENGINEER whenever RPR believes that any Work is unsatisfactory, faulty or defective or does not conform to Contract Documents, or has been damaged, or does not meet requirements of any inspection, test or approval required to be made; and advise ENGINEER of Work that RPR believes should be corrected or rejected or should be uncovered for observation, or requires special testing, inspection or approval. c. Verify that tests, equipment and systems startups and operating and maintenance training are conducted in presence of appropriate personnel, and that Contractor maintains adequate records reof; and observe, record and report to ENGINEER appropriate details relative to test procedures and startups. d. Accompany visiting inspectors representing public or or agencies having jurisdiction over Project, record results of se inspections and report to ENGINEER. 6. INTERPRETATION OF CONTRACT DOCUMENTS: Report to ENGINEER when clarifications and interpretations of Contract Documents are needed and transmit to Contractor clarifications and interpretations as issued by ENGINEER.

14 7. RECORDS: a. Maintain at job site or or suitable location orderly files for correspondence, report of job conferences, Shop Drawings and samples, reproductions of original Contract Documents, including all Addenda, Change Orders, Field Orders, additional Drawings issued subsequent to execution of Contract, ENGINEER s clarifications and interpretations of Contract Documents, progress reports, and or Project related documents. b. Prepare or obtain a diary or log book or marked up plans or sketches, photographs or videos, recording Contractor hours on job site, wear conditions, data relative to questions of Change Orders or changed field conditions, changes in construction from Contract Documents, list of job site visitors, daily activities, decisions, observations in general and specific observations in more detail as in case of observing test procedures; and maintain records and send appropriate copies to ENGINEER. c. Record names, addresses, and telephone numbers of all Contractors, subcontractors and major suppliers of materials and equipment. 8. REPORTS: a. Furnish ENGINEER periodic reports as required of progress of Work and of Contractor s compliance with progress schedule and schedule of Shop Drawing and sample submittals. b. Consult with ENGINEER in advance of scheduled major tests, inspections or start of important phases of Work. c. Draft proposed Change Orders, obtaining backup material from Contractor and recommend to ENGINEER Change Orders and Field Orders. d. Report immediately to ENGINEER and Owner upon occurrence of any accident. 9. PAY REQUESTS: Review applications for payment with Contractor for compliance with established procedure for ir submission and forward with recommendations to ENGINEER, noting particularly relationship of payment requests to schedule of values, work completed, and materials and equipment delivered at site, but not incorporated in Work. 10. CERTIFICATES, MAINTENANCE AND OPERATION MANUALS: During course of Work, verify that certificates, maintenance and operation manuals and or data required to be assembled and furnished by Contractor are

15 applicable to items actually installed and in accordance with Contract Documents, and have this material delivered to ENGINEER for review and forwarding to Owner prior to final payment for Work. 11. COMPLETION: C. Limitations of Authority a. Before ENGINEER issues a Certificate of Substantial Completion, submit to Contractor a list of observed items requiring completion or correction. b. Conduct final inspection in company of ENGINEER, Owner and Contractor and prepare a final list of items to be completed or corrected. c. Observe that all items on final list have been completed or corrected and make recommendations to ENGINEER concerning acceptance. 1. Resident Project Representative: a. Shall not authorize any deviation from Contract Documents or substitution of materials or equipment unless authorized by ENGINEER. b. Shall not exceed limitations of ENGINEER s authority as set forth in Amendment or Contract Documents. c. Shall not undertake any of responsibilities of Contractor, subcontractors, or Contractor s superintendent. d. Shall not advise on, issue directions relative to or assume control over any aspect of means, methods, techniques, sequences or procedures of construction unless such advice or directions are specifically required by Contract Documents. e. Shall not advise on, issue directions regarding or assume control over safety precautions and programs in connection with Work. f. Shall not accept Shop Drawings or sample substitutes from anyone or than Contractor. g. Shall not authorize Owner to occupy Project in whole or in part. h. Shall not participate in specialized field or laboratory tests or inspections conducted by ors as specifically authorized by ENGINEER.
