1 Lost Canyon II LLC EXHIBIT B SCOPE OF WORK DESIGNATED TASK FLATWORK A. SCOPE OF WORK In performing the Designated Tasks, Work and Product Specifications, the Subcontractor shall strictly comply with all of the following stipulations, which shall prevail, control and govern if there is any variation, inconsistency or conflict between such stipulations and the plans and/or any other specifications. The Subcontractor will adhere to all City, County, State and Federal building regulations, codes, and licensing in all areas where work is to be performed. Subcontractor will supply all Materials Safety Data Sheets for all materials used on the job site. All work performed under this contract shall be in strict accordance with Architectural and Structural Plans, Soils/Foundation Investigation Reports, the Uniform Building Code, OSHA/Safety Standards, VA/FHA Minimum Property Standards, the City and or County, and the State of Colorado codes, and all Ordinances and Statues. Provide all tools, labor, equipment, and materials, to furnish, install, and perform all operations in connection with the CONCRETE WORK, complete and in strict accordance with all state and local codes, The City of Aurora requirements, and strict adherence to the following: See Appendix B1 - Plan table All CONCRETE shall be installed in a quality and workmanlike manner, per plans and specifications provided by Lost Canyon II LLC. The Subcontractor shall include all labor, material, installation, supervision, equipment, State, Federal, and Local taxes, not herein excluded, and shall include but not be limited to the following: 1. SPECIFICATIONS a. Contractor shall provide and install all FLATWORK per approved plans, specifications and permits, b. Contractor is responsible for payment of all costs involved in completing the above-referenced services, including but not limited to, the following: move-in charges, license fees, liability and workmen's compensation insurance, labor union charges, maintenance costs, equipment, equipment rental fees, dumping fees, equipment damage costs, and all other costs pertinent to completion of the above-referenced services. c. It is the intention of both parties that the work covered in this contract will be completed by Contractor as a "Turn-key" job and that he will do all things necessary to complete the work as required by the plans, specifications and Governmental Jurisdictions, and construction industry practices, so that the end result is to relieve the Owner of any further costs and expense whatsoever in connection with the work covered herein. d. All project soils and geology reports and recommendations by Soils Engineer are incorporated as part of Contractor's work. All fills will be properly backfilled and compacted in accordance with requirements of the soils engineer and Governmental Jurisdictions. e. All excess dirt shall be spread on site at the direction of Owners Representative. f. All work will be performed in accordance with the Governmental Jurisdictions. g. All open unattended fills, trenches, ditches, etc. Must be barricaded off, to the

2 satisfaction of the Governmental Jurisdiction and the Owner, to prevent injury. h. Contractor will have the grade at +/- 0.1 for the Subcontractor. i. Subcontractor will attend a pre-construction meeting with the Civil Engineer where staking requirements will be agreed on. Contractor will provide one set of stakes according to the agreed upon plan. Subcontractor will follow the staking installed by the Civil Engineer. j. Subcontractor agrees to ensure that all improvements have positive drainage. k. Subcontractor shall have a site supervisor on site at all times during construction. l. Subcontractor shall comply with all OSHA regulations at all times. m. Subcontractor shall accept responsibility for potential theft or damage to all his equipment left on site (prior to installation and set up.) n. Subcontractor shall coordinate all scheduling with Contractor s Project Manager or Superintendent and maintain his schedule. Supply adequate manpower. o. Subcontractor shall comply with all applicable provisions, codes, specifications, and standards and regulations of all authorities having jurisdiction. p. Subcontractor shall submit data for proprietary materials and items, including reinforcement and forming accessories, admixtures, patching compounds, water stops, joint systems, curing compounds, dry shake finish materials, etc. q. Subcontractor shall submit laboratory test reports for concrete materials and mix design tests. r. shall accept responsibility for testing and retesting materials and installed work at any time during progress of work. Subcontractor will notify when Contractor will request their services. s. Subcontractor shall accept responsibility for having all work pass the inspection of the Civil Engineer on record and/or City of Aurora Engineering Department. t. All concrete and grout must meet slump requirements set by the Civil Engineer. u. Protect all adjacent finish materials against spatter during concrete placement. v. After completion of work, and prior to final acceptance, thoroughly clean entire premises of any unused material, rubbish, debris, and dirt to satisfaction of Project Manager/Superintendent. w. All quantities and total prices subject to change due to actual quantities placed. Change orders may be necessary, and are not included in this proposed price. x. Protection of finished concrete per Lost Canyon II LLC Representative s direction. SPECIFIC REQUIREMENTS a. Owner will provide one set of construction stakes. If Contractor requires subsequent sets of stakes due to Contractors negligence, then the cost of the subsequent stakes shall be at Contractor's sole expense. b. All permit charges; Contractor will pay inspection fees and engineering fees necessary for Contractor to provide its work. a. Work shall proceed in areas designated by the Owner's Agent or designated representative and agreed to by Contractor and shall continue with sufficient workers and equipment to comply with the schedule. b. Owner reserves the right to increase or decrease the quantity of any time or portion of work, to omit portions of work as may be deemed necessary or advisable by the engineer, Owner or governmental agency and to make such alterations, deviations, additions and/or omissions to or from the plans and specifications as may be determined during the progress of the work to be necessary and advisable for the proper completion. c. Contractor will submit a list of rental rates to Owner for Owner's approval. The prices quoted shall include all profit and overhead. These

3 rates will be used in the event Owner orders extra work not included in this contract. d. Owner is not responsible for any delays Contractor may incur as a result of plan errors or plan changes due to requirements of governmental or unforeseen job conditions. e. It is warranted by Contractor that the Contractor owns all of the equipment used on the job. All rental equipment shall be disclosed on the Contractor Supplier List. f. In the event Owner adds or deletes Work under this contract, the unit prices attached hereto shall be used. i. The unit prices shall remain firm throughout the course of this contract. g. Work to be per plans and specifications. h. No payments or processing of invoices will be made unless all requirements are met and contractor's insurance coverage as outlined in above. ALL PURCHASE ORDERS WILL BE APPROVED BY THE PROJECT MANAGER UPON 100% COMPLETION FOR THE SPECIFIC DRAW PERIOD. THERE WILL BE NO PARTIAL PAY ON PURCHASE ORDERS AND NO INVOICES ACCEPTED 2. ETHICS AND EXPECTATIONS a. AT NO TIME ARE DRUGS, WEAPONS, ALCOHOL, CHILDREN, OR ANIMALS ALLOWED ON THE JOB SITE. THE JOB SITE IS A PLACE OF BUSINESS AND THE SUBCONTRACTORS ARE EXPECTED TO BEHAVE IN A PROFESSIONAL MANNER. b. Driving on or over driveways or finished grades are prohibited. Violators may be subject to a $100 fine c. Vehicles must be operated in a lawful and proper manner on the job site. d. Eating lunch inside the house AT ANY TIME DURING CONSTRUCTION IS PROHIBITED. e. Portable toilets are located on the job site and are the ONLY areas to be used to relieve bodily functions. f. The Subcontractor will take care when smoking in a house under construction. SMOKING IS PROHIBITED IN ANY HOUSE PAST THE DRYWALL STAGE. g. Overshoes are required on the job site when mud or snow exists. NO shoes are to be worn inside a carpeted home AT ANY TIME. h. At no time are counter tops to be used as workbenches or are toolboxes or other materials to be placed on them. Similar respect for other finished materials such as woodwork, linoleum, ceramic and carpet is also required. i. Teamwork and respect for the work of other trades is a must on all job sites. j. Clean up inside and outside is a MUST. Homes must be left in a broom clean condition, immediately upon completion of each task, and all trash removed to a designated trash bin. Garages are not to be used for storage of trash. k. The Subcontractor must behave in a professional manner when entering an occupied house to perform warranty work or other repairs. l. The Subcontractor realizes he is an agent of Lost Canyon II LLC and appropriate behavior, appearance and rules of etiquette must be observed. m. Legitimate or persistent homeowner complaints concerning the above are to be included in criteria for determining violations of the above. n. Theft of, or damage to, personal property in an occupied home is grounds for immediate termination and prosecution to the fullest extent of the law.

4 o. The Subcontractor will take care to leave the home in the same condition as when he entered; i.e. door locked, trash cleaned up, etc. p. Violations of standards outlined in this addendum are subject to penalties according to the following schedule: i. Each occurrence $50.00 ii. Third (3 rd ) occurrence in 30-day period: Additional $ iii. Ten (10) occurrences in a 90-day period: Additional $ and review of contract by Director of Purchasing for possible termination of contract. iv. All penalties are at the discretion of the job Superintendent. The intent of this addendum is to lend a quality and neat appearance and atmosphere to Lost Canyon II LLCsubdivisions. Violations other than listed herein, which jeopardize the intent of this addendum, shall be subject to the same penalties as outlined above. q. Saturday is considered a normal workday. Contractor will not pay overtime. r. Heat in all houses under construction should not be above 75 degrees. Subcontractors found setting heat to a higher temperature may be subject to back-charges for damaged woodwork. s. The Subcontractor shall submit in writing to Lost Canyon II LLCfor approval, any and all proposed corrections to and changes in the plans and specifications, which the Subcontractor deems necessary or desirable. After Lost Canyon II LLChas fully approved such proposed corrections and changes and has given notice in writing thereof to the Subcontractor, the Subcontractor shall appropriately make all such fully approved corrections and changes to the plans and specifications and shall deliver to Lost Canyon II LLCat least one (1) copy of such modified plans and specifications. t. Before commencing any of the Designated Tasks, Work and Product Specifications, the Subcontractor shall thoroughly inspect all of the then existing product of the Designated Tasks, Work and Product Specifications of all other subcontractors and shall ensure that all of such then existing product has been thoroughly inspected by all Governmental Agencies. Before commencing any of the Designated Tasks, Work and Product Specifications, the Subcontractor shall give notice both orally and in writing to Lost Canyon II LLCof any and all inspections by all Governmental Agencies which have not been completed and any and all defects and other conditions which could prevent the Subcontractor from commencing or completing the Designated Tasks, Work and Product Specifications. u. Notwithstanding anything set forth in this Tasks, Work and Product Specifications agreement or anything else to the contrary, the Subcontractor shall perform the Designated Tasks, Work and Product Specifications in strict accordance and full compliance with all applicable Laws of all Governmental Agencies, including but not limited to the latest edition of the Uniform Building Code, the latest editions of all applicable codes relevant to the Designated Tasks, Work and Product Specifications, then current FHA and VA building requirements and then current local municipal building code requirements, the most recently revised plans and specifications relating to the Designated Tasks, Work and Product Specifications and then current standards of Lost Canyon II LLC, including but not limited to those set forth in the Designated Tasks, Work and Product Specifications. If any such Laws, codes, requirements, plans, specifications or standards are in conflict, the Subcontractor shall immediately inform Lost Canyon II LLC thereof in writing and, unless otherwise directed in writing by Lost Canyon II LLC the Subcontractor shall perform the Work in accordance with the Law, code, requirement, plan specification or standard which calls for the highest standard of workmanship and materials.

5 3. WARRANTY WORK a. All Work shall be warranted for a period of one (1) year from the date of closing with regards to Materials and Workmanship. The warranty shall be two (2) years from the date of closing with regard to systems of the home. Systems refer to the following: Wiring, Pipes, Vents and Ducts for plumbing, electrical, heating and cooling systems of the home. b. Subcontractor shall assign an individual qualified in making repairs of said nature to work directly with Lost Canyon II LLCand/or the Superintendents handling walk throughs. That person shall be identified and contacted as follows: NAME HOW TO CONTACT c. To facilitate a minimum amount of time required by the homeowner to leave work to have the service work completed, Lost Canyon II LLC. Customer Service will schedule all Subcontractors during working hours to complete their task. The Subcontractor will be given TEN- (10) business days advanced notice of his scheduled appointment to begin work within this schedule. If the Repair Order is unclear, the Subcontractor shall use this week to clarify it with Customer Service before attempting the work. Because of the complexity of scheduling the Homeowner and different trades in the proper sequence, the Subcontractor will be expected to meet this schedule. Schedules not met will create problems with the Homeowners. Lost Canyon II LLC will compensate Homeowners and other Subcontractors delayed by missed appointments out of monies due from normal billing. Missed appointments will then be rescheduled at the Homeowners convenience, including after work and on weekends. Missed appointments may necessitate compensation for the Home Owner and other subcontractors delayed by missed appointments. This compensation will come from monies due for normal billing. 4. PURCHASE ORDER WORK a. Should conditions require additional labor, materials or equipment due to unforeseen causes including: damage, weather, dirt hauling, encountering of rock, etc., the Subcontractor shall notify the Contractor prior to commencement of work. Any additional costs incurred will be handled on a time and materials basis. The Subcontractor shall provide the Contractor with a cost prior to commencement of additional work described above. If a dollar amount is acceptable to both parties, a Purchase Order shall be issued, prior to the commencement of work. Any hourly work performed without a Purchase Order shall be considered part of the Scope of Work with no additional compensation to the Subcontractor. Exception to receiving a Purchase Order before performing work must be approved by the Purchasing Manager.
