We are not aware of any condition, including any conflict of interests, which may hinder the Tunneling Company from providing the relevant services, or which may hinder the Bidder from fulfilling any of its obligations under the Tender, the Agreement, the Bidder s submission or law. 8. To the best of our knowledge, and with respect to those parts of the Bidder s submission concerned with the Tunneling Company, all the information contained in our tender submission is true, complete and current as of the final date for submission of proposals. 9. The Tunneling Company participates in this tender only within this proposal. 10. Any Related Entity of the Tunneling Company does not participate in this tender except within this proposal. 11. We declare and undertake that if the Bidder s proposal is selected as a winning proposal, the Tunneling Company shall provide NTA with the relevant services as specified in the agreement which shall be entered into by NTA and the Bidder,

3 even if the agreement between NTA and the Bidder is terminated for any reason, all as specified in Section 5.12 of the agreement between NTA and the Bidder. 10 Translation of Relevant Definitions Term Tunneling Project Definition Shall mean a project which includes tunneling, using TMB or CTM methods, for a transportation system (road or railway), which includes: a. A tunnel which was executed using one of the foregoing methods, with a length of at least 1,000 meters; or b. A passenger station cavern. It is clarified that a project which was executed using Cut & Cover method will not be deemed a Tunneling Project. Project which was Completed Rail Transportation Project Related Entity Shall mean a project which meets one of the following requirements: a. A project for which a certificate of completion, was by no later than the final date for submission of proposals; b. A project in which the final, by no later than the final date for submission of proposals; c. A project in which the construction completed, the, by no later than the final date for submission of proposals; or d. A project in which the last partial approved and the has. Shall mean a heavy rail, light rail or metro project, which includes the execution of the rail track. Shall mean any Entity, or any Relative of such Entity, which: (a) Controls the Bidder or a member of the Core Team; (b) is an Officer of the Bidder or of a member of the Core Team; (c) is

11 under Common Control with the Bidder or a member of the Core Team; or (d) is Controlled by the Bidder or by a member of the Core Team. Entity Corporation Control Officer Relative Core Team Shall mean an individual or a Corporation, company or partnership recognized as such pursuant to law within its domicile.
