2 Expression of Interest (EOI) The State Trading Corporation of India Ltd. (STC) is a Government of India Undertaking, having its Corporate office at Jawahar Vyapar Bhavan, Tolstoy Marg, New Delhi , is having its Branch office at The State Trading Corporation of India Ltd., , 3 rd Floor, Trade World, C Wing, Kamla Mill Senapati Bapat Marg, Lower Parel(W),Mumbai (hereinafter called STC ). STC was incorporated under Companies Act in the year 1956 and functions under the administrative control of Department of Commerce, Ministry of Commerce & Industry, Government of India. The company is engaged in international and domestic trading of various commodities/products including Agricultural Commodities and Edible Oils. The objective of this EOI exercise is to have a readily available panel of reputed Indian/Foreign companies, who are willing to work with STC by utilizing the Mallet Bunder installation for storing their Edible Grade oil in STC three tanks available at The Mallet Bunder. There are total three tanks constructed by STC at Mallet Bunder Installation (leased by STC): 1. Tank No 12: Total Capacity- 12,000 MTs Safe Capacity: 10,500 MTs Approx 2. Tank No 13: Total Capacity- 12,000 MTs Safe Capacity: 10,500 MTs Approx 3. Tank No 14: Total Capacity- 12,000 MTs Safe Capacity: 10,500 MTs Approx STC Invites trading/manufacturing companies importing edible oils to quote for storage of edible oil on (Rupees) PMT/Per Month Basis. The following conditions for the same must be kept in mind while quoting for the same: 1. The cargo will be received in tanks via UGPL which is directly connected to the tanks for discharge of cargo from the vessel as is being already done.

3 2. The minimum rent applicable for every month will be for a 75% of safe capacity (75% of 10,500 Mts. = 7900 Mts.) i.e. for 7900 Mts Per Tank OR The quantity received in the tank whichever is higher. 3. The prospective party who will be quoting the payment of highest storage rent charges which must be above or equal to the current prevailing rate will be considered. 4. Minimum Storage Rent quoted must be Rs. 250 PMT/Per Month + Statutory Taxes. 5. An agreement will be entered into with H1 Bidder after finalisation of the EOI which will be valid for a period of minimum 6months/1 Year. 2. OTHER TERMS AND CONDITIONS: a. The prospective Bidder shall submit Bank reference and/or Insolvency Certificate from Bank to show credit worthiness of the supplier for up to Rs. 5 Crores. b. The prospective Bidder should have a valid PAN No., TIN No., GST No., service tax no. and other regulatory licenses/permission issued by Competent Authority(s) and produce the same whenever required. c. The prospective bidder should not have been blacklisted / banned for participation in Tender by Government of India or by any Government Undertaking in India. The supplier shall have to submit an UNDERTAKING (as per Annexure II) on a Rs. 100/- Non- Judicial Stamp Paper duly notarised by Notary Public to the effect that the Company is not debarred/black listed by any Government Department/Undertaking as on date at the time of application for pre-qualification as well as each time while participating in a Tender. In case of submission of false declaration (found at any stage), such bidder shall be disqualified. d. The prospective bidder should give indemnity bond, keeping STC indemnified of any loss on account of quantity, quality from their supplier and from any other statutory authorities like Sales Tax, FASSAI etc. The same will not be entertained by STC. e. The prospective Bidder shall note the Pegging charges to be incurred by them for cleaning of OIL in our UGPL. f. The prospective bidder shall note that in case delivery of Edible Oil is required, after the office hours over time at the Rate Rs. 455/- per hour to be incurred/paid by them to STC on monthly basis. g. The prospective bidder shall note that in case of Crude Oil being

4 stored the tank to be cleaned and cleaning charges to be incurred by them, as currently is being done. h. The pressure at which the edible oil is being discharged and the air pressure at which pegging is carried out should not exceed the safe limit. In case the limit is exceeded and any damage occurs to STC s UGPL the expenses for repairing the same shall be incurred by the party storing oil. The safe pressure limit for oil discharge and pegging will be as per our Installation In-charge letter. i. Insurance of cargo will be the responsibility of the party; however a copy of the insurance policy is to be submitted to STC for our records. j. The Storage rent will be charged from the date of receipt of oil in STC s tank and has to be deposited along with applicable taxes in advance to STC before next billing cycle of 30 days for the preceding month. The above terms and conditions have to be complying by the prospective bidder in totality. Incomplete applications will be summarily rejected 3. SUBMISSION OF BIDS. I) Electronic form: a) Bids shall be received only electronically through the e- Procurement Portal of NIC (eprocure.gov.in/eprocure). b) For submission of e-bids, bidders are required to get themselves registered with NIC s Central Public Procurement (CPP) Portal ( using Class-II / Class-III Digital Signature Certificate. All the details mentioned during registration enrolment process should be correct / true. Bidders have to abide by all the terms & conditions mentioned during registration process. c) Bidders are advised in their own interest to submit the online bids well before the bid submission end date & time (as per Server System Clock of CPP). d) Bidders may modify, substitute or withdraw its e-bid after submission but in any case before the last date and time of bid submission. e) For modification of e-bids, bidder has to detach its old proposal from e-tendering portal and upload / resubmit digitally signed modified bid. f) No bids shall be modified, substituted or withdrawn by the bidder on or after the closing date and time of bid submission. g) STC may ask the bidders to submit any or all the documents in original for verification as submitted as part of their online bid anytime during the bid process.

(Annexure I) 4. NO CONTRACTUAL OBLIGATION: STC is not bound contractually or in any other way to any agency to this Expression of Interest. STC is not liable for any costs of compensation in relation to the consideration of this Expression of Interest or any Expression of Interest, incurred by the prospective applicants to this Expression of Interest whether or not STC terminates, varies, or suspends the Expression of Interest process or takes any other action permitted under this Expression of Interest, including consideration of concepts proposed in future developments. 5. JURISDICTION The courts and tribunals at Mumbai shall have exclusive jurisdiction to settle any or all disputes which may arise out of or in connection with the EOI. All disputes arising out of this tender shall be decided in accordance with the laws of India.

6 6. DISCLAIMER: The issue of this document does not in any way commit or otherwise obliges STC to proceed with all or any part of an EOI process. The EOI request is not the subject of any process contract or any contractual obligations between STC and prospective Associate. STC may, at its absolute discretion, elect to abandon any part or whole of the process without giving prior notice to the perspective Inspection Agency/Surveyor.
