HBHM ADPH PROJECT NO. B AD 1-1 GENERAL: A. The following revisions and/or additions to the Drawings and Project Manual are hereby made a part of same, and shall be incorporated in the Work of the Contract the same as if originally included in the Bid and Construction Documents. B. Bidders shall acknowledge receipt of this Addendum in writing, as provided on the Proposal Form. C. When a revision and/or addition is called for to the Drawings or Project Manual, they shall be fully coordinated with and carried through all applicable Drawings and portions of the Project Manual, including in part, all related Civil, Landscaping, Architectural, Structural, Plumbing, Mechanical, Electrical, and other Documents. AD 1-2 PROJECT MANUAL AND SPECIFICATIONS: A. Reference Specifications SECTION BID SECURITY FORMS 1. Section references this section but it was erroneously omitted. 2. Add new Specification Section B. Reference Specifications SECTION SUMMARY 1. Delete this section in its entirety. 2. Substitute the attached Specification SECTION SUMMARY (rev ) i. The Work of Project is defined by the Contract Documents and consists of the following: 1. The Work consists of the construction of a Type IIB, Business Occupancy, consisting of approximately 10,585 square feet of new building area, including, but not limited to: a. Metal stud and gypsum board partitions. b. Acoustical panel ceilings. c. Prefinished wood doors in hollow metal frames. d. Brick veneer over cold-formed metal stud walls. e. Steel-framed building structure. f. Plastic-laminate faced wood millwork. g. Single-ply membrane roofing system over rigid insulation. h. Aluminum framed entrances, storefronts, and window openings. i. Interior finishes. j. Radiation Protection at X-Ray and CT Rooms. k. Specialties. l. Equipment. m. Furnishings. n. Fire Protection System. o. Plumbing System. p. HVAC System. q. Electrical System. r. Communication System. s. Data System. t. Electronic Safety and Security System. B. Construct the project complete and ready for occupancy, including the above work plus any necessary incidental work. C. Type of Contract: 1. Project will be constructed under a single prime contract. a. Contract form: 1) AIA Document A101 Owner/Contractor Agreement Stipulated Sum, including A201 General Conditions of the Contract for Construction. D. Applicable Codes: 1. All codes governing this project are defined in the Drawings and Specifications. 2. All references to codes, specifications, and standards in the various Specification Sections and on the Drawings shall mean the current version of same. 3. In cases of conflict, the most stringent requirements shall apply. E. Conflicts within the Contract Documents: 1. If there is any conflict within or between any of the Contract Documents involving the quality or quantity of work required, it is the intention of the Contract that the work of highest quality or greatest quantity shown or specified shall be furnished. Whether or not the word all is used in the Specifications, coverage is intended to be complete, except where partial coverage is specifically and expressly noted. Also refer to Section , Quality Requirements, paragraph 1.4 Conflicting Requirements. 1.5 PHASED CONSTRUCTION A. The Work shall be conducted in a single phase. 1.6 WORK BY OWNER A. General: Cooperate fully with Owner so work may be carried out smoothly, without interfering with or delaying work under this Contract or work by Owner. Coordinate the Work of this Contract with work performed by Owner. B. Concurrent Work: Owner will perform the following construction operations at Project site. Those operations will be conducted simultaneously with work under this Contract. 1. None anticipated at this time. 1.7 WORK UNDER SEPARATE CONTRACTS A. General: Cooperate fully with separate contractors so work on those contracts may be carried out smoothly, without interfering with or delaying work under this Contract or other contracts. Coordinate the Work of this Contract with work performed under separate contracts. B. Preceding Work: Owner has awarded separate contract(s) for the following construction operations at Project site. Those operations are scheduled to be substantially complete before work under this Contract begins. 1. Parking Lot Expansion for Cullman Regional: To Eidson and Associates, Inc., to construct a new employee parking lot on an adjacent site. C. Concurrent Work: Owner will award separate contract(s) for the following construction operations at Project site. Those operations will be conducted simultaneously with work under this Contract. 1. MRI Equipment Installation: To Hitachi Medical Systems, America for the installation of a Hitachi Echelon Oval MRI System. 2. CT Equipment Installation: To Hitachi Medical Systems, America for the installation of a Hitachi Scenaria CT System. 3. The Work of the MRI RF Shielding Package will be assigned to the Contractor. See Paragraph PURCHASE CONTRACTS below for further information. 8. Other Work if and as determined necessary, will be identified for the General Contractor at a later date. 1.8 FUTURE WORK A. Not Applicable. 1.9 PURCHASE CONTRACTS A. General: Owner has negotiated a purchase contract with a specialty sub-contractor that shall be incorporated into the Work. Owner will assign this purchase contract to Contractor. Include costs for purchasing, receiving, handling, storage if required, and installation of material and equipment in the Contract Sum, unless otherwise indicated. 1. Contractor's responsibilities are same as if Contractor had negotiated purchase contract, including responsibility to renegotiate purchase and to execute final purchasing agreements. B. Purchase Contract Information: 1. MRI RF Shielding Package: For the design and complete installation of RF Shielding at MRI Scan Room 134. See Braden Shielding Systems Proposal Number SS36393M. a. Purchase Contract Firm and Representative: 1) Braden Shielding Systems (BSS) 2) Stefan Hipskind b. Purchase Contract Scope and Price: 1) Scope Includes, but is not limited to: a) Design of a 6-sided RF Shielded Enclosure, and the furnishing of all materials, installation labor, and testing as required for a complete RF Shielded Enclosure installation, as outlined in the BSS Proposal referenced above. 2) Price: As quoted in the BSS Proposal referenced above. In scheduling and phasing the Work every effort must be made to accommodate the operational needs of the Owner. The Work shall be scheduled and phased in such a way as to create the minimum adverse effect on the normal daily operations of the Owner and tenants EQUIPMENT AND NON-STRUCTURAL ELEMENTS A. Equipment and non-structural elements shall comply with the requirements of the referenced codes. Suppliers of equipment, assemblies, and systems shall be responsible for proper design and for furnishing adequate proof of proper design in accordance with the applicable building codes. B. Pieces of equipment are to be constructed so that seismic braced items are concealed, as may be the case with transformers, vacuum systems, pumps, HVAC units, and other mechanical equipment, and shall be installed, braced and anchored to meet the requirements of the applicable building codes OWNER-FURNISHED PRODUCTS A. Owner will furnish products indicated below or as designated by Owner-furnished equipment list. The Work includes providing support systems to receive Owner s equipment and making plumbing, mechanical, and electrical connections. 1. Owner will arrange for and deliver shop drawings, product data, and samples to Contractor. 2. Owner will arrange and pay for delivery of Owner furnished items according to Contractor s Construction Schedule. 3. After delivery, Owner will inspect delivered items for damage. Contractor shall be present for and assist in Owner s inspection. 4. If Owner furnished items are damaged, defective, or missing, Owner will arrange for replacement. 5. Owner will arrange for manufacturer s field services and for delivery of manufacturer s warranties to Contractor. 6. Owner will furnish Contractor the earliest possible delivery date for Owner furnished products. Using Owner furnished delivery dates, Contractor shall designate delivery dates of Owner furnished items in Contractor s Construction Schedule 7. Contractor shall review shop drawings, product data, and samples and return them to Owner noting discrepancies or anticipated problems in use of product. 8. Contractor is responsible for receiving, unloading, and handling Owner furnished products at Project site. 9. Contractor is responsible for storing Owner furnished products until such items can be safely and systematically installed. 10. Contractor is responsible for protecting Owner furnished items from damage during storage and handling, including damage from exposure to the elements. 11. Owner-Furnished Products: 1. The following items will be Owner furnished/contractor installed (OFCI): a. Selected Toilet Accessory Items (See Schedule for items designated as OFCI). b. Window Treatments (Drapes, Blinds, and Shades) 1.13 CONTRACTOR-FURNISHED, OWNER-INSTALLED PRODUCTS A. Not Applicable ACCESS TO SITE A. General: Contractor shall have full use of Project site for construction operations during construction period. Contractor's use of Project site is limited only by Owner's right to perform work or to retain other contractors on portions of Project. B. Use of Site: Limit use of Project site to work in areas indicated. Do not disturb portions of Project site beyond areas in which the Work is indicated. 1. Driveways, Walkways and Entrances: Keep driveways, loading areas, and entrances serving premises clear and available to Owner, Owner's employees, and emergency vehicles at all times. Do not use these areas for parking or storage of materials. a. Schedule deliveries to minimize use of driveways and entrances by construction operations. b. Schedule deliveries to minimize space and time requirements for storage of materials and equipment on-site. C. Condition of Existing Building: Not Applicable. D. Condition of Existing Grounds: Maintain portions of existing grounds, landscaping, and hardscaping affected by construction operations throughout construction period. Repair damage caused by construction operations OWNER S OCCUPANCY REQUIREMENTS A. Limited Owner Occupancy: Owner will occupy the existing adjacent building(s) during entire construction period. Cooperate with Owner during construction operations to minimize conflicts and facilitate Owner usage. Perform the Work so as not to interfere with Owner's day-to-day operations. Maintain existing exits unless otherwise indicated. 1. Maintain access to existing walkways, and other adjacent occupied or used facilities. Do not close or obstruct walkways, or other occupied or used facilities without written permission from Owner and approval of authorities having jurisdiction. GOODWYN, MILLS & CAWOOD, INC. Notify Owner not less than 72 hours in advance of activities that will affect Owner's operations WORK RESTRICTIONS A. Work Restrictions, General: Comply with restrictions on construction operations. 1. Comply with limitations on use of public streets and with other requirements of authorities having jurisdiction. B. On-Site Work Hours: No Restrictions. C. Existing Utility Interruptions: Do not interrupt utilities serving facilities occupied by Owner or others unless permitted under the following conditions and then only after providing temporary utility services according to requirements indicated: 1. Notify Owner not less than two days in advance of proposed utility interruptions. 2. Obtain Owner's written permission before proceeding with utility interruptions. D. Noise, Vibration, and Odors: Coordinate operations that may result in high levels of noise and vibration, odors, or other disruption to Owner occupancy with Owner. 1. Notify Owner not less than two days in advance of proposed disruptive operations. 2. Obtain Owner's written permission before proceeding with disruptive operations. E. Nonsmoking Building and Hospital Campus: Smoking, or other tobacco products, ARE NOT PERMITTED AT ANY TIME within the building or anywhere within the hospital campus boundaries F. Controlled Substances: Use of tobacco products and other controlled substances on Project site is not permitted. G. Employee Identification: Provide identification tags for Contractor personnel working on Project site. Require personnel to use identification tags at all times. H. Food, drinks, etc. will only be allowed in specified portions of the building once the Contractor starts installing any finish materials/products. I. Use of Toilets: The use of any new toilets within the project building is NOT ALLOWED by anyone, at any time. J. Use of Owner s Existing Campus Facilities: The use of the existing hospital, or professional office building s toilets, cafeteria, gift shop, vending areas, etc. is NOT ALLOWED by anyone, at any time. Specification Content: The Specifications use certain conventions for the style of language and the intended meaning of certain terms, words, and phrases when used in particular situations. These conventions are as follows: 1. Imperative mood and streamlined language are generally used in the Specifications. The words "shall," "shall be," or "shall comply with," depending on the context, are implied where a colon (:) is used within a sentence or phrase. 2. Specification requirements are to be performed by Contractor unless specifically stated otherwise. B. Division 01 General Requirements: Requirements of Sections in Division 01 apply to the Work of all Sections in the Specifications. C. Drawing Coordination: Requirements for materials and products identified on Drawings are described in detail in the Specifications. One or more of the following are used on Drawings to identify materials and products: 1. Terminology: Materials and products are identified by the typical generic terms used in the individual Specifications Sections. 2. Abbreviations: Materials and products are identified by abbreviations as listed in Specification Section References MISCELLANEOUS PROVISIONS A. Safety Program: 1. Contractor shall be responsible for initiating, maintaining and supervising all safety precautions and programs in connection with the performance of the Contract. 2. Contractor shall designate a person responsible for enforcement of safety rules and regulations. B. Service to equipment: 1. Equipment requiring a service connection from a utility supply such as electricity, steam, water, gas, etc., shall have the characteristics of the utility service required by the equipment, confirmed prior to installation and purchase of the equipment. C. Options in the Work: 1. If the Contractor is given an option of materials and methods used in the work and installation, the aim is to achieve the most economical installation that is acceptable for the work indicated by the option. In such cases it is the intention of the Drawings and Specifications that the option fully cover all usual items for a completed job whether specifically stated or not. D. The proposed Contract Documents consist of the form of Agreement between the Owner and Contractor, Conditions of the Contract (General, Supplementary and other Conditions), Drawings, Specifications and all Addenda issued prior to execution of the Contract. 1.2 Definitions set forth in the General Conditions of the Contract for Construction, AIA Document A201, or in other Contract Documents are applicable to the Bidding Documents. 1.3 Addenda are written or graphic instruments issued by the Architect prior to the execution of the Contract which modify or interpret the Bidding Documents by additions, deletions, clarifications or corrections. 1.4 A Bid is a complete and properly executed proposal to do the Work for the sums stipulated therein, submitted in accordance with the Bidding Documents. 1.5 The Base Bid is the sum stated in the Bid for which the Bidder offers to perform the Work described in the Bidding Documents as the base, to which Work may be added or from which Work may be deleted for sums stated in Alternate Bids. 1.6 An Alternate Bid (or Alternate) is an amount stated in the Bid to be added to or deducted from the amount of the Base Bid if the corresponding change in the Work, as described in the Bidding Documents, is accepted. 1.7 A Unit Price is an amount stated in the Bid as a price per unit of measurement for materials, equipment or services or a portion of the Work as described in the Bidding Documents. 1.8 A Bidder is a person or entity who submits a Bid and who meets the requirements set forth in the Bidding Documents. 1.9 A Sub-bidder is a person or entity who submits a bid to a Bidder for materials, equipment or labor for a portion of the Work. ARTICLE 2 BIDDER S REPRESENTATIONS 2.1 The Bidder by making a Bid represents that: The Bidder has read and understands the Bidding Documents or Contract Documents, to the extent that such documentation relates to the Work for which the Bid is submitted, and for other portions of the Project, if any, being bid concurrently or presently under construction The Bid is made in compliance with the Bidding Documents The Bidder has visited the site, become familiar with local conditions under which the Work is to be performed and has correlated the Bidder s personal observations with the requirements of the proposed Contract Documents The Bidder has investigated all required fees, permits, and regulatory requirements of authorities having jurisdiction and has properly included in the submitted bid the cost of such fees, permits, and requirements not otherwise indicated as provided by Owner The submission of a Bid is a representation that the Bidder has visited the site, become generally familiar with local conditions under which the Work is to be performed and correlated personal observations with requirements of the Contract Documents. Prior to submission of a proposal the Bidder has evaluated and satisfied itself as to the conditions and limitations under which the Work is to be performed, including, without limitation, (i) the location, condition, layout, and nature of the Project site and surrounding areas, (ii) generally prevailing climatic conditions, (iii) anticipated labor supply and costs, and (iv) availability and cost of materials, tools and equipment. 17 2.1.4 The Bid is based upon the materials, equipment and systems required by the Bidding Documents without exception The Bidder is a properly licensed Contractor according to the laws and regulations of the State of Alabama and meets qualifications indicated in the Procurement and Contracting Documents The Bidder has incorporated into the Bid adequate sums for work performed by installers whose qualifications meet those indicated in the Procurement and Contracting Documents. The deposit will be refunded to Bidders who submit a bona fide Bid and return the Bidding Documents in good condition within ten days after receipt of Bids. The cost of replacement of missing or damaged documents will be deducted from the deposit. A Bidder receiving a Contract award may retain the Bidding Documents and the Bidder s deposit will be refunded Bidding Documents will not be issued directly to Sub-bidders unless specifically offered in the Advertisement or Invitation to Bid, or in supplementary instructions to bidders Bidders shall use complete sets of Bidding Documents in preparing Bids; neither the Owner nor Architect assumes responsibility for errors or misinterpretations resulting from the use of incomplete sets of Bidding Documents The Owner and Architect may make copies of the Bidding Documents available on the above terms for the purpose of obtaining Bids on the Work. Interpretations, corrections and changes of the Bidding Documents made in any other manner will not be binding, and Bidders shall not rely upon them. 3.3 SUBSTITUTIONS The materials, products and equipment described in the Bidding Documents establish a standard of required function, dimension, appearance and quality to be met by any proposed substitution No substitution will be considered prior to receipt of Bids unless written request for approval has been received by the Architect at least ten days prior to the date for receipt of Bids. Such requests shall include the name of the material or equipment for which it is to be substituted and a complete description of the proposed substitution including drawings, performance and test data, and other information necessary for an evaluation. A statement setting forth changes in other materials, equipment or other portions of the Work, including changes in the work of other contracts that incorporation of the proposed substitution would require, shall be included. 19 4.1.8 The Bid shall include unit prices when called for by the Procurement and Contracting Documents. Owner may elect to consider unit prices in the determination of award. Should the Bidder refuse to enter into such Contract or fail to furnish such bonds if required, the amount of the bid security shall be forfeited to the Owner as liquidated damages, not as a penalty. Such notice shall be in writing over the signature of the Bidder. Written confirmation over the signature of the Bidder shall be received, and date- and time-stamped by the receiving party on or before the date and time set for receipt of Bids. 20 dated, describing the scope and limitations of the power of attorney. Make such documentation available to Owner at the time of seeking modifications or withdrawal of the Bid Owner will consider modifications to a bid written on the sealed bid envelope by authorized persons when such modifications comply with the following: the modification is indicated by a percent or stated amount to be added to or deducted from the Bid; the amount of the Bid itself is not made known by the modification; a signature of the authorized person, along with the time and date of the modification, accompanies the modification. ARTICLE 5 CONSIDERATION OF BIDS 5.1 OPENING OF BIDS At the discretion of the Owner, if stipulated in the Advertisement or Invitation to Bid, the properly identified Bids received on time will be publicly opened and will be read aloud. An abstract of the Bids may be made available to Bidders. 5.2 REJECTION OF BIDS The Owner shall have the right to reject any or all Bids. A Bid not accompanied by a required bid security or by other data required by the Bidding Documents, or a Bid which is in any way incomplete or irregular is subject to rejection Owner reserves the right to reject a bid based on Owner s and Architect s evaluation of qualification information submitted following opening of bids. Owner s evaluation of the Bidder s qualifications will include: status of licensure and record of compliance with licensing requirements, record of quality of completed work, record of Project completion and ability to complete, record of financial management including financial resources available to complete Project and record of timely payment of obligations, record of Project site management including compliance with requirements of authorities having jurisdiction, record of and number of current claims and disputes and the status of their resolution, and qualifications of the Bidder s proposed Project staff and proposed subcontractors. 5.3 ACCEPTANCE OF BID (AWARD) It is the intent of the Owner to award a Contract to the lowest qualified Bidder provided the Bid has been submitted in accordance with the requirements of the Bidding Documents and does not exceed the funds available. The Owner shall have the right to waive informalities and irregularities in a Bid received and to accept the Bid which, in the Owner s judgment, is in the Owner s own best interests The Owner shall have the right to accept Alternates in any order or combination, unless otherwise specifically provided in the Bidding Documents, and to determine the low Bidder on the basis of the sum of the Base Bid and Alternates accepted. 21 6.2 OWNER S FINANCIAL CAPABILITY The Owner shall, at the request of the Bidder to whom award of a Contract is under consideration and no later than seven days prior to the expiration of the time for withdrawal of Bids, furnish to the Bidder reasonable evidence that financial arrangements have been made to fulfill the Owner s obligations under the Contract. Unless such reasonable evidence is furnished, the Bidder will not be required to execute the Agreement between the Owner and Contractor. 6.3 SUBMITTALS The Bidder shall, as soon as practicable or as stipulated in the Bidding Documents, after notification of selection for the award of a Contract, furnish to the Owner through the Architect in writing:.1 a designation of the Work to be performed with the Bidder s own forces;.2 names of the manufacturers, products, and the suppliers of principal items or systems of materials and equipment proposed for the Work; and.3 names of persons or entities (including those who are to furnish materials or equipment fabricated to a special design) proposed for the principal portions of the Work..4 Submit information requested in Sections , , and no later than two business days following Architect s request The Bidder will be required to establish to the satisfaction of the Architect and Owner the reliability and responsibility of the persons or entities proposed to furnish and perform the Work described in the Bidding Documents Prior to the execution of the Contract, the Architect will notify the Bidder in writing if either the Owner or Architect, after due investigation, has reasonable objection to a person or entity proposed by the Bidder. Owner may deem the failure of the Bidder to deliver required bonds within the period of time allowed a default. 22 7.2.2 Unless otherwise provided, the bonds shall be written on AIA Document A312, Performance Bond and Payment Bond.
