TO THE HONORABLE BOARD OF TRUSTEES OF THE EAST SIDE UNION HIGH SCHOOL DISTRICT: THIS MODIFIED PROPOSAL IS SUBMITTED BY:. 1. The undersigned Design-Build Entity proposes and agrees, if this Proposal is accepted, to enter into an agreement with, a public entity ( District ) in the form included in the Contract Documents, Document (Agreement for Design-Build Services), to perform and furnish all Work specified or indicated in the Contract Documents for the Contract Sum and within the Contract Time indicated in this Proposal and in accordance with all other terms and conditions of the Contract Documents. 2. The Design-Build Entity accepts all of the terms and conditions of the Contract Documents and the Notice to Prequalified Design-Build Entities and Request for Proposals and Addendum #1 to Request for Proposals, including without limitation, those dealing with the disposition of Proposal security. This Proposal will remain subject to acceptance for ninety (90) calendar days after the day of Proposal opening, unless a greater period is authorized by the Board, and may not be withdrawn during that time period. The Design-Build Entity will sign and submit the Agreement, bonds and other documents required by Document (Request for Proposal) by the time and in the manner set forth in Document (Request for Proposal). 3. In submitting this Proposal, the Design-Build Entity represents that: (a) Design-Build Entity has examined all of the Contract Documents and the following Addenda (receipt of all of which is hereby acknowledged). Design-Build Entity has given District prompt written notice of all conflicts, errors, ambiguities, or discrepancies that it has discovered in or among the Contract Documents and as-built drawings and actual conditions and the written resolution thereof through Addenda issued by District is acceptable to Design-Build Entity. 4. Based on the foregoing, Design-Build Entity proposes and agrees to fully perform the Work within the time stated and in strict accordance with the Contract Documents for the following sum of money listed in the following Proposal Schedule: RFP (Modified) - 1

2 Schedule of Proposal Prices All Proposal items must be filled in completely. Proposal items are described in the Request for Proposal and Addendum #1 to Request for Proposals, including Document (Summary of Work) and Document (Summary of Work Programming and Design Services). Quote in numerals only. Provide bid numbers on an attachment as required. Exceptions shall be indicated by listing the exception herein below and providing a detailed description of the scope of the exception. The Design-Build Entity shall also submit an Unsolicited Alternate corresponding to the exception indicating the additional cost and/or time extension to remove the Exception. In the event the Design-Build Entity s Exception is to the Contract Time only, indicate the Cost to remove the Exception to the Contract Time. If Design-Build Entity finds that it can meet the requirements of the Request for Proposals for a Base Total Fixed Price less than the amount stipulated by the District, it may list the deductive cost below as an exception. 7 (d) Potentially Price-Impacted Items District and Design-Build Entity recognize that certain markets providing essential materials and/or labor to the Project may experience significant, industry-wide economic fluctuation during the performance of this Agreement. District and Design-Build Entity wish to provide for a fair allocation of the risk of such market conditions between them, on the basis of Design-Build Entity s Proposal. i. Design-Build Entity may propose a maximum of Two (2) Potentially Price-Impacted Items, the associated baseline prices, and the method for calculating an adjustment in the pricing for each Potentially Price-Impacted Item. Proposed Potentially Price-Impacted Items must be items or categories of items whose baseline prices and price adjustment methods can be pragmatically administered over the term of the Contract. While District recognizes that certain markets providing essential materials and/or labor to the Project may experience significant, industry-wide economic fluctuation during the performance of this Agreement, it is in District s best interest to achieve price certainty in the Contract Sum. Design-Build Entity proposes the following maximum increase to the Contract Sum for the aggregate of the increases in Baseline Prices for Potentially Price-Impacted Items: Maximum Contract Sum percentage increase due to equitable adjustment increases for Potentially Price-Impacted Items Percent % iii. Design-Build Entity offers the following Lump Sum Price for District to buy out the risk of price uncertainty of the listed Potentially Price-Impacted Items over the term of the Contract. Should District elect to accept this Price Certainty Buyout, equitable adjustment increases and decreases for Potentially Price-Impacted Items shall not be discussed, evaluated, and determined throughout the Contract term, and no adjustments to the Contract Price shall be made for Potentially Price-Impacted Items. If written notice of the acceptance of this Proposal, referred to as the Notice of Award, is mailed or delivered to the undersigned Proposal holder within the time described in Section 2 above or at any other time thereafter before it is withdrawn, the undersigned will execute and deliver the documents required by Document (Request for Proposal) including, but not limited to, Document (Agreement for Design-Build Services), Document (Construction Performance Bond), Document (Construction Labor and Material Bond), and insurance certificates, all within the time and in the manner specified in Document (Request for Proposal). 7. Notice of Award or request for additional information may be addressed to the undersigned at the address set forth below. 8. A bid bond by an admitted surety insurer on the form provided by the District, cash, or a cashier s check or a certified check, drawn to the order of the East Side Union High School District, in the amount of 10% of the sum of the Base Proposal plus Solicited Alternates, shall accompany the Bid Form and Proposal, as a guarantee that the Design-Build Entity will, within ten (10) calendar days after the date of the Notice to Award, enter into a contract with the District for the performance of the services as stipulated in the Proposal. 9. The undersigned agrees to commence work under the Contract Documents on the date established by Document (General Conditions) and to complete all work within the time specified in Document (Agreement for Design-Build Services). 10. The undersigned agrees that, in accordance with Document (General Conditions), liquidated damages for failure to complete all Work under the Contract Documents within the time specified in Document (Agreement for Design-Build Services) shall be as set forth in Document (Agreement for Design-Build Services).
