To The Secretary, Kanjikode Industries Forum KIF House Kanjikode, Palakkad Kerala Dear Sir, Sub: PROPOSED RECONSTRUCTION OF 10KMS INTERNAL ROADS OF KANJIKODE INDUSTRIAL DEVELOPMENT AREA AT KANJIKODE, PALAKKAD. Having inspected the site and having examined the drawings, conditions to contract, specifications and Bill of Quantities for the above referred work, we the undersigned offer to construct and maintain the entire works for the sum of Rupees for concrete road and Rupees for bituminous road other sum as may be ascertained the said drawings, conditions of contract specifications Bill of Quantities and Appendix hereto. We undertake if our tender is accepted, to commence the works and complete and deliver the same within the time stipulated in the Appendix. We agree to abide by this tender for a period of 60 days from the date fixed for receiving the same and it shall remain binding on us and may be accepted at any time before the expiry of that period and of before the expiry of any further period extended by mutual consent. Until and unless a formal agreement is prepared and executed, this tender together with your written acceptance thereof, shall constitute a binding contract between us together with all the general conditions of contract, specifications, bill of quantities and price, drawings detailed in the specification and instructions to Contractor. Retention Percentage : a) Initial : 5% from Running Bills. b) During defects liability period : 2.5% will be released on final bill certificate and balance 2.5% will be released after defect liability period of 6 months after getting the completion certificate from the Consutlant. 2. Defects Liability period : 6 Months from the date of completion of work. 3. Date of commencement : 10 days from the date of issue of Letter of Indent. 4. Agreed Liquidated damages : 1/2% on the value of contract per week subject to a maximum of 5% of the contract value. 5. Time of Completion : 3 months. 6. Interim Bills : Once in fifteen days. 7. 6 ARTICLES OF AGREEMENT made on this day of 2011 between KIF(hereinafter called "the Owner") of the one part and M/s of (or whose registered office is situated at (hereinafter called "the Contractor") of the other part. WHEREAS the Owner is desirous of PROPOSED RECONSTRUCTION OF 10KMS INTERNAL ROADS OF KANJIKODE INDUSTRIAL DEVELOPMENT AREA AT KANJIKODE, PALAKKAD. (hereinafter called "the Work") and has caused Drawings and Bills of Quantities showing and describing the work to be done to be prepared by or under the direction of M/S JAYAM CONSULTANTS PRIVT LIMITED NOW IT IS HEREBY AS FOLLOWS: - 1. For the consideration hereinafter mentioned the Contractor will upon and subject to the Conditions annexed carry out & complete the work shown upon the Contract Drawings & described by or referred to in the Contract Bills and in the said Conditions. 2. The Owner will pay the Contractor the sum of Rupees (Rs. ) (hereinafter referred to as "the Contract Sum") or such other sum as shall become payable hereunder at the times and in the manner specified in the said Conditions. 3. The term "the Consultant in the said Conditions shall mean the said or in the event of his death or ceasing to be the Consultant for the purpose of this Contract, such other person as the Owner shall nominate for that purpose, not being a person to whom the Contractor shall object for reasons considered to be sufficient by and arbitrator appointed in accordance with the said Conditions. Provided always that no person subsequently appointed to be the Consultant under this Contract shall be entitled to disregard or overrule any certificate or opinion or decision or approval or instruction given or expressed by the Consultant for the time being. 4.The said condition and appendix thereto shall be read and constructed as forming part of this Agreement, and the parties hereto shall respectively abide by, submit themselves to the Conditions and perform the agreements on their parts respectively in such Conditions contained. 7 Earnest Money Deposit : Tender, which should always be placed in sealed covers with name submission of Tender of work clearly written thereon, should be delivered at the office of the owner on or before 3 pm on Each tender should be accompanied by the Earnest Money Deposit of Rs. 50, (Rupees Fifty Thousand only). The earnest money may be produced in the form of a demand draft or Banker s cheque on any Nationalised Bank / Scheduled Bank drawn in favour of the owner as per his address in page 7. Tenders not accompanied by such deposit or earnest money will not be considered. Execution of Agreement and Security Deposit : The selected tenderer shall within seven days of receipt of the selection notice, deposit the additional deposit of Rs. 50, (Rupees fifty thousand only), i.e. after deducting the amount deposited as E.M.D. to a total security deposit of Rs. 1,00, (Rupees one lakh only) for the work for proper fulfillment of the contract and shall execute an agreement of contract between the owner and contractor for the work on stamp paper worth Rs If the selected tenderer fails to deposit the required security and / or execute the agreement within the time specified or withdraws his tender after intimation of the acceptance of tender has been sent to him, his contract will be cancelled and the earnest money deposited by him along with his tender forfeited to the owner. He will also be liable for all damages sustained by the engineer/owner by reasons of such breach including the liability to pay any difference between the amounts for which the particular work has been tendered by him and that ultimately paid by the owner for arranging the work through any other agency. Such damages will be assessed by the engineer whose decision shall be final and the amount so assessed will be recovered from the tenderer in such manners as the owner may deem fit. No interest shall be paid for the security deposit. The owner shall have the discretion to allot the work either in part or in whole to any contractors whose tender/s has been accepted by the owner. 8 PROPOSED RECONSTRUCTION OF 10KMS INTERNAL ROADS OF KANJIKODE INDUSTRIAL DEVELOPMENT AREA AT KANJIKODE, PALAKKAD. NOTE ALL MATERIALS LIKE CEMENT, REINFORCEMENT STEEL AND WILL BE CONTRACTOR SCOPE. Specific Conditions and Specification on which Tender to be based: 1. Tenderer should visit and make themselves familiar with site working conditions. 2. The Tenderer have themselves studied the drawings. 3. Water required for work will be made available by the contractor and the distribution system also has to be done by the Contractors. 4. Electrical energy required for lighting, water and machinery will be made available by the contractor and the distribution also has to be done by the Contractors. The Electrical / water connection not only at site, but to their labour hutments, their office etc is also in their scope. 5. Laborers should be covered by the contractor through insurance as per workmen compensation act and the cover should be in force till the completion of contract, at your cost. 6. All the rules, regulations and acts such as ESI, Provident Fund etc, are applicable to labourers employed by the contractor must be observed by contractor as acceptable to Officer of Government with no liability to NIDA 7. All materials used on work should be of good qualities satisfying respective Indian Standards of MDSS or as per samples approved by the Consultants. 8. Works are to be carried out as per respective Indian standard or MDSS. 9. Service tax on this work contract at applicable rates shall be reimbursed by the client as per prevailing act. 10. The rates will be firm until completion of work. 11. The entire work as indicated in the schedule of quantity should be completed within 4 months from the date of the work order. The decision of Consultant regarding quality and remedial measures for rectifying defects if any, will be binding on the contractors and such rectification should be carried out without any additional cost. 13. Rates for new items of work which may be ordered during execution will be arrived on the following basis: a) Based on existing rates on Pro-rata basis or adding additional cost of materials. b) Based on P.W.D / CPWD/ (or) other standard data for Labour and materials. c) Based on actual site expenses site observation by Consultant representative Plus 15% over head. 14. Based on above, the rates should be arrived and submitted to consulting Engineers for approval without any delay. But such new items of work should be taken up for execution immediately on issue of written instruction from Consultants or their site Engineer. 15. Payment will be made for actual quantity of work done priced at accepted rates: a) The quantities given in the schedule is approximate and considerable percentage of variation is expected. b) You must work along with other contractors and agencies who will be carrying out structural work, roofings, glazing, sand blasting and painting associated works Electrical installation, Mechanical installation. 16. If the working of the contractor is not found satisfactory, the contract may be terminated without offering any reason. The work done upto that date will be measured and certified by the Consultant and paid for at accepted rates. The decision of the Authorized representative of NIDA will be final. 17. A well qualified and experienced persons should be engaged by the contractor at site who will be available for supervision and Co-ordination during all working time and such manpower will be changed / increased based on necessity and on the recommendation of NIDA / Consultant without any time delay. 18. Tests for checking the quality and strength of concrete and steel should be conducted by contractors at their cost as required by Consultant to know the results immediately. Contractor has to have the provisions at site. 19. Reinforcement Steel, Cement, sheeting etc., will be contractor scope. 20. The decision of the Authorized Representative of KIF incase of non-agreements between contractors & Consultants will be final and binding on the parties concerned. Signature of the Tenderer 9

10 21. The required working drawings in triplicate will be made available by Consultant. 22. These conditions, along with these schedule of quantities, specifications and accepted rates, Letter of Indents will form the contract agreement % of the total contract value will be paid as mobilization advance against the submission of Bank Guarantee for an equivalent amount % of accepted rate will be retained as retention money. Of this 2.5% will be released on final bill certificate and balance 2.5% will be released after the expiry of defect liability period of 6 (SIX) months from the date of Completion certificate from the Consultants % of accepted rate will be paid for on progressive completion of individual items of work against bills submitted and certified. Certification of RA Bills will be done by the Consultant s Representative at site and KIF representative in presence of Contractor s Engineer. On the basis of this certified bills payment will be released. 26. The payment on certified bills will be subjected to reduction of 10% towards mobilization advance and such other items on which payment is to be credited to KIF. 27. Final bill certificate along with work completion certificate will be issued within one month of completion of whole work on the project provided no defects are noticed in the work completed. 28. Income Tax at applicable rates will be deducted at source from the payments and necessary certificate will be issued as per prevailing Income Tax Act. 29. Q.R.O. indicate Quote Rate Only. 30. The Contractor must follow the safety rules & regulations strictly as prescribed, such as safety belts, gadgets, (approved by Competent Authorities), usage of nets at higher altitude. The contractor shall made available first aid for his labourers, skilled people, supervisors, engineers at site. The Contractor shall also maintain his own mode of transport in case of emergencies and not to depend on Company. 31. The Scaffolding and form work supporting materials should be of M.S.PIPES with clamps, adjustable heads & agrow spans. No casurina poles & coir ropes should be used. 32. The contractor shall assure the quality of their workmen, carpenters and barbenders and at any point of time, if consultant / KIF expressing that they are not upto the quality, immediately these people will be replaced without lapsing of time. 33. The Contract shall build maintain his own office, stores at his own cost. Safety for all the construction materials, he brought for the project site will be under his responsibility and company have no binding on safety of these items. Signature of the Tenderer 10

11 SPECIFICATION PREAMBLE 1. Scope of Specification: This specification gives a general description of the works to be executed and a detailed description of materials and workmanship to be used therein. The specification shall be read in conjunction with the other document forming part of the contract as these documents are jointly explanatory and descriptive of the work included in the contract. 2. Site information: Location : KIF, KIF House KANJIKODE, PALAKKAD. 3. Contract Drawings : The drawings referred to in the conditions of contract are linked herewith but they shall be held to include also all further modified and additional drawings that may be issued to the contractor by the terms of the contract. 4. Time of Completion : 3 months. 5. Facilities to be provided: By Contractor: 6. Plan of operations: a) Water storage tank and Distribution of water to work site (at his own cost) b) Distribution of power to work site (at his own cost) Before commencing the work the contractor shall supply to the Consultants for his approval: a) Drawings showing the general arrangement of his temporary buildings, fabrication shops, access roads and other temporary works. b) General information of all constructions, pumping, washing, sieving of sand and aggregate, excavating piling, haultage erection and other plant and equipment. c) Order in which the contractor proposed to execute the temporary and permanent works and this will be subject to adjustments and approval by the Consultants. d) Any other items of specific relevance to the contract requested Signature of the Tenderer 11

Standard Specification: Unless specifically mentioned otherwise all the relevant codes and standards published by the ISI and all other codes/standards which may be published before the acceptance of contract shall apply and govern in respect of design, workmanship, quality and properties of materials and testing. 8. Safety Measures: The contractor shall organize his operations in a workman like manner and take all necessary precautions to provide safety and prevent accidents in the site to both person and property. The Consultants shall have the power to request the contractor to adopt from time to time such measures as he may consider necessary to ensure the above requirement. In particular the contract shall ensure compliance with the following standard safety codes: IS : 3696 (pt.i) : Safety code for scaffolds and ladders pt.i-scaffolds. IS : 3696 (pt.ii) : Ditto - pt.-ladders. IS : 4014 : Code of practice for steel tubular scaffolding pt.ii-safety regulations for scaffolding. Signature of the Tenderer 12

13 BILLS OF QUANTITIES - PREAMBLE 1. The Bill of Quantities shall be read in conjunction with the drawings, the conditions of contract and the specifications as those documents are jointly explanatory and descriptive of the works included in the contract. 2. The quantities of work and materials in the Bill of Quantities are not to be considered as limiting or extending the amount of work to be done and material to be supplied by the contractor. The quantities in the Bill of Quantities are in estimate of the amount work but work will be measured on completion and the contractor will be paid on the actual measurements or work agreed by the Consultants. 3. General directions and descriptions of work and materials given elsewhere in the contract documents are not necessarily repeated in the Bills of Quantities, Reference is to be made to the other documents for the information. 4. The prices and rates inserted in the Bill of Quantities are to be the full inclusive value of the work described under the various items, including all cost of expenses which may be required for preliminary and for the completion of the work described, together with all costs and obligations set forth or implied in the conditions of contract. The specifications and the drawings, where special risk, liabilities and obligations cannot be dealt with as above, then the price thereof is to be separately stated in the item provided for the purpose. 5.
