2 SECTION 1. PURPOSE The purpose of this Exhibit is to describe the scope of work and the responsibilities of the CONSULTANT and the DEPARTMENT in connection with the design and preparation of a complete set of Structures construction contract documents and incidental engineering services; plan reviews; preparation of design calculations and other miscellaneous services. The Scope of Services establishes which items of work in the FDOT Design Manual and other pertinent manuals are specifically prescribed to accomplish the work included in this contract, and also indicate which items of work will be the responsibility of the CONSULTANT and/or the DEPARTMENT. The CONSULTANT shall be aware that as a project is developed, certain modifications and/or improvements to the original concepts may be required. The CONSULTANT shall incorporate these refinements into the design and consider such refinements to be an anticipated and integral part of the work. This shall not be a basis for any supplemental fee request(s). The CONSULTANT shall demonstrate good project management practices while working on this project. These include communication with the DEPARTMENT and others as necessary, management of time and resources, and documentation. The CONSULTANT shall set up and maintain throughout the design of the project a contract file in accordance with DEPARTMENT procedures. CONSULTANTs are expected to know the laws and rules governing their professions and are expected to provide services in accordance with current regulations, codes and ordinances and recognized standards applicable to such professional services. The Consultant shall provide qualified technical and professional personnel to perform to Department standards and procedures, the duties and responsibilities assigned under the terms of this agreement. The DEPARTMENT will provide contract administration and management services. The DEPARTMENT will provide job-specific information and/or functions as outlined in this contract, if favorable. SECTION 2. PROJECT OBJECTIVE The general objective is for the CONSULTANT to provide engineering services to assist the District Structures Design Office. Engineering services may include, but are not limited to: Development of engineering reports, plans, calculations, cost estimates and other design documents. Review and evaluation of engineering reports, plans, calculations, cost estimates and other design documents. Providing technical assistance to DEPARTMENT staff as necessary. Providing post design services. Performing minor survey services as may be required to support structural design services.

3 SECTION 3. SERVICES The CONSULTANT shall provide any one or more of the following services as required by the DEPARTMENT: 3.1 Design of Structural Components / Minor Roadway Design Survey: Perform design survey services in a manner that will perpetuate the control and reference system through the construction and final activities. These activities may include, but shall not be limited to, the following: Geodetic Control, Alignments, Reference Points, Aerial Targets, Bench Levels, Topography, Roadway Cross-Sections and Profiles, Side Street Surveys, Underground Utilities, Bridge Data Survey, and Stakeout for Borings. Submit all survey notes and computations to document the surveys. All field survey work shall be recorded in approved media and submitted to the DEPARTMENT. Field books submitted to the DEPARTMENT must be of an approved type. The field books shall be certified by the surveyor in responsible charge of work being performed before the final product is submitted. The survey notes shall include documentation of decisions reached from meetings, telephone conversations or site visits. Plans: Prepare complete construction plans and special provisions for all phases of construction for each project assigned under this agreement. Plans shall include, as appropriate, Category I structures with adjoining minor roadway design, maintenance of traffic, sign support structures and details, drainage facilities, pavement markings, and any surveying needed to complete the assigned project. Design Documentation: Provide design documentation to the DEPARTMENT with each submittal consisting of structural design calculations and other supporting documentation developed during the development of the plans. The design calculations submitted shall adequately address the complete design of all structural elements. These calculations shall be neatly and logically presented on digital media or, at the DEPARTMENT s request, on 8 ½ x11 paper and all sheets shall be numbered. The final design calculations shall be signed and sealed by a Florida-licensed professional engineer. A cover sheet indexing the contents of the calculations shall be included and the engineer shall sign and seal that sheet. All computer programs and parameters used in the design calculations shall include sufficient backup information to facilitate the review task. Agency Coordination: Provide preliminary prints, as required by the Department, to adequately control, coordinate and approve the design and to negotiate with utility companies, railroads and others. Utilities: Notify the DEPARTMENT of any utility conflicts and coordinate with the Department on all relocation efforts. Cost Estimates: Produce construction cost estimate, review and update the cost estimate when scope changes occur and/or at milestones of the project using the DEPARTMENT s Long Range Estimate (L.R.E.) and/or TRNS*PORT PES (Proposal Estimating System) through the use of the DEPARTMENT s Designer Interface.

4 Specifications Package Preparation: Prepare and provide a specifications package prepared in accordance with the DEPARTMENT S Handbook for the Preparation of Specification Packages and associated training. Technical Special Provisions: Provide Technical Special Provisions for all items of work not covered by the Standard Specifications for Road and Bridge Construction and the workbook of implemented modifications. Field Reviews: Conduct visits to the project site as required to obtain necessary data for all elements of the project. Technical Meetings: Attend all technical meetings, with DEPARTMENT staff, necessary to execute the Scope of Services of this contract. This includes meetings with DEPARTMENT and/or Agency staff, between disciplines and subconsultants, such as access management meetings, pavement design meetings, local governments, railroads, airports, progress review meetings (phase review) and miscellaneous meetings. Plans Update: Provide all necessary engineering and drafting services required for revising and updating previously prepared construction plans and specifications to conform to current FDOT and AASHTO Standards, Standard Specifications for Road and Bridge Construction, Roadway and Traffic Standard Plans or as required by the DEPARTMENT. Electronic/Digital Delivery: Deliver final contract plans in electronic/digital format using the DEPARTMENT s Electronic/Digital Delivery software. The final contract plans shall be digitally signed and sealed files delivered to the DEPARTMENT on acceptable electronic media, as determined by the DEPARTMENT. Post Design Services: Services may include, but not limited to, meetings, construction assistance, plans revisions, shop drawing review, survey services, as-built drawings and load ratings. 3.2 Review of Design Submittals Plan Review: Perform Quality Assurance and/or Quality Control reviews, as identified by the DEPARTMENT, for structural plans produced by others. Construction Assistance: Service may include, but are not limited to, providing technical assistance as required; performing reviews of Cost Savings Initiative and advising District Structures Design Engineer of merits and deficiencies of proposal; assisting in the assessment of construction errors and omissions and other areas as determined by the DEPARTMENT. Post Design Services: Services may include, but not limited to, attending meetings, providing technical assistance, plans revisions, shop drawing review, survey services, asbuilt drawings review and load rating review.

5 3.3 Other Services Architectural Plans: Review of the Architectural Plans component. Verify the supporting documentation is compliance to the DEPARTMENT S design policies, procedures, standards, manuals, handbooks, guidelines and requirements. Technical Staff: As a result of the work effort provided under this scope of services, the CONSULTANT may be required to perform their services at the Department s office location for extended periods of time. SECTION 4. PROJECT REQUIREMENTS AND PROVISIONS FOR WORK 4.1 Governing Regulations The services performed by the CONSULTANT shall be in compliance with all applicable DEPARTMENT Manuals, Guidelines, Handbooks and Procedures. The DEPARTMENT'S Manuals and Guidelines incorporate by requirement or reference all applicable State and Federal regulations. The current edition, including updates, of the DEPARTMENT Manuals, Guidelines, Handbooks and Procedures shall be used in the performance of this work. The following provisions shall apply: Roadway Plans: Roadway Improvements: All plans and design are to be in accordance with all applicable manuals, guidelines, standards, handbooks, procedures, current design memorandums and directions from the State Roadway Design Engineer, Roadway Design Office and/or District Roadway Design Engineer Drainage Improvements: All plans and design are to be in accordance with all applicable manuals, guidelines, standards, handbooks, procedures, current design memorandums and directions from the State Drainage Engineer, Drainage Office and/or District Drainage Engineer Utilities: N/A Environmental Services: N/A Traffic Plans: Signing, Signalization, and Intelligent Transportation Systems Plans: All plans and design are to be in accordance with all applicable manuals, guidelines, standards, handbooks, procedures, and current design memorandums Landscape Plans: N/A Design/Right-of-Way Surveys: All survey tasks are to be in accordance with all applicable statutes, manuals, guidelines, standards, handbooks, procedures, and current design memoranda Structural Plans: All plans and designs are to be prepared in accordance with the latest standard specifications adopted by AASHTO, FDOT Standard Specifications, FDOT Design

6 Manual, Structures Manual, and directions from the State Structures Design Engineer, Structures Design Office and/or District Structures Design Engineer Geotechnical Services: N/A 4.2 Project Schedule Within ten (10) days after a Task Work Order is issued, the CONSULTANT shall provide a schedule of calendar deadlines. The schedule shall be prepared in a format prescribed by the DEPARTMENT. 4.3 Key Personnel The CONSULTANT'S work shall be performed and directed by the key personnel identified in the proposed expanded letters by the CONSULTANT. Any changes in the indicated personnel shall be subject to review and approval by DEPARTMENT. 4.4 Progress Reporting The CONSULTANT shall provide the DEPARTMENT on a monthly basis with a written progress report which describes the work performed on each task. Progress reports shall be delivered to the DEPARTMENT concurrently with the monthly invoice. Judgment on whether work of sufficient quality and quantity has been accomplished will be made by the Project Manager by comparing the reported percent complete against actual work accomplished. 4.5 Meetings and Presentations The CONSULTANT shall attend a Notice-To-Proceed Meeting with DEPARTMENT representatives, where relevant project information will be provided by the DEPARTMENT, along with procedures for administering the contract. The CONSULTANT and his staff shall also be available with no more than a five (5) workday notice to attend meetings or make presentations at the request of the DEPARTMENT. Such meetings and presentations may be held at any hour between 8:00 A.M. and 12:00 midnight on any day of the week. 4.6 Quality Control The CONSULTANT shall be responsible for the professional quality, technical accuracy and coordination of other services furnished by the CONSULTANT under this contract. The CONSULTANT shall provide a Quality Control Plan which describes the procedures to be utilized to verify, independently check, and review all design drawings, specifications, and other documentation prepared as a part of the contract. The CONSULTANT shall describe how the checking and review processes are to be documented to verify that the required procedures were followed. The Quality Control Plan may be one utilized by the CONSULTANT as part of their normal operation or it may be one specifically designed for this project. The CONSULTANT shall submit a Quality Control Plan for approval within 20 (twenty) calendar days of the written Notice to Proceed. A marked up set of prints from a Quality Control review will be sent in with each phase review submittal. The responsible Professional Engineer that performed the Quality Control review will sign a statement certifying that the review was conducted. The CONSULTANT shall, without additional compensation, correct all errors or deficiencies in the designs, drawings, specifications and/or other services.

7 4.7 Correspondence Copies of all written correspondence between the CONSULTANT and any party pertaining specifically to this contract shall be provided to the DEPARTMENT for their records within one (1) week of the receipt or mailing of said correspondence. 4.8 Liaison Office The DEPARTMENT and the CONSULTANT will designate a Liaison Office and a Project Manager who shall be the representative of their respective organizations for the Project. While it is expected the CONSULTANT shall seek and receive advice from various state, regional, and local agencies, the final direction on all matters of this project remain with the DEPARTMENT'S Project Manager. 4.9 Optional Services N/A 4.10 Submittals The CONSULTANT shall provide written review comments in the format required by the DEPARTMENT depending on the submitter s requirements. The formatting may include, but is not limited to: word document, spreadsheet document or electronic review comments (ERC) document. The CONSULTANT shall transmit the review comments document electronically (as an attachment) to the DEPARTMENT S Project Manager. The document s file name shall be on each page of the review comments and is compatible with the DEPARTMENT S electronic filing system. The CONSULTANT shall provide copies of all plans and design computations as required for each phase submittal in PDF format on a CD disk(s) which have been labeled with the project name, FPN, date and phase submittal. The Project Manager will determine the number of copies required prior to each submittal. All plans phase submittal prints shall be half size (11 x 17 ). Design computations may be submitted on 8 ½ x 11 prints. Final plans and design computations must be submitted signed and sealed by a Florida-licensed professional engineer. A cover sheet indexing the contents of the design computations shall be included and the engineer shall sign and seal that sheet. All computer programs and parameters used in the design computations shall include sufficient backup information to facilitate the review task Computer Automation The project will be developed utilizing Computer Aided Drafting and Design (CADD) systems. The DEPARTMENT makes available software to help assure quality and conformance with policy and procedures regarding CADD. It is the responsibility of the CONSULTANT to meet the requirements in the DEPARTMENT s CADD Manual. The CONSULTANT shall submit final documents and files as described therein Post Design Services: These services are intended to address changed conditions that occur following acceptance of final plans. The CONSULTANT shall provide to the DEPARTMENT additional services as required to satisfactorily complete construction. These services are intended to deal with changed conditions or services not covered and is not intended for instances of CONSULTANT errors and/or omissions. The fee(s) for these services shall be established if and when said services are required.

8 Survey Update: The CONSULTANT shall provide additional field survey updates prior to and during the construction contract Plans Update and Maintenance: The CONSULTANT shall perform engineering analyses and/or make revisions to original reproducibles or special provisions, as requested by the DEPARTMENT, to reflect additions, deletions and/or modifications prior to and subsequent to letting. Whenever original reproducibles are changed, the CONSULTANT shall submit to the DEPARTMENT one (1) set of signed and sealed prints of the revised sheets with the revised reproducibles. This requirement is in addition to any other reproduction and delivery instruction given by the DEPARTMENT in specific instances Construction Assistance: The CONSULTANT shall provide to the DEPARTMENT qualified representation during the construction phase to deal with issues concerning the intent and interpretation of the construction contract plans and documents prepared in the work. Should changed conditions be encountered in the field and when requested by the DEPARTMENT, the CONSULTANT shall respond in a timely manner with suitable engineering solutions that take into account the changed conditions. On site appearance of CONSULTANT shall be made during construction at the written request of the DEPARTMENT or its designated representative. From time to time during construction the CONSULTANT may be requested by the DEPARTMENT or its designated representative to review contractor proposed field changes or to respond with a recommended solution to remedy particular field situations not covered by the plans and specifications Reviews of Structural Shop Drawings: Shop drawing reviews shall be performed in accordance with Structures Design Guidelines or as otherwise directed by the District Structures Design Engineer. SECTION 5. PROJECT ADMINISTRATION Services to be provided by the CONSULTANT under this agreement will be initiated and completed as directed by the Project Manager on each project assigned under this agreement. A total of $750, is programmed over the term of the agreement for the following Fiscal Years (FY): FY2020: $300,000.00; FY2021: $150,000.00; FY2022: $100,000.00; FY2023: $100,000.00; and FY2024: $100, The State of Florida s obligation to pay under this contract is contingent upon future funding appropriations. Individual projects shall be assigned through task work orders during an initial task work order period of twenty-four (24) months from the date of this agreement and subsequent periods as referenced with the programmed funding schedule within the term of the agreement.
