1 Terms of Reference and Requirements A. PROJECT BACKGROUND 1 Shanghai Municipal People s Government has commissioned EXPO as the Project Developer. EXPO s work includes: earth and site-works, detailed design and construction documentation, procurement activities, construction of the Building including all building services plant and equipment, fitting-out and furnishings and landscaping. The Building will be built to Super Grade-A standard for office buildings and a standard that is equal or better, than that of premises occupied by other multilateral Development Banks (MDBs) and other similar international organizations. EXPO will provide the construction inspection function and also provide overall project management. 2 NDB as the user of the Headquarters Premises will work together with Shanghai Municipal People s Government and EXPO to oversee the implementation of the Project and ensure that the building construction and furnishing meet the Bank s requirements and the project is completed for NDB s occupation as planned. 3 The project is located at land A11-01, Area A, Expo Park, Shanghai. The east of A11-01 land connects to A11-02 land that is a reserved development land, the south extends to Xueye Road, the west extends to West Gaoke Road, and the north extends to Guozhan Road. The total area is 12,067 sqm. B. OBJECTIVES OF CONSULTANCY 4 A project management consulting firm, the Technical Advisory and Project Management Consultant (PMC), will be contracted by NDB to provide consulting services. The PMC will on behalf of NDB, provide services for oversight of all matters and activities relating to the procurement, construction, fit-out, and NDB s initial occupation of the Building. The content of the PMC s services shall include all civil and structural engineering, and architectural aspects including both external and internal elements of the Building and all building service elements of the Building.

2 5 The PMC shall have experience of working in the People s Republic of China and experience of leading multi-disciplinary teams of personnel in providing project management services for major building construction projects. The PMC s team of personnel shall be experienced in building projects comparable in scale and complexity to the Project. The PMC shall in accordance with NDB s instructions, monitor implementation of all Project activities (TIME), the budget (COST), and ensure NDB s requirements are fully incorporated into the Headquarters Premises and workmanship and materials used are of the highest standard (QUALITY). C. SCOPE OF WORK 6 The PMC shall assist NDB in five stages of the Project: (i) the initial & plan stage, (ii) the construction stage, (iii) testing & commissioning stage, (iv) completion acceptance stage, and (v) the initial operation and maintenance stage. Management implementation stage by stage is listed as below: 6.1 Initial & Plan Stage In this stage, PMC shall establish the project knowledge (o-chart, change control process), set up project management targets (schedule, quality, cost, etc.), and arrange a kick-off meeting with internal and external stakeholders, etc. 6.2 The Construction Stage PMC shall implement and facilitate procurement management and construction management during the construction stage, including but not limited to schedule/cost/client s satisfaction monitoring and tracking, procurement management, document control, etc. In this stage, the services to be provided by the PMC include but are not limited to the following: (i) Fabrication quality audit and report, including fabrication process inspection and audit, production quality audit and report. (ii) Comment on the method statement for Schedule, Function, Quality, Environment and HSE etc.

3 (iii) (iv) (v) (vi) Method and procedure of site monitoring, checking and test on material and equipment quality system. Method and procedure of site monitoring and checking on HSE management system. Method and procedure of site monitoring and checking on construction quality management system. Monitor the implementation and report the status on Schedule, Function, Quality, Environment and HSE etc. 6.3 Test & Commissioning Stage In this stage, PMC shall review works of test and commissioning, review punch lists and point out typical issues that do not meet NDB s requirements, and monitor and track the maintenance works in punch lists. In this stage, the services to be provided by the PMC include but are not limited to the following: (i) Government related completion acceptance procedure and timeline defined. (ii) Witness commissioning testing of installed equipment. (iii) Prepare a Defects List as sections of the Building construction are completed. (iv) Review draft Operational and Maintenance Manuals. 6.4 Completion Acceptance Stage In this stage, PMC shall analyze functions required and achieved, prepare for handover, and organize related maintenance training to NDB s property management team. In this stage, the services to be provided by the PMC include but are not limited to the following: (i) Government related completion acceptance procedure and timeline. (ii) Project acceptance by NDB according to defined project targets and procedure. (iii) Defect list tracker and monitor. (iv) Transition period maintenance plan review and implementation monitor. (v) Validate all built documentation handover to NDB management team.

4 (vi) Maintenance manuals, plan and contractual conditions review and validate the handover to NDB management team. (vii) Existing contractors, sub-contractors, vendors and suppliers contact information provided by EXPO for further maintenance, repair, improvement or renovation probably. (viii) Related maintenance training to NDB management team. 6.5 Initial Operation and Maintenance Management NDB will have own property/facility management team. Before system operation, PMC shall assist NDB and its own property/facility management team to review and place all relevant conditions. Also, please focus on both technical level and legal aspect. D. REPORTS 7 At the commencement of the services, the PMC shall develop the format of all types of Reports. Without limiting the type and number of reports the PMC will provide, as a minimum the following. A Weekly Report. This will be describing site and construction work progress over the last 7 days, highlighting any issues of concern. This Report is likely to be a 2 to 3 page document and it shall be delivered to NDB no later than 2 days after end of the previous week. A Monthly Report. This will be a comprehensive document reporting on site work progress compared to that indicated in the Contractor s Master Construction Schedule. The Report shall cover but not be limited to the following. Identify show milestone points where decisions will need to be taken by NDB.

5 Identify problem areas covering both technical matters with PMC s proposals of how to rectify such problems. Any PMC review of materials samples or equipment or mock-ups/prototypes. Details concerning testing and commissioning of equipment. Schedules, charts, diagrams and photographs shall be included as appendices. The Report in both hard copy and digital form shall be delivered to the NDB no later than 7 days following the completed month. Various other reports will be prepared and submitted by the PMC to the NDB as the Project progresses that need to be brought to NDB s attention, either for NDB s decision making, or for NDB s knowledge of the subject matter. Project Completion Report. This will be a comprehensive document covering all aspects of construction of the Building. Prior to preparing the Report the PMC shall provide for NDB s review and approval a draft summary of the contents of this Report. The final version of this Report delivered to NDB shall be in both hard copy and digital form. E. FACILITIES AND SERVICES PROVIDED BY NDB 8 NDB will provide PMC the following facilities at no cost for the duration of the services. A temporary project office, including furnishings and cost of on-going utilities. Administrative Support Staff (If necessary). Available data including documents, drawings etc., relevant to the services to be provided by the PMC. F. THE FORMAT AND CONTENT OF PROPOSALS The PMCs are recommended to submit technical proposals as follows: Technical Proposal Format and Content Technical Proposal shall provide the information indicated in the following paragraphs from (i) to (vi) using the Standard Forms.

6 (i) A description of the approach, methodology and work plan for performing the assignment covering the following subject: technical approach and methodology, work plan and organization and personnel schedule. Guidance on the content of this section of the Technical Proposals is provided under Form TECH-2. The work plan should be consistent with the work schedule (Form TECH-3) which will show in the form of a bar chart the timing proposed for each activity. The description of the approach, methodology and work plan shall consist of 10 pages, including charts, diagrams and comments and suggestion, if any, on Terms of Reference. (ii) The list of the proposed team by area of expertise, the position that would be assigned to each team member, their tasks and a summary of essential information (Form TECH-4) All proposed personnel shall have management experience in the management of the international organization's office building project in last 3 years (personnel project experience shall to be described in the CVs of the proposed personnel), and the companies shall be equipped with the National Inspector position. (iii) Estimates of the specialists inputs needed to carry out the assignment (Form Tech-4). (iv) Similar management experience of international organization office building (Form Tech-5). Please provide contract agreement as support basis. (v) Safety management methods and strategies (Form Tech-6). (vi) CVs of the proposed personnel signed by the persons themselves. (Form TECH-7).

7 The Technical Proposal shall not include any commercial information. A Technical Proposal containing commercial details under the selection, will be declared non responsive. In accordance with the resource assignment to each project stage, the Company shall calculate the cost of each Personnel and show total amount of the project cost.
