1 TERMS OF REFERENCE This assignment will include, but not be limited to, the following: 1. Inspection and Commissioning for Acceptance by the Region: Proponents must agree that they will accompany the Regions Project Authority for an on-site inspection for the purpose of commissioning the products for Acceptance If during the inspection the Region identifies deficiencies either related to the Furniture and its components or its installation, the Contractor must (M) correct these deficiencies to the satisfaction of the Region with five (5) business days of the inspection. Should the Contractor be unable to rectify the problem, then the Region, at its election, may: Accept the Furniture at its level of exhibited condition or performance; Extend the rectification period for a further three (3) business days, or; Mandate that the Contractor, at no additional cost to the Region, arrange to expeditiously replace the Furniture or the defective component(s) thereof such the replacement(s) be of a condition or offer a level of performance deemed to be acceptable to the Region and in accordance with the specifications of the Contract Failure or inability to rectify any deficiencies identified by the Region during the acceptance period could result in the cancellation of the contract for reasons of default Furniture Documentation: The Proponent must supply product documentation for the proposed Furniture regarding how it is installed, its operation and how it must be maintained with reference to manufactured authored maintenance manuals prior to contract award. Should product documentation be requested in soft copy or in a CD format during the evaluation of proposal submissions, it will be provided in these types of formats The proponent should include manufacturer authorized warranty documentation for the proposed Furniture with its proposal submission. Prior to contract award the Region must have authorized warranty documentation. 2. Refer to Appendix C and Appendix D for detail of layout and components. Submission to include Proponent generated AutoCAD plans, detailed listing of manufacturer codes, a 3- dimensional drawing of each variation of work area and plan of manufacturer specific electrical power distribution and base feed specifications. All specified dimensions are critical, any changes or variations must be clearly identified in supplemental documents. Proponent to include a listing of any concerns that could influence the success of implementing either layout or product supply. Submissions to include one primary demountable panel system and one primary desking system to be from same manufacturer, ability to merge in height/width and finish options is mandatory. Each submitted product line to have capability of integration within same configurations. All connectors, necessary supports, trim, caps etc. required to complete the installation must be included. Submission to include a detailed electrical and data plan designating power distribution methods, access locations, location of power/data modules at desk height. Include all electrical components required to complete the power and data installation. Add one additional duplex, access from corridor area for every 4 work areas to help facilitate cleaners and miscellaneous equipment. Each individual work area must include four (4) outlets and two data each. These are to be 20 amps, 120 VAC, and be UL and CSA listed. Base feeds to have the capacity of 8-wire system with 4-15 amp circuits including 1 dedicated. Specifications to include an ability to accept a 20 amp circuit for special equipment situations. Provide access and clearance for data cable spec Cat 6a with a larger bend radius required at point of desk top connection, Wire and cabling management for each work unit to include securely concealing all vertical and horizontal cabling. For desking solution include under-surface cable management options to keep cables neat and off floor areas. Each primary work desk with monitors to include adjustable ergonomic articulating keyboard that meets or exceeds CSA guidelines. Keyboard and nonmetallic mouse surface to measure a minimum of 26 wide and 10 deep with option for right or left handed. Heights adjustable within 10 range, minimum tilt capacity of +10 to -10 degrees with single mechanism that adjusts the tilt + up + down functions. A minimum of 20 of knee clearance. Available in different shapes to accommodate different configurations. All work surfaces, components and storage to be non-handed. All doors, pedestals and storage within each unit to be keyed alike. Workstations to be randomly keyed. Supply 2 keys per lock. Each individual work area must include a LEED compliant desk mounted, non-glare, adjustable and dimmable task light placed within ergonomic reach equipped with easily. All products must be listed as standard within the proposed product lines. 32

Steel construction to include metal to metal connections, all trim pieces and a universal connection accommodating L T X and In-line connections. Panel trim and raceways to be impact resistant. Panels to have a monolithic design option that allow for supporting add-on modules with various element options to include mid-grade acoustic and non-acoustic fabric (specify grade in submission), tempered glass, whiteboard, tack board, airflow panel, accessory tile and laminate. Acoustic panels to have solid septum minimizing sound transfer by providing noise reduction. Acceptable panel thickness range minimum 2½ to maximum 3 ¾. Panel heights to include 30, 36, 42, 48, 54, 66 with stack on capabilities. Finish either painted steel or p-lam. Under surface cable management is built in along modular desk structure. Each work surface to have a desk top power and cable module easily accessible by user. Include all power distribution boxes, covers, harnesses and base feeds to suit plan. Power raceways must be easily accessible for cable routing and maintenance. See Section TR4 for specification compliance in desk construction and finish. Options for desk supported elements to include fabric, translucent, perforated metal, whiteboard and glass. 33

End panels are to be used to support work surfaces that are not panel wrapped. End panels to be laminate paint finish. Legs, cantilevers and side supports to be painted, matte finish. All support, trim and finish pieces are to be included. WC-07 WC-08 WC-09 Panel Supported Components- Provide variety of widths and heights to match panel and work surface elements. Offer a variety of closed and open configurations with both sliding and hinged door options. Cabinets are to be capable of mounting at various heights based on 1 increments. Up-mount must be an option and finished on all sides with an off module capability. Include lock option keyed alike to other storage items dedicated to work area. Desk Supported Storage- Provide variety of widths and heights to synchronize with work surface sizes and weight allowances. Offer a variety of closed and open configurations with both sliding and hinged door options. Hutch or Up-mount must be an option and finished on all sides with an off module capability. Include lock option keyed alike to other storage items dedicated to work area. Height Adjustable Work Surfaces- For adjustable height work surfaces, the height range should include mm and should be adjustable in increments of no more than 25 mm. Minimum work surface depth of 400 mm is suggested for writing tasks and should be higher for computer tasks depending on the depth of the computer monitor. Work surface height should provide adequate clearance for the user's legs when seated in his or her most comfortable sitting position. Minimum depth clearance for knees is 432 mm and 598 mm at the floor level. Minimum vertical clearance under the desk is 636 mm and 680 mm at the front edge of work surface. Minimum width clearance under the desk is

Self-edged to match the work surface finish. Non-handed supports and universal hardware permit quick and easy installation and reconfiguration. Metal inserts also help to maintain structural integrity when product is reconfigured. In addition, an array of options fulfills design concepts at varying price levels to accommodate a variety of users. Desk sizes to include a range of 24 to 42 deep, 60 to 84 long: Credenza sizes to include a range of 20 to 30 deep, 24 to 84 long; Hutch sizes to include a range of 12 to 24 deep, 48 to 84 long, 36 to 48 high; Wardrobe (with side to side coat rod) sizes to include a range of 24 to 30 deep, 24 to 48 long, 60 to 80 ; extensive options for floor mounted and secondary surface mounted towers, options for work surface bridges also required. Power/Cabling- Include desk mounted power module; conceal all wires and cabling; factory installed grommet cut outs in modesty panels to facilitate access to wall source. Product line to include Peninsula, Rectangular, Corner, D-shaped, and Extended-P desks; freestanding and mounted desk storage towers, wall mounted storage, freestanding floor based storage, integrated wire management from both wall or floor source, tables and accessories. Storage- Hutch and tower options to include glass and laminate doors hinged to allow minimum of 110% open swing. Pedestal to match submitted product line and meet or exceed pedestal specifications noted in SF

Lunchroom Tables- high-pressure laminate surface 1¼ to 1½ thickness over high-density substructure; must pass all ANSI/BIFMA test standards for high performance laminates, edged on all 4 sides. Provide resilient integrated flat edge detail; completely sealed and moisture proof. Sizes 24 to 42 deep; 24 to 72 wide; two heights 30 and 42 high; shapes to include round, square and rectangular. 37

Each option to be from a different manufacturer. All desk, task and Meeting Room chairs shall have an upholstered seat, upholstered or mesh back, seat and back are to move independently, priced in medium grade finishes. Seat height should have a pneumatic adjustment range of Users should adjust seat height so that: feet flat are on the floor (option: footrest), thighs are parallel to the floor, and knees are at approximate 90º. Seat pan should rounded edges. When seated, seat pan depths should not press on the back of the knees or thighs. Some chairs have horizontal adjustment of the backrest which allows adjustment of seat pan depth - a good range of seat pan depth is and it should adjust by at least 1-2. Seat cushion should have minimal contouring to allow easy shifting of position. Seat pan width should be greater or equal to 18. When the seat angle is adjustable, it should be adjustable to a minimum of 3 degrees forward and 4 degrees rearward from the horizontal position. Backrest must provide good contact and support for the lumbar region of the user's back. Backrest should be vertically adjustable by at least 2 within the range of 6 to 10 above the seat. Backrest cushion width shall not be less than 14. If adjustable, the backrest angle shall be adjustable a minimum of 10 degrees within a range of 93 to 113 degrees and lockable at various positions within the backrest adjustment range. If fixed, the backrest angle should not be less than 93 degrees nor greater than 103 degrees. Suggested ratio for the tilt mechanism is not less than 1.5:1, so that the backrest reclines at least 1.5 degrees when the seat reclines at 1 degree: Within this tilt range the chair should be lockable in various positions. Optional armrests should be adjustable in both the horizontal and vertical planes and should not impede access to the work station or arm movement. If armrest height is fixed, it should be within the range of If armrest height to be adjustable, it should be adjustable at least 2. Armrests should be set back at least 6 from the edge of the seat. Armrests should be padded to provide light arm support. Armrests should have a length no less than 7 and a width no less than 2. The inside distance between armrests should not be less than 18. Task Chairs and Meeting Room Chairs should have five prongs for stability. Chair prongs should have casters for mobility. Casters should be appropriate for the floor surface (i.e. hard casters for soft floors or soft casters for hard floors). Lunch Room Seating- Non-upholstered polypropylene seat and back, sturdy sled or four leg base, no arms. Available in two heights- standard and counter. 38

Include maintenance instructions for all materials; All paint and material finishes must be free of lead and other toxic substances All paint finishes are factory standard paint Panel and seating fabric is from the manufacturer's standard fabric product line and in the middle price range for fabrics Finishes available are from 2016 product specifications and provide a commercial grade durability and quality Table TR11 Installation and Warranty IW -01 IW-02 IW -03 IW -04 All product warranties to be submitted and clearly outlined based on the following; The length of time each of the individual manufacturer products are under warranty Identify if a variance of warranty is applicable to same products based on application or finishes; i.e. COM Fabric, if product under 24 hour usage The conditions of use under which the warranties are not applicable or actions that may void the warranty. The products should have a minimum 10-year warranty including all parts and labour. A full copy of the warranty for all products should be available upon request and should include materials, labour, delivery and installation Clearly identify products with Lifetime warranty and conditions The minimum acceptable manufacturer's warranty for all furniture submitted is as follows: Be free from all defects Conform to all mandatory Specifications defined in this RFP Be suitable for the intended use as defined by the Region Be free of defects in title Be free from installation deficiencies The Proponent shall coordinate the installation of the furniture with The Region of Niagara to gain access to the building. The installations shall take place during normal business hours. The installation site will accommodate sufficient space (turning radius) for a tractor trailer with a 53' trailer. Please make note that the site is not equipped with a loading dock and the Contractor must supply its own means/labour to offload the materials and pallets, etc. All packaging and unused material to be removed from the site daily. Areas to be kept clean and meet facility safety standards. 39

10 IW -05 IW -06 The anticipated Phase One delivery and installation of the new furniture and storage is to begin May 16, 2016 install of Phase One to be completed by May 25, All Meeting Rooms, Training Rooms, Briefing Rooms and Community Room to be included in Phase One delivery. The remaining furniture will be delivered and installed by phase to be confirmed when proponent selected. The proposed delivery schedule may change subject to construction progress. The Proponent must agree to the following warranty and also agrees to cover all the costs associated with parts, labour and shipping required to make repairs or corrections to the product as a result of the Region having Warranty related repairs or corrections will be made on site where required and this servicing will be provided or arranged for by the successful Proponent at no additional cost to the Region while applicable warranty periods are still in effect submitted a warranty claim for deficiencies. Table TR12 Sustainability and Environment SU-01 Proponents expected to demonstrate commitment to sustainable design and manufacturing practices, reducing and recycling of waste, the improvement of the environmental quality for their employees and minimizing the environmental impact on the community. Provide company statements on the following: Manufacturers facilities ISO Environmental Management certified or comparable accreditation. Products GREENGUARD certified (and preferable Ecologo certified). Products and location of manufacturing facilities that can add points to a LEED registered project. Ecological shipping and packaging. Corporate sustainable policies and a record of positive environmental performance, including energy management, greenhouse emissions, green transportation, recycling policy, reduction of emissions and water usage. Provide detailed description in the technical proposal on manufacturer procedures to ensure off gas of all products and materials prior to assembly and delivery to site. 40

RP.2 Ease of Assembly and Reconfiguration maximum 5 points Describe and illustrate the key aspects of the proposed furniture regarding assembly methods, ease of assembly/disassembly, ability to adjust or move the console, impact on warranty if any ease of component maintenance or replacement, etc. Demonstrate flexibility in potential layout reconfigurations. RP.3 Installation, Service and Warranties maximum 7.5 points The Proponent will be expected to be prepared to start the furniture install based on a proposed phasing schedule that commences May 16, Based on the quantities and type (systems or casegoods) the Proponent shall provide an estimated installation schedule of time blocking by phase. The Successful Proponent will be provided further detail on phase dates when awarded. Proponent to specify; a. If furniture install occurs outside of regular business hours stipulate any additional costs. b. Appendix s B, C, D and E Floor Plans exhibit the areas of new furniture. Where the proposed System exceeds either the minimum Service or System Warranties described in ANNEX A TERMS OF REFERENCE Section 2 Technical Requirements, Table TR11 Installation and Warranty, IW-01 to IW-02, the Proponent should (R) submit a detailed 42

13 statement of the applicable manufacturer's warranty for the proposed furniture that details what is covered by the warranty, for how long and subject to what limitations. If there is a variance of warranty applicable to different products provide a list of the products and their individual warranty. Warranty statements are to include materials, labour, delivery and installation. Preference shall be given to a maintenance package that includes value added items such as 24/7 Telephone support 4 hour maintenance/repair turnaround time A response time of thirty (30) days for complete replacement RP.4 Drawings, Inventory Services, Data Management maximum 7.5 points Appendix C Drawings includes NRPS Headquarters Level 1, 2 and 3 floor plans that defines the Work Stations, Storage, Meeting Rooms and Executive Offices. The Proponent to utilize these drawings to create a product detailed floor plan based on their specific product and provide this Cad format within the technical proposal along with isometric, 3D and elevation drawings as required to suitable demonstration the installation. Drawings should include dimensions to clearly show clearances. Electronic version of Base Building will be available to Proponent upon request. Proponent to provide detailed outline of any additional costs for the following services on an ongoing basis; 1. Managing a data base of inventory and update Region as requested. 2. Specification and Quotation of new product when additional items required; at no additional expense. 3. RP.5 Sustainability and Environment maximum 5 points The Proponent should provide a detailed description of all credentials and certifications relating to off-gassing and indoor air quality that they possess. Preference shall be given to documentation demonstrating that the proposed furniture can contribute to the reduction of indoor air contaminants by one of the three following methods. 1. Greenguard Indoor Air Quality Certification by providing a copy of the furniture and/or applied materials certification, with the start and end dates of certification. 2. Documentation demonstrating that the furniture has been tested to BIFMA M and X testing protocols conducted in an independent third party air quality testing laboratory. 3. Documentation that the furniture meets or is less than the indoor air concentration as based on the U.S. Environmental Protection Agency's Environmental Technology Verification (ETV) Large Chamber Test Protocol for Measuring Emissions of VOC' and Aldehydes (September 1999) testing protocol conducted in an independent air quality testing laboratory (TVOC limit of 0.5 mg/m 3 ; Formaldehyde limit of 50 parts per billion; total Aldehydes limit of 100 parts per billion and 4-PC (as an odorant) limit of mg/m 3 ). 43

14 A period of at least four (4) weeks is expected to allow for the new furniture to off-gas in a wellventilated location provided by the Proponent. A description of how this will be provided / incorporated shall be included in the technical proposal. The Proponent should provide a detailed description of the Quality Assurance Program it has in place. The description should clearly describe the corporate quality assurance procedures including how quality assurance will be maintained in any arrangements with other suppliers providing goods and services. The Proponent should include the specific quality practices, resources and processes that will be employed in the performance of all work detailed in the Service Specifications. 44

15 ANNEX C RATED PRODUCT DEMONSTRATION CRITERIA This section will evaluate the proposed furniture, its aesthetics, the layout, the functionality, ergonomics, and interior air quality impact. Also, the Proponent's drawings of the typical work areas and the installation plan will be evaluated as part of this section. Evaluation will be based on proponents' Product Demonstration. 17 ANNEX D FINANCIAL PROPOSAL CRITERIA 1. Table F1: Rated Financial Summary: Each Price Schedule detailed below will be evaluated separately in accordance with the following table. Price Schedule Requirement Maximum Points A Furniture 30 Total Basis of Payment The firm unit prices proposed by bidders for the goods, materials or services specified in this Request for Proposal shall serve as the basis of payment for same in any in any resulting contract for the purchase thereof. 3. Price Schedules All Separate Price items listed below shall have the appropriate price inserted adjacent to each item by the Proponent and be excluded from the Total Price above. Separate Price items shall include all labour, materials, products, equipment, services, and respective overhead, profit, disbursements, and related charges (excluding HST) and represent the amounts which will be added to the Total Price if these items are required to be included in the Contract. 4. Instructions for Financial Proposal Submission All prices shall be net to the Region and shall include all labour, installation, material, equipment, freight/shipping charges and all other associated cost required to supply and deliver the subject items. HST shall be extra to the cost quoted. All amounts must (M) be entered in Canadian funds. The Proponent must (M) include in their proposal a complete summary of all of the major components of their proposed equipment. Pricing may at the Proponents discretion offer, under a separate cover, a detailed component based Console Price Schedule supporting the lump sum Console price stated herein. Such a component based price schedule would show details of the cost of each component of the system. 47

18 5. Tax Status The price quoted shall be in Canadian funds and shall include all duty, customs clearances, and all other charges. All prices shall be quoted exclusive of pertinent taxes or in this case NOT including Harmonized Sales Tax. HST will therefore be EXTRA, where applicable, to total price of the work. 6. Delivery All prices must be F.O.B.
