3 PROPERTY DESCRIPTION: Pharmaceutical production and laboratory complex on ± acres with three two-story buildings totaling ±182,540 sq. ft. Facility used primarily to develop and produce oral solid dosage products. Accommodated ±380 employees in total over three shifts, with ±200 on peak shift. Building P1: First floor housed laboratories and pilot production area. Second floor houses offices and 30 person cafeteria (without production kitchen). Building P2: Original section built in 1970s and was expanded to north in Manufacturing on first floor; rooms have epoxy floors, floor drains. Offices, labs, and mechanical spaces on second floor. Building P3 : Built in First floor has several lab areas and 30 to 35 clear height warehouse area with five-level high racking. Warehouse includes DEA-regulated controlled substance vaults and racked high-bay area. Second floor contains offices, training rooms, and mechanical areas. Buildings P2 and P3 were operated at validated Good Manufacturing Practice ( GMP ) standards until recent production shutdown. Exhaust fans in production and lab areas have been shut down with HEPA filters to be removed. Buildings will be delivered with intact HVAC, dry compressed air, waste water treatment, and other systems. Recommissioning to cgmp standard by purchaser would be required. 4 LABORATORIES: There are several laboratories with a total area of ±48,100 sq. ft. within complex. All labs to be delivered with benches, sinks, di-ionized water, dry compressed air, gas and other service lines, safety showers, and fume hoods intact. All labs have UPS. Lab areas include: Building P1: First floor: Rooms (General lab and support area), 172 Building P2: Second floor: Rooms 200, 204, 206, M33 (Microbiology lab. Five fume hoods), M65 (Lab with air shower), M72 Building P3: First floor: Rooms 84 (General lab), 88 (Skin biology lab), 89 (Transdermal formulation lab), 93 (Potent lab with air lock), 1005 (Quality control lab area built in Four fume hoods),1020 (±8,000 sq. ft. HPLC sterile lab area renovated within past two years at reported cost of about $8 million. New lab area has special nitrogen/water fire suppression systems to minimize equipment damage, and the 10 fume hoods have sashes to minimize air flow when not in use). New ±8,000 Sq. Ft. Sterile Lab MANUFACTURING: ±28,500 sq. ft. manufacturing area on first floor of Building P2 includes twenty-eight (28) manufacturing rooms. Most rooms have epoxy floors, floor drains, wash closets, compressed air lines, temperature and humidity control, and video monitoring. Airlock access into manufacturing areas. Some rooms have built-in floor scales and vacuum lines. Rooms for manufacturing include: Rooms 120, 120A (also pharmacy), 120B (also pharmacy), 121, 121A, 122,123,131,134, 135, 136, 140 (with built-in over), 141, 142, 144,145,148, 149,155, 166 (Explosion proof manufacturing area built in 2015 at cost of ±$1.1million. Also equipped with air lock and mist shower),167, 168, 169, 175,180, 182, 183 (Currently used for lab, but convertible to manufacturing), and 185. Manufacturing Area WAREHOUSE/ STORAGE: ±23,000 sq. ft. racked warehouse area with ±30-35 clear ceilings. Warehouse was operated at GMP standards. Five-pallet high racking available. Includes secure DEA storage areas with caged and racked high bay area, and two (2) stability chamber storage areas. Three (3) Thermo-Kool walk-in stability chambers. Ten (10) combustibles storage lockers with dedicated dry chemical fire suppression system. Three (3) narrow-aisle electric forklifts. Flammable material storage sheds outside Building P3 warehouse area. Manufacturing Area

5 CONSTRUCTION: Building P1: Independent steel frame with masonry walls. Roof mostly rubber membrane. Building P2: Independent steel frame and precast concrete panel walls in original section, and Butler pre-engineered steel walls and frame in circa 1992 north section. Roof on original section of Building P2 is built-up, with a standing seam metal roof on P2 addition. Building P3: Pre-engineered steel building with insulated panel walls and standing seam metal roof. HVAC: Building automation system controls throughout complex control temperature and humidity to maintain interior temperature at 65 degrees Fahrenheit and interior relative humidity between 20% and 60% at all times (usually operated at 45%). Lab and manufacturing areas maintained at negative pressure, with about 12 air changes per hour. Manufacturing Room Two ±1-year old Lochinvar natural gas-fired hot water heaters (1.2 million BTU/hr each) for domestic hot water. Building P2 and P3 steam for heating provided by three boilers: natural gas-fired Cleaver Brooks ( 6.28 million BTU/hour input) high pressure package boiler, and two Cleaver Brooks 4.8 million BTU/hour output boilers. Building P1 heating provided by two natural gas-fired low pressure steam boilers. ±1,050 tons of chilled water capacity in Buildings P2 and P3, with 1- year old York 350-ton electric chiller and 1-year old York 150-ton electric chiller. Older 200-ton and 350 ton electric chillers. ±300 tons of chilled water capacity in Building P1, with two 150-ton electric chillers. HVAC system in Building P1 delivers up to 60,000 cubic feet per minute ( CFM ) of conditioned air with two (2) air handlers and two (2) dust collectors. HVAC system for new lab area in Buildings P3 (Room 1020) supplies up to 30,000 CFM of HEPA-filtered air. Single-pass air handling systems in other lab and manufacturing areas. Scrubber for exhaust air in Building P2. Large dehumidifier installed on roof (never used). Typical Manufacturing Corridor Warehouse Area

6 PRODUCTION EQUIPMENT: Most production equipment has been removed, but following operational equipment may be negotiated as part of sale: Two (2) 300-liter Freund Spir-A-Flow fluid bed dryers (Building P2 - Rooms 122 and 123), and One (1) GMX 1200 high-shear granulator ±5 years old (Building P2 Room 121). COMPRESSED AIR SYSTEMS: Dry compressed air throughout Buildings P2 and P3 supplied by three (3) Kobelco KNW AO-C/H oilfree 75-hp compressors, plus one back-up compressor. Dry compressed air in Building P1 provided by two 50-hp compressors. SECURITY: Single-entrance with security guardhouse and gate into fenced complex from Quaker Road for personnel. A second entrance from Quaker Road is used only for special movements of equipment and supplies. Building and room card access system throughout complex. Extensive video monitoring in production rooms, labs, and other areas of building DEA Controlled Storage Area PARKING: ±490 car parking spaces (±2.7 spaces per 1,000 sq. ft.) LOADING: Buildings P2 and P3 served by four (4) 10 x 10 tailgatelevel loading docks, and one 10 x 10 drive-in door, on south wall of Building P3. Three loading docks within airlock. Also adjacent trash chute with 5 x 10 door to exterior dumpster. Airlock into loading dock area. Building P1 has one 8 x 8 drive-in door. Warehouse Stability Chambers ELECTRIC: 2000 amp, 480/277 volt, 3 phase, 4 wire service supplies complex. Main shut-off near entrance. Separate electric meter for each building. Diesel-fueled Caterpillar automatic switchover back-up generator can provide up to 2.2 megawatts enough to support all operations of Buildings P2 and P3 including cooling. 3,500 gallon diesel tank with containment structure. ZONING: Property in Town of Haverstraw s PIO-Planned Industrial Office zoning district. Uses permitted by right include R&D labs, manufacturing as an adjunct to office or research use, industrial uses, and warehousing. Stability Chamber

7 UTILITIES: Electricity Provided by Orange & Rockland Utilities, Inc. (subsidiary of ConEd). Natural Gas - Provided by Orange & Rockland Utilities, Inc. (subsidiary of ConEd). COMMUNICATIONS: CAT 5 cabling. Fiber to building. Telco room and adjoining computer room adjacent to P2 lobby with dedicated HVAC and UPS system. MISCELLANEOUS: Di-ionized water Six systems (2 for lab areas) in good working order. Building P2 Interior Document Storage Rooms High-density mobile shelving systems in Buildings P1 and P2 - Room 158. Industrial gas supply 3,000 gallon nitrogen tank outside Building P3 with supply lines to most lab areas. Helium and argon lines to many labs. Waste water treatment Centrally-monitored waste treatment system with discharge permits. All waste water from labs and production areas is PH-neutralized before discharge into municipal system.
