The above cost / trade breakdown of the base bid sum is submitted for use by the Owner and / or Architect in evaluating this Proposal and is not intended as a basis for establishing prices for additions to or deletions from the contract sum. 2. will leave the entire job location broom swept upon the completion of work. 3. will need elevations and/or material specifications in order to provide pricing for this item. 4. Please note that after demolition is complete the architect, flooring subcontractor and general contractor will meet on site to review the exact extent of the needed floor repairs. 5. Please note that the electrical work excludes the removal of existing violations, the relocation or extension of the building intercom, relocation or removal of existing feed through risers, final connections to telephone, data and CATVservices and equipment, furnish, installation or connection of audio equipment and controls, furnish HVACcontrols and equipment or the final connections to low voltage controls or engineering or special submittals to the Bureau of Electrical Control Advisory Board. 6. Please note that due to constant changes in the humidity and/or ambient temperature in New York City, ZMK cannot be responsible for cracking and separation of wood moldings and flooring materials unless constant humidity and temperature are continually maintained throughout the residence both during and following the completion of construction. Wood is a natural material and expansion and contraction due to fluctuation in temperature and humidity is a natural occurrence. is happy to discuss options for the maintenance of constant humidity and temperature. 7. Pleasenote all millwork will be fabricated with the finishes noted. All non-exposed interiors will be prefinished Maple. All natural wood finishes will receive one (1) coat of stain and a satin or matt finish lacquer. All millwork specified as primed will be painted by hand on site. 8. The above contract includes up to 12 custom colors by Benjamin Moore. All walls and ceilings will receive a latex based flat or eggshell finish. All doors and trim will receive an alkyd based Satin Impervo finish. Special custom paints and/or deep colors will require an additional cost to be added to the paint cost of the Project.

This Proposal includes an allowance for a pour to a maximum depth of three inches. Eachadditional inch of depth of concrete will add $4.00 per square foot to the cost of the concrete work. 10. 11 ZMK gr()up ll1c Rider to Contract RichardsResidence In the event of any inconsistencybetween the terms of this Riderand the Contract documents to which it is attached the terms and conditions of this Ridershall control. 1. Upon execution of this Contract, Owner shall make an advancepayment equal to two hundred ninety-three thousand, sevenhundred sixteen dollars ($293,716.00), representing 25% of the Contract Sum. Contractor shall submit requisitions to Owner no more frequently than every three weeks. Requisitionsshall reflect a 10% line item retainageof original contract values. Upon 90% Completion of work items, the retainage will be reducedto 5% of the value of each work item. The deposit sum shall be amortized at the samerate at which the work is complete. The product of the deposit sum multiplied by the percentage of completion will be subtracted from the value of the moneysdue on each requisition. 2. Upon receipt of the Project PunchList,ZMKGroup, Inc. and the Architect will mutually determine the value of the outstanding contracted work to be completed. The Final Retainage ("Final Retainage")will be 150% of the value of this PunchListwork. The outstanding balance remaining lessthis FinalRetainagewill be paid in full within seven(7) businessdays of ZMK Group, Inc.'s commencement of the Punchlist. 3. Requisitionswill be submitted to the Architect for their review and certification. Payment certified by the Architect will be due to the Contractor ten (10) businessdaysafter the requisition is submitted to the Architect. In the event that the Contractor does not receive payment fifteen (15) daysafter payment is due, the Contractor will havethe fight to stop all work on the Project after giving at least five (5) days' written notice to the Owner and the Architect. All expensesincurred by the Contractor due to a work stoppagethat is a result of non-payment and/or late payment will be paid for by the Owner prior to the resumption of work. 4. The duration of the Project will be increasedor decreaseddue to changesin the scope of the work that are approved by the Owner once the Project begins. One hundred thirty-five (135) workdays excludesall holidays,weekendsand daysthe building will not allow work to be performed. Additionally, changesin the scopeof work that are requested by the Owner and/or Architect that result in an increasein the duration of the Project may causean increasein the General Conditions cost for the Project. This additional GeneralConditionscharge is not a penalty. The GeneralConditionschargecovers'scost of extended supervision required to staff the Project beyond the original GeneralConditionstimeframe provided in the basecontract. In the event additional work isadded to the Project,ZMKGroup, Inc.will not proceed with additional work beyond the scopeof the attached proposal and Project drawings until an additional work order is approved and signedby the Owner. There will not be any retainage held on additional work order work. The deposit payment for additional work orders is due upon the approval of the additional work order. The amount of the deposit will vary basedon the specifictype of work approved. ZMKGroup, Inc. will proceed with additional work order work upon the receipt of written approval from the Owner. The additional work order deposit must be received by ZMKGroup, Inc. within five (5) daysof the approval of an additional work order. 6. In the event a PunchList is required, the Architect and/or OWnerwill provide one signed written Punchlist for to complete. This Punchlist should be provided within seven(7) daysof the substantial completion of the Project. 7. In the event of a disagreement over finishesand/or materials the Architect's decision is final. 8. ZMKGroup, Inc. will supply all labor and materials necessaryto complete the work for this Project. ZMKGroup, Inc. will be responsiblefor all materials that they are contracted to supply for the completion of the Project. 9.
