(Tony) Braun President, Braun Blaising McLaughlin & Smith, PC Statement of Interest and Qualifications for the EIM Transitional Committee If selected to serve, my twenty years of work on behalf of Publicly Owned Utilities (POU) in California, the level of trust earned in the POU community, and my working relationships across industry sectors and throughout the Western region would be brought to bear in service to the Transitional Committee, as it advises the Board and recommends possible Governance models to facilitate the success of the Energy Imbalance Market (EIM). Broad Experience and Skills Directly Relevant to Service on the Transitional Committee I have demonstrated leadership skills, understanding of regional issues, and the ability to work with multiple industry sectors. These traits would assist the Transitional Committee to effectively fulfill its mandates. As a member of the Transitional Committee, I would be committed to the success of the proposed EIM, and ready and available to commit the time and duration of service necessary for such an important undertaking. Directly and through the firm that I founded, I have worked on a broad array of industry issues. Further, this work has been for a diverse set of clients both large and small, and both inside and outside the CAISO footprint. That work experience includes hands-on involvement in: 1

2 Most every rulemaking of the Federal Energy Regulatory Commission (FERC) relevant to operation of wholesale markets and the proposed EIM, including FERC Order Nos (Transmission Planning), 888/889 (Open Access Requirements), and 764 (15- Minute Intertie Scheduling); A myriad of CAISO market issues, including the Transmission Planning Process, Resource Adequacy, Flexible Capacity Obligations, Generator Risk of Retirement processes, Renewable Integration, market cost allocations, and other matters; CAISO governance matters, beginning with formation and including certain of the current governance structures and open meeting policies; Development and implementation of the Renewable Portfolio Standard, including ongoing regulations and compliance; Commercial transmission, power, operations, and interconnection agreements; Agreements between Balancing Authorities for operations, support, and data exchange; Formation and governance of Balancing Authorities Areas; and Reliability Standard application and compliance. Importantly, my work allows and requires me to reflect a broad array of interests and concerns, including counsel and advise for entities both inside and outside of the CAISO, with diverse size, operational characteristics, and needs. Representative clients include the: California Municipal Utilities Association Balancing Authority of Northern California Imperial Irrigation District Sacramento Municipal Utility District Power and Water Resources Pooling Authority 2

3 Cities of Corona, Cerritos, Rancho Cucamonga and Moreno Valley Merced Irrigation District City of Redding, CA City of Roseville, CA Important to potential service on the Transitional Committee, my track record shows the ability to represent client interests while facilitating broader compromises that benefit the industry as a whole. A few illustrative examples of work highly relevant to the anticipated tasks of the Transitional Committee include: WECC Reorganization and Bifurcation: On behalf of Balancing Authority clients and through a coalition of similarly situated entities (that included the CAISO), I worked directly on both governance principles and language of the governance documents for the reconstituted Western Electricity Coordinating Council and the newly-bifurcated Peak Reliability Corporation that serves as the Reliability Coordinator for the Western Interconnection. This work included hands-on drafting and negotiation of bylaws language. Transmission Access Charge: Beginning with language included in AB 1890, through the CAISO stakeholder process, and culminating in relevant FERC proceedings, I worked with both municipal clients and through the CAISO to devise and implement the current statewide High Voltage Transmission Access Charge, and the transition and away from utility-specific charges. It was modification of this rate design that provided the necessary cost signal and led to several municipal utilities joining the CAISO as Participating Transmission Owners. CAISO/Imperial Irrigation District (IID) Collaboration: Working with the CAISO over the past few years, IID and the CAISO have been able to increase data exchange and develop new operational agreements as Adjacent Balancing Authorities Areas. Directly and through the 3

4 hard work of both the CAISO and IID teams, IID recently became an approved Project Sponsor through the competitive solicitation process and is developing a policy-driven transmission project which will interconnect renewable resources under CAISO Operational Control. This work demonstrates my ability to shape proposals that further achievement of policy goals, while respecting differing business needs of the participants. CAISO Formation and Governance: While much has changed in the intervening years, I have a keen understanding of current CAISO governance as part of the Governance Working Group that developed certain of the CAISO policies and structures that still exist today. EIM governance proposals will build off that existing foundation. Formation of Public Agencies: Directly and through my firm, I helped form the Balancing Authority of Northern California, which serves the adjacent Balancing Authority Area that encompasses the Cities of Redding and Roseville, the Modesto Irrigation District, the Sacramento Municipal Utility District, the Trinity Public Utility District, and the federal generation and transmission facilities under the management of the Western Area Power Administration and the Bureau of Reclamation. This work included creation and amendment of the Joint Powers Agreement that serves as the governing document for the agency, as well as operational agreements with the Balancing Authority and its members. BBMS also helped form and provides General Counsel services to the Power and Water Resources Pooling Authority, that aggregates and optimizes delivery of federal power to several water and irrigation agencies across Northern and Central California. In short, I have extensive experience crafting governing documents for nascent organizations. 4

5 Brief Summary of Work Experience and Education Currently, I am President of Braun Blaising McLaughlin & Smith, PC (BBMS), a firm I formed in 1996 to advise POUs on emerging issues in the industry due to market restructuring. Prior to founding BBMS, I served in the Office of General Counsel of the Sacramento Municipal Utility District. I began the practice of law with the firm of Duncan Weinberg Miller & Pembroke, PC, in Washington, D.C., advising a national clientele on electric and natural gas matters, before the Federal Energy Regulatory Commission and state regulatory agencies. Prior to law school, I served U.S. Senator Paul S. Trible as a Legislative Aide on energy, transportation and economic issues. I received my Bachelors of Art from University of Virginia in Economics as well as American Government in 1985, and Juris Doctor from the College of William and Mary, Marshall Wythe School of Law in Conclusion For twenty years, I have demonstrated the leadership skills, an understanding of regional issues, the knowledge of relevant and complex subjects, and the ability to work with multiple industry sectors to reach common goals. These traits would assist the Transitional Committee to effectively fulfill its mandate. As a member of the Transitional Committee, I would be committed to the success of the proposed EIM, and am ready and available to commit the time as well as the needed duration of service for such an important undertaking.
