1 CONSULTATION FOR THE COLLECTION OF EXPRESSIONS OF INTEREST FOR THE ENHANCEMENT OF THE REAL ESTATE COMPLEX "EX CONVENT AND EX PRISON OF SAN DOMENICO OF SAN GIMIGNANO Art. 1 - Purpose The municipality of San Gimignano promotes, by executive decision n /12/2015, a public consultation in order to involve all stakeholders in the implementation of measures of recovery, development and renovation of the real estate complex called "ex convent and ex prison of San Domenico" of San Gimignano, owned by the municipality of San Gimignano and the Tuscan Region. The municipality intends to recover and make a refunctionalization of such compendium on the basis of a cultural enhancement program, ensuring under various forms an effective and sustainable management from the economical and financial point of view. Such refunctionalization could be done through the identification of private operator subjects, that will provide also to the redevelopment of the property with the aid of potential public contributions. The property is subject to an institutional consultation launched with the aim of realizing the best conditions in order to allow private investors to participate in the process of enhancement, according to the various possible forms of public-private partnerships. The tools of enhancement are mainly attributable to the institution of enhancement concession, or similar forms of management, with the exception of the alienation. Art.2 - Purposes and effects of expressions of interest This consultation is aimed at launching a qualified and constructive dialogue with all stakeholders interested to intervene or to contribute, directly or indirectly, to the enhancement of the Compendium of the ex convent and ex prison of San Domenico, acquiring proposals and ideas that can steer the enhancement. The proposals will provide legal guidance for the next valorization paths and placing on the market of the compendium (as a whole or for individual lots), according to times and procedures to be defined, and to be examined in depth in forms that the municipality of San Gimignano deems appropriate for the goals indicated. Expressions of interest and proposals for enhancement presented will have no binding force for the municipality of San Gimignano and will not constitute any title or 1

2 condition or vantage points or pre-emption or other law with respect to any subsequent decisions taken by the Municipality in its administrative discretion. This consultation does not constitute an invitation to offer, nor, in any way, a tender or a public offering in accordance with the regulations. There will be no rankings or assigning scores, awards, fees, compensation or reimbursement of any kind for expressions of interest and proposals received. Art. 3 - Subjects The Consultation is open to various subjects (businesses, associations, foundations, individuals, institutions in either individual or associated or others) who, individually or collectively, have an interest, direct or indirect, to attend and / or to contribute to new refunctionalization of the real estate complex in question, presenting proposals useful in highlighting the same. Art. 4 - Property subject to enhancement The property subject of the consultation is the ex convent and ex prison of San Domenico, located in the heart of the historic center of San Gimignano. It is an articulated architectural compendium, comprising a portion which was the ex convent and ex prison itself, within a surrounding wall, and an outer portion of the surrounding wall, which was the service accommodation, totaling of about 36,000 cubic meters, corresponding to a gross area of 8,377 meters, to which is added a vast area of "gardens" adjacent and outside the surrounding walls. The San Domenico has acted as monastery in its first building, dating from the fourteenth century, until 1787, year of the suppression of the monastery, then was intended as a prison from 1833 to 1993/95, the date from which remained mostly unused. The complex has been recognized of historical and artistic interest with DM of pursuant to art. 822 of the Civil Code. The asset is therefore subject to the regime of public property (historical, archaeological and artistic branch) and is subject to the discipline of protection and preservation by Legislative Decree. N. 42/2004, "Code of Cultural Heritage and Landscape", subsequent amendments. The San Domenico was acquired in a portion of the undivided property by the municipality of San Gimignano and the Tuscan Region in accordance with art. 5 c. 5 of Legislative Decree. N. 85/2010 (the cultural state property federalism"), that is the process of free of charge transfer of historical and artistic heritage goods from the State to local authorities. The transfer took place on the basis of an Enhancement Agreement for the redevelopment, the preservation and protection of the property signed on , and changed by the next integration act of , between the municipality of 2

3 San Gimignano, the Tuscany Region, the Ministry of Heritage and Culture and Tourism (MiBACT) and the State Property Agency (Branch of Tuscany and Umbria). The interventions on the compendium will be made according to what is stipulated by the above mentioned Enhancement Agreement, and according to urban destinations provided by the Structure Plan and the urban plan of the municipality, subject to any amendment. The main purpose of the interventions provided by the Enhancement Agreement are: "The protection and enhancement of the compendium [...], through a refunctionalization that respects the artistic and historical characters this good represents, will be pursued through a special enhancement program; The enhancement program will ensure the objectives of goods cultural protection through direct activities, on the basis of adequate knowledge, in order to preserve them for the purposes of public use, in accordance with art. 3 of the Decree. N. 42/2004 s.m.i.; The enhancement program will ensure the objectives of enhancement through activities aimed at promoting the knowledge of cultural heritage and ensuring the best conditions of public use and enjoyment of the cultural complex, even by persons with disabilities, in order to promote the development of culture ; in compliance with what is covered by art. 6 of Legislative Decree. N. 42/2004 and subsequent amendments, the enhancement will be implemented in compatible forms with the protection and so as not to jeopardize the needs even through the participation of private entities, individuals or associations; the program [of enhancement] includes the restoration of the complex, its reuse, and its exploitation through the localization of a number of functions, all inspired by the same cultural vocation and consistent with the programs and government projects of institutions [owners] in matter of cultural promotion and tourism development of the territory and of the rediscovery and promotion of the characteristic features of Tuscan culture in its various expressions, as well as with the programs and directives issued by UNESCO and also summarized in the Unesco Management Plan of the Site "Old Town of San Gimignano ; public use will be ensured [...] by the intended commercial, museum, tourist accommodation and public services allowed for the compendium; the program [of enhancement], to be implemented [...] according to the principles of preservation and restoration, must give priority to preserving the architectural exceptional nature of the complex and enhance the testimonial, artistic, architectural and historical characters. The program is also aimed at the creation of a new urban spatiality capable of triggering appropriate mechanisms for reuse, preserving as much as possible all the relevant and distinctive elements - even decorative - of the building organism. 3

4 The above mentioned cultural goals are therefore to be intended in the broadest sense, with particular reference to everything that relate to the enhancement of the compendium, the historic center of San Gimignano and its territory from an architectural, historical and artistic point of view, but also in the promotion of tourism and accommodation facilities, manufacturing and other kind of facilities nonetheless consistent with the nature of the property. From the date of acquisition of the compendium, the municipality, as the subject exercising the function of contracting the various degrees of intervention provided in the Enhancement Agreement, launched, using its own financing and government grants, activities aimed at the preliminary study and surveys, partly still in progress. The San Domenico figure in the "Guidelines on the promotion and enhancement of the Great Cultural Attractions Museum under the Operational Programme FESR of Tuscany Region, pursuant to resolution of the Regional Council of Tuscany no. 963 of 11/03/2014. Art. 5 - Reference area of the property The ex convent and ex prison of San Domenico is located near the main squares of the historic center of San Gimignano, which, for its distinctive architectural profile and its remarkable artistic and historical heritage, is registered in the UNESCO List of World Heritage since Towered city world emblem of the Middle Ages, surrounded by beautiful Tuscan countryside, near Chianti and Valdorcia, the main center of attraction of Valdelsa, San Gimignano is one of the major Italian must-see of the Via Francigena, located halfway between Florence and Siena, in the major direction flow of tourists in Tuscany. Among the best known and visited small historic towns in the world, the Italian capital for agritourism for the density of such structures, subject of frequent awards for the quality of life and visitors reception ("Orange Flag" of the Italian Touring Club, Top Rated award for the category "Villages" attributed by "PaesiOnLine", etc.), San Gimignano includes an articulated complex of civic museums and numerous cultural institutions and welcomes every year more than 2.5 million tourists, who pour out systematically in the historical centre and in its main squares. This receptive trend maintained absolute levels of excellence even in recent years of significant decline in tourist numbers nationwide, thanks to the absolute uniqueness of the architectural and cultural profile of the city and to the constant quality of services offered. Be sufficient that, in 2014, San Gimignano has recorded: almost 3,000,000 tourists; 4

5 about 470,000 attendances in accommodation (+ 1.56% compared to 2013), with an average stay of 2.97 days and an average expense per tourist of around 100; over 431,000 inflowing cars in the municipal parking lots; over 15,000 inflowing buses and minibuses at the municipal checkpoint; more than 150,000 visitors to the Civic Museums; 21 hotels with 1,354 beds; 140 houses with 875 beds; 103 agritourisms with 1,690 beds 51 holiday-homes-apartments with 637 beds; 1 campsite with 160 beds; 1 area for campers with 160 park places; 1 guest house with 33 beds; 226 shops and 75 food and drink supplies. The San Domenico is integrated into a great historical, artistic and cultural settlement fabric and with an extraordinary tourist and accommodation potentiality, that cannot be not appreciated in view of a sustainable enhancement project. Art. 6 - Characteristics of the proposed enhancement Proposed enhancements will cover both aspects of recovery, renewal and transformation of San Domenico and aspects related to the reuse and management and they will affect the entire building complex; residually may also concern, prior general overview, unitary portions of the same (single lots, intervention units, etc.). Proposals should highlight the essential features of the refunctionalization, in line with the promotion of culture and the urban requirements and will suggest an eventually possible new distribution of volumes and anything else that might be useful in order to pursue the proposals. Proposals should respect the principle of technical-economic-administrative sustainability of the suggested redevelopments, whose costs will be supported by the implementing body, even through forms of public-private partnership. In this regard, it s highlighted the possibility of tax benefits provided by the national regulations on investment on cultural heritage, as well as restoration work for forms of reuse and management of particular portions of the property translated into an estimated high profitability, including, by way of illustration, the opening to public of the long camminamento di ronda" for an extraordinary 360 view of the typical Tuscan landscape, the architectural profile of the towers and the entire historic center of San Gimignano. Art. 7 - Informative documentation 5

6 The informative documentation useful to the participation in the consultation, completing this notice, is as follows: Annex A) Plans"; Annex B) "photographic documentation". Additional information relating to the property ( cartographic documentation"; "state of conservation, deterioration and instability analysis"; "Guidelines for action for the restoration, the conservative renewal, restructuring and maintenance"; etc.) can be consulted at the municipality at the time of the site inspection referred to the next art. 8. Art. 8 - Inspection For the submission of expressions of interest and enhancement proposals you can make an inspection at the ex convent and ex prison of San Domenico, to be booked by at the following address: urp@comune.sangimignano.si.it The City will also promote, within the deadline of submission of expressions of interest referred to the next art. 9, specific public meetings to illustrate the architectural features of the real estate and the implementation procedures of the related Enhancement Agreement, in dates and places disseminated through the website Art. 9 - Procedure for submission of expressions of interest Participation in the consultation must take place through the presentation of specific expression of interest by filling in and sending the form to the City in Annex C to this Notice ("Form for participation in the consultation aimed at collecting of expressions of interest ). The transmission of expressions of interest must be made through PEC embodying the following object: Consultation for the collection of expressions of interest for the enhancement of the property "ex convent and ex prison of San Domenico of San Gimignano", at the following address: comune.sangimignano@postacert.toscana.it Expressions of interest must be received by 13:00 of 05/31/2016, unless potential extensions of this notice by the municipality. Those who have submitted an expression of interest in the Consultation will be invited to submit their proposals for enhancement in specific meetings with the municipality on dates to be agreed. The proposed enhancement can be documented at the time of the meeting with the City Council, through notes and explanatory reports, graphic tables and whatever the participants consider appropriate to present a better understanding of the hypothesis of requalification, also from the technical-economic-administrative point of view. 7 documentation submitted in support of enhancement proposals remain to the records of the municipality. Forms of the hypotheses of requalification and management are in the free choice of the proposers. Expressions of interest and enhancement proposals must be written in English or Italian.
