1 Invitation for Expression of Interest Consultant for the Task of Development of Standard Templates of Power Purchase Agreement for Photovoltaic System External Announcement 21 November 2018 The Deutsche Gesellschaft für Internationale Zusammenarbeit (GIZ) GmbH is a German implementing organisation which provides services worldwide in the field of international cooperation for sustainable development. GIZ implements the projects The Renewable Energy for Electrification Programme (REEP) in Indonesia Background: The Renewable Energy for Electrification Programme (REEP) is a project that focuses on renewable energy grid integration to achieve the 23% renewable energy share target by 2025 under the National Energy Policy (NEP). The project is implemented by the Directorate General for New Renewable Energy and Energy Conservation (DG-NREEC) on behalf of Government of Indonesia and the Deutsche Gesellschaft für Internationale Zusammenarbeit (GIZ) on behalf of German Federal Ministry for Economic Cooperation and Development (BMZ). Additionally, REEP is also working closely with its project partners including the Directorate General of Electricity (DGE) and PT PLN (Persero). One of enabling factors of successful renewable energy integration to utility grid, while also encourages the achievement of renewable energy target under NEP, is improvement of regulatory framework which supports commercialization and business process of the renewable energy. Many experiences and researches show that PV has a potential to be a disruptive renewable energy technology for developing and emerging countries, including Indonesia, in the next few years. The rapid development of PV is the consequence of declining price of capital worldwide. PV also remains economical for small-scale project development through decentralized/distributed generation and would be a suitable option to escalate the renewable energy development in Indonesia. As such, Indonesia has to prepare its regulatory and policy framework to anticipate and adopt the growing PV market and technology, GIZ is looking for a qualified company candidate that based in Indonesia to provide: Consultancy for National Consultant for Development of Standard Templates of Power Purchase Agreement for Photovoltaic System. GIZ invites qualified Consultant/Individual to submit their expression of interest including their details curriculum vitae and relevant job reference (both local and overseas). Further details including deliverables, timelines and services required are mentioned in the attached Terms of Reference and annexes. 4 Language Evaluation of Consultant An introduction of the cconsultant, updated Curriculum Vitae and relevant work experience, and copy of company s tax registration number. All proposal documentation shall be in English The Evaluation Committee will examine the EOI s received. The consultant is expected to hand in in the first step of the tender process an overview of 3 reference projects in order to evaluate the eligibility of the personal. Based on this eligibility check, GIZ will shortlist 3 consultant/individual and invite them for a presentation of 15 minutes and technical discussion, including Q&A, where the consultancies or the consultant is expected to present their working approach. In both steps, the eligibility and the presentation will be evaluated according to the attached grid. REEP aims to contribute and formulate the ways policies and regulations can be improved to encourage the achievement of the NEP through the development of Photovoltaic (PV) system by work on the Development of Standard Templates of Power Purchase Agreement for Photovoltaic System. Some key proposals for the improvement of Standard Templates for PPA for PV system are: PPA has to have a fair risk-sharing allocation for all of the involving parties, i.e. project developers and utility. PPA has to be designed properly according to the installed capacity of PV system. The PPA for smaller capacity should be less-complex, while the bigger scale should have further considerations on, for instance, commercial and technical aspects in more depth. In addition to the PPA, ideally, the procedures and ease of doing business for PV project also has to be developed, especially to incentivize small-scale capacity compared to big-utility scale. The proposed standard templates of PPA should be introduced and consolidated to stakeholders including financing institutions and policy makers as regulator to increase the commercialization of PV in Indonesia. Against this background, REEP is seeking a National Consultant (individual-basis) to be a partner that will work with the team and international consulting consortium in conducting the task of Development of Standard Templates of Power Purchase Agreement for Photovoltaic System. Consultancy Objective The objective of the task of Development of Standard Templates of Power Purchase Agreement for Photovoltaic System is to propose improvement of the standard PPA templates for PV project in Indonesia. The National Consultant will have responsibility to work with and assist REEP team and the assigned international consulting consortium to deal on the detail matters of this task explained on the section Scopes of Work. 6 Scopes of Work The National Consultant will be responsible to work together and assist REEP team and international consulting consortium in conducting the task of Development of Standard Templates of Power Purchase Agreement for Photovoltaic System with detail Scopes of Work as follows: Provide technical advice, assistance, and reviews regarding the assignment of the PPA Standard Templates developed by international consulting consortium Provide good communication and coordination with REEP team and international consulting consortium (including joining internal progress meeting if necessary). Provide technical advice and information collection on: (a) Indonesian energy and electricity laws, policies, other relevant regulations and legal documents to REEP team and international consulting consortium; (b) renewable energy business model and procedures, Independent Power Producer, PPA practices in Indonesia. Provide technical advice and formulation of recommendations on possible improvements to support on-grid PV commercialization especially in term of regulatory aspects. Conduct stakeholder engagement, organization and liaison of meeting, discussions, interviews, and workshops with stakeholders, e.g. IPPs, relevant ministries or Government agencies, in-country financing institutions, relevant divisions of PLN (also possibly facilitate the interviews to gather the information from stakeholders). Submit relevant reports/documents/studies in line with the task of PPA for PV system. Methodologies Please briefly outline your approaches and methodologies in fulfilling the above-mentioned Scopes of Work in the technical proposal. Period of Work (Estimated) This assignment shall cover a maximum contract of 35 man-days in an estimated duration of 5 December February The payment shall be based on timesheet in delivering the key activities in line with the Scopes of Work. Key Activities Estimated Man-days Desk-study, reviews, policy analysis, work with team and international consulting consortium (including progress meetings) 10 Stakeholder engagement, concept introduction, interviews, gather information 10 First visit of international consulting consortium to Indonesia 12 Second visit of international consulting consortium to Indonesia 3 Total Man-Days 35 Expected Competencies The National Consultant shall have the following verifiable experiences and expertise in the following fields At least bachelor degree in law, public policy, engineering, or comparable from reputable university; A minimum of 5-year professional working experiences, including at least 3 years providing legal and commercial advisory in power sector and renewable energy business in Indonesia; Comprehensive understanding of the Indonesian energy and electricity laws, policies, and regulations; Understand the issues, cases, and experiences of renewable energy business development and matters related to Independent Power Producer business; Excellent network and engagement with relevant stakeholders in energy and power sector, preferably with relevant divisions in PLN, Independent Power Producers, related ministries/government agency, financing institutions and have ability to liaise the project to such stakeholders; Understand the practices of Power Purchase Agreement (PPA) and its related contents/aspects, preferably with some experiences in directly handling the PPA matters; Staying abreast of issues in general power sector, industries, and renewable energy in Indonesia; Page 6

7 Expected Competencies Fluent in English and Bahasa Indonesia both oral and written; Have a good personality, commitment, responsibility, integrity, and ability to work under pressure Timeline of Work (Estimated) The contract of the project is estimated to be effective per 1 December 2018 under following timeline/schedule: Key Activities Contract Finalization Kick-off Work in Progress: Policy analysis and technical assistance to int. consulting Initial engagement and discussions with stakeholders Concept introduction to stakeholders Gathering information from stakeholders QA/QC, review, analysis of Preliminary draft of PPA Templates Providing inputs to int. consulting consortium Assisting international consulting consortium, first Visit to Indonesia (approx days), place in Jakarta Organize stakeholder meetings and interviews (e.g. with PLN, financing, developers, Government, etc.) Focus Group Discussion involving all stakeholders (if necessary), place in Jakarta (to be managed in consultancy with REEP GIZ, any cost incurs for the place/meeting room shall be borne by REEP GIZ) Assisting international consulting consortium, second visit to Indonesia (approx. 3 days) Final joint stakeholder meeting (result presentation, international experiences, etc., stakeholder consolidation; place shall be in Jakarta, to be managed in consultancy with REEP GIZ, any cost incurs for the place/meeting room shall be borne by REEP GIZ) November December January February Conflict of Interest National Consultant shall not be involved in any ongoing process of negotiation with our project partners (DG NREEC, DGE and PT PLN) or directly involve as independent power producer company which might lead to a conflict of interest.
