CALL TO ORDER Chairman Diane Dillow called the meeting of the TIF #1 Joint Review Board to order at 10:00 a.m. II. APPROVAL OF MINUTES BILL FARLEY MOVED, seconded by Sandra Whitmer, to approve the minutes of the December 13, 2013, regular annual meeting of the TIF #1 Joint Review Board. MOTION ADOPTED VIA VOICE VOTE. IV. OVERVIEW OF TIF ANNUAL REPORT AND ACTIVITIES City Administrator Coakley directed attention to the TIF District # Annual Report, which reflects no financial activity for the past year, since the TIF was closed in Another meeting will take place next year, as the City has closed the fund this year following the settlement of long-term litigation. V. JOINT REVIEW BOARD QUESTION AND ANSWER PERIOD There were no questions or comments from the Joint Review Board. VI. PUBLIC COMMENT Bob Siebert, Albright Court resident, requested proper identification of the 2.2 million reflected as land held for resale on Attachment K and L of the Annual Report. Finance Director Dahlstrand stated that the page he was referring to is from the city s comprehensive annual report, and the 2.2 million figure is not a TIF expenditure. Only one column on that attached page is related to the TIF #1 annual report, which should be identified by a box around the column. Unfortunately, the box did not reprint on the copies provided for the meeting. Finance Director Dahlstrand continued, stating that the purchase Mr. Siebert was inquiring about was the Musselman property purchase, but the funding was a loan derived from the Water and Sewer Fund, and not a TIF expenditure. Mr. Siebert questioned a 983,661 land purchase reflected in the Annual Report; Finance Director Dahlstrand replied he would check the cumulative figure to confirm its accuracy. City Administrator Coakley stated that prior to the close of TIF #1, the City purchased two parcels on the south side of Warrenville Road, immediately west of the BP gas station. Mr. Siebert inquired whether the deficit funds would be taken from the citizens, and questioned if the City would offset the deficit with the proceeds from the future sale of the two parcels. He asked if there were any other assets that would be resold or become revenue. City Administrator Coakley replied, no, he was not aware of any other such assets. In the spirit of transparency, Mr. Siebert requested a summary sheet of TIF #1 assets purchased with TIF #1 funds that are under City ownership and could affect TIF #1 s revenue, for residents and taxing districts thorough accounting of TIF #1. City Administrator Coakley replied he did not see the value in expending the staff time to create such a list, as the TIF was closed five years ago. Chairman Dillow inquired whether such expenditures were reported previously, and City Administrator Coakley replied in the affirmative, and confirmed the report was cumulative and the numbers tally from a multi-year time period. Chairman Dillow stated the Board would take Mr. Siebert s request for a summary sheet under consideration.

OVERVIEW OF TIF ANNUAL REPORT AND ACTIVITIES City Administrator Coakley directed attention to the TIF District # Annual Report, which reflects no financial activity for the past year, since the TIF was closed in Another meeting will take place next year, as the City has closed the fund this year following the settlement of long-term litigation. V. JOINT REVIEW BOARD QUESTION AND ANSWER PERIOD There were no questions or comments from the Joint Review Board. VI. PUBLIC COMMENT Bob Siebert, Albright Court resident, requested proper identification of the 2.2 million reflected as land held for resale on Attachment K and L of the Annual Report. Finance Director Dahlstrand stated that the page he was referring to is from the city s comprehensive annual report, and the 2.2 million figure is not a TIF expenditure. Only one column on that attached page is related to the TIF #1 annual report, which should be identified by a box around the column. Unfortunately, the box did not reprint on the copies provided for the meeting. Finance Director Dahlstrand continued, stating that the purchase Mr. Siebert was inquiring about was the Musselman property purchase, but the funding was a loan derived from the Water and Sewer Fund, and not a TIF expenditure. Mr. Siebert questioned a 983,661 land purchase reflected in the Annual Report; Finance Director Dahlstrand replied he would check the cumulative figure to confirm its accuracy. City Administrator Coakley stated that prior to the close of TIF #1, the City purchased two parcels on the south side of Warrenville Road, immediately west of the BP gas station. Mr. Siebert inquired whether the deficit funds would be taken from the citizens, and questioned if the City would offset the deficit with the proceeds from the future sale of the two parcels. He asked if there were any other assets that would be resold or become revenue. City Administrator Coakley replied, no, he was not aware of any other such assets. In the spirit of transparency, Mr. Siebert requested a summary sheet of TIF #1 assets purchased with TIF #1 funds that are under City ownership and could affect TIF #1 s revenue, for residents and taxing districts thorough accounting of TIF #1. City Administrator Coakley replied he did not see the value in expending the staff time to create such a list, as the TIF was closed five years ago. Chairman Dillow inquired whether such expenditures were reported previously, and City Administrator Coakley replied in the affirmative, and confirmed the report was cumulative and the numbers tally from a multi-year time period. Chairman Dillow stated the Board would take Mr. Siebert s request for a summary sheet under consideration.

OVERVIEW OF TIF ANNUAL REPORT City Administrator John Coakley directed attention to the report. TIF #3 began in June of 2013, and no TIF increment revenue was received during the fiscal year May 1, 2013 through April 30, There will be a small amount of incremental revenue received during FY Chairman Whitmer clarified the only income was derived from interest and the TIF incremental property taxes. V. OVERVIEW OF TIF ACTIVITIES 1. City Capital Projects Community Development Director Mentzer reported the City worked with DuPage County on the River Road flood protection project to protect against the river s backflow into residential areas during high flood events. The City s cost for backflow valves was 27,500, and the City s cost to install a backflow prevention device at the main storm sewer on Main Street was 73,800. TIF funds were used to cover these expenses. In addition, TIF funds in the amount of 64,000 were used to construct the north leg of Rockwell north of Butterfield Road. 2. Redevelopment Activity Community Development Director Mentzer reported the City awaits a No Further Remediation (NFR) letter from the Illinois Environmental Protection Agency on clean-up of contamination at the four-acre former Musselman property (CCRS #1), currently a Brownfield site. The NFR letter would allow this property to be developed with a residential use consistent with the Old Town/Civic Center (OTCC) Subarea Plan. In July 2014, the City issued a request for proposals to find a developer. On November 10, 2014, the Community Development Committee recommended to the City Council that the City identify David Weekley Homes (DWH) as the Preferred Developer. If approved, staff and the City s legal counsel would negotiate a redevelopment and real estate sales agreement for City Council approval. Once the City Council approves those agreements, the developer would proceed through the normal zoning approval process. DWH expressed interest in moving forward as quickly as possible to begin work during the next construction season. DWH s concept plan consists of 37 detached single-family homes on small lots in the 300, ,000 price range. The OTCC Subarea Plan reflects 40 row homes with consistent density. The ultimate total number of units may be closer to 30-35, due to a property exchange agreement between the City and the Library District that accommodates a future addition on the west side of the library. The target audience for this development is primarily young professionals, divorced persons, and older/retired individuals. Although some families may be interested in the three-bedroom, 1,800-2,600 square foot-units, it is unlikely due to the lack of yard space.

65 Minutes of TIF #3 Joint Review Board Meeting Held on November 13, 2014 Page 3 Community Development Director Mentzer reported the City is currently considering two potential property acquisitions and has negotiated contracts for the Johnson and Wangerin properties, just north of the Citgo gas station at the Warrenville/Batavia/River Road intersection. Phase I environmental due diligence has been completed, and there will be limited Phase II site investigation. The OTCC Subarea Plan reflects redevelopment with a commercial facility in the front and a public park with a natural river walk for public access in the rear of these lots. 3. Miscellaneous Activities Community Development Director Mentzer reported DuPage County will be replacing the Warrenville Road Bridge with a new bridge that is doubled in length to increase the volume of the river s flow so that it eliminates damning effects on its north side. City funded aesthetic enhancements to the new bridge include the addition of natural stone to the bridge s pilasters, and black painted rail on the top of the parapet. The estimated City cost of these enhancements is approximately 100,000. The County will purchase and demolish the building at the northeast corner of Warrenville Road and the West Branch of the DuPage River to re-meander the river 150 feet to the east so that it aligns with the bridge opening. As part of this project, Leone Schmidt Heritage Park (LSHP) will be regraded. City costs of extending the West Branch of the DuPage River Trail under the Warrenville Road Bridge through LSHP, rather than along roadways, is 18,000. The County will fund installation of a new handicapped access route that runs from Second Street along the north side of the Warren Tavern, leading to the back door of the Historical Museum. As part of this project the stage area and first two rows of concrete seating of the amphitheater would be removed and replaced by the County for a City cost of 1,500. VI. VII. JOINT REVIEW BOARD QUESTION AND ANSWER PERIOD None. PUBLIC COMMENT Bob Siebert, Albright Court resident, calculated that if 35 units were built on CCRS #1, they would have a total value of million, which would create 333,000 per year in TIF revenue after the entire site is built out. Mr. Siebert expressed his opinion it would amount to 3.3 million in ten years. He warned that the developer will be seeking a significant gain on his investment; likely 2 million off the top. Thus, the taxing districts should be very concerned that the City appears to be using a credit card with no limit. Mr. Seibert stated the Houston housing market is much different than our local market and questioned why the City would be working with a developer from out of the area. During the subarea planning, the citizens expressed their desire for commercial development with condominiums; however, to the contrary, the City seems to be accepting whatever the market would have. In addition, since the pricing of this development is comparable

Mr. Siebert advised that the City should be cautious when it takes funds from taxing districts and places it into the pockets of developers. VIII. 81 Section 8 Project Area General Description Warrenville TIF#3 Old Town/Civic Center That portion of the City of Warrenville that is generally bounded by the following streets and landmarks: on the north by Illinois Route 56/Butterfield Road, including parcels along the northern frontage; on the east by the West Branch of the DuPage River, including forest preserve parcels and private property between Batavia Road and 2nd Street; on the south by Warrenville Road and Ray Street, including property at the intersections of Warrenville, Batavia, and River Roads, property north of Warrenville Road between Rockwell Street and Mignin Drive, and property north of Ray Street between Curtis Avenue and Rockwell Street; and on the west by approximately Glen Drive.
