2 Pursuant to Article 18 of the Law on Associations and Foundations ( Official Gazette of the Republic of Macedonia no. 52/10 and 135/11) and the decision for the founding of the Association for Cultural and Media Activism QUEER SQUARE Skopje, the Founding Assembly of the Association at the session held on 6 September 2017 in Skopje, adopted the following: S T A T U T E of the Association for Cultural and Media Activism QUEER SQUARE from Skopje General Provisions Article 1 The Association for Cultural and Media Activism QUEER SQUARE from Skopje is a voluntary, nonprofit, nongovernmental, and nonparty association of citizens, formed by free association of citizens for the purpose of realization, protection and coordination of its own interests and beliefs and for the advancement of the civic society and the local communities, as well as for the performance of actions and activities through cultural and media activism for the promotion of human rights of lesbians, gay men, bisexuals, transgender, intersex and queer people (LGBT+) on the territory of the Republic of Macedonia and beyond, in accordance with the Constitution and the Law. Article 2 The citizens associate themselves in the Association in order to achieve sensibilization of the society for the sexual and gender diversity, and for public awareness raising for the human rights of the LGBT+ people, in the context of creating conditions for the acceptance of diversity and advancement of the social and legal status of this community in the Republic of Macedonia. Article 3 The Association for Cultural and Media Activism QUEER SQUARE from Skopje is active on the whole territory of the Republic of Macedonia. With its activity, the Association can cooperate with organizations, associations, foundations and institutions at home and abroad, as well as to be a member of domestic and foreign associations in accordance with the Constitution and the Law of the Republic of Macedonia and this Statute. Article 4 The Association shall realize its goals, tasks and activities in accordance with the relations defined by the Constitution of the Republic of Macedonia, this Statute and the positive legal regulations within this field. 2

3 Article 5 The name of the Association of citizens is: Zdruzhenie za kulturen i mediumski aktivizam KVIR SKVER Skopje The name of the Association in English language is: Association for Cultural and Media Activism QUEER SQUARE Skopje The abbreviated name of the Association is: QUEER SQUARE Article 6 The Association has its seat in Skopje, at 29A Jablanica St., municipality of Kisela Voda, whereas it is organized and active on the territory of the Republic of Macedonia and in other countries. Article 7 The Association QUEER SQUARE from Skopje has the capacity of a legal entity with rights and obligations emerging from this statute and the legal regulations. The Association shall be represented by the President, without limitations. The Association has its own seal and stamp. The seal is round and contains the name of the Association in Macedonian language and in Cyrillic letters: Здружение за културен и медиумски активизам КВИР СКВЕР Скопје. The stamp of the Association is rectangular, with the following text: Association for Cultural and Media Activism QUEER SQUARE No. 20 Skopje Goals and Tasks of the Association Article 8 The citizens are associated in the Association in order to achieve a wider common interest. The mission of the Association is to work towards the creation of conditions for social inclusion and acceptance of LGBT+ people, doing this by means of cultural and media activism. The basic goals and tasks of the Association are: informing and educating the people for the human rights and freedoms in general, in accordance with the Universal Declaration of Human Rights, the European Convention for the Protection 3

4 of Human Rights and Fundamental Freedoms, and other international agreements ratified by the Republic of Macedonia and the legal acts in this field within the national legislation. promotion of equality and nondiscrimination in an attempt to create an inclusive society which would celebrate and encourage the differences as essential value, making it possible for people to realise their potential, regardless of their personal traits (including sexual orientation and gender identity of the individual), and contributing for the realization of an increased quality of life, working environment and conditions for improvement; encouragement and fostering of the queer culture within national and international frames; empowering LGBT+ people, strengthening their confidence and selfesteem; increasing social visibility of the LGBT+ community; public awareness raising for homophobia, biphobia and transphobia, the harmful consequences of such behaviour and the need for acting and standing up to these occurrences. improvement of the representation of LGBT+ people in the media, culture, sports Article 9 By special decision, the Association can form a jointstock company, limitedliability company, and other forms, according to the Law on trade companies of the Republic of Macedonia. The Association acts on the basis on a work plan and program. Article 10 The Association achieves its goals and tasks by making use of a defined Work Program, related, but not limited to the following activities which can be considered as primary: organization of concrete program activities; cooperation with other domestic and foreign organizations; implementation of its own and joint projects; organization of (and participation in) conferences, seminars, trainings and other types of activities. organization of (and participation in) cultural and arts projects, events and manifestations; organization of (and participation in) sports projects, events and manifestations; preparation and publication of publications in electronic or print form; media campaigns; encouragement of initiatives at the competent authorities and institutions in cooperation with themselves, in the direction of achieving the goals and the work program of the Association; mediation; performance of other activities foreseen by this Statute. The Work Program can be amended and appended annually or as needed, in accordance with the Statute, mission and goals of the Association. 4

5 Membership Article 11 A member of the Association for Cultural and Media Activism QUEER SQUARE from Skopje can be every adult citizen of the Republic of Macedonia and/or foreigner who shall voluntarily join the Association by completing a membership form in print or electronically. By signing the membership form, the members accept the terms of the Statute of the Association. The Association, for purposes of evidence and internal communication, shall keep a membership registry which shall be updated once a year. The data from the registry shall be protected according to the regulations for protection of personal details and classified information. Article 12 The member has the right to be elected in the authorities of the Association, to participate in the work and to contribute for the development, promotion and popularity of the Association, to voluntarily cancel the membership, to express his attitude on certain questions while taking care for the respect of the person and dignity of the other members. Article 13 The members of the Association are obliged to: regularly pay the membership fee: respect the Statute; attend to the meetings. Article 14 The Membership in the Association can be cancelled: at request of the member of the Association; if the member does not respect the Statute and the obligations emerging from the same; if the member acts against the goals and the reputation of the Association; if the member does not pay the membership fee regularly. A decision for the cancellation of the membership in the Association shall be adopted by the Executive Board of the Association. Transparency in the work Article 15 The work of the Association is transparent. 5

6 The transparency in the work shall be provided by regular informing of the members and the wider audience of the work and the activities of the Association, with an insight in the implementation of the program tasks, by submitting a report for the work of the authorities and the bodies of the Association, for the material i.e. financial work, etc. The informing of the members and the wider audience shall be performed via the website and the mailing list of the Association, as well as through the press, radio, television and social networks. Financing of the Association Article 16 The Association raises funds from: membership fees; donations, voluntary contributions; budget of the Republic of Macedonia and local selfgovernments; providing services to other associations, organizations, and institutions; commissions from organs, organizations, communities, and other institutions; trade companies and other legal entities; other services (property rights, etc.); other sources regulated by the Law and the Statute; Article 17 The use and the management of the funds of the Association, received on the basis of the previous article shall be performed in a way determined by this Statute and the remaining legal norms, defined with the financial plan and on the basis of valid documents. Article 18 For the use and the management of the funds decide the authorities of the Association, pursuant to the competences determined by this Statute, which take steps for the economic and appropriate use of the funds and for the avoiding and elimination of irregularities. Article 19 The Association for Cultural and Media Activism QUEER SQUARE from Skopje adopts an annual financial plan for the revenues and expenses of the Association. The financial plan shall contain the revenues acquired as per Article 16 from the Statute, as well as the expenses for planned project activities, employees salaries, i.e. remuneration for people engaged in projects, material expenses for the work of the Association, and other expenses related to the work of the Association. The financial plan can be modified at any time. 6

7 Bodies of the Association Article 20 The bodies of the Association are: 1. Assembly; and 2. Executive Board. Assembly of the Association Article 21 The Assembly is the highest body of the Association. The Assembly of the Association for Cultural and Media Activism QUEER SQUARE from Skopje is consisted of all the members of the Association. The Association elects a President with a regular majority. The president of the Assembly simultaneously acts in the capacity of President of the Association and of the Executive Board. The President has a fiveyear mandate, with a right for reelection, represents the Association at home and abroad, signs the general acts and decisions adopted by the Assembly and by the Executive Board, and performs other tasks within his authorizations as regulated by the Law and this Statute. The assembly meets as needed, but at least once a year. Article 22 The Election Assembly is called once in 5 years and the constituting of the authorities and bodies must be done 30 days before the mandate termination of the members of authorities and bodies. The invitation with the contents for the agenda are delivered in writing or electronically (via ) at least 7 days before the holding of the session. Article 23 The Election Assembly elects: Working presidency consisted of three members; Minutes taker; Two verifiers of the minutes; Management bodies of the Association. Article 24 Sessions of the Assembly are called by the President of the Assembly on his own initiative. Sessions of the Assembly are also called at suggestion of the Executive Board of the Association, or onefifth of the total number of members of the Assembly. 7

8 In case the President of the Assembly does not call a session within the prescribed timeframe of 14 days of the day of the suggestion, the session is called by the Executive Board or by the initiators. The sessions of the Assembly of the Association are called electronically (via ). Phones can also be used to remind the members of the Assembly of an upcoming session. Article 25 The Assembly of the Association for Cultural and Media Activism QUEER SQUARE from Skopje, elects an Executive Board from its own members at regular or additional assemblies. Article 26 The Assembly can fully decide if one half of the total number of members are present, adopting the decisions with a majority of votes by the present members. Voting at the assembly is public, but if the needs arise or by proposal of onethird of the Assembly members, the voting can also be by secretballot. The decisions of the Assembly can also be adopted by electronic voting ( ). The members of the Assembly shall always prioritise the goals and interests of the Association over their own interests or the particular goals of any other party. Article 27 The assembly performs the following activities: Adopts the Statute of the Association and amends and appends the same; Adopts the annual report, directions and work plan; Adopts the final account and the financial plan; Decides for the change of the goal of the association; Decides for the creation and termination of branches and other forms of organization of the Association; Elects the President of the Association; Adopts the work program of the Association; Elects and acquits members of the Executive Board; Reviews and adopts the report for work of the Executive Board between two Assemblies; Observes the material and financial balance of the Association between two Assemblies; Holds discussions for the achieved results for the development of the Association and provides directions for further development of the Association; Brings decisions, conclusions, proposals for the solution of questions of interest of the Association; Decides for the termination of the Association with a twothird majority; Performs other activities emerging from the Statute and the Laws. 8

9 Executive Board Article 28 The Executive Board of the Association for Cultural and Media Activism QUEER SQUARE from Skopje is an Executive body of the Assembly in which every member has equal rights, obligations, and responsibilities for the work and development of the Association in line with the Statute. A member of the Executive Board is denied the right to vote for questions related to himself, his spouse, friend or relative of second degree, and for questions relating to a person over whom exerts control or has economic interest. Article 29 The Executive Board of the Association is consisted of three members, namely: President, and two additional members. The Mandate of the members of the Executive Board is of duration of 5 years. The President of the Executive Board, simultaneously acts in the capacity of President of the Assembly and represents the Association, and is also the director in the field of the material and financial work of the association. Article 30 The Executive Board answers for its work before the Assembly of the Association. The Executive Board meets as needed, but at least quarterly. The session of the Executive Board is called by the President. The proposal for a call for a session can also be submitted by one third of the members of the Executive Board or one third of the members of the Assembly. The President presides and manages the session of the Executive Board, whereas in his absence, shall preside a member of the Executive Board appointed by the President. The Executive Board can fully decide if more than one half of the total number of members are present, whereby the decisions are brought with a majority of votes from the present members. The members of the Executive Board shall always prioritise the goals and interests of the Association over their own interests or the particular goals of any other party. The sessions of the Executive Board shall be agreed by or by phone. Article 31 The Executive Board performs the following activities: Prepares and drafts the materials for the sessions of the Assembly; Drafts the Statute, proposes amendments and appendices of the Statute and prepares other decisions which should be adopted by the Assembly; Implements the politics, conclusions and the decisions adopted by the Assembly; Implements the statutory and program tasks of the Association; 9

10 Manages and answers for the management of the property of the Association; Prepares annual and periodical reports for its work; Adopts and realizes an annual working plan; Adopts appropriate rulebooks, accepts settlements and concludes agreements; Decides for the membership in unions and international organizations; Confirms the admission of new members and membership cancellation; Adopts decisions for the forming of permanent and temporary working bodies, elects and acquits coordinators and members of the working bodies, and directs their work; Organizes and takes active part in the organization of various actions and manifestations; Brings decisions for awards, certificates of appreciation and certificates of recognition; Gives consent for the procurement and expropriation of the capital assets; Forms an expert service, gives consent for the Rulebook for organization and the working tasks of the expert service of the Association, and controls its work; Adopts decisions upon objections and complaints; Proposes and implements a financial plan and prepares a final account of the Association; Decides for the formation of branches of the Association; Performs other tasks emerging from the needs of the Statute of the Association and from the Law. Article 32 For the performance of the statutory and program tasks and Decisions of the Assembly and of the Executive Board, the Executive Board creates other working bodies. Termination of the Association Article 33 The Association terminates its work in the following cases: If two thirds of the Association Assembly members declare so; If there appear reasons regulated with Article 63 of the Law on Associations and Foundations. The founders of the Association have the right, only if they come to a unanimous decision, to terminate the Association, for what they shall inform the Assembly and the competent public authorities. Article 34 In case of a termination of the work of the Association, the property and the other rights which shall remain after the settlement of the liabilities, shall transfer in possession of the founders who have invested a personal deposit at the founding and the registration of the legal subject, in proportion to their investment. 10

11 Transient and final provisions Article 35 The interpretation of the provisions of this Statute shall be given by the Assembly of the Association, whereas between two Assemblies, the interpretation shall be given by the Executive Board of the Association. Article 36 The amendments and the appendices of this Statute shall be performed by using the same procedure as with its adoption. Article 37 This statute enters into force on the day of its adoption.
