1 BHARAT SANCHAR NIGAM LIMITED (A Government of India Enterprise) MMT Section, 2 nd floor, Bharat Sanchar Bhawan, Janpath, New Delhi EOI No. CA/CM-VAS/CVPS cum CG/E-667/2019 Dated 05/03/2019 DETAILED NOTICE INVITING EOI (DNIEOI) 1. On behalf of Chairman and Managing Director, Bharat Sanchar Nigam Limited, digitally sealed online E.O.I., on rupee payment basis, are invited in Single Stage Bidding and two stage Opening using two Electronic Envelops (Techno-commercial Bid & Financial Bid) from the experienced & eligible bidders for provision of CVPS Cum CG platform for provision of Value Added Services in all four zones of BSNL. The summary of proposal is as below: 1.1 BSNL is currently operating its 2G & 3G Cellular Mobile services, Wireline including Wireline broadband across the Nation except in Delhi & Mumbai. BSNL has a base of more than 113 million wireless subscribers as on The total Wired Connections as on are Million. The total Wired Broadband connections as on are 9.16 Million. 1.2 BSNL hereby invites proposals from interested companies for deployment of Zonal Value Added Service Provisioning System cum Consent Gateway (CVPS cum CG) on cost per successful transaction basis. BSNL will not incur any Capex. The bidder has to provide required hardware & software, do installation, commissioning and subsequent Operation & Maintenance of the CVPS cum CG on 24X7X365 basis. 1.3 CVPS cum CG shall be capable to handle requests for subscription, renewal and deactivation of VAS (Value Added Services) to be received from BSNL customers. The CVPS cum CG shall be capable of effecting VAS provisioning, obtaining 2 nd consent from customer, providing response to customer query, update VAS profile of customers within it, trigger delivery of requested VAS and also for its charging by the billing system (Prepaid as well as Postpaid) through Service Deliver Platform (SDP) or through any other element or directly, as decided by BSNL. 1.4 CVPS cum CG is a platform to facilitate activation/deactivation/ renewal/query on SMS/USSD/IVR/ OBD/DATA/SMSDD bearers or any other bearer as and when added to BSNL s network for the following: Easy opt-in and easy opt-out customer friendly tool to subscribers of BSNL for subscription activation, subscription renewal & un-subscription/ deactivation of VAS. Obtaining 2 nd consent from the customer using all or selected bearer channels in sequence as defined by BSNL. There should be provision for deferred charging or to take second consent on zero price point or at reduced price point initially and charge at regular rates at the time of renewal or as per the trigger sent by VASPs. There should be provision to bypass CG in case of Pay per Use Services selectively for some of VASPs or for all as decided by BSNL. Customer requests are to be captured using short code (may be multiple short codes, each for different VASP) for SMS or USSD or IVRS or by browsing WEB/ WAP or SMSDD. Complete record of all requests with that of 2 nd consent will have to be preserved for a period of one year. Customer shall be informed well in advance, from the due date for renewal of any such service along with the charges for renewal through SMS/USSD or any other channel decided by BSNL/TRAI Guidelines. Clear options shall be provided to the customer on how to opt out of the renewals.

2 Suitable security features to be built in to avoid tempering by Third party and/or VASPs while taking consent of customer on various channels e.g. SMS, USSD, IVR, WAP, WEB, SMSDD etc. 2. Eligibility Conditions: The Eligibility criteria for qualifying companies to participate in EOI shall be as below: 2.1 The Bidder should be a company registered & incorporated under the Indian Companies Act, The Bidder should have a minimum annual turnover (audited) of INR 15 (Fifteen) Crore during the last 2 financial years out of last 3 financial years. 2.3 Bidder shall not be an existing VAS Partner of BSNL. In the event, an existing VAS partner decides to participate in the present EOI, then it has to terminate all existing VAS agreement(s) before award of Work Order (WO). Successful bidder will not be allowed to work as VAS Partner of BSNL during currency of agreement signed on conclusion of this EOI. Successful bidder has to ensure that there is no conflict of interests with any of existing and future VAS Partner during currency of agreement and shall work as a neutral agency on behalf of BSNL. 2.4 The bidder company shall have experience of successfully deploying at least one instance of VAS provisioning, renewal and VAS activation/de-activation management platform using Voice/IVR, SMS/USSD and WAP/Web as access medium to at least one Telecom Operator having 10 million or more customer base anywhere in the world during last 3 years from the date of bid submission. Company will have to submit experience certificate from the Telecom Operator to this effect. In case of Experience certificate is by Telecom operator except BSNL, the contact details of the Telecom Operator should be given as part of certificate to verify, if need arise. 2.5 The bidder should have valid PAN number issued by Income Tax Department. 2.6 The bidder shall have valid Goods and Services Tax (GST) Registration Numbers /(s). In case of multiple GST numbers are available with the bidder, all the numbers are to be provided 3. List of documents to be submitted as part of the proposal: 3.1 Copy of the Articles & Memorandum of Association. 3.2 Latest list of Directors on the board of the Company with their address (es), contact telephone numbers, Ids, DIN of each director, CIN of the company, etc. 3.2 Board s resolution in favour of authorized signatory. 3.3 Power of Attorney duly notarized on non-judicial stamp paper of INR 100/- in favour of authorized signatory. 3.4 Attestation of the signatures of the authorized signatory by any scheduled Bank. 3.5 Audited Annual Reports of the company for the last 3 financial years. 3.6 Turnover certificate from the company s Auditors/ CA for the last 3 financial years regarding turnover as required under the eligibility conditions. 3.7 Contact details i.e. Name, mail id, phone no., mobile no., fax no. of a responsible person for liasoning. 3.8 Certificate from the concerned Telecom Operator showing the experience as required under the eligibility condition along with contact details. 3.9 Undertaking in compliance of eligibility clause 2.3.

3 3.10 The bidder shall furnish the bid security /Earnest Money Deposit (EMD) of INR 12.8 Lakh in one of the following ways: Demand draft/banker s cheque drawn in favour of AO (Cash), BSNL CO Payable at New Delhi Bank Guarantee, in format as available in Section- 7 (A), from a schedules bank drawn in favour of DGM (MMT), BSNL, Delhi which should be valid for 180 days from the EOI opening date The MSE units shall be exempted from submission of Bid Security deposit on production of requisite proof in respect of valid certification from MSME for the tendered item Bidders should not have been black-listed by central/ state governments/ PSUs. The bidder is required to submit self-certification in this regard in the technical bid Near Relationship certificate 4. Scope of Work: The CVPS cum CG shall be deployed on cluster basis i.e. one independent system catering to two zones (West and South)-CLUSTER 1at one location and another system catering to North and East Zone- CLUSTER 2.These locations will be decided by BSNL. The systems will be located within the BSNL premises. 4.1 No infra-structure charges (space, power, Air-conditioning, transmission media) will be levied upon the successful bidder. BSNL will allocate suitable space in the allocated location as per availability. 4.2 The period of contract will be for 40 (forty) months including 4 (four) months integration period starting from the date of signing of agreement. This period will be extendable for next two years on year-to-year basis solely at the discretion of BSNL on same terms and conditions. 4.3 The CVPS cum CG shall be integrated with BSNL s mobile/pstn landline/ngn/wireline Broadband network in such a way to take consent for requests originating from 2G/3G/4G/5G GSM, PSTN landline/ngn wireline Broadband network. The connectivity with PSTN landline network shall be subject to technical feasibility. BSNL s decision in this regard shall be final. In case of landline there may be provision to map a verified mobile number with the landline number to which VAS is to be provisioned. The verification of Mobile number may be done through OTP. The 2 nd consent taken through such verified Mobile may be taken as consent given through corresponding landline number. Detail procedure for the same shall be provided at the time of implementation. 4.4 BSNL reserves the right to expand the scope of work to include BSNL s other services. In case the change in scope of work requires major enhancement/up-gradation in software and/or hardware of the system in that case the commercials related to the changed scope of work shall be negotiated between BSNL and successful bidder. 4.5 In case of directions/instructions from licensor/regulator, BSNL reserve right to change the scope of work for CVPS system. However, notwithstanding anything contained in Para 4.5 above, such changes in scope necessitated due to changes in guidelines/directions issued by TRAI/DOT or any other competent authority other than BSNL, no commercials for making such changes in workflows of the system shall be paid by BSNL. 5. Purchase of EOI Document: EOI document can be obtained by downloading it from the BSNL s website For online submission etc. bidders have to mandatorily register (if not already registered) on tender portal ETS ( and follow all steps as per functionality of e-tender portal ETS. (Kindly refer Section 4 Part C of EOI document for Instructions on e-tendering). 5.1 The bidders downloading the EOI documents are required to submit EOI fee amounting Rs. 4720/- (including 18 % GST) through DD/Banker s cheque along with their bid failing which the EOI bid shall be left archived unopened/rejected. The DD/banker s cheque shall be drawn from any Nationalized/Scheduled

4 Bank in favour of AO (Cash) BSNL CO New Delhi and payable at New Delhi. The EOI fee is nonrefundable. 6. Bid Security/EMD: 6.1 The bidder shall furnish the bid security /Earnest Money Deposit (EMD) of INR 12.8 Lakh in one of the following ways: a) Demand draft/banker s cheque drawn in favour of AO (Cash), BSNL CO Payable at Delhi. b) Bank Guarantee, in format as available in Section-7(A), from any Scheduled bank in India ( except Co-operative Banks) drawn in favour of DGM (MMT), BSNL, New Delhi which should be valid for period 180 days. Note: The copy of DD/Banker s cheque is to be uploaded in the e-portal and the original copy is to be submitted to MM Cell before the closing time of the EOI as per instruction given in Section-2 of the EOI document. 6.2 The MSE bidders shall be exempted from submission of Bid Security on production of valid enlistment certificate. 7. Submission and Opening of Proposals: 7.1Date & Time of Submission of EOI bids (EOI closing time): on or before Hrs of BSNL shall open the online submitted PROPOSALS at hours on in the presence of authorized representatives from participating company, who chose to attend. The date fixed for opening of Proposals, if subsequently declared as holiday by the BSNL, the proposals will be opened on the next working day, time and venue remaining unaltered. 7.3BSNL reserves right to accept or reject any or all proposal (s) prior to award of contract without assigning any reason whatsoever and without thereby incurring any liability to the affected bidder (s) on the ground of BSNL s action. 7.4Any effort by a company to influence the proposal comparison/evaluation/ work award decision by way of overt/covert canvassing shall result in non-consideration / rejection of its proposal. 7.5Opening of EOI shall be done in single stage bidding and double stage opening i.e. the bids will be evaluated techno-commercially first and thereafter financial bids of techno-commercially compliant bidders only shall be opened. Note: In case the date of submission (opening) of bid is declared to be a holiday, the date of submission (opening) of bid will get shifted automatically to next working day at the same scheduled time. Any change in bid opening date due to any other unavoidable reason will be intimated to all the bidders separately. 8. Place of opening of EOI bids: 8.1 BSNL has adopted e-tendering process which offers a unique facility for Public Online Tender Opening Event (TOE). BSNL s EOI Opening Officers as well as authorized representatives of bidders can attend the Public Online Tender Opening Event (TOE) from the comfort of their offices. However, if required, authorized representatives of bidders (i.e. Supplier organization) can attend the TOE at the MMT Section, 2nd Floor, Bharat Sanchar Bhawan, Janpath, New Delhi, where BSNL s EOI Opening Officers would be conducting Public Online Tender Opening Event (TOE). 9. EOI bids received after due time & date will not be accepted. 10. Incomplete, ambiguous, Conditional, unsealed EOI bids are liable to be rejected. 11. CMD, BSNL reserves the right to accept or reject any or all EOI bids without assigning any reason. He is not bound to accept the lowest EOI.

The bidder shall furnish a declaration in his EOI bid that no addition / deletion / corrections have been made in the downloaded EOI document being submitted and it is identical to the EOI document appearing on the website. 13. In case of any correction/ addition/ alteration/ omission in the EOI document, the EOI bid shall be treated as non-responsive and shall be rejected summarily. 14. The bidder shall submit a self-declaration along with the evidence that Bidder is not black listed by GST authorities. Note: All documents submitted in the bid offer should be preferably in English. In case the certificate viz. experience, registration etc. is issued in any other language other than English, the bidder shall attach an English translation of the same duly attested by the bidder & the translator to be true copy in addition to the relevant certificate. Note: All computer generated documents should be duly signed/ attested by the bidder/ vendor organization. 15. Clarification, if any, may be requested in writing within 5 days of issue of NIT i.e. latest upto The queries may be sent by /fax to the following officers.
