4 RESOLUTION NO AUTHORIZE EXECUTION OF AGREEMENT WITH TEL VUE CORPORATION WHEREAS, the Borough of Park Ridge has previously entered into a service agreement with Telvue Corporation (Telvue), an entity that was the distributor and servicer of the Princeton B1200 Broadcast Server System, the System utilized by the Borough's Cable Television Broadcast Network; and WHEREAS, the existing warranty and service agreement with Telvue has expired, however, Telvue has agreed to extend the service agreement for a period of four years; and WHEREAS, the Borough has solicited proposals for the provision of said services and determined that no other entity can provide said services; and WHEREAS, Telvue has offered to continue to provide a warranty and services for a period of four years at a cost of $ for the first year, $ for the second year, $ for the third year and $296.2( for the fourth year; and WHEREAS, the execution of an Agreement with Telvue is exempt from the competitive bidding requirements of the Local Public Contracts Law, since the payments to be made will be below the bid threshold for the Borough of Park Ridge; and WHEREAS, the Borough wishes to extend said warranty and service agreement for the described period, reserving the right to terminate the agreement at the expiration of any year; and WHEREAS, the initial term of the Agreement will be for one year commencing on January I, 2018; and WHEREAS, the ChiefFinancial Officer has certified that funds are available for the payment of said contract amount, NOW THEREFORE, BE IT RESOLVED by the Mayor and Council of the Borough of Park Ridge that the Mayor and Borough Clerk authorize an agreement with Telvue pursuant to the terms outlined above and set forth in the Telvue Care Terms and Conditions document attached hereto commencing as of January 1, 2018 subject to the Borough's reservation of the right to tenninate said agreement at the expiration of any calendar year. 5 RESOLUTION NO AUTHORlZE MUNICIPAL ALLIANCE GRANT FY2019 WHEREAS, the Governor's Council on Alcoholism and Drug Abuse established the Municipal Aliiances for the Prevention of Alcoholism and Drug Abuse in 1989 to educate and engage residents, local government and law enforcement officials, schools, nonprofit organizations, the faith community, parents, you and other allies in efforts to prevent alcoholism and drug abuse in communities throughout New Jersey. WHEREAS, the Borough Council of the Borough of Park Ridge, County of Bergen, State of New Jersey recognizes that the abuse of alcohol and drugs is a serious problem in our society amongst persons of all ages; and therefore has an established Municipal Alliance Committee; and WHEREAS, the Borough Council further recognizes that it is incumbent upon not only public officials but upon the entire community to take action to prevent such abuses in our community; and WHEREAS, the Borough Council has applied for funding to the Governor's Council on Alcoholism and Drug Abuse through the Couuty of Bergen; NOW, THEREFORE, BE IT RESOLVED by the Borough of Park Ridge, County of Bergen, State of New Jersey hereby recognizes the following: 1. The Borough Council does hereby authorize submission of a strategic plan for the Park Ridge Municipal Alliance Grant for fiscal year 2019 in the amouut of: DEDR $ 9, Cash Match $ 2, In-Kind $ 7, The Borough Council acknowledges the terms and conditions for administering the Municipal Alliance Grant, including the administrative compliance and audit requirements. 6 RESOLUTION NO ADDITIONAL FEES -MARRIAGE AND CIVIL UNION LICENSES WHEREAS, Assembly Bill 618 was signed into law December 31, 1981, effective Febmary 1, 1982; and WHEREAS, New Jersey Civil UnionActNJSA 37:1-28 to 36, PL 2006, C. 103 was signed into law December 21, 2006, effective February 19,2007;and WHEREAS, they provide for charging an additional $25.00 fee for marriage and civil union licenses to be used for programs for shelters for victims of domestic violence; and WHEREAS, payments to the Department of Children and Families, Division of Prevention and Community Partnership must be awarded on a quarterly basis, NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the Borough of Park Ridge that the Treasurer send a check in the amount of $ to the Treasurer, State ofnew Jersey for the quarter ending 12/31/2017. 7 RESOLUTION NO AUTHORIZING THE PARTIAL REDUCTION OF PERFORMANCE BOND AND ESCROW FOR HAWTHORNE TERRACE APARTMENTS, LLC WHEREAS, HAWTHORNE TERRACE APARTMENTS, LLC (hereinafter Developer) is the owner of property located at 71 Berthoud Street in the Borough of Park Ridge; and WHEREAS, Developer was required to post a total Performance Bond and Cash Escrow in connection with a development application in the sum of $329, on December 14, 2016; and WHEREAS, Developer has requested a partial reduction in the posted Bond and Cash Escrow; and WHEREAS, the Borough Engineer, Eve Mancuso, has performed a site inspection and completed a review of the As Built Survey prepared by James E. Drumm, Land Surveyor, dated December 1, 2017; and 'WHEREAS, the Borough Engineer has submitted a report and letter documenting substantial completion of work and recommending a reduction in the amount of $23, for the Cash Escrow leaving a total Cash Escrow amount of $9, and a reduction in the Bond amount of $207, leaving a total Bond amount of$89,055.94; and WHEREAS, the Land Use Administrator has reviewed and approved said Bond and Cash Escrow reductions, NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the Borough of Park Ridge that the Borough Chief Financial Officer is hereby authorized to release $23, from the posted Escrow Account for Developer and to accept a new Bond Letter in the amount of $89, from the Bond Agent for the Developer. BE IT FURTHER RESOLVED that the Mayor and Council hereby authorize the Chief Financial Officer to accept, at the option of the Developer, a cash escrow in the sum of $100, in lieu of posting a reduced Bond. 8 RESOLUTION NO AUTHORIZE RECEIPT OF BIDS WATER DISTRIBUTION MATERIALS AND SUPPLIES WHEREAS, due to normal operation and maintenance of the water distribution system, the water department needs to purchase various water distribution materials and supplies; and WHEREAS, over a one(!) year period, 1he anticipated total annual expenditure for said water distribution materials and supplies is over $40,000.00; and WHEREAS, the provisions of New Jersey Statute 40A: 11-4 requires the public advertising for bids when total annual expenditure for similar materials or supplies is over $40,000; WHEREAS, 1he Board of Public Works of1he Borough of Park Ridge has recommended that the Mayor and Borough Council authorize the receipt of sealed bids for unit prices for water distribution materials and supplies. NOW THEREFORE, BE IT RESOLVED by 1he Mayor and Council of1he Borough of Park Ridge, in 1he County of Bergen and 1he State of New Jersey authorizes the receipt of sealed bids for unit prices for water distribution materials and supplies. 10 RESOLUTION NO AUTHORIZE RECEIPT OF BIDS TREE TRIMMING AND REMOVAL SERVICES WHEREAS, due to normal maintenance of the Borough Streets and Parks there is a need to contract for tree trimming and removal services; and WHEREAS, over a one (1) year period, the anticipated total annual expenditure for said tree trimming and removal services is over $40,000.00; and WHEREAS, the provisions of New Jersey Statute 40A: 11-4 requires the public advertising for bids when total annual expenditures for similar materials or supplies are over $40,000; WHEREAS, by the Board of Public Works, Borough of Park Ridge, in the County of Bergen and the State of New Jersey, that it recommends to the Mayor and Council to authorize for the receipt of sealed bids for unit prices for the purchase of tree trimming and removal services. NOW THEREFORE, BE IT RESOLVED by the Mayor and Council of the Borough of Park Ridge, in the County of Bergen and the State of New Jersey authorizes the receipt of sealed bids for unit prices for electric distribution materials and supplies. 11 RESOLUTION NO AUTHORIZING PROCUREMENT OF WHOLESALE POWER REQUIREMENTS USlNG A MANAGED CONTRACT APPROACH WHEREAS, since October 2008, the Park Ridge Electric Department has been using a managed contract approach to periodically procure its future wholesale power requirements; and WHEREAS, pursuant to prior Mayor and Council authorization, to facilitate the purchase of wholesale electricity the Borough entered into the Membership Agreement with PJM Interconnection, LLC, and a Master Energy Supply Agreement with American PowerNet Management, Inc. (APN), a consulting company hired to provide wholesale electric procurement services; and '\VHEREAS, using the managed contract approach, with the assistance of APN, the Borough has been able to monitor the power supply market and periodically issue request for proposals (RFPs) to wholesale power supply companies to procure pricing for components of our power supply portfolio; and WHEREAS, to facilitate the ability to periodically issue RFPs and accept proposals, pursuant to prior Mayor and Council resolutions, the Borough had executed enabling agreements with the following power suppliers who have been authorized for bidding: Exelon Generation Company LLC - August 24, 2010 PPL EnergyPlus LLC - October 20, 2008 NextEra Energy Power Marketing, Inc. - October 22, 2008 PSEG Energy Resources & Trade LLC - October 15, 2008 Noble Americas Gas & Power Corp. - November 7, 2011 DTE Energy Trading, Inc. - November 6, 2008 BP Energy Company- February 4, 2015 WHEREAS, due to the volatility in the power supply market, once the pricing proposals are received, there is a very limited time period to accept the proposals without price fluctuations; and WHEREAS, in October 2008 and then re-affirmed several times since then, to facilitate the prompt award of said pricing proposals, upon recommendation of the Board of Public Works the Park Ridge Mayor and Council authorized the Director of Operations and President of the Board of Public Works to be empowered by resolution to award the pricing proposals based on the recommendation of American Power Net; and WHEREAS, based on obtaining very good energy prices using this method, the Board of Public Works recommends that the Electric Department continue to use the manage contract approach to procure its wholesale power requirements; and WHEREAS, accordingly the Board of Public Works recommends that the Mayor and Council affinn the above mentioned agreements, and the continued empowerment of the appropriate Borough officials to contract for the pricing proposals.

12 NOW THEREFORE, BE IT RESOLVED by the Board of Public Works that it recommends that the Park Ridge Mayor and Council affirms the above-described Master Power Purchase and Sale Agreements with Exelon Generation Company, LLC; PPL EnergyPlus LLC; NextEra Energy Power Marketing, Inc.; PSEG Energy Resources & Trade LLC; Noble Americas Gas & Power Corp.; DTE Energy Trading, Inc.; BP Energy Company; the Membership Agreement with P JM Interconnection, LLC; and the Master Energy Supply Agreement with American PowerNet; and BE IT FURTHER RESOLVED, that the Park Ridge Mayor and Council affirm the authorization of the Director of Operations and President of the board of Public Works to be empowered by resolution to award the pricing proposals based on the recommendation of American PowerNet. 14 RESOLUTION NO STATE TRAINING FEES Q Whereas, the State Bureau of Construction Code enforcement of the Department of Community Affairs instituted a State Training Fee that is based on the cubic feet volume of new construction; and Whereas, the municipality collects these fees for the State and pursuant to N.J.A.C. 5: payment of these fees must be made quarterly; and Whereas, $3, in State Surcharge Fees has been collected based upon 14,211 cubic feet of new construction and $2,015,654 of construction alterations for the period of October 1, 2017 through December 31, 2017; NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the Borough of Park Ridge that the Treasurer be and is hereby directed to draw a check in the amount of $3, to the Treasurer, State of New Jersey Eostein Oooelt KEITH J. 16 RESOLUTION NO RELEASE OF ESCROW STEVEN & DENISE CLlFFORD WHEREAS, STEVEN & DENISE CLIFFORD, at 11 Wield Court, known as Block 2005, Lot 20 on the tax map of the Borough of Park Ridge, has posted a CCO Bond in the amount of $1, in October 2014; and WHEREAS the CCO Bond has earned interest in Escrow Sub Account No ;and WHEREAS there has been no further draw down on the initial deposit of this escrow account; and WHEREAS SIBVEN & DENISE CLIFFORD have finished construction of this project on this lot and the CO was issued in October 2017; and WHEREAS, there remains a balance of $ in Escrow Sub Account No which the applicant has requested be returned; and WHEREAS, Construction Technical Assistant Elena Rega has determined there are no outstanding claims against the CCO Bond and there remains no reason to maintain this escrow account; NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the Borough of Park Ridge that the Borough Treasurer is hereby authorized to release the remaining escrow balance of $ in Escrow Sub Account No to SIBVEN & DENISE CLIFFORD, 11 Wield Court, Park Ridge, NJ and close this escrow account. 17 RESOLUTION NO APPOINTMENT OF BOROUGH RATE COUNSEL WHEREAS, the Borough of Park Ridge requires the professional service of an attorney to serve as Borough Rate Counsel; and WHEREAS, the Mayor and Council with a Couusel for the year 2018; and wish to appoint mailing address of as Borough Rate WHEREAS, the appointment and the contract are exempted from the competitive bidding requirements of the Local Public Contracts Law, (NJSA 40A:11-1 et seq.) as "Professional Services," pursuant to NJSA 40A:11-5 (!)(a); and WHEREAS, the Mayor and Council have chosen to award this contract as a fair and open contract pursuant to the provisions ofn.j.s.a. 19:44A-20.4 et seq.; and WHEREAS, the term of this contract is one (1) year; and WHEREAS, the Governing Body has approved appropriations in the 2018 Municipal Budget for such services as described in the contract and the CFO has certified the availability of funds in the 2018 Municipal Budget; and WHEREAS, the MANDATORY EQUAL EMPLOYMENT OPPORTUNITY LANGUAGE N.J.S.A. 10:5-31 et seq., NJ.AC. 17:27 (Exhibit A) is hereby incorporated into this contract and shall be incorporated in full in the said contract. NOW THEREFORE, BE IT RESOLVED by the Mayor and Council of the Borough of Park Ridge that the above appointment is hereby ratified and confinned and the Mayor and Borough Clerk are authorized to execute a contract on behalf of the Borough of Park Ridge, said contract to be in the form as approved by the Borough Attorney; and BE IT FURTHER RESOLVED that the vendor shall supply the Borough of Park Ridge with Federal Affirmative Action Plan Approval or State Certificate of Employee Information Report within the time period specified by NJAC 17:27; and BE IT FURTHER RESOLVED that Notice of this action shall be published in the newspaper, The Bergen Record, within ten (I 0) days of adoption. o--elt
