2 Foreword Thank you for your interest in becoming a member of the Northern Ireland Board of the Chartered Institute of Housing (CIH). These are challenging but exciting times for our organisation. Given the scale of changes taking place across the housing industry, CIH has responded by making significant and ambitious changes to our organisational plans for growth. We have revisited our priorities ahead of setting new plans for the future in We need people with the understanding, vision and determination necessary to carry out future plans and ensure CIH is even more relevant to individuals and organisations faced with the emerging landscape. If you think you have those qualities, if you are committed to professionalism and if you want to make a difference, we want to hear from you. Background The origins of CIH can be traced to The organisation was granted a royal charter in 1984 and our work is governed by this and byelaws which determine the governance arrangements for the organisation, together with the activities that it can pursue and the regulation of procedures. Our compliance with the royal charter and byelaws is overseen by the Privy Council. Following an organisation wide review, the system of governance at CIH was substantially overhauled, resulting in the establishment of the Governing Board from January The Governing Board is charged with the management of the business of the Chartered Institute of Housing. This includes setting and driving the strategic direction of the organisation, setting priorities, ensuring performance and managing risk, accountability, viability and sustainability. Members of the Governing Board are the trustees of CIH. Trustees play a critical role in the success of the organisation. All trustees operate in a nonexecutive manner. The executive function, including operational issues, falls to the chief executive, the executive team and the senior management team. The Governing Board oversees decisions on: the strategic direction to the organisation CIH s corporate plan, budgets and accounts, and management and exercising of all the powers of CIH, apart from those which can only be exercised by the wider membership in general meetings. The Governing Board has appointed a number of delegated boards to support the delivery of corporate objectives, including a board with specific focus on matters in Northern Ireland. Page 2 of 7
3 Northern Ireland Board The Northern Ireland Board is a delegated board of the CIH Governing Board. Earlier this year we undertook a further review of the governance structure and, in line with best practice, proposed a governance strategy. After a period of consultation, the strategy was recently presented to regional and national board members. It focuses on developing mechanisms to make CIH governance efficient and accountable. The CIH charter and byelaws empower delegated boards with delegated powers from the Governing Board. Its purpose is it to: 1. Implement the strategy set by the Governing Board in the devolved nations 2. Deliver the strategic and business objectives of CIH in the devolved nations, and 3. Develop a national operational plan, consistent with the overall aims and objectives of CIH, and deliver member value and growth locally. Introduction to the role Members of the Northern Ireland Board must ensure individual and collective compliance with the CIH code of governance and they must strive to ensure the highest standards of decision making. Members are expected to: contribute to the management of CIH Northern Ireland Board functions in line with the CIH charter and byelaws, the CIH charitable objectives, legal obligations and delegated authority from the Governing Board ensure the development, effective implementation and monitoring of the CIH Northern Ireland Board s business plan which is consistent with the overall aims and objectives of the CIH corporate plan ensure commercial viability and effective financial and risk management through development and monitoring of devolved budgets within CIH Northern Ireland and ultimately within CIH as a whole prepare in advance, regularly attend and participate fully in CIH Northern Ireland Board meetings and other CIH business meetings as appropriate contribute, as appropriate, to any delegated groups, working groups or task and finish groups established by the CIH Northern Ireland Board accept accountability for the decisions made by the CIH Northern Ireland Board develop effective working relationships with other Northern Ireland Board members, the CIH staff and members uphold standards and discipline within the CIH Northern Ireland Board consider and advise on housing policy initiatives in Northern Ireland and the Republic of Ireland develop and review CIH strategy in relation to: o matters of professional practice Page 3 of 7
4 o media relations and influencing, and o matters of professional development including the arrangement of training, seminars and other events, membership promotion and communication, and a programme of activities for members. consider, support and promote the CIH equality and diversity strategy oversee the development and implementation of an annual housing conference receive regular progress reports on the policy, professional practice and professional development work programmes CIH provides in Northern Ireland and the Republic of Ireland consider and make recommendations to Governing Board or its Boards on any aspect of the board s business which has implications for UK policy, and contribute to the overall strategic direction of the Governing Board. Person specification To be effective, the Northern Ireland Board needs members with a range of experience, skills and expertise. At this time, we would particularly welcome applicants with knowledge and understanding of: social housing education marketing public affairs, and housing in the Republic of Ireland. In addition, members will have an understanding of housing and the role of CIH. Previous board/committee experience is also desirable. Only current CIH members in Northern Ireland or the Republic of Ireland can apply to be considered for a seat on the board. Board appointments The term of office for board members is three years and the position is subject to the provisions of CIH s charter and byelaws and the CIH code of governance. The Northern Ireland Board can comprise up to 15 members. currently nine members. There are The positions are voluntary, although reasonable expenses will be met. On average, one day per calendar month is expected. This includes approximately six board meetings a year, a strategic/board away day, reading of board papers, representation of CIH Northern Ireland externally and attendance at the CIH annual conference (as appropriate). CIH Northern Ireland Board meetings will (normally) be held at the CIH offices in Belfast. CIH champions organisational and individual excellence across the housing industry and we strive to do the same for the field of equality and diversity. CIH Page 4 of 7
5 is committed to ensuring that its governance structures are open and welcoming for a representative range of members. Appointments will be made on the basis of skills and experience, with an appointed recruitment panel assessing all applicants and making a recommendation for appointment to the Governing Board and the wider membership. Applicants who best demonstrate the requirement s set out in the role description will be invited to attend an interview. Shortlisted applicants may be required to provide references. All appointments will become effective once they have been confirmed by the Governing Board.
