1 Date: October 22, 2015 Clarification Number # 2 to Invitation for Prequalification Haifa-Nazareth Light Rail Project Dear Participants, All capitalized terms not expressly defined herein shall have the meaning attributed to them in the Invitation for Prequalification (the "Invitation"). The Tender Committee has received several requests for clarifications from Participants with regard to the Pre-Qualification Documents. Below please find the Tender Committee s responses to such requests, which are hereby submitted to all potential Participants. The clarifications appearing below replace and supersede all prior correspondence, whether written or oral, and shall constitute the sole binding document with respect to the subject matter hereof and an integral part of the Pre-Qualification Documents. Except where expressly stated herein, nothing in this letter shall be construed to derogate from any terms of the Prequalification Documents. * * * * * * * Clarification # 2 For the avoidance of doubt, the questions are presented /quoted for the purpose of reference and information only. There is no significance to the assumptions made in the questions - the answers are brought here on a stand alone basis and should not be deemed to interpret the questions. 1

2 List of Questions and Answers: # Document Question Answer 1 Invitation It should be clarified that Participants can comply with the threshold requirements as specified in sections above through a Sub Contractor provided that the relevant Forms are duly completed and submitted by the Participant and the relevant Subcontractor. 2 The Tender Committee is requested to clarify whether the Rolling Stock is part of the LRT system, and whether it has already been specified. 3 The Tender Committee is requested to clarify whether a traction voltage for the Rolling Stock has already been defined. 4 The Tender Committee is requested to clarify whether a stabling/workshop complex (Depot) is part of the design scope. 5 The Tender Committee is requested to clarify whatever the new transport system will be self-sufficient for any level of maintenance activities. 6 The Tender Committee is requested to clarify whether the plot of land that can accommodate the stabling yard/workshop complex has already been identified or selected. 7 The Tender Committee is requested to clarify whether Yefe-Nof will support the Consultant to liaise with external agencies (electricity grid operator, utilities concessionaires, road authority, radio frequencies administrator)? The rolling stock is part of the LRT System". Moreover, the rolling stock specification is included in the Consultant s scope of work., as for now, a traction voltage for the Rolling Stock is 1500VDC as defined in the preliminary design. the design of the Depot is part of the design scope of the Project all as to be further specified in the RFP that shall be published by the Tender this issue has not been decided yet and will be part of the Consultant's Scope of Work. this issue shall be specified in the RFP to be published by the Tender The liaison with external agencies is under the Consultant s responsibility all as shall be further specified in the RFP that shall be published by the Tender 8 The Tender Committee is requested to clarify whether in the case of a Build-only contract; Yefe-Nof will ask the Consultant firm for a support for selecting an Operator? the Consultant's scope may include the support in the tender process with regard to the Operation and 2

Section 1.3), all as shall be further specified in the RFP that shall be published by the Tender 9 Invitation The Tender Committee is requested to clarify the following: a) Is the Track design included in civil works; b) In case of Build-only contract, will the detailed design also include civil works; c) Will the supervision of contractor's activities after contract award, include engineering support and supervision of contractor's activities with regard to civil works. The Tender Committee herby clarifies the following: a) Track design is not included in the civil works. b) The detailed design will include the civil works, which will be designed and planned in cooperation with local Israeli design companies and consultants. c) After contract award, the Consultant will provide engineering support for the civil works as the project s head designer, and will ensure a proper interface with the other LRT system. 10 Invitation the P.Q. ends at page 32 and the P.Q. Forms begin at page 42 this is due to a clerical error no other documents have to be published for that matter. 11 Invitation The Tender Committee is requested to clarify the exact scope of services to be provided by Israeli consultants over and above the general description of services given in the P.Q. the said scope of services shall be further specified in the RFP that shall be published by the Tender 12 Form "B" in circumstances where by a Participant is formed by several Members then it has in accordance with Form B to prepare a single holding chart of the Participant that includes all of its Members. 13 Forms "A" - "C" in case a Participant is not incorporated at the Submission Date then Forms "A" - "C" are to be dully signed by each of its Members. 14 Form "B" The Tender Committee is requested to confirm that according to section 7 of PQ Form "B", the Participant and each Member have to appoint an Authorized Representative, which holds an Israeli I.D [it can be the same one]. The Tender Committee so confirms. 15 Prequalification Requirements the Tender Committee clarifies that in order to 3

4 # Document Question Answer comply with the Prequalification Requirements the Participant has to specify all the relevant information it holds for that matter as further detailed in Form D. 16 Invitation The Tender Committee is requested to clarify whether it would be possible to obtain any additional data for better identify some CTQs on which the Methodology Report as specified in section 6 of the P.Q. will be based?: Passenger traffic request; Stakeholders list; Preliminary alignment with information about use of bridge, tunnel or viaducts or critical situation raised in the preliminary study; 17 Invitation The Tender Committee is requested to clarify whether RRT and Rail lines with urban and interurban sections can be accepted as references. 18 The Tender Committee is request to clarify the type of railway it is envisaging with regard to the Project. The Request is rejected by the Tender Committee at this stage. Further detailed will be provided in the next stages of the Tender process. the experience with urban rail project is mandatory, while any experience with Tram-Train is an advantage. Therefore, reference for RRT only is not acceptable. a Tram-Train railway is envisaged with a traction power supply of 1500 VDC. 19 The Tender Committee is requested to reduce the Assistant Design Manager's experience requirement to one light rail system and/or tram-train and/or metro system project over the past ten years. 20 The Tender Committee is requested to allow Participates to examine the Preliminary Design Report with regard to the Project. The Request is rejected by the Tender The Request is rejected by the Tender Committee at this stage. The Tender Committee shall consider this request for the RFP process. 21 all tender documents are free in YEFE-NOF website. However, in order to participate in the Tender, one should attach to his proposal a bank deposit confirmation according to the details in the PQ documents. 22 Notice of Correction The Tender Committee hereby extends the last date for the submission of the proposals (Sections and 7.9 to the Invitation, which was later postponed) until November 26, 2015, at 14:00 (2:00 pm Israeli standard time). 4
