1 RESOLUTION NO A RESOLUTION OF THE CITY OF OVERLAND PARK, KANSAS, PROVIDING FOR NOTICE OF A PUBLIC HEARING CONCERNING AMENDING A PROPOSED TAX INCREMENT FINANCING REDEVELOPMENT DISTRICT RELATED TO THE ADDITION OF PROPERTY TO THE REDEVELOPPMENT DISTRICT LOCATED AT THE SOUTHWEST CORNER OF W. 80TH STREET AND MARTY STREET WITHIN THE CITY PURSUANT TO K.S.A ET SEQ., AS AMENDED (EDISON OP TIF PROJECT). WHEREAS, pursuant to K.S.A et seq., as amended (the TIF Act ), the City of Overland Park, Kansas (the City ), is authorized to assist in the development and redevelopment of eligible areas within the City in order to promote, stimulate and develop the general and economic welfare of the State of Kansas and its communities; and WHEREAS, pursuant to Resolution No adopted by the Governing Body of the City on December 18, 2017, the City has given notice that a public hearing shall be held at the Overland Park City Hall, 8500 Santa Fe Drive, Overland Park, Kansas, on January 22, 2018, at 7:30 p.m., Central Standard Time, (or as soon thereafter as is practical), to consider findings necessary for the establishment of a proposed tax increment financing redevelopment district located at the southwest corner of West 80 th Street and Marty Street within the City (the Edison OP Redevelopment District ); and WHEREAS, pursuant to Resolution No adopted by the Governing Body of the City on December 18, 2017, the City has given notice that a public hearing shall also be held at the Overland Park City Hall, 8500 Santa Fe Drive, Overland Park, Kansas, on January 22, 2018, at 7:30 p.m., Central Standard Time, (or as soon thereafter as is practical), to consider findings necessary for the amendment of a tax increment financing redevelopment district located at the corner of West 80 th Street and Marty Street within the City (the Market Lofts Redevelopment District ) related to the removal of certain real property within the Market Lofts Redevelopment District; and WHEREAS, if approved by the City, it is contemplated that the real property removed from the Market Lofts Redevelopment District will be added to the proposed Edison OP Redevelopment District, which is contiguous with the Market Lofts Redevelopment District; and WHEREAS, pursuant to the TIF Act, the City must adopt a resolution stating that the City is considering amending the Edison OP Redevelopment District, if earlier established by the Governing Body of the City, to add real property to such Edison OP Redevelopment District and include in such resolution notice that a public hearing will be held to consider the amendment of the Edison OP Redevelopment District; NOW, THEREFORE, BE IT RESOLVED BY THE GOVERNING BODY OF THE CITY OF OVERLAND PARK, KANSAS, AS FOLLOWS: 1. Notice is hereby given that a public hearing to consider the amendment by the City of the proposed Redevelopment District for the addition of real property to the proposed

2 Edison OP Redevelopment District shall be held at the Overland Park City Hall, 8500 Santa Fe Drive, Overland Park, Kansas, on January 22, 2018, at 7:30 p.m., Central Standard Time, (or as soon thereafter as is practical). 2. The boundaries of the proposed Edison OP Redevelopment District are set forth in Exhibit A-1 and the proposed revised boundaries of the Edison OP Redevelopment District (after the addition of the real property) are set forth in in Exhibit A-2, both of which are attached hereto and incorporated herein by reference. 3. A description of the proposed district plan for the proposed Edison OP Redevelopment District and the district plan for the proposed revised Edison OP Redevelopment District, both of which identify all of the project areas and the general manner of all buildings, facilities and improvements in each project area that are proposed to be constructed or improved in each project area, are attached hereto as Exhibit B-1, and Exhibit B-2 respectively, both of which are incorporated herein by reference. 4. The descriptions and maps of the proposed Edison OP Redevelopment District and the proposed revised Edison OP Redevelopment District are available for public inspection during regular office hours in the Office of the City Clerk, at Overland Park City Hall, 8500 Santa Fe Drive, Overland Park, Kansas. 5. At the public hearing, the Governing Body of the City will consider findings necessary for the amendment of the proposed revised Edison OP Redevelopment District, if the Edison OP Redevelopment District is earlier established by the Governing Body of the City. 6. A copy of this Resolution shall be sent by certified mail, return receipt requested, to the Board of Commissioners of Johnson County, Kansas, and the Board of Education of Unified School District No. 512, Johnson County, Kansas. Copies of this Resolution also shall be mailed by certified mail, return receipt requested, to each owner and occupant of land within the proposed revised Edison OP Redevelopment District not more than 10 days following the date of adoption of this Resolution. This Resolution, Exhibit A-1, Exhibit A-2, Exhibit B-1 and Exhibit B-2 attached to this Resolution and a map delineating the area currently included in the proposed Edison OP Redevelopment District and a map delineating the area to be included in the proposed revised Edison OP Redevelopment District attached hereto as Exhibit C-1 and Exhibit C-2, respectively, shall be published once in the official City newspaper not less than one week or more than two weeks preceding the date fixed for the public hearing.

The above described tract of land contains 146,576 square feet, or acres, more or less. AND All of Lots 1 and 2, Block 5, OVERLAND HEIGHTS NO. 2, a subdivision in the City of Overland Park, Johnson County, Kansas, and the West half of Marty Street lying East of and adjacent to said Lot 2, and the South half of West 80 th Street lying North of and adjacent to Lots 1 and 2 and lying North of the West half of said Marty Street; and Lots 5 and 6, RESURVEY OF THE WEST 1/2 OF TRACT 10 OF THE RESURVEY OF OVERLAND HEIGHTS, except the West 2.35 feet of said Lot 5, and the 12 alley lying South of and adjoining that part thereof of lots 5 and 6, and the South half of West 80 th Street lying North of and adjacent to said Lots 5 and 6, except the West 2.35 thereof of said Lot 5. The above described tract of land contains 42,904 square feet, or acres, more or less. EXHIBIT B-1 PROPOSED DISTRICT PLAN The District shall consist of one (1) redevelopment project area, which is planned to include mixed-use commercial facilities consisting of office, retail, surface parking, a parking structure, courtyard, landscaping, lighting, utilities, and other infrastructure improvements.
