2 Crprate Scial Respnsibility Plicy The Bard f Directrs f Jubilant Mtrwrks Pvt. Ltd., acting upn the recmmendatin f its Directrs and the Crprate Scial Respnsibility Cmmittee and in alignment with visin f the Cmpany, has adpted the fllwing plicy and prcedures with regard t the Cmpany s Scial Respnsibility: 1.1 PREAMBLE: The aim f the Crprate Scial Respnsibility Plicy (the CSR Plicy ) is t ensure that the Cmpany becmes a scially respnsible entity cntributing twards imprving the quality f life f sciety at large. As a Crprate Citizen receiving varius benefits ut f sciety, it is ur c-extensive respnsibility twards the sciety t return the same by adpting best practices. It is the Cmpany s intent t make a psitive cntributin t the sciety in which the Cmpany perates. The bjective f this Plicy is t set guiding principles fr carrying ut CSR activities by the Cmpany and als t set up prcess f executin, implementatin and mnitring f the CSR activities t be undertaken by the Cmpany. 1.2 Definitins and Interpretatins Bard means the Bard f Directrs f the Cmpany. CSR Activities means such prgrams and prjects as may be recmmended by the CSR Cmmittee and apprved by the Bard in terms f the CSR Plicy, frm time t time in accrdance with Schedule VII f the Cmpanies Act,2013 r including any statutry mdificatins r re-enactment theref fr the time being in frce). CSR Cmmittee means the Crprate Scial Respnsibility Cmmittee f the Cmpany. CSR Expenditure Budgeted means the amunt recmmended by the CSR Cmmittee and apprved by the Bard frm time t time, t be incurred n the CSR Activities in India in a financial year in terms f Sectin 135 f the Act and the CSR Rules. Any term used but nt defined in this CSR Plicy shall have the meaning assigned t it under the Act r the CSR Rules. 1.3 Title and Scpe This Plicy: 2

3 I. shall be called the Crprate Scial Respnsibility Plicy r CSR Plicy f the Cmpany which is develped and implemented in accrdance with the prvisins f Sectin 135 f the Act read with the CSR Rules. II. utlines the Cmpany s philsphy and respnsibility and lays dwn the guidelines and mechanism fr undertaking scially impactful prgrams twards welfare and sustainable develpment f the cmmunity arund the area f its peratins and ther parts f the cuntry. III. shall be applicable t all CSR Activities taken up by the Cmpany at varius lcatins in India fr the benefit f different segment f the sciety at large, specifically the deprived and underprivileged segment. 2. VISION, MISSION & OBJECTIVES Crprate Scial Respnsibility is the cmmitment f businesses t cntribute t sustainable ecnmic develpment by wrking with the emplyees, their families, the lcal cmmunity and the sciety at large t imprve their lives in ways that are gd fr business and fr its develpment. 2.1 Visin T fllw glbal prgressin in the cncept f Crprate Scial Respnsibility and its implementatins by way f being beneficial t ur sciety and the crpratins t which we render services. T ensure benefit t sciety and t the crpratin fr sustainable develpment by imparting measurable values t all stakehlders in every aspect f ur Operatins. Ensuring Crprate Scial Respnsibility is adpted thrugh principled implementatins that cntribute t ur cuntry's scial, cultural, and envirnmental develpment and help in develping the awareness n these issues. 2.2 Missin & Purpse T wrk n the ppularity, adptin, and implementatin f the cncept f Crprate Scial Respnsibility while adding measurable values t"" the cmmunity and t ur crpratin alng with managing related prcesses t the advantage f all cncerned in a way that becmes mdel fr ther crpratins fr replicatin, t further expanding the scpe. 2.3 Objectives f the CSR Plicy The CSR Plicy is laid dwn by the Cmpany t ensure that the: CSR agenda is integrated with the business Fcussed effrts are made in the identified cmmunity develpment areas t achieve the expected utcmes Supprt in natin building and bringing inclusive grwth thrugh ur CSR prgrams 3

GUIDING PRINCIPLES 3.1 Our CSR plicy is t have Respect fr all stakehlder Devtin t wrk ethics Data and dcument discretin Hnesty in the flw f infrmatin Cntinuus relatins based n custmer satisfactin 3.2 The CSR Activities may relate t ne r mre activities listed in Schedule VII t the Act. This is subject t amendment f the Act and/r Rules frm time t time. 4. CHARTER ON CSR (IMPLEMENTATION APPROACH AND MODALITIES) 4.1 FOCUS AREA OF INTERVENTION (i) The Cmpany has identified the fllwing fcus areas f interventin as prescribed in Schedule VII f the Cmpanies Act, 2013 which may be pursued by the cmpany: 1. Eradicating hunger, pverty and malnutritin, prmting preventive health care and sanitatin and making available safe drinking water; 2. Prmting educatin, including special educatin and emplyment enhancing vcatin skills especially amng children, wmen, elderly, and the differently abled and livelihd enhancement prjects; 3. Prmting gender equality, empwering wmen, setting up hmes and hstels fr wmen and rphans; setting up ld age hmes, day care centres and such ther facilities fr senir citizens and measures fr reducing inequalities faced by scially and ecnmically backward grups; 4. Ensuring envirnmental sustainability, eclgical balance, prtectin f flra and fauna, animal welfare, agrfrestry, cnservatin f natural resurces and maintaining quality f sil, air and water; 5. Prtectin f natinal heritage, art and culture including restratin f buildings and sites f histrical imprtance and wrks f art; setting up public libraries; prmtin and develpment f traditinal arts and handicrafts: 6. Measures fr the benefit f armed frces veterans, war widws and their dependents; 7. Training t prmte rural sprts, natinally recgnized sprts, Paralympics sprts and Olympic sprts; 8. Cntributin t the Prime Minister s Natinal Relief Fund r any ther fund set up by the Central Gvernment fr sci-ecnmic develpment and relief and welfare f the Scheduled Castes, the Scheduled Tribes, ther backward classes, minrities and wmen; 9. Cntributins r funds prvided t technlgy incubatrs lcated within academic institutins which are apprved by the Central Gvernment: and 10. Rural develpment prjects. 4.2 PROGRAMME IMPLEMENTATION APPROACH AND PROCESS 4

5 The Cmpany shall implement all CSR Activities in the prject mde in cmpliance with the prvisins f Sectin 135 f the Act read with the CSR Rules. While implementing such prjects, all pssible effrts shall be made t define the fllwing: Prgramme Objective Need Assessment/ Baseline Survey - It wuld give the basis n which the utcme f the prgramme wuld be measured Duratin f the prgramme Funds allcated t the prgramme Implementatin schedule Respnsibilities and authrities Majr results expected and measurable utcme Effective mnitring and evaluatin Prgramme Dcumentatin 4.3 MODE OF IMPLEMENTATION A. The CSR Activities shall be executed thrugh ne r mre f the fllwing mdes: directly by the Cmpany; r by Jubilant Bhartia Fundatin ( JBF ), a scial wing f Jubilant Bhartia grup established in 2007 and a nn-prfit rganizatin (incrprated under Sectin 25 under the Cmpanies Act, 1956). B. CSR prgrammes may be implemented with the active participatin f the cncerned lcal stakehlders. These interventins may als be synergized with the initiatives undertaken by the State Gvernment, District Administratin as well as Departments. C. The Cmpany will identify the prjects recmmended by JBF which are falling within the purview f Schedule VII f the Cmpanies Act, 2013 (including any statutry mdificatins r reenactment theref) fr the time being in frce and prvide funds t JBF. The funds will be utilized by JBF fr the identified prjects. JBF will maintain a separate accunt fr each prject at each lcatin and ensure t prvide the details f expenditure / reprts fr each prject, in a manner as may be desired by the Cmpany frm time t time. 4.4 LOCATION OF CSR PROJECTS / PROGRAMMES / ACTIVITIES The CSR Activities, whether undertaken by the Cmpany itself r thrugh JBF, shall be carried ut in and arund the areas f the Cmpany s and its branches r ffices. Hwever, the CSR Cmmittee may identify ther areas fr CSR Activities, frm time t time and btain necessary apprval frm the Bard. 5

6 4.5 PROGRAMME DURATION The time perid f implementatin f the prgramme will depend n its nature, extent f cverage and the impact f the prgramme. The Cmpany will fllw a prject based accuntability apprach t stress n the lng term sustainability f its CSR prjects. Based nthe tenure f the identified prjects, they will be qualified as: Shrt Term up t 1 year Lng term 5. CSR Expenditure Budgeted 5.1 In the beginning f every financial year, the CSR Cmmittee shall determine whether the prvisins f Sectin 135 f the Act fr mandatry CSR spend are applicable t the Cmpany and accrdingly, determine the CSR Expenditure Budgeted fr the financial year and recmmend the same fr Bard apprval. 5.2 CSR Expenditure Budgeted shall include all expenditure including cntributin t crpus r n prjects/prgrammes relating t the CSR Activities. Fr achieving the CSR bjectives thrugh implementatin f meaningful and sustainable CSR prgrammes, the Cmpany shall allcate the fllwing as its annual CSR Expenditure Budgeted: 2% f its average net prfits made during the three immediately preceding financial years, as prescribed under the Act and the CSR Rules frm time t time; Any incme arising there frm; Surplus arising ut f CSR Activities; and Such ther amunt as may be determined by the Cmpany frm time t time 5.3 Any surplus arising ut f CSR Activities shall nt frm part f the business prfits f the Cmpany and the same shall be spent n CSR activities. 6. MONITORING AND REPORTING 6.1 The CSR Cmmittee shall mnitr all CSR Activities, including utilizatin f funds t ensure their effective implementatin in accrdance with the CSR Rules read with Sectin 135 f the Act. 6.2 The prgress f CSR prgrammes under implementatin will be reprted t the CSR Cmmittee at half yearly intervals. 6.3 Bradly, the fllwing prcedure will be adpted by the CSR Cmmittee fr implementing and mnitring the CSR Activities: Wrk Plan Resurce utilizatin and variance Effectiveness f the prgramme 6

7 Supprt r additinal resurces Evaluate the stakehlders expectatin 6.4 The minutes f the meetings f the CSR Cmmittee shall be placed befre the Bard. 6.5 The Cmpany will cnduct impact assessment n a peridic basis, either n its wn r thrugh an independent prfessinal r prfessinal institutins, especially n the flagship prgrammes. 6.6 The CSR Cmmittee may be directed by the Bard t present the cst incurred n CSR Activities annually and als the impact assessment theref as apprpriate. 7. DISCLOSURE / REPORTING 7.1 The CSR Plicy will be displayed n the Cmpany s website An annual reprt n the Crprate Scial Respnsibility shall be included in the Bard s reprt. 8. REVIEW/AMENDMENT The Bard may amend, abrgate, mdify r revise any r all clauses f this Plicy, n recmmendatin f the CSR Cmmittee and in accrdance with the Act and the CSR Rules. 9. APPROVAL OF CSR POLICY AND IMPLEMENTATION The Bard f Directrs apprved the CSR Plicy with effect frm March 23, 2015 n recmmendatin f the CSR Cmmittee. General: 1. Any r all prvisins f the CSR plicy wuld be subject t revisin/amendment in accrdance with the Rules, guidelines issued by Ministry f Crprate Affairs frm time t time. 2. The Cmpany reserves the right t mdify, add, delete r amend any f the prvisins f this Plicy intra vires the Cmpany s Act, 2013 and Rules theref. *** 7
