1 Page 1 of 8 BPCL KOCHI REFINERY INTEGRATED REFINERY EXPANSION PROJECT PRE QUALIFICATION CRITERIA FOR SUPPLY OF HYDROGEN GAS, SYNGAS, NITROGEN GAS AND OXYGEN ON BOO BASIS 1.0 TECHNICAL PRE-QUALIFICATION CRITERIA 1.1 EXPERIENCE CRITERIA The Bidder seeking pre-qualification must meet the following minimum prequalification operating experience criteria through itself or Parent Company or Subsidiary of the Bidder or Subsidiary of the Parent Company: Hydrogen Plant Bidder should either have during the last 15 years built and is presently operating on Build- Own-Operate (BOO) basis one Hydrogen Plant of minimum 38,000 TPA capacity (based on 8000 hrs/yr), which has been in satisfactory operation for a minimum period of two years as on due date of submission of Pre-Qualification Bid, OR Bidder should have carried out detail engineering, procurement, construction supervision & commissioning assistance for at least one Hydrogen Plant of minimum 38,000 TPA capacity (based on 8000 hrs/yr), which has been in satisfactory operation for a minimum period of two years as on due date of submission of Pre-Qualification Bid, AND Bidder should have satisfactorily operated & maintained one Hydrogen plant of minimum capacity 38,000 TPA for a minimum period of two years as on due date of submission of Bid. In case the Bidder does not have above operation & maintenance experience on his own, then the bidder shall engage an agency, meeting the above qualification requirements. Details of the prospective agency(ies) shall be furnished along with the bid, with documentary proof to support the above credentials. A copy of MOU/relevant document between the agency and Bidder which will confirm their commitment to support the Bidder during the operating period of BOO shall be furnished along with the techno-commercial bid. Hydrogen plant mentioned above shall be based on steam methane reforming (SMR) process with hydrogen purity of 99.9% vol (min) and should be based on any of the following feedstock or combination thereof: a) Naphtha; b) Natural gas; (c) LNG / RLNG; (d) LPG

2 Page 2 of 8 Details of the reference plant(s) shall be provided by the Bidder along with the bid Syngas (CO and Hydrogen) Generation Plant The Bidder should either have at least one steam methane reforming plant presently operating under BOO contract which has been in satisfactory operation for a minimum period of two years as on due date of submission of Pre-Qualification Bid, with co-production and supply of Hydrogen gas and CO or Hydrogen gas and Syngas adopting the cryogenic cold box technology, OR The Bidder should have carried out detail engineering, procurement, construction supervision & commissioning assistance for at least one steam methane reforming plant which has been in operation for a minimum period of two years as on due date of submission of Pre-Qualification Bid, with production and supply of Hydrogen gas or Hydrogen Gas and CO or Hydrogen gas and Syngas adopting the cryogenic cold box technology for CO and Syngas, AND Bidder should have satisfactorily operated & maintained one Hydrogen plant of minimum capacity 38,000 TPA or one Syngas production facility for a minimum period of two years as on due date of submission of Bid. In case the Bidder does not have above operation & maintenance experience on his own, then the bidder shall engage an agency, meeting the above qualification requirements. Details of the prospective agency(ies) shall be furnished along with the bid, with documentary proof to support the above credentials. A copy of MOU/relevant document between the agency and Bidder which will confirm their commitment to support the Bidder during the operating period of BOO shall be furnished along with the techno-commercial bid. Details of reference plant shall be provided by the Bidder along with the bid Nitrogen-Oxygen plant The Bidder should either have during the last 15 years built and is presently operating on Build- Own-Operate (BOO) basis a cryogenic Nitrogen-Oxygen plant with Gaseous Nitrogen purity of 99.99% vol & Gaseous Oxygen purity of 99.0% vol with a minimum capacity of 2700 NM3/Hr of gaseous Nitrogen and 100 NM3/Hr of gaseous Oxygen, which has been in satisfactory operation for a minimum period of two years as on due date of submission of Pre-Qualification Bid, OR

3 Page 3 of 8 The Bidder should have executed as a Project Management Consultant at least two cryogenic Nitrogen-Oxygen plants with gaseous Nitrogen purity of vol% & Gaseous Oxygen purity of 99.0% vol with a minimum capacity of 2700 NM3/Hr gaseous Nitrogen and 100 NM3/Hr of gaseous Oxygen. The reference units have been in operation for a minimum period of two years as on due date of submission of pre-qualification bid, AND Bidder should have satisfactorily operated & maintained one cryogenic Nitrogen-Oxygen plant with gaseous Nitrogen purity of vol% & Gaseous Oxygen purity of 99.0% vol with a minimum capacity of 2700 NM3/Hr gaseous Nitrogen and 100 NM3/Hr of gaseous Oxygen for a minimum period of two years as on due date of submission of Bid. In case the Bidder does not have above operation & maintenance experience on his own, then the bidder shall engage an agency, meeting the above qualification requirements. Details of the prospective agency(ies) shall be furnished along with the bid, with documentary proof to support the above credentials. A copy of MOU/relevant document between the agency and Bidder which will confirm their commitment to support the Bidder during the operating period of BOO shall be furnished along with the techno-commercial bid. In both cases, the Bidder or the prospective supporting agency should have experience in storage and handling of liquid Nitrogen and Oxygen. Details of reference plant shall be provided by the Bidder along with the bid. 1.2 TECHNOLOGY Hydrogen Plant & Syngas Generation Plant Bidder shall indicate the Technology Provider/s for the proposed Hydrogen & Syngas generation plant on BOO basis and should submit a document from Technology Provider indicating their willingness to cooperate with Bidder for this Project. For establishing the provenness of the technology to be adopted by the Bidder, the Bidder shall provide details of a reference hydrogen plant based on steam methane reforming (SMR) process with hydrogen gas purity of 99.9% vol (min) and of minimum 38,000 TPA capacity, and one steam methane reforming plant with co-production and supply of Hydrogen gas and CO or Hydrogen gas and Syngas adopting cryogenic cold box technology, built during last 15 (fifteen) years based on technology provided by the proposed technology provider/s and in operation for a minimum period of two years as on due date of submission of PQ bid. The reference plant shall be based

4 Page 4 of 8 on any of the feed stocks or combination thereof listed in (1.1.1) above. The Licensor should also have licensed a hydrogen plant with pre-reformer, which is currently in operation. The proposed technology as identified by the Bidder in PQ Bid shall be subject to acceptance by Bharat Petroleum Corporation Limited Kochi Refinery (BPCL-KR) Nitrogen-Oxygen Plant Bidder shall confirm the Technology Provider or supplier of Nitrogen-Oxygen Plant as a package by Original Equipment Manufacturer (OEM) for the proposed Gaseous Nitrogen-Oxygen plant on BOO basis and should submit a document from Technology Provider/Package supplier indicating their willingness to cooperate with Bidder for this Project. For establishing that the Technology/Package to be adopted by the Bidder is a proven one, the Bidder shall provide details of a reference Nitrogen-Oxygen plant, with gaseous Nitrogen purity of vol% & Gaseous Oxygen purity of 99.0% vol with a minimum capacity of 2700 NM3/Hr gaseous Nitrogen and 100 NM3/Hr of gaseous Oxygen, built during last 15 (fifteen) years based on technology provided by the proposed technology provider/ package supplier and in operation for a minimum period of two years as on due date of submission of PQ bid. The proposed technology as identified by the Bidder in PQ Bid shall be subject to acceptance by Bharat Petroleum Corporation Limited Kochi Refinery (BPCL-KR). 1.3 ENGINEERING EXPERIENCE a) The Bidder shall have successfully carried out Detailed Engineering for at least one Hydrogen generation unit of minimum 38,000 TPA capacity through steam methane reforming (SMR) process and a Nitrogen-Oxygen plant with minimum capacity of 2700 NM3/Hr of Nitrogen and 100 NM3/Hr of Oxygen which have been in operation for at least two years as on due date of submission of PQ bid. Details of such reference plants shall be provided along with the bid. b) In case above engineering experience criteria is not met by the Bidder, the Bidder may propose engaging engineering subcontractor(s) who has / have experience of carrying out detailed engineering of at least : i) One Hydrogen generation unit of minimum 38,000 TPA capacity through steam methane reforming (SMR) process, if engaged for Hydrogen- Syngas Generation plant, and ii) One Nitrogen-Oxygen plant with minimum capacity of 2700 NM3/Hr of gaseous Nitrogen and 100 NM3/Hr of Oxygen, if engaged for Nitrogen-Oxygen plant,

5 Page 5 of 8 during the last 15 (fifteen) years which have been in operation for at least two years as on due date of submission of PQ bid. The Bidder shall provide details of such reference plants executed by engineering sub-contractor. The proposed engineering sub-contractor(s) shall be identified by the Bidder during the PQ bid stage itself, and shall be subject to acceptance of Bharat Petroleum Corporation Limited Kochi Refinery. Bidder should submit a document from Engineering Subcontractor indicating their willingness to cooperate with Bidder for this Project. 1.4 GENERAL The period of fifteen years mentioned herein above shall be reckoned from the due date submission of PQ bid. Plants undertaken on Built, Own, Operate and Transfer (BOOT) or Built, Own, Operate and Maintain (BOOM) basis by the Bidder shall be deemed to be undertaken on BOO basis for the purpose of prequalification of bidders. 2.0 FINANCIAL PRE-QUALIFICATION CRITERIA The Bidder seeking pre-qualification or its Parent Company (ultimate holding company) shall meet the following minimum prequalification financial criteria: i) The Annual Gross Turnover of the Bidder during any one of the preceding three years ending on or before the due date of PQ bid submission shall be not less than equivalent to US $ 250 Million or Rs Crore. ii) Net Worth of the Bidder as on the last date of the latest accounting period ending on or before the due date of PQ bid submission should be at least US $ 250 Million or Rs Crore. iii) Bidder submitting their PQ Bid shall not be under liquidation, court receivership or similar proceedings. iv) The Return on Equity of the Bidder in the financial year ( ) shall be positive. Documentary proof for having met the Financial Prequalification Criteria is to be submitted by the Bidder along with the bid. 3.0 The PQ Bid and all supporting documents must be submitted in English language and nonconformance with this requirement will lead to rejection of the Bid. 4.0 All supporting documents, pertaining to pre-qualification criteria submitted by the Bidder shall be certified true copies, duly signed, dated and stamped by a Public Notary in Bidder s country. However, certification by an official authorized for this purpose in Indian Embassy/High

6 Page 6 of 8 Commission in Bidder s country shall be acceptable in lieu of the above. However this requirement is not applicable to published Annual Reports. In case of foreign Bidder, if Balance Sheet, Annual Report etc. are not in English language, then the English translation copy of the same shall be furnished duly certified, stamped and signed by local Chamber of Commerce along with the original Balance Sheet, Annual Report etc. 5.0 The PQ Bid and all details submitted by the Bidder subsequently shall be signed and stamped on each page by a person legally authorized to enter into agreement on behalf of Bidder. Bidder shall also submit Power of Attorney in favour of person who signs the PQ Bid and subsequent submission on behalf of the Bidder. 6.0 In the event the Bidder does not directly meet the Experience Criteria and/or the Financial Criteria and is dependent on the Parent/Holding company or other subsidiaries to meet these criteria, the Bidder has to submit an undertaking from the Parent/Holding company that it will support the Bidder in meeting all its obligations under this contract, including Guarantees and Liabilities. 7.0 PQ Bids duly filled with all information and supporting documents shall be submitted to the office of the undersigned latest by 12:00 Hrs (IST) on 31 st July, Bidders should ensure submission of complete information/ documentation in the first instance itself. Prequalification may be completed based on the details so furnished without seeking any subsequent additional information. Telex/Telefax/Telegraphic/ PQ bids will not be accepted. BPCL does not take any responsibility for delay, loss or non-receipt of PQ bid sent by post/courier. 8.0 Mere submission of PQ bids shall not be construed as pre qualification or entitle the agencies to participate in the main bidding process. 9.0 BPCL will not be responsible for any cost or expenses incurred by the Bidder in connection with preparation or delivery of PQ Bids, participating in discussions etc. including costs and expenses related to visit to the site DOCUMENTS TO BE SUBMITTED Bidder shall provide proof of having undertaken and successfully completed such projects. Following documentary proofs, for having met the technical prequalification criteria is to be submitted along with the bid by the bidder:

7 Page 7 of 8 1) Documents to be submitted w.r.to BOO/BOOM/BOOT Contract (as applicable) a. End user / customer certificate issued by end-user/ customer. The certificate must include the following information: i. Date of Commencement of supply by the BOO / BOOM / BOOT operator. ii. Period of supply elapsed under BOO/BOOM/BOOT contract. iii. Details of contact person (end-user). iv. Performance of the plant and Contractor 2) Documents to be submitted by bidder w.r.to BOO/BOOT/BOOM contract (if applicable). The certificate must include following information: i. Production capacity (Tons/Annum) ii. Quality (% purity) of gas iii. Date of commissioning & years of continuous operation of reference unit. iv. Name of the licensor and detail engineering contractor. v. Extract of relevant pages of BOO / BOOT/ BOOM/ contract document for the reference unit. vi. Documents to support experience in storage and handling of liquid Nitrogen and Oxygen 3) Documents to be submitted in case of EPCC experience and operational experience or tie-up with experienced operating agencies: a. End user/customer certificate issued in lieu of experience in engineering, procurement, construction supervision and commissioning assistance including the following information: i. Capacity and type of feed ii. Date of Commissioning of unit. iii. Details of contact person (operating agency) b. Self certification or Certificate from the experienced operating agency of the reference unit including the following: i. Capacity and type of feed ii. Quality (% purity) products iii. Date of Commissioning of unit. iv. Details of contact person (operating agency) v. Documents to support experience in storage and handling of liquid Nitrogen and Oxygen 4) Documents to be submitted w.r.to Technology /Package from OEM offered: a. The technology / package from OEM offered by bidder for the current proposal may be either same as used for the reference unit or different. In either case, bidder to obtain certificate from the licensor whose technology is being offered by the bidder

8 Page 8 of 8 for the current proposal. Such a certificate issued by the licensor must include the following information: i. Unit capacity & Type of feed ii. Quality (% purity) products iii. Date of Commissioning of unit. iv. Details of hydrogen plant with pre-reformer v. Details of contact person (Licensor) vi. Willingness to offer technology to Bidder for current proposal 5) Documents to be submitted w.r.t Engineering experience (whether by self or subcontracted): a. Detail engineering work completion certificate and copy of LOI / FOA b. Documents supporting the reference unit capacity & years of unit operation. c. Willingness from Engineering Subcontractor (if applicable) 6) Documentary proof for having met the Financial Prequalification Criteria RIGHT TO REJECT BPCL reserves the right to accept or reject any or all PQ Bids without assigning any reason whatsoever. In the matter of interpretation of the qualification criteria or any other matter related to this advertisement, the decision of BPCL shall be final. Any material misrepresentation in the PQ Bids will result in immediate disqualification and no communication whatsoever in this regard will be entertained. Canvassing in any form by the Bidder or by any other agency on its behalf, may lead to disqualification of its PQ bid.
