OPERATION MODEL: DNP Water is organized as an investment holding company, which owns and operates (directly or indirectly) water plants across Vietnam. Our investment methods include: Making new investments to expand the capacity and improve efficiency at our existing water plants Investing in the construction of new clean water plants in provinces, where current water supply capacities do not meet the growing demand. Becoming a strategic shareholder of water supply companies during the Government s privatization process. DNP WATER 5

BINH THUAN WATER SUPPLY SEWERAGE JSC - Charter capital: VND 79.7 bil. - DNP Water s ownership: 57% - Plants/Capacity: 75,500 m 3 /day, supplying clean water for Phan Thiet city, La Gi town, Bac Binh district in Binh Thuan province. TAY NINH WATER SUPPLY SEWERAGE JSC - Charter capital: 105 VND bil. - DNP Water s ownership: 60% - Plants/Capacity: With the designed capacity of 31,500 m 3 /day, the company supplies clean water for 6 over 9 districts/towns in Tay Ninh province with the number of customers up to 32,000. BINH HIEP JSC (BINH THUAN PROVINCE) - Charter capital: VND 80 bil. - DNP Water s ownership: 71% - Plants/Capacity: The company has 2 plants with a total capacity of 51,250 m3/day on a total area of 2 ha, supplying clean water for Phan Thiet city and Ham Thuan Nam district. DONG TAM WATER PLANT JSC (TIEN GIANG PROVINCE) - Charter capital: VND bil. - DNP Water s ownership: 53 % - Plants/Capacity: Having design capacity of 90,000 m3/day on an area of over 18 ha, the plant supplies clean water to areas in My Tho city, Go Cong Dong district DNP BAC GIANG - Charter capital: VND 350 bil. - DNP Water s ownership: 100% - Plants/Capacity: The project is divided into 2 phases. Phase 1 with capacity of 30,000m 3 /day was completed and started operation in quarter 4/2018. Phase 2 will increase capacity to 60,000-80,000 m 3 /day, supplying water for Bac Giang city, Lang Giang, Viet Yen districts AFFILIATED COMPANIES LONG AN WATER SUPPLY SEWERAGE JSC - Charter capital: VND 122 bil. - DNP Water s ownership: 37% - Plants/Capacity: Having 3 main plants, exploiting and treating the underground water sources at a total capacity of around 53,000 m 3 /day, the company supplies clean water for industrial parks and residential areas in towns and cities of Long An province. THUA THIEN HUE WATER SUPPLY JSC - Charter capital: VND 876 bil. - DNP Water s ownership: 12% (Strategic investment) - Plants/Capacity: 200,000 m 3 /day, having 3 plants and a wide network of treatment facilities, supplying clean water for Hue city and districts in Thua Thien Hue province. CAN THO WATER SUPPLY SEWERAGE JSC - Charter capital: VND 280 bil. - DNP Water s ownership: 35% - Plants/Capacity: Having 3 water plants and a network of 7 other treatment facilities with a total capacity of nearly 122,000 m 3 /day, the company supplies water for customers in Ninh Kieu, Cai Rang, Phong Dien, O Mon, Thot Not districts in Can Tho city.

CA MAU WATER SUPPLY JSC - Charter capital: VND 155 bil. - DNP Water s ownership: 22% - Plants/Capacity: 55,000 m 3 /day, supplying clean water to the whole Ca Mau city and districts/towns in Ca Mau province. 3. 10 TECHNOLOGY TECHNOLOGY The water plants of DNP Water are employing world-class advanced water treatment technology and management system, automatically supervising and collecting data, enhancing the productivity and ensuring qualified clean water for users. UPFLOW BIOLOGICAL CONTACTING FILTER (UBCF) AND LAMELLAR SEDIMENTATION UBCF is an advanced Japanese technology which helps reduce organic particles, ammonia, manganese...in raw water, improving the water quality without using chemicals. Lamellar sedimentation is widely applied in current water treatment projects to reduce the structure s height, increase the flow rate and treatment effectiveness - a solution to enhance water quality and reduce operation costs. ULTRA FILTRATION (UF) AND REVERSE OSMOSIS (RO) One of the most advanced water treatment technologies currently, UF-RO has high water treatment effectiveness, removes oil, metal hydroxide, glue, emulsion, floating solids, bacteria and most particles of more than 0.02µm in size with UF and produces pure water with RO filter, ensuring the best quality for users health. SUPERVISORY CONTROL AND DATA ACQUISITION (SCADA) SCADA is the automation management system in industry with the functions of supervising and collecting data. Applied in the water production and treatement sector, SCADA automatically collects, manages and analyzes data to support production planning, control, equipment supervision and analysis of water quality enhancing the effectiveness in production and management of water supply network. NETWORK AND WATER BILL MANAGEMENT DNP Water applies advanced systems to effectively manage the network, minimize water leakage and enhance customer services. A pilot run of GIS (Geographic Information System) and CRM (Customer Relationship Management) is conducted to monitor the network and gauges, analyze to detect leakage, record water usage and collect payment conveniently via electronic transactions. 10 DNP WATER

11 PARTNERS PARTNERS OPERATIONAL PARTNER: BA RIA - VUNG TAU WATER SUPPLY SEWERAGE JSC (BWACO) A leading company in Vietnam in management and operation of water plants, BWACO has water supply capacity of 180,000 m3/ day, producing and supplying clean water for Vung Tau city, Ba Ria city, 4 towns, 14 towns and 1 neighboring industrial park with more than 157,000 connections. The company has superior financial ratios in the industry (profit over revenue ratio is at high as level of 25%) and the water loss rate lowest among water companies (less than 8%), especially for a supply company with large number of connections. As an operation partner, BWACO will enhance the operation effectiveness at the water plants of DNP Water. TECHNOLOGICAL PARTNER: KOBELCO ECO SOLUTIONS CO. LTD (KOBELCO) KOBELCO has the capital of over $200 mil. and a development history of over 60 years, specializing in technology and solutions for water companies, especially effective, green and energy-saving ones. The corporation has office in Vietnam and participates in highlight projects such as Hoang Mai Water Factory, Thabelco, waste management for Binh Duong Water - Environment JSC KOBELCO has signed a contract to transfer technology, equipments and advanced solutions in Japan and in the world to water plants of DNP Water. FINANCIAL PARTNER: INTERNATIONAL FINANCE CORPORATION (IFC) A multi-national financial institution in the World Bank Group with a total of USD 35 bil. under its management, IFC focuses on making investments to support enterprises in developing countries. In Vietnam, IFC has invested in big companies such as banks, corporations in infrastructure, real estate with high growth potential, effective operation and good social, environmental and corporate governance practices. At present, DNP Water is proud to be chosen as the first and only partner in the water sector of IFC. DNP WATER 11

12 LEADERSHIP TEAM LEADERSHIP TEAM MR. VU DINH DO CHAIRMAN MR. HIDEAKI TANAKA VICE CHAIRMAN MR. PETER WHANG MEMBER OF THE BOD MR. NGUYEN HOANG GIANG MEMBER OF THE BOD Mr. Do has extensive knowledge and experience in the fields of investment, operation, finance, business, accounting - auditing, and business administration. Formerly, he worked as an auditor at KPMG Vietnam and KPMG Singapore. From 2007 to 2011, he held various high-level positions in investment analysis, investment, capital market, Merger & Acquisition and derivative products at Sai Gon Securities JSC, VNDirect Securities JSC and Maritime Bank Securities JSC. He joined DNP since 2012 as Chief Operating Officer (COO) and was promoted to Chief Executive Officer (CEO) and Chairman since Mr. Tanaka has 40 years of management experience in major Japanese conglomerates, including CEO positions of KOBELCO s corporate affiliates in the United States, Vietnam, Japan, Nigeria, and Bangladesh. He joined DNP Water in 2017 as General Director to transfer the management/ technology experience of Japan to the water plants of DNP Water and set up Japanese expert team in water treatment technology. In 2018, he was elected to be the company s Vice Chairman. Mr. Peter Whang has over 20 years of experience in the management of investments and funds in the Asia market. He was the founder and Senior Managing Partner of Joshua Tree Asia Investments, Managing Director of PineBridge Investments and has taken high-level positions in other Asian/ US companies. In 2016, he joined the International Finance Corporation (IFC) as the Principal Equity Specialist, managing and advising the execution, management and exit of equity investments for Asia Infrastructure and Oil, Gas & Mining sectors. Mr. Whang is the representative of IFC on the Board of Directors of DNP Water. Mr. Giang graduated as an Information Technology Engineer from Nebraska University (USA) and got his MBA at Chicago University (USA). He has over 10 years of experience in the Vietnam s security market, especially in the fields of IT solution development, risk management, business administration From 2010 to May 2018, he was the CEO of VNDirect Securities JSC, and was its Member of BOD after that. In June 2018, he was nominated to the BOD of DNP Water and elected as a Member of BOD and is con-currently in charge of the Internal Audit Committee under the BOD. 12 DNP WATER

13 LEADERSHIP TEAM LEADERSHIP TEAM MR. LE TUAN GENERAL DIRECTOR MEMBER OF THE BOD Mr. Tuan graduated from Bucknell University (USA). Before joining DNP Water, he had over 10 years of experience in consumer goods, infrastructure and real estates sectors at local and international investment funds and financial institutions such as Mekong Capital, Macquarie Group (USA) and T&T Group. He joined DNP Water in 2017 as Investment Director and was appointed as the General Director of the company in MR. NGO THANH CHUNG DEPUTY GENERAL DIRECTOR Graduated from Queensland University (Australia), Mr. Chung has extensive knowledge and experience in Management, Finance and Law. Before joining DNP Corp he used to be Deputy Director in charge of Investment and Finance at Dat Xanh Mien Bac Real Estates, General Director of Viet Hai Real Estates, Chairman of Viet Hai Petro Ltd, CEO of Song Xanh Investment, Investment Deputy Director of Sai Gon Ha Noi Fund Management In 2017, Mr. Chung was Project Development Director of DNP Water. In 2018, he was appointed Deputy General Director of the company, in charge of operation and project execution. MS. PHAN THI THU THAO DEPUTY GENERAL DIRECTOR With over 12 years of experience working at investment and audit positions at Vietfund Management Company and KPMG Vietnam, Ms. Thao has deep knowledge in the fields of building investment strategy, managing investments, market analysis and financial forecast for core industries of Vietnam s economy to make plan and deploy investment effectively. In 2017, Ms.Thao was the Finance Director of DNP Water, managing finance and monitoring overall effectiveness of the company and its members. In 2018, she was apppointed Deputy General Director in charge of finance, planning and accounting. MR. NGO ĐUC VU ADVISOR OF THE BOD Mr. Vu holds a Master s Degree in Financial Management of ESCPEAP European School of Management (France), a Master s Degree in Business Administration of the Asian Institute of Technology, Thailand. He used to serve as an Investment Director in Vietfund Management Company; General Director of Sao Viet Securities JSC; Chairman of Dong Nai Plastic JSC in Central Vietnam; General Director of Dong Nai Plastic JSC. Currently he is Advisor to the BOD in DNP Water, in charge of developing new projects. DNP WATER 13

14 LEADERSHIP TEAM LEADERSHIP TEAM MR. PHAM THANH THAI LINH INVESTMENT DIRECTOR MR. HO VAN NGOC BICH PRODUCTION DIRECTOR MR. NGUYEN TRUNG NHI DESIGN AND TECHNOLOGY DIRECTOR MR. NGUYEN DANH HIEU IT DIRECTOR Mr.Linh has a PhD in Finance from Monash University (Australia) and has over 12 years of experience in securities analysis and investment management in Vietnam. He used to work at Macquire Bank, take charge of investment activities in Bao Viet Securities JSC and hold the CEO position of EVN Land - Central JSC and be BOD members of a few public companies. In 2016, Mr. Linh joined DNP, in charge of seeking and executing investment opportunities of DNP Corp and DNP Water. In 2018, he was appointed Investment Director of DNP Water to keep developing investment activities, increasing the size and reinforcing the position of DNP Water in the water sector. Mr. Bich has 40 years of experience in the contruction and management of water projects via various positions: Electrical Engineer, Construction Team Captain, Deputy Director, Director of 201 WASECO Factory, Production Director of BWACO. At DNP Water, he is in charge of managing and operating water plants at the optimal level, advising, training and building operation standards for water plants. Mr. Nhi has over 30 years of experience in the water supply sewerage sector and participated in major water projects in Vietnam. He used to be the Deputy General Director of Aquaone Hau Giang Water JSC, Director of Song Da Water Supply-Sewerage Consuting JSC, Technical Manager and Director of the Design and Consultancy Center in Water Supply & Sewerage Construction and Investment JSC (Waseco). Currently, as the Design and Technology Director of DNP Water, he is in charge of designing the network and applying new technology in the water plants and supply networks of DNP Water. Mr. Hieu has many years of experience in the construction of architecture and software foundation, IT infrastructure upgrades, ERP solutions, etc. at FPT Trading, Hapro Information, FPT Software... Joining the company, his role is to establish the IT systems in the management of DNP Water, of which one is SCADA the effective system to supervise and operate water plants, apply IT in the operational activities, build mobile applications in market development and centralized management, and increase the automation in data process and operation. 14 DNP WATER

TECHNOLOGY: OPERATION: DNP Water has entered strategic partnership with Kobelco Eco Solutions Co. Ltd the leading company in Japan specialized in techonoly solution supply to water production and water treatment companies. The two parties will work together to transfer the advanced technology, equipments and solutions in Japan and in the world to the water plants of DNP Water for the sake of quality and effectiveness. DNP Water has established partnership with Ba Ria Vung Tau Water Supply JSC, one of the leading companies in Vietnam in management, operation and pipeline systems of water plants to constantly control water quality, reduce water loss and avoid resource wastes at DNP Water s plants. 16 DNP WATER

Experienced team of executives with expertise in technology, construction, finance, management especially Japanese experts from KOBELCO to transfer know-how to DNP Water. VALUE CHAIN: Benefited from the expertise and experience in solutions, pipeline materials and construction of Dong Nai Plastic with optimal cost and time. CUSTOMER BASE: The total number of customers at DNP Water s members including corporate clients, organizations, governmental agencies, households is currently up to 700,000 customers.
